2、uent cooperation under the principle of mutual trust and common development1合作概述Cooperation introduction1.1 甲方为北京 AAAA 体育文化发展有限公司、深圳市 AAAA 信息科技有限公司等相关企业（以下简称 AAAA）， 旗下包含多个产品和平台，甲方负责旗下相关产品的平台搭建，营销，运营规划，服务标准制定，客户服务及服务 提供商管理。Party A is Beiji ng AAAA sport and culture developme nt co.Ltd .She nzhe n AAA

Party A is responsible for platform build ing,marketi ng, operati on pla nning, service sta ndards, and customer service man ageme nt and service providers.1.2 乙方同时期内在体育和互

4、联网公司内只能跟甲方进行合作，并有义务出席甲方安排的商业活动、交流活动， 并提供陪练和培训课程服务。乙方有义务保证提供的服务能够达到AAAA 平台制定的标准。Party B should only cooperate with party A at the same period in the sports and Internet field .in addition ,party B is obliged to takeparty in the bus in ess activities and excha nge activities arran ged by party A and p

5、rovide trainer and trai ning coursesservices .party B must make sure that the services reach a level set by party A1.3 基于甲乙双方沟通，合作期内：Base on the agreement in the cooperation period:1.3.1甲方每月向乙方共支付 8000 元人民币（每人 2000 元人民币），Party A totally pay party B 8000yuan mo nthly （2000 yuan per perso n）1.3.2乙方需提供

6、每月八次一一每周两次的免费户外训练课程（具体教学场地及教练由甲方指定）。Party B shall provide eight times a mon th, twice a week free outdoor trai ning courses （teach ing fields and coach designated by party A)1.3.3甲方提供甲方学员的运动衫，可印有乙方Logo。乙方的姓名、肖像、履历等均只可被甲方使用。乙方在无课程安排的情况下，必须无条件配合甲方进行照片、视频等素材的拍摄工作。Party A provide trainees from party A s

If party B needs to check the settlements amount, theparty B n eeds to provide the detailed bill.3 合同期限本合同有效期为自本合同签订之日起至2016 年 12 月 31 日，合同期满前 30 日内，如双方均未向另一方书面要求终止本合同，则本协议执行时间自动顺延一年。The con tract deadli neTh

11、符合本协议约定给另一方造成损失的，应承担损害赔偿责任，损失赔偿额应当相当于因违约所造成if one party fails to perform obligati ons or do not conform to the performa nee of the obligati ons of this agreeme nt, thereby causing loss to the other party, shall bear the liability for damages, shall be equal to damage compe nsati on for the losses ca

13、e of false in formatio n, errors which leads to customer complai nts, can cel,disputes4.3 甲方如未按时支付乙方工资，乙方有权提出终止本合同。If party A does not pay party B salary on time, party B has the right to term in ate this con tract5 保密条款及知识产权保护Confidentiality clause and intellectual property protection甲乙双方有责任对本次合作中所

14、有的资料予以保密，双方提供的一切形式(图片、信息资料等)的素材，双方均有义务妥善保管和保密，未经对方书面同意，不得用于其它商业用途。Party A and Party B shall have the resp on sibility to keep all the in formatio n in this cooperatio n. All forms of material informati on (pictures, in formati on, etc.) provided by the two parties, both parties are obliged to safeke

15、ep ing and con fide ntial,without writte n consent of the other party shall not be used for other commercial purposes.6 不可抗力 Force Majeure不可抗力指双方在订立合同时不能预见、对其发生和后果不能避免且不能克服的事件，包括但不限于家庭、地震、火灾、飓风、海啸、战争、政府行为以及非由于本合同当事方自身原因造成的通讯中断、技术故障、黑客攻击、 计算机病毒发作等。遇有上述不可抗力事件的一方，应立即将事件情况书面通知对方，并应于15 日内通告事件详情，并出示政府部门开具

16、的有效证明文件以说明不能履行或不能完全履行、或需要延期履行的理由。双方按照事件 对协议的履行的影响程度，再行决定是否继续履行本协议或终止协议。Force majeure means that the two parties can not foresee the con clusi on of the con tract, the event that cannot be avoidedand cannot be overcome. Including but not be restricted to family, earthquake, fire, hurricane, tsunami,

17、war, gover nment actio nand not due to the partys own reas ons for the failure of com muni cati on, tech ni cal failure, hack ing, computer virus attacks, etc.7 法律适用及争端解决Law application and dispute settlement因本协议而产生之争议，双方应友好协商解决；如协商不成，双方同意将争议提交甲方所在地人民法院诉讼解 决。Disputes aris ing from this Agreeme nt sh

If no agreeme nt is reached, the twoparties agree to submit the dispute to the court proceedi ngs of the peoples Court of the place where Party A is located.8 其他条款 Other terms本协议未尽事宜由甲乙双方友好协商后，以书面形式加以补充；本协议的各附件均为协议正文不可分割的组成部分，与协议正文具有同等法律效力；本协议一式贰份，双方各执壹份，具有同等法律效力。Matters not covered in this con tract, writte n form will be reple ni shed after both sides frien dly n egotiati on.
