数据库会员服务协议(中英文)

1、AGREEMENT OF DATABANK SERVICE根据中华人民共和国合同法及相关法律法规规定，北京数据库有限公司(以下简称 “本公司”)及会员根据本协议所列条文，以及同意此协议受法律所约束的情况下， 一致达成如下协议：Beijing Databank Co. ,Ltd. (“ the Company ) and theMember ， intending to be legally bound ， and in consideration of the mutual promises and covenantscontained herein ， agree as follows1.

2、服务 Service本协议所指的服务，是指本公司将自己所有或第三方合法所有并授权的资料置于互联 网上，会员通过账号及密码登录本公司网站数据库，按照会员章程及订阅表格 所列的权限查询各类资料。The “Service” herein referred to ， is the search and retrieval service through which the member can readon the Internet the Company s own information legally obtained from third parties. The right to acces

3、s tothe Service is through a set of login name and password provided by the Company to the Member.2. 适用 Application2.1 本公司有绝对酌情权拒绝任何会员申请而无须提供理由；The Company may in its absolute discretion reserve the rights to reject any application to register as aMember ， without the need to give any reason.2.2 在本公

4、司在接受订阅者的申请及在订阅者遵守本协议规定的情况下，订阅者即成为 会员。本公司向会员提供服务并保证持续更新所提供的信息。Upon the application accepted by the Company and the subscriber s compliance of this Agreement ， thesubscriber becomes a Member. The Company agrees to provide the Service to the Member and warrants tocontinuously update the information pro

5、vided in the Service.2.3 订阅者在订阅服务时，保证 By subscribing to the Service ， the subscriber warrants that ：(a)其所提供的资料为完整，最新及正确无误;all information provided by the subscriber is accurate， complete and current ；(b) 本协议一经签署，即具法律效力并同意受其约束;the Agreement ， when concluded ， constitutes legal obligations that are bi

6、nding and enforceable ;(c )所签署协议的人士已得必要的授权。the Subscriber has obtained necessary authorization to sign the Agreement.3.费用的计算与支付 Price and Payment Terms3.1 会员同意根据订阅表格注明的订阅年期向本公司缴付订阅费用;The Member agrees to pay the amount of subscription fees for the fixed term of service as listed in theSubscription F

7、orm to the Company.3.2 透过支付订阅费用，会员按会员章程内所载的权限享用服务;By paying the subscription fees ， the Member enjoys the rights and is subjected to the limitation listed in theTerms & Conditions.3.3 本公司在收到已签署的协议和汇款凭证后，在一个工作日内为会员设置好账号。若 会员在提交的资料中未付汇款凭证，则须在收到账号的 5 个工作日内以订阅表格 内所载的方式，缴清表内所列款项;Upon receiving the si

8、gned Agreement ， the company shall send the login account ID and password to themember within a working day. If there is not advance payment the member shall pay the funds within 5working days after receiving the login account ID and password by any of the prescribed methods as set inthe Subscriptio

9、n Form.3.4除根据 3.2 所享有的服务外，会员同意根据本公司在会员使用期间所订定的价格 向本公司支付其它透过所持账号及密码而获取的服务的费用。Other than the rights enjoyed by the Member under 3.2， the Member agrees to payall charges incurred by the use of login name and password provided by theCompany at the rates and in accordance with the Company s billing polic

10、ies in effectduring each period in which the charges are incurred.4. 责任限制 Disclaimers4.1 会员完全理解并同意自行承担使用网络服务的风险。The Member fully understands and agrees that the use of the Service is at the Subscriber s own risk.4.2 由于网络服务提供商的服务故障，造成本公司暂时不能正常通过互联网发布信息， 本公司不为此承担责任，但有义务与网络服务提供商交涉，以尽快解决该问题。The Company

11、is not responsible for any interruption of Service due to problems occurred on the Internetplatform or any other reasons that cannot be controlled by the Company. The Company shall make effort toliaise with its Internet Service Provider in order to restore the Service as soon as possible.4.3由于政府有权部门

12、或司法机构的命令，造成本公司不能通过互联网正常提供检索 服务的，本公司不为此承担责任，但本公司应归还已收取的未履行期间的服务费用。The Company will not be responsible for the interruption of Service owing to orders of government authoritiesor judicial bodies. The Company agrees to refund the paid fees pro rata to the remaining subscription period.4.4 由于本公司除维护服务器、添

13、加资料等事项外的其它原因造成信息检索服务中断， 本公司将双倍补偿会员中断的时间。如会员原因造成本公司无法正常提供服务，会员 应承担相应责任。Other than interruptions arising from the maintenance of server or regular update ， the Company agrees tocompensate the Subscriber in an amount of time equal to twice as the time lost attributable to the fault of theCompany. Accor

14、dingly ，the Subscriber agrees to compensate the Company any loss attributable to the faultof the Subscriber.4.5 除本第 4.2 ，4.3 及 4.4 条规定的补偿或赔偿外，双方一致同意：本违约规定所述其 它任何赔偿应限于因已方违约而给对方造成的直接经济损失，并不包括间接损失（此间接损失包括但不仅限于营业收入或利润损失、技术或经营权利的丧失、业务丧失 等），也不包括惩罚性的赔偿。The Company and the Subscriber agree that all claims，

15、except stated in 3.2 ，3.3， and 3.4 above ， shall be limited to direct damages due to the breach of this Agreement. In no eventshall either party be liable to the other for any penalty，consequential ， indirect ，special or incidental damages including ， but not limited to loss of profit or lossof tech

16、nology or operation rights or loss of business rights.5. 违约规定 Termination任何一方违反本协议的任何条款，不承担或不及时、充分地承担本协议项下其应承担 的义务构成违约行为，守约的一方有权以书面通知要求违约的一方纠正其违约行为并 采取充分、有效、及时地措施消除违约后果并赔偿守约方因违约方的违约行为而遭致 的损失。Either party of this Agreement may serve notice to the other side that is in breach of whole or part of thisA

17、greement and may require the party in breach to take immediate action to redeem its responsibilities underthe Agreement and to minimize the impact of the breach. The party in breach shall be liable for any claims fordamages made by the other side.6. 不可抗力 Force Majeure遭受不可抗力事件的一方可暂行中止履行本协议项下的义务直至不可抗力

18、事件的影响 消除为止，并且无需为此而承担违约责任；但应尽最大努力减轻该事件负面影响。Neither party will be liable for ， or will be considered to be in breach of or default under this Agreement onaccount of ，any delay or failure to perform as required by this Agreement as a result of any causes orconditions that are beyond such partys reasona

19、ble control and that such party is unable to overcomethrough the exercise of commercially reasonable diligence. If any force majeure event occurs， theaffectedparty will use commercially reasonable efforts to minimize the impact of the event.7. 保密条款 Confidentiality7.1 协议任何一方对在合同履行过程中所获知的对方的商业秘密等均负有保密

20、义务，未 经对方书面许可，任何一方不得将其泄露给第三方，否则应承担违约责任并赔偿损失。Except as expressly set forth herein ， the parties shall maintain in confidence the Confidential Information ofthe other side. The parties shall not disclose such Confidential Information to any third party without the priorwritten consent of the other side

21、.7.2 在本协议终止之后，各方仍需遵守本协议之保密条款，履行其所承诺的保密义务， 直到对方同意其解除此项义务，或事实上不会因违反本协议的保密条款而给对方造成 任何形式的损害为止。Both parties shall abide by the terms of Confidentiality in this Agreement and have obligation to maintain theConfidential Information after the termination of the Agreement. The obligation shall end only upon

22、theconsent of the other side or only if the disclosure of the Confidential Information will not cause any loss of theother side.8. 争议的解决 Dispute Resolution8.1 本协议的订立、执行和解释及争议的解决均适用中华人民共和国法律。This Agreement is constructed and to be executed and interpreted by the laws of the People spRueblic ofChina.8

23、.2 如双方就本协议内容或其执行发生任何争议，应进行友好协商；凡协商不成时，双 方一致同意指定北京市海淀区人民法院管辖。In case of any dispute under this Agreement ， both parties shall try to resolve it through negotiation. Ifnegotiation fails， both parties agree to submit the matter tobinding ar bitration in accordance with the People s Court of Ha，idiBaeni

24、jDinigst.rict9. 协议生效 Commencement本协议在本公司收到会员已妥善签署并盖上印章的订阅表格当日正式生效。This Agreement commences on the date when the Company receives theSubscription Form duly signed and affixed with the Subscriber s company chop.10.其它协议 Other provisions 10.1 除非协议另有规定，未经本公司书面同意，会员不得擅自将协议的权利、义务转 让给协议以外的第三方。Notwithstandin

25、g any contrary term herein， the rights specified in this Agreement arenot transferable. Without the written consent of the Company， the Subscribercannot transfer or assign its rights or obligation to the third party and cannot reproduce ，duplicate ，copy，sell， resell or exploit for any commercial purposes，any portion of the Service ， use of the Service ， or access to the Se
