4、民共和国法律成立的公司(统一社会信用代码:XXXXXXXXX,办公地址位于XXXXXXXXXXXX。Hereinafter referred to as the “COMPANY”,以下简称“本公司”,On the one Hand,作为合同本公司,AND和XXX, Passport Number or ID Number: XXXXXX,护照号码或身份证号码:XXXGender:性别:Date of Birth:出生日期:Hereinafter referred to as the “EMPLOYEE”,以下简称“该员工”,On the other Hand,作为合同乙方,Hereinaft

5、er collectively referred to as the “PARTIES”.本公司、乙方以下统称“合同双方”。In accordance with the Labour Law, the Provisions on the Labour Administration Regulations and other relevant laws and regulations of the Peoples Republic of China, the PARTIES have concluded the following labour contract (hereinafter ref

6、erred to as the “CONTRACT”合同双方依照中华人民共和国劳动法以及中华人民共和国其它相关法律法规,共同约定以下劳动合同(以下简称“本合同”。 该员工将担任以下职务:XXXXXXXXnot limited to:该员工的工作职责为XXXXXXX,包括但不限于:a.XXXX;XXXX; 动转为本公司正式员工,执行本合同规定的条款。 3.1The duration of this CONTRACT is XX years which is fromXXXXXX(day/month/year toXXXXXX(day/month/year.本合同期限为XX年,从XX年X月XX日至

7、XX年X月XX日。3.2If the date Employee starts to work is inconsistent with the agreed date, theactual date of arrival is the date when the labor relations establish.若该员工开始工作时间与约定时间不一致,以实际到岗之日为合同起始时间建立劳动关系。3.3This CONTRACT maybe extended upon agreement of both PARTIES. Anextension to this CONTRACT shall co

8、me into force only after a written agreement has been signed by both PARTIES.本合同经合同双方同意后可以续签。只有在合同双方签署书面协议后,续签的合同方能生效。 5.1The EMPLOYEE shall pay individual income tax in accordance with the relevant lawsand regulations of the Peoples Republic of China. The COMPANY shall withhold such amount and pay

9、it to the competent tax bureau.该员工须按照中华人民共和国相关法律法规缴纳个人所得税。本公司将为该员工代扣代徼个人所得税,并将应纳税款上交相应税务机关。 6.1The COMPANY will establish an EMPLOYEE training system and provide necessarytraining to the EMPLOYEE in accordance with the relevant laws and regulations of the Peoples Republic of China and as the COMPANY

10、 need, including but not limited to ideology and politics, professional ethics, business technology, HSE and relevant rules and regulations. the superior or in accordance with the procedures to the superior approval, otherwise it is not considered as working overtime.该员工加班不能自行决定,须经上级安排或者按照程序报上级批准,否则

11、不视为加班。7.4Notwithstanding what provided hereof the COMPANY shall extend the workinghours regardless of Article 7.1 and Article 7.3 in any of the following cases:a.Immediate action which must be carried out in case of natural disasters,accidents or other events that will endanger the EMPLOYEEs life, h

12、ealth,property, or safety;由于发生自然灾害、事故或其它危及该员工生命、健康、财产及安全的事件,必须采取紧急措施;b.Urgent repair which must be carried out in case of breaking down of operationequipment, communication, transportation and other facilities which willendanger COMPANY business or public interest; 9.1The EMPLOYEE will be entitled t

13、o sickness and injury leaves in accordance withthe relevant laws and regulations.该员工有权根据相关法律法规享受病假及伤假。9.2The EMPLOYEE applying for sickness or injury leave shall fill in a leave applicationform and get approval from his/her manager. Leave for more than two (2 daysshall be approved by the Chief Execu

14、tive Officer of the COMPANY and submitted to the Office Manager, Human Resources Manager or their Manager for verification and filing before going for leave.申请病假或伤假时,该员工应填写“休假申请表”,并必须得到其上级主管的准许。若该员工的休假超过两(2天,则需经本公司首席执行官允许,且应在休假前将“休假申请表”提交至行政经理、人力资源部经理或直属上级经理以供审核及存档。In case of any sudden sickness or

15、injury the EMPLOYEE shall inform his/her manager no later than the end of the first day. A written confirmation shall be regulations.本公司将依照有关法律法规为该员工提供劳动安全卫生条件以及必要的设备。10.3The EMPLOYEE shall have the right to refuse to carry out any dangerous operationforced upon him/her by management personnel in vi

16、olation of the relevant regulations.若该员工的上级主管违反相关法律法规,要求其从事危险性工作,该员工有权拒绝。 11.1The EMPLOYEE enjoys statutory holidays for official public holidays, wedding, andfunerals in line with the relevant laws and regulations of the Peoples Republic of China.该员工依照中华人民共和国有关法律法规享受法定休假,包括法定节假日、婚假、丧假、产假。11.2The EM

17、PLOYEE is entitled yearly (for a full year worked to a paid annual vacation 可能伤及本公司利益的有偿或无偿活动。若由于其它原因而非本合同第12条和第13条解除本合同的,不适用本合同第12.3条。12.4The EMPLOYEE shall pay the COMPANY an amount of 500,000 RMB (Five hundredthousand RMB as a penalty clause if he does not comply with Article 12.1., Article12.2.,

18、 and Article 12.3. hereto. This amount does not include the possible actualdamages which may be claimed by the COMPANY.金额。 13.1The EMPLOYEE shall keep strictly secret and confidential and not to disclose toany third PARTY any and all technical, economic, financial, client or marketing information ac

19、quired from the COMPANY and or obtained because of his/her activities in the COMPANY.该员工须严守公司机密,不得向任何第三方透露自本公司处获得的及/或由于该员工在本公司任职而获得的任何技术、经济、财务、客户或市场信息。The EMPLOYEE shall not use any such information for any purpose whatsoever except within and for the tasks, duties, and responsibilities provided in

20、this CONTRACT.该员工亦不得将上述信息用于本合同规定之工作职责以外的一切活动。13.2The EMPLOYEE agrees that any disclosure or non authorised use of suchinformation shall be considered as a serious misconduct except in the case whereby the EMPLOYEE has received a prior written permission from the COMPANY management.该员工认同,除非该员工已事先收到本公

21、司管理部门发出的书面许可,否则,泄露上述信息或在未被授权的情况下使用上述信息将被视为严重过失行为。13.3The EMPLOYEE shall comply with his/her confidentiality obligations pursuant tothis Article 15 for the whole term of this CONTRACT and duration of five (5 years after the termination of the CONTRACT.该员工在本公司任职期间以及在本合同解除后五(5年内应当按照本合同第15条的规定遵守保密协议。13.

22、4The EMPLOYEE shall pay the COMPANY an amount of 500,000 RMB (Five hundredthousand RMB as a penalty if he/she does not comply with his/her confidentiality obligations pursuant to this Article 15. This amount does not include the possible actual damages which may be claimed by the COMPANY.若该员工违反本合同第1

23、5条的规定,没有尽到其应尽的保密义务,则该员工必须向本公司支付50万(伍拾万元整 人民币作为赔偿。该笔赔偿不包括本公司对可能造成的实际损害进行索赔的金额。 14.1Either of the PARTIES shall perform its responsibilities under this CONTRACTstrictly in accordance with the provision hereof.合同任何一方都应按照本合同所规定的条款严格履行各自职责。14.2Either of the PARTIES should bear responsibilities for compen

24、sation if it violatesthis CONTRACT, infringes upon the interests of the other PARTY and causes damages to the other PARTY.若合同任何一方违反本合同以及损害本合同另一方的利益并给本合同另一方造成损害,该方承担损害赔偿责任。 15.1Either of the PARTIES shall be entitled to terminate this CONTRACT for reasonsexpressly provided by the relevant laws and re

25、gulations of the Peoples Republic of China. Such termination of this CONTRACT shall comply with the proceedings provided by the relevant laws and regulations.合同任何一方均有权依照中华人民共和国相关法律法规终止履行本合同。本合同的终止须遵照有关法律法规操作进行。15.2Furthermore the COMPANY may terminate the CONTRACT for any one of thefollowing reasons

26、:此外,在下列情况下,本公司可随时解除本合同:a.During the course of the employment with the COMPANY the EMPLOYEE isemployed in any other company without the written consent of the COMPANY.该员工在本公司任职期间,未得到本公司的书面准许却受聘于其它公司。b.The EMPLOYEE has a conflict between personal interest and the interest of theCOMPANY in dealing with

27、 supplier, customers, and individuals of otherorganisations doing or seeking to do business with the COMPANY.该员工在与本公司的供货商、客户及其它机构的人员开展业务或收集业务信息期间发生其个人与本公司利益上的冲突。c.The EMPLOYEE has asked for or received any advantage or benefits either inmonetary or non monetary term of any kind form persons or organ

28、isationshaving business activities directly or indirectly with the COMPANY.该员工向与本公司有直接或间接业务往来的任何个人或机构索取或收受任何货币或非货币形式的财物或好处。d.The EMPLOYEE fails to perform his/her responsibilities under Articles 12 andArticle 13 of this CONTRACT.该员工违反本合同第12条和第13条的规定。e.The EMPLOYEE left from his/her work for more tha

29、n five (5 working dayswithout prior consent from the Chief Executive Officer except in the case offorce majeure which prevent the EMPLOYEE from informing the Chief ExecutiveOfficer.该员工事先未经首席执行官准许擅自离岗超过五个工作日,若因不可抗力导致该员工无法通知首席执行官除外。15.3The EMPLOYEE shall upon prior thirty (30 days written notice send

30、to the ChiefExecutive Officer of the COMPANY hand over his resignation for personal reasons.The EMPLOYEE shall pay to the COMPANY 500,000 RMB as the compensation.若由于其个人原因,该员工应提前三十天以书面形式向本公司首席执行官提出辞职。该员工将向公司支付50万(伍拾万元整 人民币作为补偿金。15.4The COMPANY shall pay to the EMPLOYEE any compensation pursuant to re

31、levantlaws and regulations of the Peoples Republic of China in case of termination of this CONTRACT unless otherwise provided by the laws or resulting from the 17.1The formation, validity, and performance of this CONTRACT and disputes thereonshall be governed by the laws of the Peoples Republic of C

32、hina.本合同的格式、有效期、履行、以及对本合同的争议应遵照中华人民共和国法律法规执行。 18.1Any disputes arising from the performance of or in connection with thisCONTRACT shall be settled through friendly consultations between the PARTIES.任何因履行本合同或由本合同相关事宜引发的争议,应由合同双方友好协商解决。18.2In case no settlement can be reached through consultations the PARTIES canapply for mediation to the labour dispute conciliation committee established by the COMPANY, if any.若无法协商解决,合同双方可根据需要向本公司组建的劳动争议管理委员会申请调解。18.3If mediation can not be reached the PARTIES may a
