13、 name of commodity, quantity, gross weight, invoiced value, flight number and the flight date.11. 品质保证GUARANTEE OF QUALITY:卖方应保证设备是用最好的材料制成的，采用最新的制造工艺，设备是全新未使用过的，并符合本合同及附件规定的各个方面，如质量、技术要求和性能。保修期自货物到达目的港，并经验收合格起12 个月内，但最迟不超过货物到达目的港之日起14个月。The Sellers guarantee that the commodity hereof is made of the

14、 best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract and conforms to the data sheets or technical manuals of the commodities contract.The guarantee period shall be 12 months counting from the d

15、ate on which the commodity arrives at the port of destination, and counting from the date on which the Acceptance Certificate has been signed by the representatives of both parties if the installation and inspection for acceptance of the commodities contracted are required, but no later than 14 mont

16、hs counting from the date on which the commodity arrives at the port of destination.12. 索赔 CLAIMS:在货物达到目的港后90 天内，如发现货物规格或数量与合同规定不相符(保险公司或运输公司造成的除外)， 买方可依据中国商检局的检验证明提出索赔：更换新货品，差额补偿，或维修，所有费用(如检验费、修理费、货物返航或货物替换费用、或修理费、保险、保存、装载/卸载费等)由卖方承担。关于质量问题，卖方应保证如在本合同第十二条规定的保质期内，发生由于质量不好、工艺差或材料不好引起的损坏，买方应立即书面通知卖方并依

17、据中国出入境检验检疫局的检验报告提出索赔。检验报告作为索赔证据。卖方应根据买方的索赔负责解决货物的缺损、完全或部分替换，或根据缺损情况将商品降价。如果必要，买方有权要求卖方承担费用自行解决问题。 如果卖方在接到买方的上述索赔要求后一个月内没有答复，将视为卖方接受此索赔要求。Within 90 days after the arrival of the goods at destination, should the specification, or quantity be found not in conformity with the stipulations of the Contrac

18、t except those claims for which the insurance company or the Carriers are liable, the Buyer shall, on the strength of the Inspection Certificate issued by Entry & Exit Inspection and Quarantine Bureau of China, have the right to claim for replacement with new goods, or for compensation or repair

19、 and all the expenses (such as inspection charges, repairing fee, freight for returning the goods and for sending the replacement, or the repaired goods, insurance premium, storage and loading and unloading charges etc.) shall be borne by the Sellers. As regards quality, the Sellers shall guarantee

20、that if, within the guarantee period stipulated in Clause 11 of this Contract, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Ins

21、pection Certificate issued by Entry & Exit Inspection and Quarantine Bureau of China.The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyer s claim shall be responsible for the immediate elimination of the defect(s), complete or partial repl

22、acement of the commodity or shall devaluate the commodity according to the state of defect(s). Where necessary, the Buyers shall be at liberty to eliminate the defect(s) themselves at the Sellers expense. If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim,

23、 the claim shall be reckoned as having been accepted by the Sellers.但卖在制造、装卸或运输过程中由于不可抗力因素导致延迟交货，卖方不承担责任。方必须在事发后14 天内将上述事故的记载及买方可接受的当地政府主管部门出示的有关偶然事故的证明通过航空快件发给买方，在这样的处境下，卖方仍需尽力采取必要的措施保证尽快的供货，如果事故持续超过10 周， 买方将有权撤消未发货的订单，或延迟交货时间。The Sellers shall not be held responsible for the delay in shipment or n

24、on-delivery of the goods due to Force Majeure, such as war, serious fire, flood, typhoon and earthquake, or other events agreed upon between both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of

25、the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers, ho

26、wever, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers at its option may delete the undelivered goods from its purchase order or appropriately extend the time of delivery .The Buyers shal

27、l not be held responsible for failure or delay to perform all or any part of this Contract due to Force Majeure.14. 延迟交货和罚款LATE DELIVERY AND PENALTY ：除本合同第十四条中不可抗力因素引起外，如果卖方未能按合同规定如期交货，若卖方同意赔款并从付款银行扣除罚款，买方应同意延迟交货。罚款不能超过延迟交货商品总价的5%。罚款率为每7 天 0.5% ，未超过7 天时按 7 天计。卖方若延迟交货超过合同规定日期10 周，买方有权解除合同，或要求限期交货并向买方

28、支付罚款。Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 14 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the pay

29、ing bank from the payment. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery te

30、n weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.15. 仲裁 ARBITRATION与本合同有关的或由执行本合同引起的矛盾应通过友好协商解决。如无法达成协议,应提交仲裁。仲裁在
