GUARANTEE OF QUALITY质保证The Sellers guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in sta ndard terms and

23、IQ), have the right to claim for replacement with new goods, or for compensation or repair and all expe nses (such as in spect ion charges, repairi ng fee, freight for retur ning the goods and for sending the replaceme nt, or the repaired goods, in sura nee premium, storage, load ing and uni oadi ng

24、 charges etc.) shall be borne bythe Sellers. As regards quality, the Sellers shall guara ntee that if, the in stallati on and in spect ion for accepta nee of the commodities con tractedare required, damages and/or defects occur in the course of operation by reasons of inferior quality, bad workmansh

25、ip or the use of inferior materials, the Buyers shall immediately notify theSellers in writ ing and put forward a claim supported by CIQ.The Certificate so issued shall be accepted as the base of a claim. If the Sellers fail to an swer the Buyers withinone mon th after receipt of the aforesaid claim

26、, the claim shall be reck oned as having been accepted by the Sellers.The Sellers, in accordance with the Buyers' claim, shall be resp on sible for the immediate elim in ati on of thedefect(s), complete or partial replaceme nt of the commodity or shall devaluate the commodity accord ing to the s

27、tate of defect(s). When agreed by the Sellers, the Buyers may elimi nate the defect(s) themselves at the Sellers' expe nses.如果在货物到达目的港的天内发现其质量、规格或数量不符合本合同之规定 ( 因保险公司或承运方应负责的 索赔除外 ) ，买方有权凭中国国家进出境检验检疫局出具的检验证书要求换货，或要求补偿，而且所有的费用卖方担保设备验（ 如检验费、退货的运费以及更换货物的运费、保险费、仓储费、装卸费等等） 应由卖方承担。关于质量问题， 收合格之日 （如需要在华安

28、装 ，调试，验收时）起 12个月在操作过程中发现因质量低劣、工艺不好或因采用了低劣的材料而货物发生损坏或故障时，买方将立即以书面形式通知卖方并凭中国出入境检验检疫机构出具的检验证书提出索赔。开具的检验证书应作为索赔的基础而予以接受。如果在收到上述索赔要求的一个月内 不予答复，则认 为卖方已经接受买方的索赔要求。卖方应按照买方的要求负责立即排除故障，全部或部分更换货 物。在卖方同意时 , 买方可自 行排除故障，费用由卖方承担。15. FORCE MAJEUR不可抗力The Sellers shall not be held responsible for the delay in shipmen

29、t or non-delivery of the goodsdue to Force Majeure, such as war, serious fire, flood, typhoon and earthquake, or other events agreed upon between both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediatel

30、y of the occurrence mentioned above and within 10 days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers, how

31、ever, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.卖方对不可抗力原因如战争、严重火灾，洪水、台风, 地震或双方同意的其他事件所造成的迟交和未交付不负有责任 . 卖方在发生上述事件时应立刻通知买方，并在10 天内空邮买方一份由相应

32、政府部门签署的事件发生证明。在上述情况下，卖方仍有责任采取所有措施来加快货物的交付。若上述事件持续超过 10 个星期，买方有权取消上 述合同。16. LATEDELIVERYANDPENALTY迟交罚款 Should the Seller fail to make delivery in time as stipulated in the Con tract, with the exception of Force Majeure causes specified in Clause 15 of this Contract, the Buyers shall agree to postpone

33、 the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The penalty, however, shall not exceed 5% of the total value of the Contract . The rate of penalty ischarged at 0.5% for every seven days, odd days less than seven days sho

34、uld be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall havethe right to cancel the Contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers witho

35、ut delay.若买方未能按合同要求按时交付，除非是因为本合同第15 款规定的不可抗力原因。在卖方同意支付罚款的条件下，买方将同意延迟交货。罚款由买方在支付的货款中扣除，此罚款应不超过合同总价的5%。罚款率为每七天10 周后仍未交货，则买方有权撤销合同。在此情况下，0.5%. 不足 7 天按 7 天计算。如果卖方在合同规定的交付期 卖方仍应将上述罚金付给买方，不得延迟。17. ARBITRATION仲栽All disputes in connection with this Contract or the execution thereof shall be settled friendly
