1、2010年 上海市房屋租赁合同-上海市商品房预租合同-商品房,公寓,别墅-房屋出租协议 中英双语 标准格式上海市房屋租赁合同(商品房预租) 商品房预租)Shanghai Municipal Premises Lease Contract上海市房屋土地资源管理局 上海市工商行政管理局 二年十一月印制制定特别告知一、本合同适用于本市行政区域范围内的商品房预租以及按市场化原则协商确定租赁的房屋租赁,不包括 按市政府规定的租金标准出租的公有居住房屋、行政调配方式出租和政府投资建造的公益性的非居住 房屋以及在 条例 施行前按照市政府规定的租金标准出租的私有居住房屋的租赁。 二、预租仅限于房地产开发企业投
2、资建造,并已取得预售许可证的商品房,但房地产开发企业已经预售的 商品房不得预租;商品房预购人也不得将预购房商品房预租。 三、本合同条款中的【出租】或【预租】为提示性符号,表示该条款适用于出租行为或预租行为。本合同 作为房屋租赁合同使用时,只能采用标有【出租】部分的内容;而作为商品房预租合同使用时,则只 能采用【预租】部分的条款和补充条款中的“ 预租有关事宜”部分的条款。其他未标有【 】符号的 条款作为通用性条款,不论预租或出租都适用。 四、本合同用于商品房预租的,在该商品房竣工,房地产开发企业办理了房地产初始登记、取得了房地产 权证后,预租双方当事人应当签订商品房使用交接书。该合同即转为房屋租
3、赁合同,合同内的原预租 条款履行完毕。 五、本合同文本系市房地资源局和上海市工商管理局根据 上海市房屋租赁条例 制定的范本(试行) 。 其合同条款均为提示性条款,供租赁双方当事人约定采用。本合同中的未尽事宜可由甲、乙双方协商 一致后,订立补充条款予以明确。 六、本合同签订前,出租人应向承租人出具房地产权证或其他权属证明,房地产开发企业向预租人出具预 售许可证。并相互交验有关身份证明。其中将房屋出租给外来流动人员的,出租人还应出示公安部门 发放的 房屋租赁治安许可证 。 七、本合同签订后的 15 日内当事人应按规定办理合同登记备案。其中,属房屋租赁的,应向房屋所在地的 房地产交易中心或农场系统受
4、理处办理,领取租赁合同登记备案证明;属于商品房预租的,外销商品 房应向市房地产交易中心办理登记备案;内销商品房向房屋所在地的房地产交易中心办理登记备案。 预租商品房竣工取得房地产权证,由双方当事人订立预租商品房使用交接书后,再按规定向房屋所在 地的房地产交易中心或农场系统受理处办理登记备案,领取租赁合同登记备案证明。租赁合同经登记 备案后,当发生重复预租、出租、租赁期间房屋转让或设定抵押后被处分等事实时,可以对抗第三人。 八、凡当事人一方要求登记备案,而另一方不予配合的,要求登记备案的一方可持本合同、有效身份证明 等有关文件办理登记备案。 九、房屋租赁保证金是一种履约保证的措施。房屋出租时,出
5、租人可以与承租人在合同中约定收取房屋租 赁保证金。租赁保证金的数额由租赁双方当事人约定。租赁关系终止时,房屋租赁保证金除用以抵充 合同约定由承租人承担的费用外,剩余部分应当归还承租人。 十、本合同文本可向市或房屋所在地区、县房地产交易中心或农场系统受理处购取。双方当事人使用本合 同前仔细阅读,认真了解各条款内容。 十一、 本合同为示范文本,供当事人参照使用。 同的最后一页签字、盖章。 十二、 本合同的租赁关系由经纪人机构代理或居间的则租赁当事人应当要求经纪人机构和经纪人在本合房屋租赁上海市商品房预租本合同双方当事人: 出租方(甲方) : 【出租】 承租方(乙方) :Parties to thi
6、s contract: Lesser (Party A):合同Lessee (Party B):根据 中华人民共和国合同法 上海市房屋租赁条例 、 (以下简称: 条例 )的规定,甲、乙双方 在平等自愿公平和诚实信用的基础上,经协商一致,就乙方承租甲方可依法 出租 (出租/预租)的 房 屋 (房屋/商品房)事宜,订立本合同。 Having reached unanimity through consultations, Party A and Party B, on the basis of voluntary, equality and mutual benefit, have entered
7、 into this Contract in respect of Party A letting the premises which it lawfully owns to Party B, and Party B leasing the premises from Party A in accordance with the relevant laws and regulation of the State and relevant regulations of this Municipality.一、出租或预租房屋情况Location, Area, Renovation, Facili
8、ties of the Premises1-1甲方 出租 (出租/预租)给乙方的房屋座落在本市 浦东新 (区/县) 路 / (弄/新 村) (号/幢) 室(部位) / (以下简称该房屋) 。该房屋【出租】实测 ( 【出 租】实测/【预租】预测) 建筑面积为 平方米,土地用途为 住宅 ,房屋类型为 、 结构为 钢混 。甲方向乙方出示: 【出租】房地产权证/房屋所有权证/ 房地产权证 ; 证书编号: 沪 Party A lets to Party B its lawfully owned premises located in this Municipality at .(hereinafter

Party A already informed Party B the Premise was unmortgaged before signing the contract. 1-3 该房屋的公用或合用部位的使用范围、条件和要求;现有装修、附属设施的内容标准及需约定的有 关事宜,由
11、甲、乙双方分别在本合同附件(一)(二)中加以列明。甲、乙双方同意该附件作为甲 、 方向乙方交付该房屋和本合同终止时乙方向甲方返还该房屋的验收依据。 The state of the existing furbishing and facilities of the premises shall be set forth by the parties in Appendix 1 & 2 to the Contract. Unless the parties agree otherwise, such Appendix shall form the basis of the acceptance
12、inspection, taking place when Party A hands over the premises to Party B in accordance with the stipulations of this Contract and when Party B, upon the expiration of the lease term of this Contract, returns said premises.二、租赁用途Use of the Lease2-1乙方向甲方承诺,租赁该房屋作为 住宅 使用,并遵守国家和本市有关房屋使用和物业管理的规定。 Party B
13、 undertakes in respect of Party A that the lease of said premises shall only be used for residence purpose. Party B shall observe the rules and regulations of the State and Municipality in use and management of the premises.2-2 乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门审批而未核准前, 不擅自改变上述约定的使用用途。 Party B shall not
14、 arbitrarily change the use of said premises within the term of the lease, unless received Party As prior written consent and obtained the approval of the relevant authorities in accordance with regulations.三、交付日期和租赁期限Term of the Lease3-1甲乙双方约定,甲方于 年 月 日前向乙方交付该房屋。 【出租】房屋租赁期自 200 年 月 日起至 200 年 月 日止。
15、即自 200 年 月 日起, 乙方有权利提前 1 个月书面通知甲方终止本合同,即合同终止不得早于 200 年 月 日,通知不足 1 个月的,乙 方应补足不足期限的租金作为补偿。 上述行为将不被视作违约,甲方将按合同向乙方退还无息租赁保证金。 Party A and Party B agree that Party A shall have the Premises over to Party B before . 17、ty B without interest.3-2租赁期满, 甲方有权收回该房屋, 乙方应如期返还。 乙方需继续承租该房屋的, 则应于租赁届满前 一 个月,向甲方提出续租书面要求,经甲方同意后重新签订租赁合同。 Party A shall have the right to recover all leased premises upon the expiry of the lease term, and Party Bshall return the premises on time. If Party B desires to renew the lease, the written in

22、mises is as follows: 收款单位: 银行账号:开户银行:4-24-34-44-5五、保证金和其他费用Security Deposit & Other Fees5-1甲乙双方约定,乙方应于 200 年 月 日前向甲方支付房屋租赁保证金,保证 金为 个月的租金,即(人民币) 元。 甲方收取保证金后向乙方开具收款凭证。 租赁关系终止时,甲方收取的房屋租赁保证金除用以抵充合同约定由乙方承担的费用外,剩余部分 无息归还乙方。Both Parties agree that Party B shall pay to Party A a security deposit of ¥ (in w

24、t. 5-2 租赁期间,使用该房屋所发生的水、电、通讯设备安装等费用由 甲方 ( 甲方/乙方 )承担。其 他有关费用,均由 乙方 ( 甲方/乙方 )承担。 During the lease term, any fees for water, electricity, telephone and internet installation, by Party B in the Premises shall be borne by Party A (Party A/Party B). Any other fees shall be borne by Party B (Party A/Party B
25、).六、房屋使用要求和维修责任Responsibilities to Repair the Premises6-1租赁期间,乙方发现该房屋及其附属设施有损坏或故障时,应及时通知甲方修复;甲方应在接到乙 方通知后的 3 日内进行维修。逾期不维修的,乙方可代为维修,费用由甲方承担。 During the lease term, in the event of any defect or malfunction of the Premises or its auxiliary facilities, Party B shall inform Party A in time to repair. Pa
26、rty A shall render repair work within three days upon receipt of Party Bs notice. If Party A fails to repair after the above deadline, Party B can perform repairing work on its own and Party A shall be responsible for related charges and/or fees therefore. 租赁期间,乙方应合理使用并爱护该房屋及其附属设施。因乙方使用不当或不合理使用,致使该房
27、 屋及其副属设施损坏或发生故障的,乙方应负责维修。乙方拒不维修,甲方可代为维修,费用由乙 方承担。 Party B shall take good care of and reasonably use the leased premises and accessory facilities. Party B shall be responsible for prompt repairing or compensating any damage it caused to the premises or facilities resulting from improper use thereof.
28、 Failing such, Party B shall bear all related charges of the repairing work conducted by Party A on behalf of Party B. 租赁期间,甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。甲方对该房屋进行检查、 养护,应提前 3 日通知乙方。检查养护时,乙方应予以配合。甲方应减少对乙方使用该房屋 的影响。 Party A shall guarantee normal/usable condition and safety for the use of the let premis
29、es and accessory facilities during the term of the lease. Party A shall notify Party B three days before repair and maintenance work of the Premises. Party B shall offer cooperation during repair and maintenance work. Party A shall minimize negative affect on the use of the Premises by Party B. 除本合同
30、附件(二)外,乙方另需装修或者增设副属设施和设备的,应事先征得甲方的书面同意, 按规定须向有关部门批准审批的,则还应由 甲方 ( 甲方/ 甲方委托乙方 )报请有关部门批 准后,方可进行。乙方增设的附属设施和设备及其维修责任由甲、乙双方另行书面约定。 Except Attachment 2 of this Contract, Party B shall obtain a prior written consent of Party A if Party B plans to need renovation/fit-out or install additional facilities. If
31、according to regulations, application procedures should be carried out with the relevant departments (including the property management of said6-26-36-4premises), the relevant procedures must have been properly carried out by Party A (Party A/Party B) before proceeding. The ownership and maintenance
32、 responsibility of the additionally installed or altered facilities shall be further determined and agreed in writing by Party A and Party B。七、房屋返还时的状态Property State of Repossession by Party A7-1除甲方同意乙方续租外,乙方应在本合同的租期届满后的 当 日内应返还该房屋,未经甲方同意 元/天 ( 人民币 )甲方支付该房屋占用使用 逾期返还房屋的,每逾期一日,乙方应按 费。 Except for lease

34、ises to Party A on a tenantable condition after Party As inspection and acceptance and settlement of payments by both Parties respectively.7-2八、转租、 转租、转让和交换Terms for Subleasing, Transferring & Exchanging8-1除甲方已在本合同补充条款中同意乙方转租外,乙方在租赁期内,需事先征得甲方的书面同意,方 可将该房屋部分或全部转租给他人。但同一间居住房屋,不得分割转租。 Party B must obta
35、in Party As prior written consent before it may sublet part or all of its leased premises to another party within the term of the lease, unless Party A and Party B have agreed otherwise in the Supplemental Agreement hereof. However, Party B shall not sublet the same room in part or as a booth for re
36、sidential purposes to 2 lessees or more than 2 lessees at the same time. 乙方转租该房屋,应按规定与接受转租方订立书面的转租合同。并按规定向该房屋所 在区、县房地产交易中心办理登记备案。 The sublease contract entered into under which Party B sublets said premises may only come into effect subject to the registration for the record carried out in accordanc
37、e with the relevant regulation at related real estate exchange center with the jurisdiction over the area the subleased Premises located. 在租赁期内,乙方将该房屋转让给他人承租或与他人承租的房屋进行交换,必须事先 征得甲方书面同意。转让或交换后,该房屋承租权的受让人或交换人应于甲方签订租赁主体变更合 同并继续履行本合同。 During the lease term, Party B shall obtain a prior written consent i
38、n the event Party B plans to assign or exchange the Premises with other Party. After such assignment and exchanging for the leasing right of the Premises, the assignee or exchanger shall enter into a contract for the variation of leasing subject and continue to fulfill this Contract. 在租赁期内,甲方如需出售该房屋
39、,应提前三个月通知乙方。乙方在同等条件下有优先购买权。 During the lease term, Party A shall notify Party B 3 months in advance of selling of the Premises. Party B8-28-38-4shall have the refusal under the same terms and conditions for the sales of the Premises.九、解除本合同的条件Conditions for Rescinding this Contract9-1甲乙双方同意在租赁期内,有下列
40、情况之一的,本合同终止,双方互不承担责任: (1) 该房屋占用范围内的土地使用权依法提前收回的; (2) 该房屋因社会公共利益被依法征用的; (3) 该房屋毁损、灭或者被鉴定为危险房屋的; (4) 该房屋因城市建设需要被依法列入房屋拆迁许可范围的; (5) 甲方已告知乙方该房屋出租前已设定抵押,现被处分的。 (6) 其他非甲方所能及的情况 。 Party A and Party B agree that this Contract shall be rescinded during the term of the lease under any of the following circums
41、tances. Both Parties shall not be held liable for each other any more. (1) The right to the use of land whereon the Property is erected is statutorily resumed by the government authority. (2) The Property is statutorily resumed for public interest. (3) The Property has been included for clearance fo
42、r constructing municipal infrastructure. (4) The Property has been damaged, destroyed or classified as dangerous building. (5) The Property which has been set on mortgage by Party A with notification of such to Party B before occupancy is now being disposed of at the discretion of the mortgage. (6)
43、Any other circumstances that are out of Party As control. 甲乙双方同意,有下列情形之一的,一方可书面通知另一方解除本合同。违反合同的一方,应向另一 方按月租金的 双 倍支付违约金;给对方造成损失的,支付的违约金不足抵付一方损失的,还应 赔偿造成的的损失与违约金的差额部分: (1)甲方未按时交付该房屋,经乙方催告后 5 日内仍未交付的; (2) 甲方交付的该房屋不符合本合同的约定, 致使不能实现租赁目的的; 或甲方交付的房屋存在缺陷, 危及乙方安全的。 (3)乙方未征得甲方书面同意改变房屋用途,致使房屋损坏的; (4)因乙方原因造成房屋主
44、体结构损坏的; (5) 乙方擅自转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋的; (6) 乙方逾期不支付租金累计超过 一个 月的; Both Parties agree that under any of the following circumstances, either Party can notify the other Party to terminate the Contract. The default Party shall pay to the other Party _ two _ times of the monthly rent as penalty. If
45、such penalty amount is not enough to cover damage and loss suffered by the other Party, the default Party shall be responsible for the difference. (1) Party A fails to deliver the Premises on time and even within five days after receipt of Party Bs notice pressing for the delivery of the Premises. (
46、2) The conditions of the premises delivered to Party B fails to be in accordance with the terms of the Contract for occupancy or any defect of the Premise to potentially endanger Party B safety. (3) The Premises is damaged due to Party Bs alteration of the Premises without Party As written consent.
47、(4) The main structure of the Premises is damage due to Party Bs causes. (5) Party B subleases, assigns or exchanges the Premises with other Party without related approval. month. (6) Party B fails to make rental payment for over one9-2十、违约责任Liabilities for Breach of Contract10-1该房屋交付时存在缺陷的,甲方应自交付之日
48、起的 5 日内进行修复,逾期不修复的,甲方 同意减少租金并变更有关租金条款。 Party A shall repair any defected part of the Premises within five days after delivery in the event of any defects noticed when delivery of the Premises. Failing such, Party A shall agree to deduct rent and amend related terms for rental payment. 因甲方未在本合同中告知乙方,
49、该房屋出租前已抵押或产权转移已受到限制,造成乙方损失的,甲 方应负责赔偿。 Party A shall be responsible for any major damage suffered by Party B due to Party As failure to inform in the Contract to Party B of mortgage or restricted ownership title transfer of the Premises before the leasing of the Premises. 租赁期间,甲方不及时履行本合同约定的维修、养护责任,致使
50、房屋损坏,造成乙方财产损失或人 身伤害的,甲方应承担赔偿责任。 During the lease term, Party A shall be responsible for physical and/or monetary damage suffered by Party B due to Party As failure to render repairing and maintaining work of the Premises in time to cause defect of the Premises 租赁期间,非本合同规定的情况甲方擅自解除本合同,提前收回该房屋的,甲方应按 月
51、租金的双 倍向乙方支付违约金。若支付的违约金不足抵付乙方损失的,甲方还应负责赔偿。 During the lease term, in the event Party A early terminates the Contract unnaturally under other circumstances than stated in the Contract, Party A shall pay to Party B _two times of the monthly rent. If such penalty amount is not enough to cover damage and
52、 loss suffered by Party B, Party A shall be responsible for the difference. 乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋或者超出甲方书面同意的范 围和要求装修房屋或者增设附属设施的,甲方可以要求乙方 _ 赔偿损失 ( 恢复房屋原状/ 赔偿损失 ) 。 Party A shall have the right to request Party B to compensate damage (restore the Premises to its original state / compensate d
53、amage) in the event Party B has installed additional facilities or altered the facilities without Party As consent or exceeding the requirements or limits previously agreed upon by Party A in writing. 租赁期间,非本合同规定的情况,乙方中途擅自退租的,乙方应按月租金的 双 倍 向甲方支付违约金。若违约金不足抵付甲方损失的,乙方还应负责赔偿。甲方可从租赁保证金中抵 扣。保证金不足抵扣的,不足部分则由
54、乙方另行交付。 During the lease term, in the event Party B early terminates the Contract unnaturally under other circumstances than stated in the Contract, Party B shall pay to Party A _two_ times of the monthly rental as penalty. If such penalty amount is not enough to cover damage and loss suffered by Pa
55、rty A, Party B shall be responsible for the difference. Party A may deduct such penalty amount from the security deposit. And Party A shall undertake that any intent to purchase the Premises by Party B shall be consulted thirty days prior to the Parties disposal of the Premises in the form of depreciation or sal
58、es after the mortgage of the premises. 本合同自双方签字/签署后 当日 生效。生效后的 15 日内,由甲方负责按规定向房屋所在地区、 县房地产交易中心户或农场系统受理处办理登记备案,领取房屋租赁登记备案证明;本合同经登记 备案后,凡变更、终止本合同的,由 甲方 ( 甲方/乙方 )负责在本合同变更终止之日起的 15 日内,向原登记机构办理变更、终止登记备案手续。因甲方未办理房屋租赁登记备案或变更、终 止登记备案的,所引起的法律纠纷,由甲方承担一切责任。 The Contract shall take effect the same day signing by Party A and Party B.
