2025跨国商务英语合同ContractNo.:Date:PlaceofSigning:ThisContract(hereinafterreferredtoasthe"Contract")isenteredintoonthisdayof,2025,byandbetween:PartyA(Supplier):Name:Address:ContactPerson:Telephone:Email:PartyB(Purchaser):Name:Address:ContactPerson:Telephone:Email:Recitals:WHEREAS,PartyAisadulyincorporatedandvalidlyexistingcompany/organizationwiththecapacitytosupplythegoodsandservicesasspecifiedbelow;andWHEREAS,PartyBisadulyincorporatedandvalidlyexistingcompany/organizationwiththecapacitytopurchasethegoodsandservicesasspecifiedbelow;NOW,THEREFORE,thePartiesagreeasfollows:1.ScopeofCooperation1.1GeneralDescription:PartyAagreestosupplytoPartyB,andPartyBagreestopurchasefromPartyA,thegoodsand/orservicesdescribedinthisContract(hereinafterreferredtoasthe"Goods").1.2SpecificGoods:TheGoodsshallconsistofthefollowing:ProductName:Specifications:Quantity:QualityStandards:1.3Services:InadditiontotheGoods,PartyAshallprovidethefollowingservices(ifapplicable):Installation:Maintenance:TechnicalSupport:1.4Delivery:TheGoodsshallbedeliveredtothefollowingaddress:Address:andthedeliveryshallbecompletedby(date).2.TermandTermination2.1EffectiveDate:ThisContractshallbecomeeffectiveonthedatefirstabovewritten.2.2Term:UnlessotherwiseterminatedinaccordancewiththisContract,thetermofthisContractshallbefrom(startdate)to(enddate).2.3TerminationforCause:EitherPartymayterminatethisContractuponwrittennoticeiftheotherPartyisinmaterialbreachofthisContractandfailstocuresuchbreachwithin(number)daysafterreceiptofnoticethereof.3.PaymentandSettlement3.1TotalAmount:ThetotalamountfortheGoodsandservicesprovidedhereunderis(currencyandamount).3.2PaymentTerms:PartyBshallpaythefollowingamountstoPartyA:Deposit:(currencyandamount),dueuponsigningofthisContract;ProgressPayment:(currencyandamount),dueuponcompletionof(specificmilestone);FinalPayment:(currencyandamount),dueupondeliveryandacceptanceoftheGoods.3.3LatePayment:IfPartyBfailstomakeanypaymentwhendue,PartyAmaychargelatefeesattherateof(percentage)permonthontheoutstandingamount.4.Confidentiality4.1ConfidentialInformation:BothPartiesagreetomaintaintheconfidentialityofallnon-public,confidential,orproprietaryinformationdisclosedbyonePartytotheotherPartyduringthetermofthisContract(hereinafterreferredtoas"ConfidentialInformation").4.2UseofConfidentialInformation:ThereceivingPartyshallusetheConfidentialInformationsolelyforthepurposeofperformingthisContractandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.4.3Except:「exception」TheobligationsunderthisSection4shallnotapplytoinformationthatis:PubliclyavailablethroughnofaultofthereceivingParty;Requiredtobedisclosedbylaw,providedthatthereceivingPartypromptlynotifiesthedisclosingPartyofsuchrequirement.5.IntellectualProperty5.1Ownership:Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,intheGoodsandanyrelatedmaterialsshallremainthesolepropertyofPartyA.5.2Licence:SubjecttothetermsofthisContract,PartyBisgrantedanon-exclusive,non-transferablelicencetousetheGoodsforthepurposeofthisContract.6.ForceMajeure6.1Definition:NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayisduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,governmentalactions,naturaldisasters,orepidemics(hereinafterreferredtoas"ForceMajeure").6.2Notice:TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaForceMajeureeventandshallprovidereasonableevidencethereof.6.3Relief:IfaForceMajeureeventcontinuesformorethan(number)days,eitherPartymayterminatethisContractuponwrittennotice.7.GoverningLawandDisputeResolution7.1GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(jurisdiction).7.2DisputeResolution:AnydisputesarisingoutoforinconnectionwiththisContractshallbesettledthrough友好协商.Ifthedisputescannotberesolvedthrough友好协商within(number)days,theyshallbe提交toarbitrationinaccordancewiththerulesofthe(ArbitrationInstitution).Theplaceofarbitrationshallbe.ThearbitrationawardshallbefinalandbindingonbothParties.7.3WaiverofImmunity:EachPartyherebywaivesanyimmunitytojurisdictionorexecutiontowhichitmaybeentitled.8.Miscellaneous8.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten,relatingtosuchsubjectmatter.8.2Amendments:AnyamendmentormodificationtothisContractshallbeeffectiveonlyifmadeinwritingandsignedbybothParties.8.3Notices:Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyfaxoremail,totheaddressessetforthabove.8.4Severability:
