2025电子产品销售合同英文范本2025ElectronicsProductSalesContractThisElectronicsProductSalesContract("Contract")isenteredintoasof(the"EffectiveDate")byandbetween("Seller")and("Buyer").TheSellerandBuyermaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties."1.ProductsandDelivery1.1TheSelleragreestosellandtheBuyeragreestopurchasethefollowingelectronicsproducts(the"Products")asdetailedinScheduleAattachedhereto,whichformsanintegralpartofthisContract.1.2TheProductsshallbedeliveredtotheaddressspecifiedbytheBuyer,namely.ThedeliverydateshallbeasspecifiedinScheduleAorasmutuallyagreeduponinwritingbytheParties.1.3TheBuyershallberesponsibleforensuringthatthedeliveryaddressiscorrectandaccessible.AnyadditionalcostsincurredduetoincorrectorunverifieddeliveryaddressesshallbebornebytheBuyer.2.PriceandPaymentTerms2.1ThepricefortheProducts(the"Price")shallbeasspecifiedinScheduleA.ThePriceisexclusiveofanyapplicabletaxes,duties,orlevies,whichshallbebornebytheBuyer.2.2PaymentshallbemadeinaccordancewiththetermsoutlinedinScheduleB,attachedhereto.TheBuyershallensurethatallpaymentsaremadeinfullandontimeasspecified.2.3TheSellerreservestherighttoadjustthePricesduetofluctuationsinmarketconditions,currencyfluctuations,orchangesinmanufacturingcosts,providedthatsuchchangesarecommunicatedtotheBuyerinwritingatleastdayspriortotheeffectivedateofsuchchanges.3.ProductsandSpecifications3.1TheProductssoldunderthisContractshallconformtothespecificationsoutlinedinScheduleA,includingbutnotlimitedtothemodelnumbers,features,andfunctionalitiesdescribedtherein.3.2TheSellerwarrantsthattheProductsarefreefromdefectsinmaterialsandworkmanshipforaperiodofmonthsfromthedateofdelivery(the"WarrantyPeriod").Duringthisperiod,theSellershall,atitssolediscretion,repairorreplaceanydefectiveProductatnoadditionalcosttotheBuyer.3.3TheBuyershallinspecttheProductsupondeliveryandnotifytheSellerofanydefectsordiscrepancieswithindaysofreceipt.FailuretodososhallwaivetheBuyer'srighttoclaimdefectsunderthisContract.4.DeliveryandRiskofLoss4.1Riskofloss,damage,ordestructionoftheProductsshallpasstotheBuyerupondeliverytothespecifieddeliveryaddress.TheSellershallnotbeliableforanylossesordamagesthatoccurafterthedeliverydate,exceptasprovidedinthisContract.4.2TheSellershallnotbeliableforanydelaysindeliverycausedbyforcemajeure,actsofGod,war,strikes,orothereventsbeyondtheSeller'sreasonablecontrol.TheBuyershallbeinformedofanyanticipateddelayspromptlyinwriting.4.3IftheBuyerfailstotakedeliveryoftheProductswithindaysofthescheduleddeliverydate,theSellermay,atitssolediscretion,chargestoragefeesorcanceltheContractwithoutliability.5.IntellectualProperty5.1TheBuyeracknowledgesthatallintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,anddesigns,relatedtotheProductsremainwiththeSeller.TheBuyershallnotuse,copy,ordistributeanysuchintellectualpropertywithoutthepriorwrittenconsentoftheSeller.5.2TheBuyershallimmediatelyinformtheSellerofanyinfringementoftheSeller'sintellectualpropertyrightsandshallcooperatewiththeSellerintakinglegalactionagainstsuchinfringements.6.Confidentiality6.1TheBuyeragreestokeepallinformationrelatedtotheProducts,includingbutnotlimitedtopricing,specifications,andtermsandconditions,strictlyconfidential.TheBuyershallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheSeller.6.2ThisobligationofconfidentialityshallsurvivetheterminationofthisContractforaperiodofyears.7.TerminationandCancellation7.1EitherPartymayterminatethisContractwithimmediateeffectiftheotherPartybreachesanyofitsobligationsunderthisContractandfailstoremedysuchbreachwithindaysofbeingnotifiedinwriting.7.2TheBuyermaycanceltheorderfortheProductsbyprovidingwrittennoticetotheSelleratleastdayspriortothescheduleddeliverydate.TheSellershallissueafullrefundorcredit,asapplicable,totheBuyerwithindaysofreceivingsuchnotice.7.3Uponterminationorcancellation,allrightsandobligationsofthePartiesunderthisContractshallcease,exceptforthoseobligationsthatexpresslysurviveterminationorcancellation.8.ForceMajeure8.1IfeitherPartyispreventedfromfulfillingitsobligationsunderthisContractduetoaforcemajeureevent,includingbutnotlimitedtonaturaldisasters,war,strikes,orgovernmentalactions,theaffectedPartyshallpromptlynotifytheotherPartyinwritingandmakeallreasonableeffortstomitigatetheeffectsoftheevent.8.2NoPartyshallbeliableforanyfailureordelayinperformanceduetoaforcemajeureevent.TheContractmaybesuspendedforthedurationoftheevent,andthePartiesshallnegotiateingoodfaithtofindamutuallyacceptablesolution.9.DisputeResolution9.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.IfthePartiesfailtoresolvethedisputewithindays,eitherPartymayreferthemattertoforarbitrationinaccordancewiththerulesof.9.2Thearbitrationshallbeconductedin,andtheawardshallbefinalandbindingonbothParties.10.GoverningLaw10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.AnylegalactionarisingoutoforinconnectionwiththisContractshallbebroughtinthecourtsof,andthePartiessubmittothejurisdictionofsuchcourts.11.Miscellaneous11.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,ornegotiationsbetweenthem.11.2NoamendmentormodificationofthisContractshallbevalidunlessmadeinwritingandsignedbybothParties.11.3ThefailureofeitherPartytoenforceanyprovisionofthi
