2.TransferFee

3.OwnershipandControl

UponthepaymentoftheTransferFeeandthecompletionofthetransferprocedures,PartyBshallbecomethelawfulownerofthePatent,andshallhavefullcontroloverthePatent,includingtherighttouse,license,assign,andexploitthePatent.

4.Confidentiality

BothpartiesagreetokeepthetermsandcontentsofthisAgreementstrictlyconfidentialandnottodiscloseanyinformationrelatedtothisAgreementtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

5.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[GoverningLaw].AnydisputesarisingfromorinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputesshallbesubmittedtothe[DisputeResolutionInstitution]forarbitration.

6.EntireAgreement

4.RightsandObligationsofPartyA

(a)EnsurethatthePatentistransferredtoPartyBinatimelyandeffectivemanner;

(b)ProvideallnecessarydocumentationandinformationtoPartyBandPartyCforthetransferprocess;

(c)NotenterintoanyagreementsorarrangementsthatmayadverselyaffecttheinterestsofPartyBorPartyCwithoutthepriorwrittenconsentofPartyBandPartyC.

5.RightsandObligationsofPartyB

PartyBshall:

(a)PaytheTransferFeetoPartyAwithintheagreedtimeframe;

(b)EnsurethatthePatentisusedinamannerthatcomplieswiththetermsandconditionsofthisAgreement;

(c)NotassignortransferthePatenttoanythirdpartywithoutthepriorwrittenconsentofPartyA.

6.LimitationsandRestrictionsonPartyB

PartyBagreesthat:

(a)ThePatentshallnotbeusedinanymannerthatmaycauseharmtothepublicorinfringeontherightsofthirdparties;

(b)PartyBshallnotdiscloseanyconfidentialinformationrelatedtothePatenttoanythirdpartywithoutthepriorwrittenconsentofPartyAandPartyC;

(c)PartyBshallnotengageinanyactivitiesthatmayresultinthelossordamageofthePatent.

7.DefaultandConsequences

IntheeventofabreachofthisAgreementbyPartyB,PartyAshallhavetherighttoterminatethisAgreementandseekappropriateremedies,including,butnotlimitedto,monetarydamagesandinjunctiverelief.

8.GoverningLawandDisputeResolution

SUMMARYOFTHIRDPARTYINVOLVEMENTAND目的ANDMEANING:

TheinvolvementofPartyCinthisAgreementservestofacilitatethetransferofthePatentandtoprovideprofessionaladviceandguidancetobothPartyAandPartyB.TheprimarypurposeofPartyCistoensurethatthetransferprocessisconductedinaccordancewiththelawsandregulationsoftherelevantjurisdiction,therebyprotectingtheinterestsofPartyA.Byactingasafacilitator,PartyChelpstomitigatetherisksassociatedwiththetransferprocessandensuresthattheinterestsofPartyAareprioritizedthroughoutthetransaction.

(c)Notmodify,reproduce,orcreatederivativeworksoftheTechnologywithoutthepriorwrittenconsentofPartyA.

5.RightsofPartyB

PartyBshallhavethefollowingrights:

(a)ToreceivetechnicalsupportandguidancefromPartyC;

(b)ToseekadditionallicensesfromPartyAfortheTechnology,ifnecessary;

(c)TousetheTechnologytoenhanceitsproductsorservices.

6.LimitationsandRestrictionsonPartyA

PartyAagreesthat:

(a)TheTechnologyshallnotbeusedinanymannerthatmaycauseharmtothepublicorinfringeontherightsofthirdparties;

(b)PartyAshallnotimposeanyunreasonablerestrictionsontheuseoftheTechnologybyPartyB;

(c)PartyAshallnotengageinanyactivitiesthatmayresultinthelossordamageoftheTechnology.

7.DefaultandConsequences

IntheeventofabreachofthisAgreementbyPartyA,PartyBshallhavetherighttoterminatethisAgreementandseekappropriateremedies,including,butnotlimitedto,monetarydamagesandinjunctiverelief.

8.GoverningLawandDisputeResolution
