2025【英文合同】英文版采购合同PurchaseContract2025ContractNo.:ThisPurchaseContract(hereinafterreferredtoasthe"Agreement")isenteredintoonthisdayof(the"EffectiveDate")byandbetween:PartyA(Buyer):Name:Address:ContactPerson:Email:Phone:PartyB(Seller):Name:Address:ContactPerson:Email:Phone:WHEREAS,PartyBiswillingtosellcertaingoods(the"Goods")toPartyA,andPartyAiswillingtopurchasesuchGoodsfromPartyBunderthetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:1.DescriptionofGoodsTheGoodstobesuppliedbyPartyBandpurchasedbyPartyAaredescribedinExhibitAattachedhereto.Thedescriptionincludes,butisnotlimitedto,thespecifications,quantity,andqualityoftheGoods.PartyBwarrantsthattheGoodswillconformtothespecificationsandstandardsassetforthinExhibitA.2.PurchasePrice2.1ThetotalpurchasepricefortheGoods(the"Price")is(inwords:).2.2UnlessotherwisestatedinthisAgreement,thePriceisexclusiveofanytaxes,duties,orotherchargesimposedbyanygovernmentalauthority(the"Taxes"),whichshallbetheresponsibilityofPartyA.2.3PartyBagreestoprovidePartyAwithavalidinvoiceforthePrice,whichmustincludeadetailedbreakdownofthecostoftheGoods.3.PaymentTerms3.1PaymentfortheGoodsshallbemadeasfollows:(a)percent(%)ofthePrice(the"Deposit")shallbepaidbyPartyAtoPartyBwithindaysoftheEffectiveDate.(b)Theremainingpercent(%)ofthePrice(the"Balance")shallbepaidbyPartyAtoPartyBwithindaysaftertheGoodshavebeendeliveredandacceptedbyPartyAinaccordancewiththetermsofthisAgreement.3.2PartyAshallmakeallpaymentsbybanktransfertotheaccountspecifiedbyPartyB.Anydelayinpaymentshallresultinlatepaymentchargesatarateof%permonth,compoundeddaily.4.DeliveryofGoods4.1PartyBshalldelivertheGoodstothefollowingaddress:Name:Address:ContactPerson:Email:Phone:4.2TheGoodsshallbedeliverednolaterthan(the"DeliveryDate").4.3PartyBshallnotifyPartyAinwritingatleastdayspriortothescheduleddeliverydate.PartyAshallmakeallnecessaryarrangementstoaccepttheGoodsupondelivery.4.4PartyBshallberesponsibleforallcostsandrisksoflossordamagetotheGoodsuntiltheGoodsaredeliveredtoPartyA'sdesignatedlocation.5.AcceptanceofGoods5.1Upondelivery,PartyAshallinspecttheGoodstoensurethattheyconformtothespecificationssetforthinExhibitA.5.2PartyAshallnotifyPartyBinwritingwithindaysofdeliveryiftheGoodsdonotmeettherequiredspecificationsorifanydamageisfoundduringinspection.5.3IfPartyArejectstheGoods,PartyBshall,atitsownexpense,promptlyreplaceorrepairtheGoodsorissueafullrefund.6.QualityAssuranceandWarranties6.1PartyBwarrantedthattheGoodsarefreefromdefectsinmaterialandworkmanshipandconformtoallapplicablelawsandregulations.6.2PartyBshallprovideawarrantyperiodofmonthsfromthedateofdeliveryforanydefectsintheGoods.Duringthewarrantyperiod,PartyBshallpromptlyrepairorreplaceanydefectiveGoodsatnoadditionalcosttoPartyA.6.3ThewarrantiesprovidedinthissectionareinadditiontoanystatutoryrightsthatPartyAmayhaveunderapplicablelaw.7.Confidentiality7.1Bothpartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformation(the"ConfidentialInformation")disclosedbyeitherpartyduringthecourseofthisAgreement.7.2NeitherpartyshallusetheConfidentialInformationforanypurposeotherthanfulfillingitsobligationsunderthisAgreement,exceptwiththepriorwrittenconsentofthedisclosingparty.7.3TheobligationsunderthissectionshallsurvivetheterminationofthisAgreement.8.ForceMajeure8.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol(a"ForceMajeureEvent").8.2TheaffectedpartyshallnotifytheotherpartyoftheForceMajeureEventwithindaysofitsoccurrenceandprovideallnecessaryevidence.8.3TheobligationsunderthisAgreementshallbesuspendedduringtheperiodoftheForceMajeureEvent.EitherpartymayterminatethisAgreementiftheForceMajeureEventcontinuesforaperiodofdays.9.Termination9.1ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticeintheeventofamaterialbreachofthisAgreementbytheotherparty,providedthatsuchbreachremainsuncuredforaperiodofdaysafterthereceiptofsuchnotice.9.2EitherpartymayterminatethisAgreementimmediatelyuponwrittennoticeiftheotherpartybecomesinsolvent,makesanassignmentforthebenefitofcreditors,orhasareceptorortrusteeappointedunderanybankruptcyorinsolvencylaws.9.3UponterminationofthisAgreement,alloutstandingpaymentsshallbecomeimmediatelydueandpayable.10.Insurance10.1PartyBshallmaintainadequateinsurancecoveragefortheGoodsduringthetermofthisAgreement,including,butnotlimitedto,propertyinsuranceandproductliabilityinsurance.10.2PartyBshallprovidePartyAwithacopyoftheinsurancepolicyorcertificateuponrequest.11.Indemnification11.1PartyBshallindemnify,defend,andholdharmlessPartyA,itsemployees,agents,andaffiliatesfromandagainstanyandallclaims,damages,losses,liabilities,andexpensesarisingoutoforinconnectionwiththebreachofanyrepresentations,warranties,orcovenantsunderthisAgreement.11.2PartyAshallpromptlynotifyPartyBofanyclaimforwhichindemnificationissoughtunderthissection.PartyBshallhavetherighttoassumethedefenseofsuchclaims.12.GoverningLaw12.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof,withoutregardtoitsconflictoflawprinciples.12.2AnylegalactionorproceedingarisingoutoforrelatingtothisAgreementshallbebroughtanddeterminedinthecourtslocatedin,andthepartiesheretoirrevocablysubmittothejurisdictionofsuchcourts.13.EntireAgreement13.1ThisAgreement,includingallexhibits,附录,and附件annexes,constitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussionsbetweenthem,whetheroralorwritten.13.2ThisAgreementmaynotbeamended,modified,orwaivedexceptbyawrittenagreementsignedbybothparties.14.Notices14.1Allnotices,demands,requests,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyovernightcourierservice,totheaddresseslistedabove.14.2Anypartymaychangeitsaddressfornoticesbygivingwrittennoticetotheotherpartyinthemannerprovidedinthissection.15.Severability15.1IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,suchinvalidityorunenforceabilityshallnotaffecttheremainingprovisionsofthisAgreement,whichshallremaininfull
