2025企业采购合同协议enterpriseprocurementcontractagreementfor2025article1generalprovisions1.1thepurposeofthisprocurementagreementistoestablishtheframeworkofcooperationbetweenthepurchasingpartyandthesupplier,ensuringthatthepurchasingpartycanobtaintherequiredgoodsinatimelymannerandunderreasonableconditions,whileguaranteeingthelegitimaterightsandinterestsofthesupplier.1.2thisagreementisconcludedinaccordancewiththerelevantlaws,regulations,andpoliciesofthepeople'srepublicofchina,includingbutnotlimitedtothe民法典andthe政府采购法.bothpartiesagreetoabidebyallapplicablelegalprovisionsthroughoutthedurationofthisagreement.article2partiesinvolved2.1thepurchasingpartyis:,registeredwiththeadministrativeauthorityformarketregulation,operatinglegally,andwithacompanyaddressat.2.2thesupplieris:,registeredwiththeadministrativeauthorityformarketregulation,operatinglegally,andwithacompanyaddressat.2.3contactsforbothparties:purchasingpartyrepresentative:contactnumber:email:supplierrepresentative:contactnumber:email:article3procurementdetails3.1thegoodstobeprocuredunderthisagreementare,brand:,model:.3.2thequantitytobeprocuredisunits/items,withatotalcontractvalueofyuan(rmb).3.3theunitpriceofthegoodsisyuan(rmb),determinedonthebasisofmutualconsultationandincompliancewithmarketpricingprinciples.article4qualitystandards4.1thequalityofthesuppliedgoodsmustconformtonationalstandards,industrystandards,orinternationallyrecognizedstandardsasspecifiedintheattachments.4.2allgoodsmustarrivewithacertificateofqualityinspectionandcomplywiththerequirementsspecifiedinthetechnicalspecificationsannex.4.3thesupplierisresponsibleforensuringthatthegoodsmeetenvironmentalprotectionrequirementsanddonotposeanysafetyrisks.article5pricing,paymentterms,andcosts5.1thetotalcontractamountisyuan(rmb),coveringallassociatedcosts.5.2thepaymentscheduleisasfollows:advancepayment:%ofthetotalamount,paidwithindaysaftersigningthecontract.paymentupondelivery:%ofthetotalamount,paidwithindaysafterdeliveryandacceptance.finalpayment:%,settledwithindayspostthewarrantyperiod.5.3paymentshallbemadevia(banktransfer,cash,orotheragreeduponmethod).5.4thesupplierisresponsibleforalltaxesandothercostsrelatedtothesupplyofgoodsunderthisagreement.article6deliveryschedule6.1thedeliverydateisscheduledfor,withdeliverytothefollowinglocation:.6.2thesupplierisresponsiblefortransportationarrangementsandanyrelatedcosts.6.3ifthereisaneedtoadjustthedeliveryschedule,bothpartiesmustagreeinwriting.article7acceptanceandqualityinspection7.1upondelivery,thepurchasingpartywillconductanon-siteinspectionwithindays.7.2anydisputesregardingthequalityofthegoodsmustberaisedwithindaysofdelivery,withspecificdetailscommunicatedinwriting.7.3intheeventofdiscrepanciesbetweenthedeliveredgoodsandthespecifications,thesuppliermustrectifythesituationwithindays,bearinganyassociatedcosts.article8dutiesandobligationsofthepurchasingparty8.1thepurchasingpartymustprovidedetailedrequirementsandspecificationsfortheprocurement.8.2ensurethatpaymentismadeinaccordancewiththeagreedterms.8.3providenecessarysupportandfacilitatethesmoothexecutionoftheprocurementprocess.article9dutiesandobligationsofthesupplier9.1supplygoodsthatmeettheagreedqualityandtechnicalspecifications.9.2delivergoodsontimeandprovideallrequireddocumentation,includingcertificatesofqualityandorigin.9.3resolveanydefectswithintheagreedtimeframeandatnoadditionalcost.9.4maintaintimelycommunicationwiththepurchasingpartyandprovidenecessarytechnicalsupport.article10confidentialityclause10.1bothpartiesagreetomaintainconfidentialityregardinganycommercialandtechnicalinformationexchangedduringtheprocurementprocess.10.2thisconfidentialityobligationremainsineffectevenaftertheterminationoftheagreement.10.3neitherpartymayuseordisclosesuchinformationforpurposesotherthanthosespecifiedinthisagreementwithoutpriorwrittenconsent.article11liabilityforbreachofcontract11.1intheeventthateitherpartyfailstofulfilltheirobligations,theotherpartyisentitledtodemandcompensatorydamages.11.2ifthesupplierfailstodelivergoodsontime,thepurchasingpartymayclaimapenaltyof%ofthetotalcontractamount.11.3ifthepurchasingpartyfailstomakepaymentsontime,theywillpayalatefeeof%oftheoutstandingamount.11.4ifgoodsdonotmeetqualitystandards,thesuppliermusteitherrectifytheissuewithindaysorprovideareplacement.article12amendmentsandtermination12.1anyamendmentstotheagreementmustbemadeinwritingandsignedbybothparties.12.2theagreementmaybeterminatedunderthefollowingcircumstances:mutualagreement;violationofagreedtermsbyoneparty;occurrenceofforcemajeure.12.3eitherpartymayterminatetheagreementwithpriorwrittennoticeofdayswithoutcause,althoughthisisnotrecommendedwithoutspecificreasons.article13forcemajeure13.1neitherpartyshallbeliableforanyfailuretoperformtheirobligationsduetoforcemajeureevents,includingnaturaldisasters,wars,orgovernmentactions.13.2theaffectedpartymustnotifytheotherpartywithindaysoftheoccurrenceoftheforcemajeureevent.13.3bothpartieswillnegotiategoodfaithtoadjustthescheduleorothertermsasnecessary.article14disputeresolution14.1anydisputesarisingfromorrelatedtothisagreementshallfirstberesolvedthroughfriendlynegotiations.14.2ifnegotiationsfail,eitherpartymayseekarbitrationatthearbitrationcommissioninaccordancewithitsrules.14.3thepartiesexcludeanypossibilityofacourtrulingunlessspecificallyprovidedforbylaw.article15effectivenessoftheagreement15.1thisagreementbecomeseffectivefromthedateofsignaturebybothparties,withaninitialtermof(months/years).15.2afterexpiration,theagreementmaybereneweduponwrittenmutualagreement.article16miscellaneousprovisions16.1thisagreementiswri
