PartyBherebyagreestoactastheexclusiveagentofPartyAforthesaleandmarketingoftheproductsorservicesofPartyAintheterritoryofexclusivity.PartyAherebygrantsPartyBtheexclusiverighttorepresentandpromoteitsproductsorservicesinsaidterritory.

2.TermandTermination

ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationofAgreement],unlessterminatedearlierinaccordancewiththeprovisionshereof.ThisAgreementmaybeterminatedbyeitherpartyupon[NoticePeriod]priorwrittennoticetotheotherparty.

3.CompensationandCommission

PartyBshallbeentitledtoreceiveacommissionof[Percentage]onallsalesofPartyA'sproductsorservicesintheterritoryofexclusivity.Thecommissionshallbecalculatedbasedonthenetsalesprice,excludingtaxes,shippingandhandlingcharges.

4.ObligationsofPartyA

PartyAshallprovidePartyBwithallnecessaryinformation,marketingmaterials,andtechnicalsupporttoenablePartyBtoeffectivelymarketandsellPartyA'sproductsorservices.

5.ObligationsofPartyB

PartyBshalluseitsbesteffortstopromoteandsellPartyA'sproductsorservicesintheterritoryofexclusivity.PartyBshallcomplywithallapplicablelawsandregulationsintheperformanceofitsobligationsunderthisAgreement.

6.IntellectualPropertyRights

PartyAretainsallright,title,andinterestinandtoitsproducts,services,trademarks,andintellectualpropertyrights.PartyBshallnotacquireanyownershipinterestinsuchrightsoranylicensetousethesameexceptasexpresslyprovidedinthisAgreement.

7.Confidentiality

ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement.Suchconfidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

8.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

9.EntireAgreement

10.AmendmentsandModifications

ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

3.CompensationandCommission

5.ObligationsofPartyB

PartyBshalluseitsbesteffortstopromoteandsellPartyA'sproductsorservicesintheterritoryofexclusivity.PartyBshallcomplywithallapplicablelawsandregulationsintheperformanceofitsobligationsunderthisAgreement.PartyBshallalsomaintaintheconfidentialityofallinformationdisclosedbyPartyA.

6.ObligationsofThirdParty

ThirdPartyshallprovidethesupportservicesasagreeduponinAttachment1.ThirdPartyshallensurethattheservicesareprovidedinaprofessionalandtimelymanner.

7.IntellectualPropertyRights

PartyAretainsallright,title,andinterestinandtoitsproducts,services,trademarks,andintellectualpropertyrights.PartyBandThirdPartyshallnotacquireanyownershipinterestinsuchrightsoranylicensetousethesameexceptasexpresslyprovidedinthisAgreement.

8.Confidentiality

ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement.Suchconfidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

9.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

10.TerminationandConsequences

11.LimitationofLiability

a.PartyAshallnotbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetocausesbeyonditsreasonablecontrol.

b.ThetotalliabilityofPartyAunderthisAgreementshallnotexceedthetotalamountofcommissionspaidtoPartyBunderthisAgreement.

12.ThirdParty'sRightsandObligations

a.ThirdPartyshallhavetherighttoreceivecompensationforthesupportservicesprovidedunderthisAgreement.

b.ThirdPartyshallbeobligatedtoprovidethesupportservicesasagreeduponinAttachment1andtocomplywithallapplicablelawsandregulations.

13.ThirdParty'sLimitationofLiability

a.ThirdParty'sliabilityunderthisAgreementshallbelimitedtotheextentofthecompensationreceivedforthesupportservicesprovided.

b.ThirdPartyshallnotbeliableforanyindirectorconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.

14.PurposeandSignificanceofThirdParty'sInvolvement

TheinvolvementofThirdPartyinthisAgreementistoenhancethemarketingeffortsofPartyBandtoprovideadditionalsupportservicesthatwillcontributetothesuccessofPartyA'sproductsorservicesintheterritoryofexclusivity.

15.PurposeandSignificanceofPartyA'sDominance

PartyA'sdominanceinthisAgreementistoensurethatitsinterestsareprotected,includingthequalityoftheproductsorservicesoffered,thetimelydeliveryofsupportservices,andtherecoveryofanycostsassociatedwiththeterminationofthisAgreement.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.
