采购合同英文范本年通用合同编号：__________甲方（买方）：法定代表人：地址：联系方式：乙方（卖方）：法定代表人：地址：联系方式：I.GeneralProvisions1.1.Definitions“Goods”shallmeantheproductsoritemstobepurchasedunderthiscontract.“Services”shallrefertoanyworkorassistancerelatedtotheGoods,suchasinstallation,maintenance,ortraining.“Contract”meansthiswrittenagreementbetweentheBuyerandtheSeller.“DeliveryDate”isthedateonwhichtheSellerisrequiredtodelivertheGoodstothespecifiedlocation.1.2.PurposeoftheContractThepurposeofthiscontractistoestablishthetermsandconditionsunderwhichtheBuyerpurchasesfromtheSeller,andtheSellersellstotheBuyer,theGoodsand/orServices.Thiscontractshallgovernallaspectsofthepurchasesalerelationship,includingbutnotlimitedtoprice,quantity,quality,delivery,andpayment.1.3.EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.Itsupersedesallpriororalorwrittenagreementsandunderstandingsrelatingtothesame.Nomodificationoramendmentofthiscontractshallbeeffectiveunlessinwritingandsignedbothparties.II.PurchaseandSale2.1.GoodsorServicestobePurchasedTheSellershallselltotheBuyer,andtheBuyershallpurchasefromtheSeller,thefollowingGoodsand/orServices:[DescribetheGoodsand/orServicesindetail,includinganyspecificmodels,types,orfeatures].2.2.QuantityThequantityoftheGoodstobepurchasedis[Specifythequantity].TheSellershallberesponsiblefordeliveringtheexactquantityasspecifiedinthiscontract,subjecttoanyagreedupontolerances.2.3.SpecificationsTheGoodsshallmeetthefollowingspecifications:[Listallrelevanttechnical,quality,andperformancespecifications.Thismayincludedimensions,materials,functionality,etc.].TheSellerwarrantsthattheGoodssuppliedwillbeinstrictconformitywiththesespecifications.III.PriceandPayment3.1.PriceThepricefortheGoodsand/orServicesshallbe[Specifythepriceamount].Thispriceisinclusiveofallapplicabletaxes,duties,andcharges,unlessotherwisestated.Thepriceshallbefixedforthedurationofthiscontract,unlessthereareprovisionsforpriceadjustmentasdescribedhereinafter.3.2.PaymentTermsTheBuyershallmakepaymenttotheSellerinthefollowingmanner:[Describethepaymentmethod,e.g.,wiretransfer,check,etc.].Paymentshallbemadewithin[Specifythenumberofdays]daysafterreceiptoftheinvoice.Intheeventoflatepayment,theBuyermaybesubjecttoalatepaymentpenaltyasagreedupontheparties.3.3.InvoicingTheSellershallissueaninvoicetotheBuyeruponpletionofthedeliveryoftheGoodsorperformanceoftheServices.Theinvoiceshallcontainallnecessarydetails,suchasthedescriptionoftheGoodsorServices,quantity,price,andanyapplicabletaxes.IV.Delivery4.1.DeliveryTermsThedeliveryoftheGoodsshallbemade[Specifythedeliverymethod,e.g.,FCA(FreeCarrier),CIF(Cost,InsuranceandFreight),etc.].Theplaceofdeliveryshallbe[Specifythedeliverylocation].4.2.DeliveryScheduleTheSellershalldelivertheGoodsonorbefore[Specifythedeliverydate].IntheeventthattheSelleranticipatesanydelayindelivery,itshallnotifytheBuyerinwritingassoonaspossibleandprovideanestimatednewdeliverydate.4.3.PackagingandMarkingTheGoodsshallbepackagedinamannersuitablefortransportationandstorage.Thepackagingshallbearallnecessarymarkings,suchasthenameoftheGoods,quantity,handlinginstructions,andanyrelevantwarnings.V.InspectionandAcceptance5.1.InspectionRightsTheBuyershallhavetherighttoinspecttheGoodsupondelivery.Theinspectionmayinclude,butisnotlimitedto,checkingthequantity,quality,andconformitytospecifications.5.2.AcceptanceCriteriaTheBuyershallaccepttheGoodsiftheymeetalltherequirementssetforthinthiscontract,includingbutnotlimitedtoquantity,quality,andspecifications.IftheGoodsdonotmeetthesecriteria,theBuyermayrejectthemasprovidedinsection5.3.5.3.RejectionandRemedyIftheBuyerrejectstheGoods,itshallnotifytheSellerinwritingwithin[Specifythenumberofdays]daysofdelivery.TheSellershallthenhavetheoptiontoeitherreplacethedefectiveGoodsorremedythedeficiencieswithinareasonabletimeframeasagreedupontheparties.IftheSellerfailstodoso,theBuyermaytakeappropriatelegalaction.VI.WarrantiesandRepresentations6.1.Seller'sWarrantiesTheSellerwarrantsthattheGoodsarefreefromalldefectsinmaterialsandworkmanship,andthattheyconformtothespecificationssetforthinthiscontract.TheSellerfurtherwarrantsthattheGoodsarenew,unlessotherwisespecified,andthattheyarefitforthepurposeforwhichtheyareintended.Thewarrantyperiodshallbe[Specifythelengthofthewarrantyperiod]startingfromthedateofacceptanceoftheGoodstheBuyer.6.2.Buyer'sRepresentationsTheBuyerrepresentsthatithasthelegalrightandauthoritytoenterintothiscontractandtopurchasetheGoodsand/orServices.TheBuyeralsorepresentsthatitwillusetheGoodsinaccordancewithallapplicablelawsandregulations.6.3.LimitationofWarrantiesThewarrantiesprovidedtheSellerinthissectionareinlieuofallotherwarranties,expressorimplied.TheSellershallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingfromtheuseorinabilitytousetheGoods,exceptasotherwiseprovidedlaw.VII.IntellectualPropertyRights7.1.OwnershipofIntellectualPropertyAllintellectualpropertyrightsassociatedwiththeGoods,includingbutnotlimitedtopatents,trademarks,andcopyrights,shallbelongtotheSeller,unlessotherwisespecified.IftheBuyerprovidesanyintellectualpropertytotheSellerforthepurposeofmanufacturingorprovidingtheGoods,theSellershallnotusesuchintellectualpropertyforanyotherpurposewithoutthepriorwrittenconsentoftheBuyer.7.2.LicenseGrantsIfnecessary,theSellergrantstheBuyeranonexclusive,nontransferablelicensetouseanyintellectualpropertyassociatedwiththeGoodsforthesolepurposeofusingtheGoodsasintended.TheBuyershallnotsublicenseorotherwisetransferthislicense.7.3.IndemnificationforIntellectualPropertyInfringementTheSellershallindemnifyandholdtheBuyerharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingfromanyallegedinfringementofintellectualpropertyrightsinconnectionwiththeGoods.TheBuyershallnotifytheSellerimmediatelyuponbeingawareofanysuchclaim.VIII.Confidentiality8.1.DefinitionofConfidentialInformationConfidentialInformationshallinclude,butnotbelimitedto,anyinformationrelatingtothebusiness,operations,customers,orproductsofeitherpartythatisdisclosedinconnectionwiththiscontract.Thismayincludetechnicalspecifications,tradesecrets,andmarketingplans.8.2.ObligationsofthePartiesEachpartyshallkeeptheConfidentialInformationoftheotherpartyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.ThepartiesshalltakeallreasonablemeasurestoprotecttheConfidentialInformationfromunauthorizedaccess,use,ordisclosure.8.3.ExceptionstoConfidentialityTheobligationofconfidentialityshallnotapplytoinformationthatispubliclyavailable,alreadyknowntothereceivingpartypriortodisclosure,orrequiredtobedisclosedlaworregulatoryauthority.IX.Termination9.1.TerminationforCauseThiscontractmaybeterminatedeitherpartyiftheotherpartymateriallybreachesanyofthetermsorconditionsofthiscontract.Thenonbreachingpartyshallgivewrittennoticetothebreachingpartyspecifyingthenatureofthebreach.Ifthebreachingpartyfailstocurethebreachwithin[Specifythenumberofdays]daysafterreceiptofthenotice,thenonbreachingpartymayterminatethecontract.9.2.TerminationforConvenienceTheBuyermayterminatethiscontractforitsconvenienceupongiving[Specifythenumberofdays]days'writtennoticetotheSeller.Insuchcase,theBuyershallpaytotheSelleranyamountsdueforGoodsalreadydeliveredandServicesalreadyperformeduptothedateoftermination.9.3.EffectsofTerminationUponterminationofthiscontract,allrightsandobligationsofthepartiesunderthiscontract,exceptforthosewhichtheirnatureareintendedtosurvivetermination,shallcease.Thepartiesshallreturnanypropertyordocumentsbelongingtotheotherpartythatareintheirpossession.X.ForceMajeure10.1.DefinitionofForceMajeureForceMajeureeventsshallinclude,butnotbelimitedto,actsofGod,naturaldisasters,war,terrorism,strikes,lockouts,andgovernmentregulationsoractionsthatpreventordelaytheperformanceoftheparties'obligationsunderthiscontract.10.2.NoticeofForceMajeureIfapartyisunabletoperformitsobligationsunderthiscontractduetoaForceMajeureevent,itshallnotifytheotherpartyinwritingassoonaspossible,statingthenatureoftheForceMajeureevent,theexpecteddurationoftheinabilitytoperform,andanyproposedmeasurestomitigatetheimpact.10.3.SuspensionorTerminationduetoForceMajeureIftheForceMajeureeventcontinuesforaperiodof[Specifythenumberofdays],eitherpartymayterminatethiscontractgivingwrittennoticetotheotherparty.DuringtheperiodofForceMajeure,theaffectedparty'sobligationsunder
