ConsultancyAgreement

1.ScopeofServices

2.Term

ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationofAgreement]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.FeesandPayment

3.1TheConsultantshallbeentitledtoreceivefees(the"Fees")fortheServicesrenderedinaccordancewiththetermsandconditionsofthisAgreement.

3.2TheFeesshallbepaidtotheConsultantinaccordancewiththepaymentschedulesetforthinExhibitBattachedhereto.

3.3AllpaymentsmadeunderthisAgreementshallbemadein[currency]andshallbepaidwithin[number]daysofthereceiptofaninvoicefromtheConsultant.

4.Confidentiality

4.1TheConsultantagreestokeepconfidentialallinformationobtainedduringtheperformanceoftheServices,includingbutnotlimitedtotechnical,commercial,financial,andotherproprietaryinformationoftheClient.

4.2TheConsultantagreesnottodiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheClient.

5.IntellectualProperty

5.1TheConsultantretainsallrights,title,andinterestinandtoanyintellectualpropertycreatedordevelopedbytheConsultantinthecourseofprovidingtheServices.

5.2TheClientshallhaveanon-exclusive,perpetual,royalty-freelicensetouse,reproduce,modify,anddistributeanyintellectualpropertycreatedordevelopedbytheConsultantinthecourseofprovidingtheServices,solelyforthepurposeofutilizingtheServices.

6.Termination

6.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthatsuchterminationoccurswithin[number]daysafterthereceiptofsuchnotice.

6.2UponterminationofthisAgreement,theConsultantshallpromptlydelivertotheClientalldeliverablesandintellectualpropertyrightsthathavebeencreatedordevelopedinconnectionwiththeServices.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

8.EntireAgreement

5.Consultant'sandThirdParty'sObligations

5.1TheConsultantandtheThirdPartyshallensurethattheServicesareprovidedinatimelyandefficientmanner.

5.2TheConsultantandtheThirdPartyshallcomplywithallapplicablelaws,regulations,andindustrystandards.

5.3TheConsultantandtheThirdPartyshallmaintainconfidentialityoftheClient'sinformationandshallnotdiscloseittoanythirdpartywithouttheClient'spriorwrittenconsent.

6.ThirdParty'sResponsibilities
