RECORDOFAGREEMENT:

1.TheEmployerherebyagreestoemploytheEmployeeasa[Employee'sPosition]in[Employer'sCompanyName],subjecttothetermsandconditionssetforthinthisContract.

2.TheEmployeeherebyagreestoacceptemploymentwiththeEmployerasa[Employee'sPosition]in[Employer'sCompanyName],subjecttothetermsandconditionssetforthinthisContract.

3.TheEmployeeacknowledgesthattheemploymentrelationshipshallbegovernedbythelawsof[ApplicableJurisdiction].

4.TheEmployeeagreestocomplywithallapplicablelaws,regulations,policies,andproceduresoftheEmployer.

5.TheEmployeeunderstandsandagreesthattheemploymentrelationshipis"atwill,"meaningthateithertheEmployerortheEmployeemayterminatetheemploymentrelationshipatanytime,withorwithoutcause,uponpropernotice.

6.TheEmployeeacknowledgesthattheEmployermayrequiretheEmployeetoexecuteanyadditionalagreementsordocumentsnecessaryfortheemploymentrelationshiptobelegallybinding.

7.TheEmployeeacknowledgesthattheEmployermay,atitssolediscretion,change,modify,orterminatetheemploymentrelationship,subjecttotheprovisionsofthisContract.

8.TheEmployeeagreestoperformthedutiesandresponsibilitiesofthe[Employee'sPosition]inamannerthatisconsistentwiththeEmployer'sreasonableexpectations.

9.TheEmployeeagreestomaintainconfidentialityofallconfidentialinformationobtainedduringthecourseofemployment.

10.TheEmployeeagreestonotengageinanyactivitythatwouldbedetrimentaltotheEmployer'sinterests.

11.TheEmployeeagreestonotsolicitorinduceanyoftheEmployer'semployees,customers,orsupplierstoleavetheEmployerortoworkforacompetitoroftheEmployer.

12.TheEmployeeagreestonotusetheEmployer'stradesecrets,confidentialinformation,orintellectualpropertywithoutthepriorwrittenconsentoftheEmployer.

13.TheEmployeeagreestonotdiscloseanyconfidentialinformationoftheEmployertoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.

14.TheEmployeeagreestonotengageinanyactivitythatwouldresultintheEmployer'sliability,includingbutnotlimitedto,negligence,defamation,orbreachofcontract.

15.TheEmployeeagreestonotdiscloseanyinformationregardingtheEmployer'sfinancialcondition,businessoperations,orothersensitivematterstoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.

16.TheEmployeeagreestocooperatewiththeEmployerinanyinvestigationorlegalproceedingrelatedtotheemploymentrelationship.

17.TheEmployeeagreestoattendallrequiredmeetings,trainingsessions,andothereventsasdirectedbytheEmployer.

18.TheEmployeeagreestofollowtheEmployer'sdresscodeandprofessionalstandards.

19.TheEmployeeagreestonotengageinanyactivitythatwouldbeconsideredaconflictofinterestwiththeEmployer.

20.TheEmployeeagreestonotuseanyEmployer-providedequipment,facilities,orotherresourcesforpersonalgain.

21.TheEmployeeagreestonotdiscloseanyinformationregardingtheEmployer'semployees,customers,orsupplierswithoutthepriorwrittenconsentoftheEmployer.

22.TheEmployeeagreestonotengageinanyactivitythatwouldbeconsideredabreachoftheEmployer'strust.

23.TheEmployeeagreestonotengageinanyactivitythatwouldbeconsideredaviolationoftheEmployer'spoliciesorprocedures.

RECORDOFAGREEMENT:

6.PartyCshallberesponsibleforthequalityandtimelinessoftheSubcontractedServicesprovidedtoPartyB.

7.PartyCshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheSubcontractedServices.

8.PartyCshallmaintainappropriateinsurancecoveragefortheperformanceoftheSubcontractedServices,includingbutnotlimitedtoliability,propertydamage,andworkers'compensationinsurance.

9.PartyAreservestherighttoterminatePartyC'sengagementintheSubcontractedServicesifPartyCfailstomeettherequiredstandardsorifPartyCbreachesanytermofthisContract.

10.PartyBshallprovidePartyCwithaccesstoanynecessaryequipment,facilities,andinformationrequiredtoperformtheSubcontractedServices.

11.PartyBshallnotdiscloseanyconfidentialinformationofPartyAtoPartyCwithoutthepriorwrittenconsentofPartyA.

12.PartyCshallnotuseanyconfidentialinformationofPartyAforanypurposeotherthantheperformanceoftheSubcontractedServices.

13.PartyAshallpayPartyCafeefortheSubcontractedServicesinaccordancewiththepaymenttermsagreeduponbetweenPartyAandPartyC.

14.PartyAshallhavetherighttoinspectandaudittheworkperformedbyPartyCtoensurecompliancewiththisContract.

15.PartyBshallbesolelyresponsiblefortheperformanceofthe[Employee'sPosition]andshallnotdelegateanyofitsdutiestoPartyCwithoutthepriorwrittenconsentofPartyA.

16.PartyBshallnotengageinanyactivitythatwouldbedetrimentaltoPartyA'sinterestsorthatwouldconflictwiththetermsofthisContract.

17.PartyBagreestomaintainconfidentialityofallconfidentialinformationobtainedduringthecourseofemploymentandtheSubcontractedServices.

18.PartyAshallprovidePartyBwithappropriatetrainingandsupporttoenablethesuccessfulperformanceofthe[Employee'sPosition].

19.PartyAshallhavetherighttomodifythescopeoftheSubcontractedServicesatitssolediscretion,providedsuchmodificationsdonotmateriallyaffectthetermsandconditionsofthisContract.

20.PartyBshallnotsolicitorinducePartyC'semployees,customers,orsupplierstoleavePartyCortoworkforacompetitorofPartyCwithoutthepriorwrittenconsentofPartyA.

21.PartyBshallnotdiscloseanyconfidentialinformationofPartyCtoanythirdpartywithoutthepriorwrittenconsentofPartyC.

22.PartyBagreestonotengageinanyactivitythatwouldresultinPartyC'sliability,includingbutnotlimitedto,negligence,defamation,orbreachofcontract.

23.PartyBagreestonotdiscloseanyinformationregardingPartyC'sfinancialcondition,businessoperations,orothersensitivematterstoanythirdpartywithoutthepriorwrittenconsentofPartyC.

24.PartyBagreestocooperatewithPartyAandPartyCinanyinvestigationorlegalproceedingrelatedtotheSubcontractedServices.

25.PartyBagreestoattendallrequiredmeetings,trainingsessions,andothereventsasdirectedbyPartyAandPartyC.

26.PartyBagreestofollowthedresscodeandprofessionalstandardsofPartyAandPartyC.

27.PartyBagreestonotengageinanyactivitythatwouldbeconsideredaconflictofinterestwithPartyAorPartyC.

28.PartyBagreestonotuseanyequipment,facilities,orotherresourcesprovidedbyPartyAorPartyCforpersonalgainwithoutthepriorwrittenconsentofPartyAorPartyC.
