6.LiabilityandIndemnity

a.IntheeventofanybreachofwarrantybyPartyA,PartyAshall,atitssolediscretion,eitherrepairorreplacethedefectiveordeficientpartsoftheMachineryandEquipment,orrefundthePurchasePricetoPartyB.

b.PartyAshallindemnifyPartyBagainstanyandallclaims,actions,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeMachineryandEquipment.

7.ForceMajeure

NeitherpartyshallbeliableforanydelayorfailuretoperformitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,strikes,andgovernmentactions.

8.GoverningLawandJurisdiction
