ThisContract(hereinafterreferredtoasthe“Contract”)isherebyexecutedbyandbetweenthefollowingparties:

1.SubjectMatteroftheContract

2.PriceandPaymentTerms

3.DeliveryTerms

5.IntellectualPropertyRights

TheSellerwarrantsthattheGoodsdonotinfringeuponanyintellectualpropertyrightsofanythirdparty.TheBuyershallnotbeliableforanyinfringementofintellectualpropertyrightsarisingfromtheuseoftheGoods.

6.ForceMajeure

NeitherpartyshallbeliableforanydelayorfailureinperformanceunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtowar,naturaldisasters,governmentactions,andlabordisputes.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputesshallbesubmittedtothecompetentcourtof[GoverningLawJurisdiction]forresolution.

8.EntireAgreement
