ThisContract(hereinafterreferredtoasthe“Contract”)isherebyexecutedbyandbetweenthefollowingparties:
1.Seller:[Seller'sName],withregisteredaddressat[Seller'sAddress],representedby[Seller'sAuthorizedRepresentative](hereinafterreferredtoasthe“Seller”);
2.Buyer:[Buyer'sName],withregisteredaddressat[Buyer'sAddress],representedby[Buyer'sAuthorizedRepresentative](hereinafterreferredtoasthe“Buyer”).
WHEREAS,theBuyerisinneedofpurchasingcertaingoodsfromtheSeller,andtheSelleriswillingtosupplythegoodstotheBuyeronthetermsandconditionssetforthherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.SubjectMatteroftheContract
TheSellershallsupplytheBuyerwith[DescriptionofGoods](hereinafterreferredtoasthe“Goods”)inaccordancewiththespecifications,quantities,deliveryterms,andotherrelevantrequirementssetforthinthisContract.
2.PriceandPaymentTerms
ThepriceoftheGoodsshallbe[Price],excludinganytaxesorothergovernmentalcharges.TheBuyershallpaytheSellerthefullamountofthepriceuponthedeliveryoftheGoods.
3.DeliveryTerms
TheSellershalldelivertheGoodstotheBuyerat[DeliveryAddress]within[DeliveryPeriod].TheSellershallberesponsibleforthetransportationandinsuranceoftheGoodsduringtransit.
4.QualityandInspection
ThequalityoftheGoodsshallcomplywiththespecificationsandstandardssetforthinthisContract.TheBuyershallhavetherighttoinspecttheGoodsupondelivery.IftheGoodsfailtomeetthespecifiedqualityrequirements,theBuyershallhavetherighttorejecttheGoodsandrequesttheSellertoreplaceorrepairthem.
5.IntellectualPropertyRights
TheSellerwarrantsthattheGoodsdonotinfringeuponanyintellectualpropertyrightsofanythirdparty.TheBuyershallnotbeliableforanyinfringementofintellectualpropertyrightsarisingfromtheuseoftheGoods.
6.ForceMajeure
NeitherpartyshallbeliableforanydelayorfailureinperformanceunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtowar,naturaldisasters,governmentactions,andlabordisputes.
7.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputesshallbesubmittedtothecompetentcourtof[GoverningLawJurisdiction]forresolution.
8.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,understandings,orrepresentations,whetheroralorwritten,relatingtothesubjectmatterofthisContract.
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

TheSellershallsupplythePrincipalPartywith[DescriptionofGoods](hereinafterreferredtoasthe“Goods”)inaccordancewiththespecifications,quantities,deliveryterms,andotherrelevantrequirementssetforthinthisContract.TheThirdPartyshallactastheintermediarybetweenthePrincipalPartyandtheSellertofacilitatethetransaction.

TheThirdPartyagreesto:
-AssistinthenegotiationandexecutionoftheContractbetweenthePrincipalPartyandtheSeller;
-EnsurethatallpartiescomplywiththetermsandconditionsoftheContract;
-ProvidenecessaryinformationanddocumentationtothePrincipalPartyandtheSeller;
-ResolveanydisputesthatmayarisebetweenthePrincipalPartyandtheSeller.
3.PrincipalParty'sRightsandObligations
ThePrincipalPartyhastherightto:
-ReceivetheGoodsinaccordancewiththespecificationsandqualitystandards;
-RequesttheThirdPartytofacilitatetheresolutionofanydisputeswiththeSeller;
-TerminatetheContractintheeventofamaterialbreachbytheSellerortheThirdParty.
ThePrincipalPartyagreesto:
-Paytheagreed-uponpricefortheGoodstotheSeller;
-ProvideallnecessaryinformationanddocumentationtotheThirdPartyandtheSeller;
-Complywithallapplicablelawsandregulations.
4.Seller'sRightsandObligations
TheSellerhastherightto:
-DelivertheGoodstothePrincipalPartyaspertheagreed-upondeliveryterms;
-RequesttheThirdPartytoprovidenecessaryassistanceintheeventofanyissueswiththePrincipalParty;
-TerminatetheContractintheeventofamaterialbreachbythePrincipalPartyortheThirdParty.
TheSelleragreesto:
-SupplytheGoodsinaccordancewiththespecificationsandqualitystandards;
-ProvideallnecessaryinformationanddocumentationtotheThirdPartyandthePrincipalParty;
-Complywithallapplicablelawsandregulations.
5.ThirdParty'sRightsandObligations
TheThirdPartyhastherightto:
-ReceiveafeefortheirservicesasagreeduponintheContract;
-RequestthePrincipalPartyandtheSellertocomplywiththetermsandconditionsoftheContract.
TheThirdPartyagreesto:
-Actasaneutralpartyinfacilitatingthetransaction;
-Maintainconfidentialityofallinformationprovidedbytheparties;
-Complywithallapplicablelawsandregulations.
6.Seller's违约及限制条款
IntheeventofabreachoftheContractbytheSeller,thePrincipalPartyshallhavetherightto:
-Withholdpaymentuntilthebreachisrectified;
-RequesttheThirdPartytoassistinresolvingthebreach;
-TerminatetheContractifthebreachisnotrectifiedwithinareasonableperiod.
TheSelleragreesto:
-LimittheliabilityforanybreachoftheContracttotheamountoftheactuallosssufferedbythePrincipalParty;
-Notbeliableforanyindirectorconsequentialdamagesarisingfromthebreach.
7.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputesshallbesubmittedtothecompetentcourtof[GoverningLawJurisdiction]forresolution.
8.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,understandings,orrepresentations,whetheroralorwritten,relatingtothesubjectmatterofthisContract.
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

SUMMARYOFTHIRDPARTYINTERVENTIONANDPRINCIPALPARTY'SDOMINANTROLE:
TheinclusionoftheThirdPartyinthisContractservestoensurethesmoothexecutionofthetransactionbyprovidinganimpartialintermediary.ThePrincipalParty'srightsareprioritizedtoprotecttheirinterests,includingtherighttoqualityGoods,timelydelivery,anddisputeresolution.ThePrincipalParty'sroleasthedominantpartyisfurtherreinforcedbytheenhancedrightsoverterminationandbreachofcontract.ThisstructureisdesignedtomaximizethePrincipalParty'sbenefitswhilemaintainingabalancedrelationshipbetweenallpartiesinvolved.

-Providenecessarydocumentationandsupporttofacilitatethetransaction.
3.Buyer'sRightsandObligations
TheBuyerhastherightto:
-ReceivetheGoodsinaccordancewiththeagreedspecificationsandqualitystandards;
-RequesttheThirdPartytoassistinresolvinganydisputeswiththePrincipalParty;
-WithdrawfromtheContractifthePrincipalPartybreachesanymaterialterms;
-Receivetimelyupdatesandnotificationsregardingthestatusofthetransaction.
TheBuyeragreesto:
-Paytheagreed-uponpricefortheGoodstothePrincipalParty;
-ProvideallnecessaryinformationanddocumentationtotheThirdPartyandthePrincipalParty;
-Complywithallapplicablelawsandregulations.
4.PrincipalParty'sRightsandObligations
ThePrincipalPartyhastherightto:
-DelivertheGoodstotheBuyeraspertheagreeddeliveryterms;
-RequesttheThirdPartytoprovidenecessaryassistanceintheeventofanyissueswiththeBuyer;
-TerminatetheContractintheeventofamaterialbreachbytheBuyerortheThirdParty.
ThePrincipalPartyagreesto:
-SupplytheGoodsinaccordancewiththespecificationsandqualitystandards;
-ProvideallnecessaryinformationanddocumentationtotheThirdPartyandtheBuyer;
-Complywithallapplicablelawsandregulations.
5.ThirdParty'sRightsandObligations
TheThirdPartyhastherightto:
-ReceiveafeefortheirservicesasagreeduponintheContract;
-RequestthePrincipalPartyandtheBuyertocomplywiththetermsandconditionsoftheContract.
TheThirdPartyagreesto:
-Actasaneutralpartyinfacilitatingthetransaction;
-Maintainconfidentialityofallinformationprovidedbytheparties;
-Complywithallapplicablelawsandregulations.
6.PrincipalParty's违约及限制条款
