3.BindingEffect.ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesandtheirrespectivesuccessorsandassigns.

4.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
