5.InspectionandAcceptance

TheBuyershallinspecttheGoodsuponreceiptandshallhavetherighttorejectanyGoodsthatdonotconformtotheagreedqualityandspecifications.IftheBuyernotifiestheSellerofanynon-conformitieswithin[Number]daysafterreceiptoftheGoods,theSellershallpromptlyreplaceorrepairsuchnon-conformingGoodsatnoadditionalcosttotheBuyer.

6.IntellectualPropertyRights

TheSellerwarrantsthattheGoodsshallnotinfringeuponanyintellectualpropertyrightsofanythirdparty.TheBuyershallnotbeliableforanyinfringementclaimsarisingfromtheuseoftheGoods.

7.ForceMajeure

NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtowar,naturaldisasters,fire,strike,andgovernmentregulations.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiation.Ifsuchnegotiationfails,thedisputesshallbesubmittedtothe[ArbitrationInstitution]forarbitrationinaccordancewithitsrules.

b)TheThirdPartyshallensurethattheGoodsareinstalledandoperatedinaccordancewiththemanufacturer’sspecificationsandstandards;

c)TheThirdPartyshallprovidetrainingtotheBuyer’spersonnelontheproperuseoftheGoods.

6.Buyer’sRightsandInterests

TheBuyershallhavethefollowingrightsandinterests:

a)TheBuyershallhavetherighttoinspecttheGoodsatanytimeandmayrequesttheSellertoreplaceorrepairanynon-conformingGoods;

b)TheBuyershallhavetherighttoterminatethisContractandclaimdamagesiftheSellerfailstocomplywiththeagreeddeliverydateorqualitystandards;

c)TheBuyershallhavetherighttorequesttheThirdPartytorectifyanydeficienciesinthetechnicalsupportorassistanceprovided.

7.Seller’sandThirdParty’sLiabilityforBreach

IftheSellerortheThirdPartyfailstofulfilltheirobligationsunderthisContract,theyshallbeliableforthefollowing:

a)TheSellershallbeliableforanylossesincurredbytheBuyerduetolatedeliveryornon-compliancewiththequalitystandards;

b)TheThirdPartyshallbeliableforanyfailuresintechnicalsupportorassistancethatresultindamagestotheBuyer’sequipmentorlossofproduction.

8.LimitationsonSeller’sandThirdParty’sLiability

TheSellerandtheThirdPartyshallnotbeliableforanyindirectorconsequentialdamagesarisingfromtheuseoftheGoods,includingbutnotlimitedtolossofprofits,lossofbusiness,ordamagetotheBuyer’sreputation.

9.GoverningLawandDisputeResolution

7.Seller’sLiabilityforBreach

IntheeventoftheSeller’sbreachofthisContract,theSellershallbeliableforthefollowing:

a)TheSellershallbeliableforanydirectlossesincurredbytheBuyerduetotheSeller’sfailuretodeliverGoodsoftheagreedquality;

b)TheSellershallbeliableforthecostsassociatedwithanyreplacementorrepairsrequiredasaresultoftheSeller’sbreach.

8.LimitationsonSeller’sLiability

TheSellershallnotbeliableforanyindirectorconsequentialdamagesarisingfromtheuseoftheGoods,includingbutnotlimitedtolossofprofits,lossofbusiness,ordamagetotheBuyer’sreputation.

9.GoverningLawandDisputeResolution
