4.FeesandPayment

2.4.PartyAshallhavetherighttorevisetheFeesfortheonlineserviceswithapriorwrittennoticetoPartyB,providedsuchrevisionisreasonableandinthebestinterestofPartyA.

3.RightsandObligationsofPartyB

3.1.PartyBshallusetheonlineservicesprovidedbyPartyAinaccordancewiththeprovisionsofthisContractandtheClub’soperatingrules.

3.2.PartyBshallnotusetheonlineservicesforanyillegalpurposesorengageinanyactivitiesthatmayharmPartyAorothermembers.

3.3.PartyBshallpaytheFeesfortheonlineservicesasagreeduponinthisContract.

3.4.PartyBshallcomplywithanyadditionaltermsandconditionssetforthbyPartyA,includingbutnotlimitedto,anyrestrictionsontheuseoftheonlineservices.

4.RightsandObligationsofPartyC

4.1.PartyCshallprovidetechnicalsupportandmaintenanceservicesfortheonlineservicestoPartyA,asagreeduponinthisContract.

4.2.PartyCshallensuretheavailabilityandreliabilityofthetechnicalinfrastructurerequiredfortheonlineservices.

4.3.PartyCshallnotuseanyproprietaryinformationortechnologyofPartyAforanypurposeotherthantheprovisionofservicesunderthisContract.

4.4.PartyCshallindemnifyPartyAagainstanythird-partyclaimsarisingfromtheuseoftheonlineservices,providedsuchclaimsarisefromPartyC’snegligenceorwillfulmisconduct.
