2.ScopeofServices:TheAgencyCompanyagreestoprovidethefollowingservicestothePrincipalCompany:

a.TheAgencyCompanyshallbeentitledtoreceiveafeeof[Amount]per[TimePeriod]fortheprovisionoftheservicesspecifiedinSection2hereof;

b.ThePrincipalCompanyshallalsoberesponsibleforpayinganyandallexpensesincurredbytheAgencyCompanyinthecourseofprovidingtheservices,includingbutnotlimitedtotravelexpenses,accommodationexpenses,andotherrelatedexpenses;

4.IntellectualPropertyRights:Allintellectualpropertyrights,includingbutnotlimitedtocopyrights,trademarks,andpatents,arisingfromtheservicesrenderedunderthisAgreementshallbesolelyownedbythePrincipalCompany.TheAgencyCompanyagreestoassignallsuchrightstothePrincipalCompanyuponthecompletionoftheservices.

5.Confidentiality:ThepartiesheretoagreetokeepconfidentialallinformationandmaterialsprovidedbytheotherpartyduringthetermofthisAgreement.TheobligationsofconfidentialityshallsurvivetheterminationofthisAgreement.

6.Termination:ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationshallnotaffectanyrightsorobligationsarisingpriortothedateoftermination.

7.GoverningLawandDisputeResolution:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesof[ArbitrationInstitution].
