**2.RepresentationsandWarranties**

TheAssignorrepresentsandwarrantstotheAssigneethat:

(a)TheAssignoristhesoleandexclusiveownerofthePatentRightsandhastherighttoenterintothisAgreementandtoassignthePatentRightsasprovidedherein;

(b)TheInventionisoriginalanddoesnotinfringeuponanypatent,trademark,copyright,orotherintellectualpropertyrightofanythirdparty;

(c)TherearenooutstandingobligationsoragreementsofanynaturethatwouldconflictwiththetermsofthisAgreement;and

(d)TheexecutionanddeliveryofthisAgreementandtheperformanceoftheAssignor'sobligationshereunderdonotandwillnotconflictwithanyotheragreementorobligationtowhichtheAssignorisapartyorisbound.

**3.Payment**

InconsiderationfortheassignmentofthePatentRights,theAssigneeshallpaytotheAssignorthesumof[InsertAmount](the"Payment"),inaccordancewiththetermsofExhibitAattachedhereto.

**4.Confidentiality**

TheAssignorandtheAssigneeagreetomaintaininconfidenceandnotdisclosetoanythirdpartyanyinformationrelatingtotheInventionorthetermsofthisAgreement,exceptasmayberequiredbylaworregulation.

**5.GoverningLawandJurisdiction**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[InsertJurisdiction].
