ContractTemplateforBrandRegistration

Partiesinvolved:

1.BrandOwner(hereinafterreferredtoas"BrandOwner")

2.Agent(hereinafterreferredtoas"Agent")

Recitals:

WHEREAS,theBrandOwneristheownerofacertainbrand(hereinafterreferredtoas"Brand")whichisregisteredortoberegisteredinChina;

WHEREAS,theAgentiswillingtoprovidetheBrandOwnerwiththeserviceofbrandregistrationinChinaonbehalfoftheBrandOwner;

NOW,THEREFORE,thePartiesheretoagreeasfollows:

Article1:ScopeofServices

1.1TheAgentshallassisttheBrandOwnerincompletingthenecessaryproceduresforthebrandregistrationinChina,includingbutnotlimitedto:

(a)Preparingandsubmittingtheapplicationdocumentsforbrandregistration;

(b)RepresentingtheBrandOwnerindealingwiththerelevantgovernmentauthoritiesduringthebrandregistrationprocess;

(c)Providingadviceandguidanceonbrandregistration-relatedmatters.

1.2TheAgentshalluseitsbesteffortstoensurethatthebrandregistrationprocessiscompletedwithintheagreedtimeframe,andshallpromptlyinformtheBrandOwnerofanyissuesordelaysencounteredduringtheprocess.

Article2:FeesandPaymentTerms

2.1TheBrandOwnershallpaytheAgentaservicefeeforthebrandregistrationservice,inaccordancewiththefeescheduleprovidedbytheAgent.

2.2Thepaymentshallbemadewithin30daysafterthedateoftheinvoiceissuedbytheAgent.

2.3TheAgentshallprovidetheBrandOwnerwithanofficialreceiptforallpaymentsmade.

Article3:Confidentiality

3.1ThePartiesagreetokeepconfidentialallinformationexchangedbetweentheminconnectionwiththebrandregistrationservice,exceptforinformationthatispubliclyavailableorlegallyrequiredtobedisclosed.

3.2TheconfidentialityobligationshallsurvivetheterminationofthisContract.

Article4:Indemnification

4.1TheBrandOwnershallindemnifytheAgentagainstanyclaims,losses,damages,orexpenses(includingattorney'sfees)incurredbytheAgentinconnectionwiththeperformanceofthebrandregistrationservice,exceptforthosecausedbytheAgent'sgrossnegligenceorwillfulmisconduct.

4.2TheAgentshallindemnifytheBrandOwneragainstanyclaims,losses,damages,orexpenses(includingattorney'sfees)incurredbytheBrandOwnerinconnectionwiththeperformanceofthebrandregistrationservice,exceptforthosecausedbytheBrandOwner'sgrossnegligenceorwillfulmisconduct.

Article5:TermandTermination

5.1ThisContractshallbecomeeffectiveuponthesigningofbothPartiesandshallremainineffectforaperiodofoneyearfromthedateofeffectiveness.

5.2EitherPartymayterminatethisContractbygivingwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialprovisionofthisContractandfailstocuresuchbreachwithin30daysafterreceiptofwrittennoticefromtheotherParty.

Article6:DisputeResolution

6.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbynegotiationbetweentheParties.

6.2IfthePartiesareunabletoresolveanydisputethroughnegotiation,eitherPartymaysubmitthedisputetothecourtsofChinaforresolution.

Article7:Miscellaneous

7.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,betweenthePartieswithrespecttothesubjectmatterhereof.

7.2ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.

7.3ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofChina.
