finitionofConfidentialInformationConfidentialinformationforthepurposesofthisContractincludesbutisnotlimitedtotradesecrets,technicalinformation,customerinformation,etc.,asdetailedinAttachment8.7.2ObligationsofConfidentialityBothpartiesshallkeepconfidentialallconfidentialinformationobtainedduringtheperformanceofthisContractandshallnotdiscloseittoanythirdpartywithoutthewrittenconsentoftheotherparty.7.3ConfidentialityPeriodandExceptionsTheobligationofconfidentialityshallremainineffectfromtheeffectivedateofthisContractuntiltheconfidentialinformationispubliclydisclosedornolongerhascommercialvalue.Disclosurerequiredbylawisexemptfromthisclause.Chapter8:WarrantiesandDisclaimers8.1WarrantiesbyPartyAPartyAwarrantsthatithasthelegalcapacityandauthoritytoenterintothisContractandthatitsexecutionandperformanceofthisContractwillnotviolateanyapplicablelawsorregulations.8.2WarrantiesbyPartyBPartyBwarrantsthattheProductsandServicesprovidedunderthisContractwillmeetthequalitystandardsspecifiedandthatitpossessesallnecessaryrightsandpermissionstoprovidesuchProductsandServices.8.3DisclaimersNeitherPartyAnorPartyBshallbeliableforanylossordamageresultingfromforcemajeureortheactionsofthirdparties.Chapter9:LiabilityforBreach9.1DefinitionofBreachAbreachofthisContractoccurswhenapartyfailsordelaysinperforminganyofitsobligationsunderthisContractorviolatesanyofthetermsofthisContract.9.2LiabilityforBreachThebreachingpartyshallcompensatethenon-breachingpartyforalldirectlossesandreasonableexpensesincurredasaresultofthebreach.9.3CompensationandMitigationIfthebreachingpartyremediesthebreachwithin______daysafterreceivingwrittennoticefromthenon-breachingpartyandthenon-breachingpartyagreestoaccepttheremedy,thebreachingpartymaybepartiallyorfullyrelievedofitsliabilityforcompensation.Chapter10:ContractVariationandTermination10.1ContractVariationAnymodificationoramendmenttothisContractmustbemadeinwritingandshallbecomeeffectiveuponbeingsignedbytheauthorizedrepresentativesofbothparties.10.2ConditionsforTerminationThisContractmaybeterminatedunderthefollowingcircumstances:(a)mutualagreementoftheparties;(b)breachbyoneparty,withtheotherpartychoosingtoterminate;(c)forcemajeurerenderingtheContractunenforceable.10.3RightsandObligationsuponTerminationUponterminationofthisContract,bothpartiesshallfulfillallobligationsthathavealreadycommenced,unlessotherwisestipulatedbylaworagreeduponbytheparties.Chapter11:ForceMajeure11.1DefinitionofForceMajeureForcemajeurereferstounforeseeable,unavoidable,andinsurmountableobjectivecircumstances,suchasnaturaldisasters,wars,governmentactions,etc.11.2NotificationandProofofForceMajeureApartyclaimingforcemajeureshallpromptlynotifytheotherpartyinwritingandprovideproofoftheforcemajeureeventwithinareasonabletime.11.3ConsequencesofForceMajeureIfapartyisunabletoperformorisdelayedinperformingitsobligationsunderthisContractduetoforcemajeure,suchpartymaybeexemptedorpartiallyexemptedfromliability,providedthatittakestimelymeasurestomitigatethelosses.Chapter12:DisputeResolution12.1MethodsofDisputeResolutionThepartiesshallfirstattempttoresolveanydisputesthroughfriendlynegotiations.Ifnegotiationsfail,thepartiesmayrequestmediationbyathirdparty.12.2ArbitrationandLitigationIfmediationisunsuccessful,anypartymaysubmitthedisputetothearbitrationcommissionspecifiedinthisContractforarbitrationinaccordancewithitsrules.Thearbitrationawardshallbefinalandbindingonbothparties.12.3CostsofDisputeResolutionUnlessotherwiseprovidedinthearbitrationaward,thepartythatlosesthearbitrationshallbearthearbitrationcosts.Chapter13:AdditionalProvisions13.1AdditionalServicesShouldPartyArequireadditionalservicesnotlistedinthisContract,thepartiesshallenterintoasupplementaryagreement.13.2SpecialTermsAllspecialtermsincludedinthisContractaredetailedinAttachment9.13.3CompletenessoftheContractThisContractanditsattachmentsconstitutetheentireagreementbetweenthepartiesregardingthesubjectmatterofthisContractandsupersedeallpriororalorwrittenagreements.Chapter14:ContractExecution14.1SigningPartiesPartyA:______PartyB:______14.2SigningDateThisContractissignedonthe______dayof,20.14.3SigningPlaceThisContractissignedatthelocationof:______.14.4ConditionsforContractEffectivenessThisContractshallbecomeeffectiveuponthedateofsigningbytheauthorizedrepresentativesofbothparties.14.5CopiesandFilingoftheContractThisContractismadeintwooriginals,eachpartyholdingone,withequallegaleffect.BothpartiesshallsubmitcopiesoftheContracttotherelevantgovernmentdepartmentsforfiling.多方为主导时的，附件条款及说明附件一：产品规格和标准产品规格产品型号：______尺寸：______重量：______材料：______颜色：______包装要求：______产品标准符合国家/国际标准：______质量控制流程：______产品性能指标：______产品认证必须通过的认证：______认证机构：______附件二：服务水平协议（SLA）服务范围服务内容：______服务时间：______服务地点：______服务标准响应时间：______问题解决时间：______服务可用性：______服务监控监控机制：______性能报告：______附件三：价目表产品价格产品型号：，单价：产品型号：，单价：服务费用服务类型：，费用：服务类型：，费用：价格调整机制价格调整条件：______价格调整通知：______附件四：支付条款付款方式银行转账：______信用证：______其他：______付款条件预付款：______分期付款：______尾款：______付款流程发票开具：______付款确认：______附件五：交付时间表产品交付型号：，预计交付日期：型号：，预计交付日期：服务提供服务类型：，开始日期：，结束日期：______服务类型：，开始日期：，结束日期：__
