酒水供应合同中英文版酒水供应合同中英文版/酒水供应合同中英文版酒水供应合同供方（Supplier）（以下简称甲方PartyA）：需方（demander）（以下简称乙方PartyB）：甲、乙双方本着平等互利，共同发展的原则，经双方友好协商，就甲方向乙方供应__酒水__相关事宜达成如下协议：PartyAandPartyBagreetothefollowingtermsandconditionsonPartyA'ssupplyofdrinkstoPartyB.供货品牌、规格、价格Brand\Specifications\Price品牌brand规格specification价格price备注remarks定货、送货、验货及退货Order\Delivery\ExamineGoods\Returns在正常业务情况下，甲方接到乙方电话、邮件或传真定货通知后，于【】小时/天内确认回复，并在回复收到后，保证按照乙方的订货要求的时间将乙方所定货及时送达乙方指定地址。如未按时送达而影响乙方经营，乙方有权要求赔偿。送货日期以订单上日期为准。Innormalbusinesstime,afterreceivingParty’sorderbyphone,emailorfax,PartyAshallconfirmwithPartyAwithin【】hours/days,andafterreceivingthereply,PartyAshallensureatimelydeliveryofthegoodstothedesignatedaddressaccordingtoPartyB’sorderedtime.PartyBshallhavetherighttoclaimcompensationifPartyAfailstodeliverthegoodsontime.Thedateofdeliveryissubjecttothedateoftheorder.如临时增订非约定范围内的产品，乙方应向甲方说明情况，双方协商解决。IfPartyBneedstemporarilytoaddorderofproductswhicharenotspecifiedintheprecedingorder,PartyBshallnotifyPartyAandthetwoPartiesshallresolvethesituationthroughnegotiation.乙方收到货物后应当场对货物品种、规格型号、数量、外包装等进行当场查验核实。Onreceivingthegoods,PartyBshallconducton-the-spotverificationthespecifications,modelsandquantityandouterpackingofthegoods.乙方对产品的品种、数量等认为不符合到货验收标准的，乙方有权当场拒收。乙方也可以在收到产品后【】日内就前述问题向甲方提出书面异议，经双方核实确属甲方责任的，乙方有权退货或者要求甲方补正。PartyBshallhavetherighttorefusetoaccepttheproductsofwhichthetype,quantitiesandotherstandardsaredeemedtobeinconsistentwiththeagreedstandards.PartyBmay,uponreceiptoftheproducts,makeawrittenobjectiontoPartyAinthefollowing【】days.AndPartyBshallhavetherighttoreturnthegoodsoraskPartyAtomakeuptheissueifPartyA’sresponsibilityisconfirmedbybothparties.乙方如发现质量问题，应在发现之日起【2】日内通知甲方并封完好样品，作为凭证以利于同厂家交涉解决。Forthequalityproblem,PartyBshallnotifyPartyAandsealthesampleswithin【2】daysofthediscovery,asacertificatetofacilitatethenegotiationwiththemanufacturer.双方确认：经乙方授权的乙方工作人员为乙方收到货物的签收人。如果乙方收货人员发生变动，应及时以书面形式向甲方说明。甲方将产品交付给任何其他人均视为未交付，由此产生的损失均由甲方承担。BothpartiesconfirmthatPartyB'sauthorizedstaffshallreceivethegoodsastherecipientofPartyB.IfPartyB'srecipient(authorizedstaff)changes,itshallnotifyPartyAinwriting.PartyA‘sdeliveryoftheproductstoanyotherpersonshallbedeemedundelivered,andthelossesresultingtherefromshallbebornebyPartyA.产品的包装、运输Package\Transportation甲方负责产品的包装、运输和装卸并承担费用，确保产品完好无损地按时交付给乙方。否则，给乙方经营及管理造成影响或损失的，由甲方承担赔偿责任，乙方有权从货款中扣除。PartyAshallberesponsibleforthepackaging,transportationLoadingandunloadingoftheproducts,andshallbeartheexpensestoensurethattheproductsaredeliveredtoPartyBontimeandingoodcondition.Otherwise,PartyAshallbeliableforthedamageorlosscausedtoPartyB,andPartyBshallhavetherighttodeductthedamagesfromthepayment.甲方对其提供的产品应一律采用生产商的原厂包装，并根据产品特性、规格等要求按适合方式进行包装和装运，以确保产品安全完好的抵达交付地点。由于包装不当造成产品在运输过程中有任何随坏或丢失的，甲方应承担相应的责任和损失。TheproductsprovidedbyPartyAshallbepackedwiththemanufacturer'soriginalpackagingandbepackedandtransportedaccordingtotheproductfeatures,specificationsandotherrequirementsaccordinginsuitablewaytoensurethattheproductissafelyandintactlyarrivedindeliveryplace.PartyAshallbearthecorrespondingresponsibilitiesandlossesduetotheimproperpackingortransportation,whichcausesanyproducttobedamagedorlostintransit若甲方食品包装不合格等原因导致食品在甲方正常仓储环境下变质，乙方有权要求甲方退换变质食品，因此造成的各项费用由甲方承担；如果因此给以方造成经济损失，甲方应当全额赔偿乙方经济损失。乙方选择更换的，甲方承诺在乙方提出更换要求后【2】天内免费更换。IfPartyA'spackagingfailstomeettherequirementsandcausesthegoodstodeteriorateinthenormalstorageenvironment,PartyBshallhavetherighttorequestPartyAtoexchange

refundandtheresultingexpensesandeconomiclossesshallbebornebyPartyA.IfPartyBchoosestoreplacethedeterioratedgoods,PartyApromisestoreplaceitwithin【2】daysafterPartyB'srequestforreplacement.交货地点PlaceofDelivery：______________________________结算方式PaymentCondition结算方式原则为月结。Thesettlementperiodshallbeamonth.每月【】日为对账日，每个自然月【】日前，甲方应根据上一自然月供货情况（按照已交付产品数量进行计算）向乙方提供结算申请单，经乙方确认后，甲方应当根据应付款金额向乙方开具正式发票。Everydate【】shallbethedayforreconciliationeverymonth.Foreverynaturalmonth,ondate【】,PartyAshallprovidePartyBthesettlementapplicationformaccordingtotheactualsupplyofgoods(thequantityshallbecalculatedaccordingtotheactualdeliveredproducts).AfterconfirmedbyPartyB,PartyAshallprovidetheofficialinvoicetoPartyBaccordingtotheaccountspayableamount,每月【25】_日为付款日，乙方在收到甲方发票后，于每月【25】日内向甲方支付，结款数额为上月对账单的全部金额。PartyBshallpaytheamountofthebilltoPartyAeverymonthonthedate【】afterreceiptoftheinvoicefromPartyA.甲方应当在乙方付款前的规定时间内向甲方开具及甲方应付款金额一致的增值税专用发票。发票抬头为：合同上述乙方公司。发票号码应及税务登记号码相对应。甲方不得出具假发票或用其他公司发票加盖甲方公章顶替，否则，乙方有权暂停支付货款直至甲方提供符合要求的发票时止，且乙方不承担任何逾期付款的责任。PartyAshallprovidePartyBtheVATinvoiceatthetimeaforesaid.Theinvoice

valueshallbeconsistentwiththetotalamountpayable.Theinvoicepayableto:thenameofPartyBofthiscontractandtheinvoicenumbershouldcorrespondtothetaxregistrationnumber.Anyfalseinvoicesoranyothercompany’sinvoiceswithPartyA’sofficialsealshallberejectedbyPartyBandPartyBshallhastherighttosuspendpaymentuntilPartyAprovidethetrueandeffectiveinvoice.InthiscasePartyBshallnotassumeanyliabilityforlatepayment.甲方收款账户PaymentAccount：户名BankHolder：账号BankNo.：开户行Bank：甲方权利和义务PartyA’sRightsandResponsibilities甲方所供产品，必须不低于国家现行质量标准及行业相关标准，双方对质量标准有特殊约定的，依照双方所约定的标准验收。TheproductsprovidedbyPartyAshallreachthecurrentqualitystandards,therelatedstandardsofthestate,andthespecialprovisionsagreeduponbybothparties甲方应当出具产品的合格证书、出厂检测报告、原产地证明等相关质量证明文件（如适用）（加盖甲方公章），进口产品还应当提供报关单和入境产品检验检疫证明等凭证。甲方未能提供上述资料的，乙方有权拒收。PartyAshallissueacertificateofproductqualityinspectionreport,certificateoforiginsiteandotherrelateddocuments(ifneed)(withtheofficialsealofPartyA)toPartyB.ForimportedgoodsPartyAshallalsoprovidecustomsdeclarationandentrydocumentofproductinspectionandquarantinecertificate.IfPartyAfailstoprovidetheaboveinformationofdocuments,PartyBshallhavetherighttorejecttheproducts.甲方保证其所提供各项产品的剩余保质期间不少于产品保质期的50%（自产品交付给乙方并经乙方验收合格之日起算）。PartyAensuresthattheremainingperiodoftheproductwarrantyperiodisnolessthan50%oftheproductwarrantyperiod(fromthedatewhentheproductsaredeliveredtoandconfirmedbyPartyB).甲方保证对其供应产品质量承担全部责任。凡因产品质量问题或者其他因甲方原因引起的一切纠纷和责任（包括及第三方的纠纷和对第三方承担的责任），均由甲方负责处理及承担；如乙方因此遭受任何损失的，甲方应全额赔偿。PartyAundertakesallresponsibilitiesforthequalityofitssuppliedproducts.AnyproductqualityproblemsorotherdisputescausedbyPartyA(includingadisputewithathirdPartyandtheresponsibilitytothethirdparty)shallbebornebyPartyA;IfPartyBsuffersanylossthereof,PartyAshallcompensatethelossesinfull.甲方保证对其销售给乙方的产品享有合法和完整的所有权，产品不存在任何权属争议，亦未设定任何抵押、质押、担保或任何其他权利负担，并且不存在依法被禁止或限制销售等情况，否则，乙方有权解除本合同，届时，甲方应立即退还乙方已付的全部款项，并赔偿乙方因此遭受的一切损失。PartyAensuresthatPartyAenjoythelegalandcompleteownershipoftheproducthereof.Andthereexistnoownershipdispute,andalsotheproductsarenotsetanymortgage,pledge,guarantee,oranyotherencumbrances,andtheproductsarenotbannedorrestrictedaccordingtolaw,etc.,otherwise,PartyBshallhastherighttoterminatethiscontract,inthatcasePartyAshallimmediatelyrefundPartyBallthepayment,andcompensatePartyBallthelosses.乙方权利和义务PartyB’sRightsandResponsibilities乙方应按照合同约定按时支付货款.PartyBshallpaythepaymentontimeaccordingtothecontract.乙方销售过程中，如出现产品质量问题，由甲方协助乙方及生产厂家联络沟通共同解决

Foranyproductqualityproblemsoccurred,PartyAshallassistPartyBtocommunicatewiththemanufacturertosolvetheproductqualityproblems如发生任何非因乙方原因导致的退货，甲方应当应乙方要求，在接到乙方退款通知后【】日内，将退货所涉货款退还至乙方指定账户。ForanyrefundrequiredwhichisnotcausedbyPartyB,PartyAshallreturnthepaymenttoPartyB'sdesignatedaccountwithin【】daysattherequestofPartyB.合同解除及违约责任BreachandTerminationofContract甲方未按约定时间交付产品的，每逾期1日，甲方应按该笔订单产品总价值的1%向乙方支付违约金；逾期达10日的，乙方有权取消该笔订单，甲方应向乙方支付该笔订单产品总价值30%的违约金，并赔偿乙方因此遭受的全部损失（包括乙方因向其他供应商采购同种产品而多支出的费用，若造成乙方未及时向其他供应商采购产品的，甲方仍需赔偿乙方全部损失）。IfPartyAfailstodelivertheproductinaccordancewiththeagreedtime,PartyAshallpayPartyBliquidateddamagesof1%ofthetotalvalueoftheorderperday.OnconditionthatPartyAexceedthetimelimitfor10days,PartyBhastherighttocancelthisorderandclaimPartyAliquidateddamagesat30%ofthetotalvalueoftheorder,andcompensationforalllossofPartyB(includingPartyB’sprocurementcostsandexpensesofthesameproductsfromothersupplierandfurthermorePartyB’slosses,ifPartyBcannotpurchaseproductsfromothersupplierstimely).在甲方按照合同约定履行交货义务的前提下，乙方未按照约定支付货款的，甲方有权要求乙方支付违约金，每逾期一日，乙方应按应付未付款项的1‰向甲方支付违约金。UnderthepremisethatPartyAhasfulfilleditsobligationsofdeliveryspecifiedinthecontract,PartyBshallmakepaymentinaccordancewiththecontract.OtherwisePartyAshallhavetherighttorequirePartyBliquidateddamagesat1‰ofthetotalvalueoftheorderperday.如果甲方发生下列情况之一时，乙方有权单方解除合同。Inoneofthefollowingsituations,PartyBshallhavetherighttocancelthecontractunilaterally.甲方不能按照合同及时供货影响了乙方的正常经营。PartyAcannottimelysupplythegoodsinaccordancewiththecontractandthusaffectthenormaloperationofPartyB.甲方提供假冒、伪劣的产品被顾客投诉，确认属实。PartyAprovidescounterfeitandinferiorproductswhichcausecustomers’complaintsandthisfacthasbeentheconfirmedbyPartyB.双方任何一方如因单方因素，要求停止履行合同，应提前【30】天通知对方。否则应视为违约，应赔偿由此给对方造成的经济损失。Ifeitherpartyrequeststoterminatetheperformanceofthecontractbeforethiscontractexpireduetounilateralfactors,itshallnotifytheotherparty【30】daysinadvance.Otherwise,itshallbedeemedasabreachofcontractandcompensationshouldbeliablefortheeconomiclosscausedtotheotherparty.争议及解决DisputeResolution甲乙双方在本合同履行期间发生的争议，应当通过友好协商解决。协商不成的，可诉讼解决。本合同约定乙方所在地法院为诉讼管辖法院.本协议适用中华人民共和国法律。Disputesarisingduringtheperformanceofthiscontractshallbesettledthroughfriendlynegotiation.Incasenosettlementcanbereached,thecaseatissueshallbesubmittedtothePeople'sCourtintheplacewherePartyBislocated.ThiscontractshallbegovernedbythelawsofthePeople’sRepublicofChina.不可抗力ForceMajeure双方因不可抗力，包括自然灾害、战争、政府行为、社会骚乱等情况而不能履行其合同义务，均不负违约责任。但援引不可抗力的一方需尽力避免或减小不可抗力造成的损失，并在不可抗力消除10天内以书面、邮件或传真的方式通知另一方当事人该事件的发生。Bothpartiesshallnotbeliablefortheircontractualobligationsduetoforcemajeure,includingnaturaldisasters,war,governmentACTS,socialdisturbances,etc.Butthepartyquotedtheforcemajeureshouldtrytoavoidorreducethelosscausedbyforcemajeure,andnotifytheotherpartyinwrittenform,emailorfaxwithin10daysaftertheforcemajeureiseliminated.本合同有效期自___-年___月____日起至____年___月___日
