银行借款英文合同范本

BANKLOANAGREEMENT

ThisBankLoanAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertLenderName],a[InsertLender'sJurisdiction]corporationwithitsprincipalplaceofbusinessat[InsertLender'sAddress]("Lender"),and[InsertBorrowerName],a[InsertBorrower'sJurisdiction]corporationwithitsprincipalplaceofbusinessat[InsertBorrower'sAddress]("Borrower").

###1.LoanAmount

LenderagreestolendtoBorrower,andBorroweragreestoacceptfromLender,thesumof[InsertLoanAmount](the"LoanAmount"),suchamounttobedisbursedinaccordancewiththetermsandconditionssetforthherein.

###2.PurposeofLoan

TheLoanAmountisintendedtobeusedbyBorrowerforthepurposeof[InsertPurposeofLoan],andBorrowershallnotusetheLoanAmountforanyotherpurposewithoutthepriorwrittenconsentofLender.

###3.InterestRateandPaymentofInterest

TheLoanAmountshallbearinterestatarateof[InsertInterestRate]perannum,calculatedontheactualnumberofdayselapsedoverayearof[InsertDaysinYearforInterestCalculation]days.Interestshallbepayable[InsertFrequencyofInterestPayment],commencingon[InsertDateofFirstInterestPayment].

###4.RepaymentofPrincipal

TheBorrowershallrepaytheprincipalamountoftheLoanin[InsertNumberofInstallments]equalinstallments,eachof[InsertAmountofEachInstallment],onthe[InsertDayofMonth]ofeachmonth,commencing[InsertDateofFirstPrincipalRepayment].

###5.Fees

BorrowershallpaytoLenderthefollowingfeesinconnectionwiththisAgreement:(i)anoriginationfeeof[InsertOriginationFeeAmount],and(ii)anyotherfeesasmaybespecifiedintheLoanCommitmentLetteroranyotherdocumentexecutedinconnectionwiththisAgreement.

###6.Security

BorrowerherebygrantstoLenderasecurityinterestinallofBorrower'spresentandfutureassets,includingbutnotlimitedto[InsertSpecificAssets],assecurityfortherepaymentoftheLoanAmountandallaccruedinterestandotherobligationsofBorrowerunderthisAgreement.

###7.CovenantsofBorrower

Borrowercovenantsandagreesasfollows:

-TokeepLenderinformedofBorrower'sfinancialconditionandoperations.

-Tomaintainadequateinsurancecoverageforitsassets.

-TonotincuradditionalindebtednesswithoutthepriorwrittenconsentofLender.

###8.EventsofDefault

TheoccurrenceofanyofthefollowingshallconstituteanEventofDefault:

-FailuretopayanyamountwhendueunderthisAgreement.

-BreachofanycovenantorrepresentationmadebyBorrowerinthisAgreement.

-TheoccurrenceofanyeventthatrendersBorrowerinsolventorunabletopayitsdebtsastheybecomedue.

###9.RemediesUponDefault

UpontheoccurrenceofanEventofDefault,Lendershallhavetherightto:

-DeclareallamountsowingbyBorrowerunderthisAgreementtobeimmediatelydueandpayable.

-ExerciseanyandallrightsandremediesavailabletoLenderunderthesecuritydocumentsexecutedinconnectionwiththisAgreement.

###10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningLawJurisdiction],withoutgivingeffecttoanychoiceoflaworconflictoflawprovisions.

###11.Notices

Allnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourierservice,orthree(3)daysafterbeingsentbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested,totherespectivepartiesattheaddressessetforthaboveoratsuchotheraddressaseitherpartymaydesignateinwriting.

###12.EntireAgreement

ThisAgreement,alongwithanyexhibitsorschedulesattachedhereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.

###13.AmendmentandWaiver

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothparties.

###14.SuccessorsandAssigns

ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.
