锅炉专业制造保证合同编号：__________boilermanufacturingguaranteecontractBETWEEN:[Contractor’sName]Address:[Contractor’sAddress]City:[Contractor’sCity]Province:[Contractor’sProvince]PostalCode:[Contractor’sPostalCode]AND:[Client’sName]Address:[Client’sAddress]City:[Client’sCity]Province:[Client’sProvince]PostalCode:[Client’sPostalCode](Hereinafterreferredtoasthe“Parties”)WITNESSETH:1.ThePartiesheretoagreeasfollows:Article1:DefinitionandInterpretation1.1.InthisContract,unlessthecontextotherwiserequires,thefollowingtermsshallhavethefollowingmeanings:(a)“Contract”meansthisboilermanufacturingguaranteecontract,includingallexhibits,schedules,andappendiceshereto;(b)“Contractor”means[Contractor’sName];(c)“Client”means[Client’sName];(d)“Boiler”meanstheboilerspecifiedinExhibitAhereto;(e)“GuaranteePeriod”meanstheperiodstartingfromtheDeliveryDateandendingontheExpirationDate;(f)“DeliveryDate”meansthedateonwhichtheBoilerisdeliveredtotheClient;(g)“ExpirationDate”meansthedateonwhichtheguaranteeperiodexpires;(h)“Manufacturer”meansthemanufactureroftheBoiler;(i)“Warranty”meansthewarrantyprovidedtheManufacturerfortheBoiler;(j)“Work”meanstheworktobeperformedtheContractorunderthisContract.1.2.TheheadingsinthisContractareforconvenienceonlyandshallnotbeusedininterpretingitsprovisions.Article2:BoilerManufacturingandQualityAssurance2.2.TheContractorrepresentsandwarrantsthattheBoilermanufacturedunderthisContractshallbefreefromanydefectsindesign,materials,andworkmanship.TheContractorfurtherwarrantsthattheBoilershallmeetorexceedtheperformancespecificationssetforthinExhibitAhereto.2.3.TheContractorshallprovidetheClientwithawrittenWarranty,whichshallspecifythetermsandconditionsofthewarrantycoverage,includingbutnotlimitedtothedurationofthewarranty,thescopeofthewarranty,andtheproceduresformakingawarrantyclaim.Article3:DeliveryandAcceptance3.1.TheContractorshalldelivertheBoilertotheClientatthelocationspecifiedinExhibitAheretoonorbeforetheDeliveryDate.3.2.TheClientshallhavetherighttoinspectandtesttheBoilerwithinareasonabletimeafteritsdeliverytoensurethatitconformstothespecificationsandrequirementssetforthinExhibitAhereto.IftheClientfindsthattheBoilerdoesnotconformtosuchspecificationsandrequirements,theClientshallnotifytheContractorinwritingwithinareasonabletimeafterthedelivery.3.3.IftheClientnotifiestheContractorofanynonconformitiesinaccordancewithArticle3.2,theContractorshall,atitsownexpense,promptlycorrectsuchnonconformitiesorreplacetheBoilerwithaconformingboiler.Article4:GuaranteeandWarranty4.1.TheContractorheregrantstotheClientaguaranteefortheBoilerfortheGuaranteePeriodassetforthinExhibitAhereto.4.2.DuringtheGuaranteePeriod,theContractoragreestorepairorreplacetheBoiler,atitsownexpense,ifitfailstoconformtothespecificationsandrequirementssetforthinExhibitAheretoduetodefectsindesign,materials,orworkmanship.4.3.TheContractor’sobligationsunderthisArticle4shallbeinadditiontoanyrightsandremediestheClientmayhaveundertheWarranty.Article5:Indemnification5.1.TheContractoragreestoindemnifyandholdharmlesstheClientfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingbutnotlimitedtoattorney’sfeesandcourtcosts)arisingoutoforinconnectionwith一、附件列表：1.锅炉制造保证合同2.锅炉规格书（详见锅炉的技术参数、设计要求等）3.制造商提供的锅炉保修说明4.合同双方签署的交付和验收记录5.锅炉性能测试报告6.锅炉安装和使用说明书7.相关法律法规和行业标准文件二、违约行为及认定：1.制造商未能按照合同约定的时间完成锅炉的制造和交付。2.锅炉的性能、质量或规格不符合合同规定的要求。3.制造商未提供合同约定的售后服务或保修条款。4.任何一方未履行合同中的其他义务。三、法律名词及解释：1.锅炉：指合同中约定的特定锅炉设备。2.制造：指锅炉的加工、组装和生产过程。3.保修：指制造商对锅炉提供的性能和质量保证。4.违约：指未能履行合同约定的义务。5.赔偿：指因违约行为而需要支付的补偿金额。四、执行中遇到的问题及解决办法：1.锅炉制造延期：与制造商沟通，协商延期交付的合理期限，并尽可能提前通知客户。2.锅炉质量问题：立即通知制造商，根据保修条款要求制造商进行修复或更换。3.售后服务不足：与制造商沟通，要求其履行合同约定的售后服
