2024版设备采购合同英文合同编号：__________ContractforthePurchaseofEquipment(EffectiveDate:__________)ThisContractforthePurchaseofEquipment("Contract")ismadeandenteredintoasoftheEffectiveDateandbetween:[SupplierInformation]and[BuyerInformation](eacha"Party"andcollectivelythe"Parties").RECITALS:WHEREAS,theSupplierisengagedinthebusinessofmanufacturing,supplying,andsellingequipment;WHEREAS,theBuyerdesirestopurchasecertainequipment(asdescribedinExhibitAattachedhereto)fromtheSupplier;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:Article1:EquipmentDescriptionandSpecifications1.1EquipmentDescription.TheSupplieragreestosell,andtheBuyeragreestobuy,theequipmentdescribedinExhibitAattachedhereto(the"Equipment").1.2EquipmentSpecifications.TheEquipmentshallconformtothespecificationssetforthinExhibitBattachedhereto.Article2:PurchasePriceandPaymentTerms2.1PurchasePrice.ThepurchasepricefortheEquipmentshallbe[Price](the"PurchasePrice").ThePurchasePriceshallbepaidtheBuyertotheSupplierinaccordancewiththepaymenttermssetforthinthisArticle2.2.2PaymentTerms.ThePurchasePriceshallbepaidtheBuyertotheSupplierwiretransfertotheSupplier'sdesignatedbankaccount,inaccordancewiththefollowingschedule:(a)[Percentage]ofthePurchasePriceshallbepaidtheBuyertotheSupplierupontheexecutionofthisContract;(b)[Percentage]ofthePurchasePriceshallbepaidtheBuyertotheSupplieruponthedeliveryoftheEquipmentasprovidedinArticle4below;(c)[Percentage]ofthePurchasePriceshallbepaidtheBuyertotheSupplierupontheacceptanceoftheEquipmenttheBuyerasprovidedinArticle5below.2.3Interest.IftheBuyerfailstomakeanypaymentwhendue,theBuyershallpayinterestontheunpaidbalanceatarateof[InterestRate]perannum,calculatedfromthedatesuchpaymentwasdueuntilthedatepaid.Article3:DeliveryandInspection3.1Delivery.TheSuppliershalldelivertheEquipmenttotheBuyeratthelocationsetforthinExhibitCattachedhereto(the"DeliveryLocation")onorbeforethedatesetforthinExhibitA(the"DeliveryDate").3.2Inspection.Upondelivery,theBuyershallhavetherighttoinspecttheEquipmenttoconfirmitsconformitywiththespecificationssetforthinExhibitB.IftheEquipmentdoesnotconformtothespecifications,theBuyershallnotifytheSupplierinwritingwithin[Number]daysafterdelivery.TheSuppliershall,atitssolediscretion,eitherreplacethenonconformingEquipmentorrefundthePurchasePriceforsuchnonconformingEquipment.Article4:TitleandRiskofLoss4.1Title.TitletotheEquipmentshallpassfromtheSuppliertotheBuyerupontheBuyer'spaymentofthePurchasePriceinfull.4.2RiskofLoss.RiskoflossfortheEquipmentshallpassfromtheSuppliertotheBuyeruponthedeliveryoftheEquipmenttotheDeliveryLocation.Article5:AcceptanceandWarranty5.1Acceptance.TheBuyershallaccepttheEquipmentuponsatisfactionoftheconditionssetforthinArticle3above.Article6:IntellectualProperty6.1Ownership.TheSuppliershallretainallright,,andinterestinandtoanyintellectualpropertyrelatedtotheEquipment,includingbutnotlimitedtopatents,trademarks,andcopyrights.6.2License.TheSuppliergrantstheBuyeranonexclusive一、附件列表：1.ExhibitAEquipmentDescription

3.ExhibitCDeliveryLocation二、违约行为及认定：1.买方未按时支付购买价格：根据Article2.2，买方未能按照约定的时间表支付PurchasePrice。

2.卖方未按时交付设备：根据Article3.1，卖方未能在DeliveryDate之前交付Equipment。

3.设备不符合规格：根据Article3.2，Equipment不符合ExhibitB中规定的规格。

4.卖方未提供有效保修服务：根据Article5.2，卖方未能在WarrantyPeriod内按照约定维修或更换缺陷设备。三、法律名词及解释：1.合同方：指本合同中签署的双方，分别为卖方（Supplier）和买方（Buyer）。

2.设备（Equipment）：指本合同中卖方同意出售，买方同意购买的物品，具体描述见ExhibitA。

3.购买价格（PurchasePrice）：指买方根据本合同约定应支付给卖方的设备价款。

4.交付（Delivery）：指卖方将设备运输至买方指定地点的行为。

5.保修（Warranty）：指卖方对设备提供的质量保证，确保设备在一定期限内无材料和工艺上的缺陷。四、执行中遇到的问题及解决办法：1.延迟支付：买方若未能按时支付PurchasePrice，卖方可以暂停交付设备，并在合同约定的利息率下收取逾期付款利息。

2.交货延迟：卖方若未能在DeliveryDate之前交付Equipment，买方有权要求卖方支付违约金或要求卖方在合理时间内交付。
