SAMPLEPURCHASEAGREEMENT

ThisSAMPLEPURCHASEAGREEMENT(the"Agreement")ismadeandenteredintoasofthe__________dayof__________,20__,byandbetween__________("Supplier"),withitsprincipalplaceofbusinessat__________,and__________("Purchaser"),withitsprincipalplaceofbusinessat__________.

WHEREAS,Supplierisinthebusinessofmanufacturingandsupplyingvarioustypesofsamples;and

WHEREAS,PurchaserdesirestopurchasecertainsamplesfromSupplierfortestingandevaluationpurposes.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thepartiesagreeasfollows:

1.SamplestobeSupplied:SuppliershallsupplytoPurchaserthesamplesasdetailedintheattachedScheduleA(the"Samples").

2.PurchaseOrder:PurchasershallplaceordersfortheSamplesbyissuingapurchaseorder("PurchaseOrder")toSupplier.EachPurchaseOrdershallbedeemedacceptedbySupplieruponwrittenconfirmation.

3.Delivery:SuppliershalldelivertheSamplestothelocationspecifiedinthePurchaseOrderwithin__________daysafterthedateofacceptanceofthePurchaseOrder.

4.PaymentTerms:PurchasershallpaySupplierthepurchasepricefortheSamplesasspecifiedinthePurchaseOrderwithin__________daysafterreceiptofaninvoicefromSupplier.

5.Warranty:SupplierwarrantsthattheSampleswillbefreefromdefectsinmaterialandworkmanshipforaperiodof__________fromthedateofdelivery.Suppliershall,atitsoption,repairorreplaceanySamplethatisfoundtobedefectivewithinthewarrantyperiod.

6.Confidentiality:BothpartiesagreetokeepconfidentialanyinformationreceivedfromtheotherpartyinconnectionwiththisAgreement,exceptasrequiredbylaworwiththepriorwrittenconsentofthedisclosingparty.

7.IntellectualProperty:SupplierrepresentsandwarrantsthattheSamplesdonotinfringeanythird-partyintellectualpropertyrights.Suppliershalldefend,indemnify,andholdharmlessPurchaserfromanyclaimsarisingfromabreachofthiswarranty.

8.TermandTermination:ThisAgreementshallcommenceonthedatehereofandshallcontinueuntilterminatedbyeitherpartyupon__________days'writtennotice.Notwithstandingtheforegoing,eitherpartymayterminatethisAgreementimmediatelyuponwrittennoticeiftheotherpartybreachesanymaterialtermhereof.

9.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty.

10.GoverningLawandJurisdiction:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe__________withoutgivingeffecttoanychoiceoflaworconflictoflawprovisions.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbythecourtslocatedin__________.

11.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.

12.Amendments:NoamendmentormodificationofthisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothparties.

13.Severability:IfanyprovisionofthisAgreementisheldtobeillegal,invalidorunenforceable,suchprovisionshallbeenforcedtothefullestextentpossibleandtheremainingprovisionsshallremaininfullforceandeffect.

14.Notices:Allnotices,requests,demandsandothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourierservice,orthreedaysafterbeingsentbycertifiedmail,postageprepaid,totheaddressessetforthaboveortosuchotheraddressaseitherpartymaydesignateinwriting.
