FRANCHISEAGREEMENT

ThisFranchiseAgreement(the"Agreement")ismadeandenteredintoasofthe__________dayof__________,20__,byandbetween__________(the"Franchisee"),withitsprincipalplaceofbusinessat__________,and__________(the"Franchisor"),withitsprincipalplaceofbusinessat__________.

1.GRANTOFFRANCHISE

TheFranchisorherebygrantstotheFranchisee,andtheFranchiseeherebyaccepts,thenon-exclusiverightandprivilegetooperateafranchisedbusinessunderthenameandsystemoftheFranchisor,whichincludestherighttousetheFranchisor'strademarks,tradenames,servicemarks,logos,andotherproprietarymaterials(collectively,the"Marks"),subjecttothetermsandconditionsofthisAgreement.

2.TERRITORY

Thefranchisedbusinessshallbeconductedwithinthedesignatedterritorydescribedas__________(the"Territory").

3.TERM

ThetermofthisAgreementshallcommenceonthedatehereofandshallcontinueforaperiodof__________years,unlesssoonerterminatedinaccordancewiththeprovisionsofthisAgreement.

4.INITIALFRANCHISEFEE

7.SITESELECTION

TheFranchiseeshallselectasiteforthefranchisedbusinessinaccordancewiththeFranchisor'ssiteselectioncriteria,whicharesetforthinExhibitAattachedhereto.

8.TRAININGANDASSISTANCE

TheFranchisorshallprovidetheFranchiseewithtrainingandassistanceintheoperationofthefranchisedbusiness,asmorefullydescribedinExhibitBattachedhereto.

9.STANDARDSANDPROCEDURES

TheFranchiseeshalloperatethefranchisedbusinessinaccordancewiththestandardsandproceduressetforthintheFranchisor'soperationsmanual,asamendedfromtimetotime.

10.CONFIDENTIALINFORMATION

TheFranchiseeshallmaintaintheconfidentialityofallconfidentialinformationreceivedfromtheFranchisor,andshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheFranchisor.

11.TERMINATION

ThisAgreementmaybeterminatedbyeitherpartyupontheoccurrenceofcertaineventsassetforthinArticle__________ofthisAgreement.

12.DEFAULTANDREMEDIES

IntheeventofadefaultbytheFranchisee,theFranchisorshallhavetherighttopursueallremediesavailableatlaworinequity,including,butnotlimitedto,therighttoterminatethisAgreement.

13.ASSIGNMENT

TheFranchiseeshallnotassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheFranchisor.

14.ENTIREAGREEMENT

ThisAgreement,includingallexhibitsandschedulesattachedhereto,constitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweentheparties.

15.NOTICES

AllnoticesrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourierservice,orthree(3)daysafterbeingsentbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested,totherespectiveaddressesofthepartiessetforthabove,ortosuchotheraddressaseitherpartymaydesignateinwriting.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.
