股票市场资金监控合同编号：__________stockmarketcapitalmonitoringstockmarketcapitalmonitoringagreementthisagreement(the"agreement")ismadeandenteredintoasof__________(the"effectivedate"),andbetween:__________("investor")__________("monitoringfirm")(eacha"party"andcollectivelythe"parties").referencestoapartyincludeitssuccessorsandassigns.1.purpose1.1theinvestordesirestoengagethemonitoringfirmtoprovidecapitalmonitoringservicesfortheinvestor'sstockinvestments(the"services")inaccordancewiththetermsandconditionssetforthinthisagreement.1.2themonitoringfirmagreestoprovidetheservicestotheinvestorinaccordancewiththetermsandconditionssetforthinthisagreement.2.services(a)thedateuponwhichtheservicesareterminatedinaccordancewithsection10.2;or(b)thedatewhichis__________yearsaftertheeffectivedate(the"term").2.2duringtheterm,themonitoringfirmshallprovidetheservicesinaccordancewiththefollowing:(a)themonitoringfirmshallmonitortheinvestor'sstockinvestmentsonadailybasistoensurethattheinvestor'sexposuretoanysinglestockorgroupofstocksdoesnotexceedtheinvestor'spredeterminedrisklimits;(b)themonitoringfirmshallprovidetheinvestorwithregularreportssettingforththeperformanceoftheinvestor'sstockinvestmentsandthemonitoringfirm'sanalysisofmarketconditions;and(c)themonitoringfirmshallprovidetheinvestorwithsuchotherassistanceandadviceastheinvestormayreasonablyrequestinconnectionwiththeinvestor'sstockinvestments.3.1inconsiderationfortheservicesprovidedunderthisagreement,theinvestorshallpaythemonitoringfirmafee(the"fee")equalto__________%oftheaveragedailyvalueoftheinvestor'sstockinvestmentsduringtheterm,calculatedonamonthlybasisinarrears.3.2theinvestorshallmakeallpaymentsofthefeetothemonitoringfirminaccordancewiththetermsoftheapplicablepaymentinstructionsprovidedthemonitoringfirm.4.termination4.3eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartyceasestoengageinthebusinessofprovidingcapitalmonitoringservices.4.4thisagreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyiftheotherpartyisindefaultofanyobligationunderthisagreementandsuchdefaultcontinuesforaperiodof__________daysafterreceiptofwrittennoticeofsuchdefaultfromthenonbreachingparty.4.5uponterminationofthisagreementforanyreason,themonitoringfirmshallimmediatelyceaseprovidingtheservicesandshallprovidetheinvestorwithanfinalreportsettingforththeperformanceoftheinvestor'sstockinvestmentsduringthetermandthemonitoringfirm'sanalysisofmarketconditions.5.Confidentiality5.1duringthetermofthisagreementandforaperiodof__________yearsfollowingtheterminationofthisagreement,thepartiesagreetomaintaintheconfidentialityofallconfidentialinformation(asdefinedinsection5.2)disclosedonepartytotheotherparty.5.2"confidentialinformation"meansallinformationdisclosedeitherpartytotheotherpartyunderthisagreement,whichisidentifiedasconfidentialatthetimeofsuchdisclosureorwhichshouldreasonablybeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofsuchdisclosure.5.3thepartiesagreethattheaboveobligationsofconfidentialityshallnotapplytoanyinformationwhich:(b)isrightfullyreceivedthereceivingpartyfromathirdpartywithoutanobligationofconfidentiality;(c)isindependentlydevelopedthereceivingpartywithoutuseofthedisclosingparty'sconfidentialinformation;or一、附件列表：1.投资者股票投资记录2.监控公司资本监测报告3.投资者风险限制设定4.监控公司服务记录5.双方之间的通信记录二、违约行为及认定：1.监控公司未能按照约定提供服务，或服务质量不符合协议要求。2.投资者未能按时支付费用。3.任何一方未经对方同意，泄露了保密信息。4.任何一方未能履行合同中的其他义务。三、法律名词及解释：1.违约：违反合同约定的行为。2.保密信息：指在合同过程中，一方披露给另一方的，并且被标识为保密或因其性质和披露情境应合理理解为保密的信息。3.资本监测服务：指监控公司为投资者提供的，对其股票投资进行日常监测，以确保投资者风险限制得到遵守的服务。4.有效日期：合同开始执行的日期。四、执行中遇到的问题及解决办法：1.监控公司未能按时提供报告及时与监控公司沟通，要求其提供详细情况和解决方案，必要时根据合同条款要求赔偿。2.投资者未能按时支付费用发送催款通知，明确逾期支付的违约责任，并在必要时
