WHEREAS,PartyAisdesirousofengagingtheservicesofPartyBforthepurposeof__________,andPartyBiswillingtoprovidesuchservicesonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:

1.ScopeofServices:PartyBagreestoprovidetheservicesdescribedinScheduleA(hereinafterreferredtoas"Services")toPartyA.

2.Term:ThisAgreementshallcommenceonthe__________dayof__________,20__,andshallcontinueuntil__________,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

6.IntellectualProperty:Allintellectualpropertyrightscreated,developed,orusedinthecourseofprovidingtheServicesshallbetheexclusivepropertyofPartyA.

7.Warranty:PartyBwarrantsthattheServiceswillbeperformedinaprofessionalandworkmanlikemannerandinaccordancewithindustrystandards.

8.Indemnification:PartyBshallindemnifyandholdharmlessPartyAfromanyandallclaims,damages,orliabilitiesarisingoutoftheperformanceoftheServices,excepttotheextentcausedbythenegligenceorwillfulmisconductofPartyA.

9.Termination:EitherpartymayterminatethisAgreementupon__________days'writtennoticeiftheotherpartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereof.

10.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty.

11.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__________.

12.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

13.Amendments:NoamendmentormodificationofthisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothparties.

14.Notices:AllnoticesrequiredorpermittedbythisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourierormailedbyregisteredorcertifiedmail,postageprepaid,totheaddressofthereceivingpartysetforthabove,ortosuchotheraddressaseitherpartymaydesignateinwriting.

INWITNESSWHEREOF,thepartieshaveexecutedthis
