7.WarrantiesandRepresentations

7.1TheCompanywarrantsthattheservicesprovidedwillbeperformedinaprofessionalandworkmanlikemanner.

7.2TheClientrepresentsthatithastherightandauthoritytoenterintothisAgreement.

8.LimitationofLiability

8.1TheCompany'sliabilityforanybreachofthisAgreementshallbelimitedtotheamountpaidbytheClientfortheservicesprovided.

9.Indemnification

9.1TheClientshallindemnifyandholdharmlesstheCompanyfromanyclaims,damages,orlossesarisingfromtheClient'suseoftheservicesprovided.

10.Termination

10.1EitherpartymayterminatethisAgreementupon_____________days'writtennoticetotheotherparty.

11.ForceMajeure

11.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty.

12.EntireAgreement

12.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings.

13.GoverningLawandJurisdiction
