债务股权转换协议合同编号：__________parties：address：contactperson：telephonenumber：address：contactperson：telephonenumber：referredtoas"theparties"collectivelyinthisagreement.agreement：whereas，thetransferorhascertaindebtsowedthetransferee，andthetransferorwishestoconvertsuchdebtsintoequity；whereas，thetransfereeiswillingtoaccepttheconversionofthedebtsintoequityonthetermsandconditionssetforthinthisagreement；now，therefore，thepartiesheretoagreeasfollows：article1：debtconversion1.1thetransferorhereagreestoconvertthetotalamountofdebtowedtoitthetransferee，asspecifiedintheattachmenthereto，intoequityofthetransferee；1.2thetransfereeagreestoissuenewsharestothetransferorinaccordancewiththeconversionratiospecifiedintheattachmenthereto；1.3thetransferoragreestowaivetherighttoreceiveanypaymentsordistributionsontheconverteddebt，exceptfortheequityinterestsinthetransferee；1.4thepartiesagreethattheconversionofthedebtintoequityshallbeeffectedwithin30daysaftertheexecutionofthisagreement.article2：shareissuance2.1thetransfereeagreestoissuenewsharestothetransferorinaccordancewiththeconversionratiospecifiedintheattachmenthereto；2.2thetransferoragreestosubscribeforthenewsharesissuedthetransfereeinaccordancewiththeconversionratiospecifiedintheattachmenthereto；2.3thepartiesagreethattheshareissuanceshallbeeffectedwithin30daysaftertheexecutionofthisagreement.article3：representationsandwarranties3.1thetransferorrepresentsandwarrantstothetransfereethat：（a）ithastherighttoconvertthedebtintoequity；（b）theconversionofthedebtintoequitydoesnotviolateanylaws，rulesorregulationsapplicabletoitoranyofitsaffiliates；（c）theconversionofthedebtintoequitydoesnotconflictwithanyexistingcontractsoragreementstowhichitisapartyorwhichitisbound；（d）ithasnotenteredintoanyagreementsorunderstandingswithanythirdpartieswithrespecttotheconversionofthedebtintoequity；3.2thetransfereerepresentsandwarrantstothetransferorthat：（a）ithastherighttoissuenewsharestothetransferor；（b）theissuanceofnewsharestothetransferordoesnotviolateanylaws，rulesorregulationsapplicabletoitoranyofitsaffiliates；（c）theissuanceofnewsharestothetransferordoesnotconflictwithanyexistingcontractsoragreementstowhichitisapartyorwhichitisbound；（d）ithasnotenteredintoanyagreementsorunderstandingswithanythirdpartieswithrespecttotheissuanceofnewsharestothetransferor；article4：confidentiality4.1thepartiesagreetokeepthetermsandconditionsofthisagreementconfidentialandnottodisclosethesametoanythirdpartieswithoutthepriorwrittenconsentoftheotherparty；4.2thepartiesagreethattheconfidentialityobligationshallsurvivetheexpirationorterminationofthisagreement.article5：indemnification5.1thetransferoragreestoindemnifyandholdharmlessthetransfereeforanylosses，damagesorexpensesincurredthetransfereeasaresultofanybreachoftherepresentationsandwarrantiesmadethetransferorinthisagreement；5.2thetransfereeagreestoindemnifyandholdharmlessthetransferorforanylosses，damagesorexpensesincurredthetransferorasaresultofanybreachoftherepresentationsandwarrantiesmadethetransfereeinthisagreement.article6：termination6.1thisagreementmaybeterminatedthepartiesatanytimebeforetheconversionofthedebtintoequityiseffected，writtennoticetotheotherparty；6.2thisagreementmayalsobeterminatedeitherpartyuponwrittennoticetotheotherpartyintheeventthattheotherpartybreachesanymaterialprovisionofthisagreementandfailstocuresuchbreachwithin30daysafterreceiptofwrittennoticethereof一、附件列表：1.债务转换详细信息2.股权发行比例3.转让方和受让方的法律文档4.第三方同意债务转换和股权发行的文件5.保密协议6.赔偿协议二、违约行为及认定：1.转让方未能按照约定时间完成债务转换2.受让方未能按照约定时间完成股权发行3.转让方或受让方提供虚假、不完整或不准确的信息4.违反保密协议，未经对方同意向第三方披露协议内容5.未能履行赔偿协议中的义务三、法律名词及解释：1.债务转换：指债务人将其债务转化为对债务人的股权投资的行为。2.股权发行：指公司为筹集资金而向投资者发行新股份的行为。3.保密协议：指协议双方约定对协议内容保密，不得向第三方披露的协议。4.赔偿协议：指协议双方约定在一方违约时，另一方有权要求赔偿损失的协议。四、执行中遇到的问题及解决办法：1.债务转换或股权发行过程中出现法律问题：咨询专业律师，遵守相关法律法规，确保合法合规进行。2.信息披露不准确或不完整：严格按照协议约定的内容进行披露，确保信息的真实性和准确性。3.保密协议被违反：保留证据，及时与对方沟通，要求对方
