塑料制品注册资本承诺函合同编号：__________Whereas:a.thepromisorisengagedinthebusinessofmanufacturingandsellingplasticproducts(the"business")andintendstoexpanditsoperationsincreasingitsregisteredcapital;b.thepromiseeiswillingtoprovidethenecessaryfundingtothepromisorinordertoincreaseitsregisteredcapital,onthetermsandconditionssetforthinthiscontract;Now,therefore,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:1.2theincreasedcapitalshallbecontributedthepromiseeintheformofcashorotherassetsasmaybeagreedthepartiesinwriting.1.3thepromisorshallusetheincreasedcapitalforthepurposeofexpandinganddevelopingthebusiness,andshallnotusetheincreasedcapitalforanyotherpurposewithoutthepriorwrittenconsentofthepromisee.article2:termsofcontribution2.1thepromiseeshallcontributetheincreasedcapitaltothepromisorwithin[inserttimeperiod]aftertheexecutionofthiscontract.2.2thepromisorshallissuenewsharestothepromiseeinproportiontotheincreasedcapitalcontributed,andshalldeliverthesharecertificatestothepromiseewithin[inserttimeperiod]afterthecontributionoftheincreasedcapital.2.3thepromisorshallensurethatthecontributedcapitalisproperlyrecordedinitsarticlesofassociationandotherrelevantdocuments,andshalltimelyfilethenecessarydocumentswiththerelevantauthoritiesforapproval.article3:representationsandwarranties3.1thepromisorrepresentsandwarrantstothepromiseethat:(a)ithasthelegalcapacityandauthoritytoenterintothiscontractandtoperformitsobligationshereunder;(b)thiscontractconstitutesalegal,validandbindingobligationofthepromisor,enforceableagainstthepromisorinaccordancewithitsterms;(c)theexecutionanddeliveryofthiscontractandtheperformanceofitsobligationshereunderdonotandwillnotconflictwithorresultinabreachofanyofthepromisor'sconstitutionaldocumentsoranyapplicablelaw,regulationorrule;(d)theincreasedcapitalshallbeusedthepromisorforthepurposeofexpandinganddevelopingthebusiness,andshallnotbeusedforanyotherpurposewithoutthepriorwrittenconsentofthepromisee;and(e)thereisnolitigation,claim,action,suitorproceedingpendingor,tothebestofthepromisor'sknowledge,threatenedagainstthepromisorthatcouldhaveamaterialadverseeffectonthepromisor'sbusiness,operationsorfinancialcondition.3.2thepromiseerepresentsandwarrantstothepromisorthat:(a)ithasthelegalcapacityandauthoritytoenterintothiscontractandtoperformitsobligationshereunder;(b)thiscontractconstitutesalegal,validandbindingobligationofthepromisee,enforceableagainstthepromiseeinaccordancewithitsterms;(c)theexecutionanddeliveryofthiscontractandtheperformanceofitsobligationshereunderdonotandwillnotconflictwithorresultinabreachofanyofthepromisee'sconstitutionaldocumentsoranyapplicablelaw,regulationorrule;and(d)thepromiseehasthenecessaryfundstocontributetheincreasedcapitalasprovidedinthiscontract.article4:indemnification4.1thepromisoragreestoindemnifyandholdharmlessthepromisee,itsdirectors,officers,employeesandagents(each,a"promiseeaffiliate")againstanyandalllosses,damages,liabilities,claims,actions,suits,proceedings,judgments,fines,penaltiesandexpenses(includingreasonableattorneys'feesanddisbursements)incurredanypromiseeaffiliateinconnectionwithanylitigation,claim,action,suitorproceedingarisingoutoforinconnectionwiththiscontractorthetransactionscontemplatedhere,excepttotheextentthatsuchlosses,damages,liabilities,claims,actions,suits,proceedings,judgments,fines,penaltiesandexpensesarefound一、附件列表：承诺函增资协议公司章程相关法律文件资金证明股东名册二、违约行为及认定：1.承诺方未能在约定的时间内完成增资。2.承诺方未能按照约定的用途使用增资。3.承诺方提供的信息不真实或存在误导。4.任何一方未能履行合同中的其他义务。三、法律名词及解释：1.增资：公司为扩大经营规模而增加的资本。2.注册资本：公司在登记注册时依法认定的资本总额。3.股东：对公司拥有股权，并承担相应义务的自然人或法人。4.承诺函：一方对另一方做出的书面承诺。四、执行中遇到的问题及解决办法：1.增
