美国棉花进口合同中英文对照全套美国棉花进口合同（中英文对照）CONTRACTOFAMERICANCOTTONTRADE合同编号ContractNo.:签订日期DateofSignature:签订地点PlaceofSignature:卖方：Seller:地址：Address:电话Tel:传真Fax:电子邮箱E-mail:买方：Buyer:地址：Address:电话Tel:传真Fax:电子邮箱E-mail:TABLEOFCONTENTS数量Quantity2.单价UnitPrice3.规格Specification4.包装Package5．装船唛头ShippingMarks6．装运条件PackageCondition7.装船通知ShipmentAdvice8.付款Payment9.单据Documents10．品质与重量QualityandWeight11.棉花品质降级差价PriceDifferenceWithCottonQuality12.检验费InspectionFee13．病虫害熏蒸FumigationofInsectPests14.不可抗力ForceMajerue15.仲裁Arbitration中国纺织品进出口总公司（以下简称买方）与美国公司（以下简称卖方）按下列规定的条款达成协议，作为买卖双方棉花买卖成交合同的条件。TheagreementhasbeenenteredintoandconcludedbyandbetweenChinaNationalTextilesImportandExportCorporation(hereinafterreferredtoasbuyer)andCorporationLtd.ofUnitedStatesofAmerica(hereinafterreferredtoasseller)asperfollowingtermsandconditionsofcottontransactionbetweenpartieshereto.1.数量Quantity按公吨或按包装计算总重量，允许多交或少交1%。Totalweightofgoodswillbecaculatedbymetrictonorpackage,moreorlessthan1%maybeallowed.2.单价UnitPrice重量以磅为计量单位。Weightismeasuredinpounds.FOBSTOWED：将棉花装入船舱内并整理好。FOBSTOWED：Putcottoninthecabinandtidyitup.FAS：将棉花运至船的吊钩下。如FOB集装箱条款，须把箱运到集装箱场站。FAS:Thecottonistransportedtotheplaceunderhookofship,whereFOBcontainerclauseapplicable,thecontainershouldbetransportedtothecontaineryardstation.CANDF：班轮条款，运费已定不变。CANDF：Freightratefixedforlinerterm.3.规格Specification按美国陆地棉统一标准或凭样。SubjecttothecottonstandardofAmericancontinentaloronsample.4.包装Package4.1适合于海运的紧缩机出口包装，外裹麻布、棉布或其他包皮，用牢固的打包铁皮或粗铁丝箍紧。每包净重约磅（公斤），平均体积立方米。在适用FOB、FOBSTOWED、FASVESSEL贸易术语交易的情况下，如果每吨毛重超过规定的体积，其超过部分的运费则由卖方负担。Theexportpackagesuitableforoceantransportationispackedbyretrenchmentmachine,wrappedinlinen,cotton-clothorotherwrapping,bandingtightlybystrongironorthickiron-wire.Thenetweightofeachpackageisaboutpounds(kg),withanaveragevolumeofcubicmeters.ProvidedthatthetradetermsofFOB,FOBSTOWED,FASVESSELareapplied,ifthegrossweightpertonexceedsthestipulatedvolume,theexcesspartoffreightwillbebornbyseller.4.2棉花包装内不得混杂麻丝、破布、木屑、铁屑及铁钉等杂物。如有发现杂物混入棉花包装内，买方可根据中国商品检验局（以下简称CCIB）或用户在使用过程中提供的证明及有关的唛头，向卖方提品质索赔。Cottonpackagesshallnotbemixedwithfibrilia,rags,woodchips,ironchips,ironnailsandothersundries.Whereanysundriesarefoundtobemixedintothecottonpackage,buyermaylodgeaclaimagainstselleronthebasisofthecertificateprovidedbyChinaCommodityInspectionBureau(CCIB)orthecustomerinthecourseofuseandtherelevantshippingmarks.5．装船唛头ShippingMarks5.1在棉包的一端和两侧面用不褪色的颜料按下列项目逐包刷唛。A．合同号，B．样子或等级长度，C．批号，D．包号。Ononeendandtwosidesofeverycottonpakageshouldbebrushedthemarksusingundadingpigments,includingA.ContractNo.,B.SampleorRanklength,C.Batchnumber,D.Packagenumber.5.2如卖方没有在唛号刷合同号，由此而产生的混唛理货费由卖方负担。WheresellerfailstobrushcontractNo.inthepackagemarks,thecostofmixedmarktallyingresultingtherefromwillbeforaccountofseller.6．装运条件PackageCondition6.1如按FOB成交，买方在装船前十五天左右，将船名通知卖方（允许买方以后更改船名）卖方可随时向买方了解装船时间的安排。船长在船到前24小时用电报通知船代理转告卖方，说明该船预计到达目的港的时间。卖方收到船长备装通知后，应立即做好货物装运准备。ProvidedthatthetransactioniseffectedbyFOB,buyershould,onapproximate15dayspriortoshipment,notifysellerofthevesselnamewhichmaybechangebybuyerlater,andsellercanatanytimeinqurireofthearrangementofshipmenttimefrombuyer.Thevesselmasterwillgiveselleracableadvicewithin24hoursbeforearrivaltonotifytheestimatedtimeofarrivalofthevesselattheportofdestination.Sellershould,uponreceiptofnoticefrommasterforshipingarrangement,effectthepreparationofgoodsshipmentassoonaspracticable.6.2除人力不可抗拒的原因外，如买方在合同规定的交货期内，超过十天未能安排船到装运港，买方需负担仓储费。Exceptforthereasonsofforcemajeure,wherebuyer,withintheperiodofshipmentstipulatedhereof,failstoarrangevesseltotheportofshipmentformorethantendays,buyershallundertakethestorageexpenses.6.3如买方在合同规定的装船期内通知卖方装船，除人力不可抗拒的原因外，当船到后卖方延迟交货或不能交货，卖方应赔偿由此而产生的滞期费和空船损失。如卖方超过合同规定的交期45天仍不能装船，买方有权决定合同是否有效。Exceptforthereasonofforcemajure,wherebuyernotifysellerofshipmentwithintheloadingperiodstipulatedincontract,afterarrivaloftheshipsellerdefersorfailstoeffectshipment,sellershouldmakecompensationsofthelossesofdemurrageanddeadfreightarisingtherefrom.Providedthatsellerisstillunabletoeffecttheshipmentinexcessof45daysthanthedeliveryperiodwhichstipulatedhereof,buyerhasrighttodecidewhetherthecontractisvalidornot.6.4如以C&F贸易术语成交，卖方在交货期内不能装船，卖方从超过交货期的第天起，按照每天%货值的损失支付给买方。未经买方同意，不允许转船和分运。InthetransactionofC&Fterm,wheresellerfailstoeffectshipmentwithinthedeliveryperiod,shouldpaythelossasper%ofgoodsvalueperdaytobuyerfromdayinexcessofdeliveryperiod.Transshipmentandpartialshipmentarenotallowedwithoutbuyer'sconsent.7.装船通知ShipmentAdvice7.1如为FOB成交，卖方在装船后须在两个工作日内电告买方合同号、等级长度或样品、包装、净重、金额；船名、装船日期、装船口岸，并航寄装船单据副本一式三份给买方。IntransactionofFOBterm,sellershould,within2workingdays,advicebuyeracableofthecontractnumber,gradelengthorsample,packing,netweight,amount;vessle’sname,thedateandportofshipment,andairmailthecopiesofshippingdocumentsintriplicatetobuyer.7.2如为C&F成交，卖方在装船前十五天左右，将船名及预计到港日期通知买方。IntransactionofC&Fterm,sellershould,onapproximate15days,advicebuyerofthevesselnameandestimatedarrivaldate.7.3如卖方未及时电告买方，以致买方未能及时保险，由此而产生的损失由卖方负担。Failureofsellertoadviceincableintimetobuyerresultinbuyer’sfailuretoeffecttheinsuranceofgoods,thelossarisingtherefromshallbebornbyseller.8.付款Payment8.1在装船前十五天左右，由买方通过中国银行开出以卖方为受益人的不可撤销的信用证，凭第9条规定的单据电汇付款。信用证的金额为合同金额的98%，其余2%在目的港卸货后70天内凭目的港的检验机构对棉花质量检验和重量的鉴定证书进行最后结算。信用证的有效期至到装船后15天为止。Buyershall,onapproximate15dayspriortoshipmentthroughChinaBank,establishanirrevocableLetterofCreditinfavourofsellerandeffectpaymentagainstthedocumentsstipulatedinarticle9hereof.Theremaining2%will,within70daysafterunloadingofgoodsattheportofdestination,beeffectedfinalsettlementagainstCertificateofCottonQualityInspectionandCertificateofWeightInspectionissuedbytheinspectionauthorityatdestinationport.Theletterofcreditisvaliduntil15daysaftershipment.8.2如买卖双方同意不开信用证、凭单托收时，买方凭全套装船单据由中国银行北京分行见单、按发票金额98%付款，其他约定按照前条规定。ProvidedthatthepartiesheretoagreethepaymentbycollectionagainstdocumentsinsteadofL/C,buyershalleffectpaymentwithBankofChinaBeijingBranchforamountof98%ofinvoicevalueagainstfullsetofshippingdocuments.Otheragreementsshallbesubjecttothestipulationsofprecedingarticle.9.单据Documents卖方应将下列单据提交银行议付/托收：Sellershallpresentthefollowingdocumentsrequiredtobankfornegotiation/collection:A．汇票一式两份。Thebillisinduplicate.B．商业发票一式六份（详细注明唛头）。Commercialinvoiceisinsextuplicate(markedindetail).C．逐包过重的重量码单一式二份。Thebillofweightwitheachpacketweighedisinduplicate.D．全套可转让的清洁海运提单（棉包的取样洞除外）正本一式三份。Fullsetofnegotiablecleanoceanbillsoflading(exceptsamplingholesincottonbags)intriplicate.E．装船通知电报副本一份。提单和发票按照每份合同单独开具，提单上面注明合同号。Onetelegramcopyofshipmentadvice.BillofLadingandinvoiceismadeseparaelyforeachcontractwiththecontractnumberindicatedontheBillofLading.10．品质与重量QualityandWeight到岸品质、到岸重量。ArrivalQualityandArrivalweightA．重量：由目的港的检验机构随机抽样5%检验回潮率，并逐包过重，出具重量鉴定证书。回潮率不得超过8.5%，每超过%，价格相应下浮%。Weight:Theinspectionauthorityoftheportofdestinationwilleffectinspectionofmoisturecontentbymeanseof5%randomsamplingandweightbyeachpackagebeforeissuanceofWeightCertificate.Themoisturerateshallnotexceed8.5%,whereexceed%,thepriceshalldecrease%correpondingly.B．皮重：检验机构根据每批货物的数量及包装材料，随机抽取3-5%的包数，以确定平均皮重。按实际平均皮重计算到岸净重。TareWeight:Theinspectionauthorityshall,onthebasisofthequantityandpackingmaterialofeachconsignment,effectrandomsampleof3–5%packetnumbertoconfirmtheaveragetareweight.TheCIFnetweightwillbecalculatedsubjecttotheaveragetareweight.C．每批货物交付数量的溢短装不得超过合同规定数量的1%。Themoreorlessofdeliveredeachconsignmentwillnotexceed1%ofthesamestipulatedhereof.D．品质：从每批货中随机抽样10%作为品质检验的样品。如果抽样检验的样品质量低于合同规定的等级，即棉花的纤维长度、强力或细度与合同规定的质量标准不符时，以检验机构出具的检验证书为双方结算货款的依据。Quality:randomsamplingof10%eachconsignmentwillbeforqualityinspection.Providedthatthesamplequalityofsamplinginspectionislowerthanthegradespecifiedinthecontract,towit,thefiberlength,strengthorfinenessofcottondoesnotconformtothequalitystandardstipulatedherein,theinspectioncertificateissuedbytheinspectionauthotityshallbetakenasthebasisforthesettlementofthepayment.11.棉花品质降级差价PriceDifferenceWithCottonQuality如降等级超过1/2级、降长度超过1/8英寸时，买方有权按合同规定的降级差价25%处理。Wherethedemotionofcottongradeisoverthan1/2gradeandthedemotionoffibrelengthoverthan1/8inch,buyershallbeentitledtosettlepricedifferenceofprice25%asperthestipulationhereof.12.检验费InspectionFeeA．重量鉴定费由卖方负担，每公吨50美分（包括回潮率检验费）。TheweightInspectionfeeshallbeat50USDcentspermetricton(includinginspectionfeeofmoistureregain).B．品质检验费由买方负担，每包一美元，即每份样品10美元。如品质降级卖方应负担不符合同规定部分的检验费。Thequalityinspectionfeeshallbeatthebuyer'sexpenseatUS$1perpack,i.e.US$10persample.Ifthequalityisdegraded,sellershallbeartheinspectionfeeforthepartwhichisnotinaccordancewiththecontract.13．病虫害熏蒸FumigationofInsectPests卖方所交付之棉花，不得带有法定检疫的病虫害。如货到岸后有病虫害存在，买方将根据检疫规定需要熏蒸处理时，因熏蒸而产生的各项费用，均由卖方负担。Cottondeliveredbysellershallnothavetheinsectpestswhichareprohibitedbystatutoryquarantine.Providedthattheinsectpestsarefoundthereinatthearrivalofthegoods,thefumigationthereofwillbeforaccountofseller.14.不可抗力ForceMajerue14.1由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthiscontractduetoflood,fire,earthquake,drought,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelevantparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftershallsendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.14.2由于双方公认的人力不可抗拒的原因而致延迟执行合同或不能执行合同之一部分或全部，双方都不承担责任。但是，遭受不可抗力的当事方应向另一方提供政府机关或商会发给的灾害证明文件，以资证明。Neitherpartyshallbeliableforthedelayofexecutionhereofornon-performanceofpartorallhereofduetoforcemajeurewhichbeingmutuallyrecognizedbybothparties.However,thepartysufferingfromforcemajeureshallprovidetotheotherpartyadocumentaryevidentissuedbythegovernmentauthorityorcommercialchamber.15.仲裁Arbitration本合同在执行中，如发生任何纠纷，应通过双方友好协商进行解决。如协商不成，任何一方可以提起仲裁。仲裁在被告
