1.General

(a)Unlessotherwiseagreedinwritingorexceptwheretheyareatvariancewith(i)theregulationsgoverningservicesperformedonbehalfofgovernments,governmentbodiesoranyotherpublicentityor(ii)themandatoryprovisionsoflocallaw,alloffersorservicesandallresultingcontractualrelationship(s)betweenanyof

theaffiliatedcompaniesofSGSSAoranyoftheiragents(eacha“Company”)andClient(the“ContractualRelationship(s)”)shallbegovernedbythesegeneralconditionsofservice(hereinafterthe“GeneralConditions”).(b)TheCompanymayperformservicesforpersonsorentities(private,publicorgovernmental)issuinginstructions(hereinafter,the“Client”).(c)UnlesstheCompanyreceivespriorwritteninstructionstothecontraryfromClient,nootherpartyisentitledtogiveinstructions,particularlyonthescopeoftheservicesorthedeliveryofreportsorcertificatesresultingtherefrom(the“ReportsofFindings”).ClientherebyirrevocablyauthorisestheCompanytodeliverReportsofFindingstoathirdpartywheresoinstructedbyClientor,atitsdiscretion,whereitimplicitlyfollowsfromcircumstances,tradecustom,usageorpractice.2.ProvisionofServices

(a)TheCompanywillprovideservicesusingreasonablecareandskillandinaccordancewithClient'sspecificinstructionsasconfirmedbytheCompanyor,intheabsenceofsuchinstructions:thetermsofanystandardorderformorstandardspecificationsheetoftheCompany;and/oranyrelevanttradecustom,usageorpractice;and/orsuchmethodsastheCompanyshallconsiderappropriateontechnical,operationaland/orfinancialgrounds.(b)InformationstatedinReportsofFindingsisderivedfromtheresultsofinspectionortestingprocedurescarriedoutinaccordancewiththeinstructionsofClient,and/orourassessmentofsuchresultsonthebasisofanytechnicalstandards,tradecustomorpractice,orothercircumstanceswhichshouldinourprofessionalopinionbetakenintoaccount.(c)ReportsofFindingsissuedfurthertothetestingofsamplescontaintheCompany’sopiniononthosesamplesonlyanddonotexpressanyopinionuponthelotfromwhichthesamplesweredrawn.(d)ShouldClientrequestthattheCompanywitnessanythirdpartyintervention,ClientagreesthattheCompany’ssoleresponsibilityistobepresentatthetimeofthethirdparty’sinterventionandtoforwardtheresults,orconfirmtheoccurrence,oftheintervention.ClientagreesthattheCompanyisnotresponsiblefortheconditionorcalibrationofapparatus,instrumentsandmeasuringdevicesused,theanalysismethodsapplied,thequalifications,actionsoromissionsofthirdpartypersonnelortheanalysisresults.(e)ReportsofFindingsissuedbytheCompanywillreflectthefactsasrecordedbyitatthetimeofitsinterventiononlyandwithinthelimitsoftheinstructionsreceivedor,intheabsenceofsuchinstructions,withinthelimitsofthealternativeparametersappliedasprovidedforinclause2(a).

TheCompanyisundernoobligationtoreferto,orreportupon,anyfactsorcircumstanceswhichareoutsidethespecificinstructionsreceivedoralternativeparametersapplied.(f)TheCompanymaydelegatetheperformanceofallorpartoftheservicestoanagentorsubcontractorandClientauthorisesCompanytodiscloseallinformationnecessaryforsuchperformancetotheagentorsubcontractor.(g)ShouldCompanyreceivedocumentsreflectingengagementscontractedbetweenClientandthirdpartiesorthirdpartydocuments,suchascopiesofsalecontracts,lettersofcredit,billsoflading,etc.,theyareconsideredtobeforinformationonly,anddonotextendorrestrictthescopeoftheservicesortheobligationsacceptedbytheCompany.(h)ClientacknowledgesthattheCompany,byprovidingtheservices,neithertakestheplaceofClientoranythirdparty,norreleasesthemfromanyoftheirobligations,norotherwiseassumes,abridges,abrogatesorundertakestodischargeanydutyofClienttoanythirdpartyorthatofanythirdpartytoClient.(i)Allsamplesshallberetainedforamaximumof3monthsorsuchothershortertimeperiodasthenatureofthesamplepermitsandthenreturnedtoClientorotherwisedisposedofattheCompany’sdiscretionafterwhichtimeCompanyshallceasetohaveanyresponsibilityforsuchsamples.Storageofsamplesformorethan3monthsshallincurastoragechargepayablebyClient.Clientwillbebilledahandlingandfreightfeeifsamplesarereturned.

SpecialdisposalchargeswillbebilledtoClientifincurred.

3.ObligationsofClient

TheClientwill:(a)ensurethatsufficientinformation,instructionsanddocumentsaregiveninduetime(and,inanyeventnotlaterthan48hourspriortothedesiredintervention)toenabletherequiredservicestobeperformed;(b)procureallnecessaryaccessfortheCompany'srepresentativestothepremiseswheretheservicesaretobeperformedandtakeallnecessarystepstoeliminateorremedyanyobstaclesto,orinterruptionsin,theperformanceoftheservices;(c)supply,ifrequired,anyspecialequipmentandpersonnelnecessaryfortheperformanceoftheservices;(d)ensurethatallnecessarymeasuresaretakenforsafetyandsecurityofworkingconditions,sitesandinstallationsduringtheperformanceofservicesandwillnotrely,inthisrespect,ontheCompany'sadvicewhetherrequiredornot;(e)informCompanyinadvanceofanyknownhazardsordangers,actualorpotential,associatedwithanyorderorsamplesortestingincluding,forexample,presenceorriskofradiation,toxicornoxiousorexplosiveelementsormaterials,environmentalpollutionorpoisons;(f)fullyexerciseallitsrightsanddischargeallitsliabilitiesunderanyrelevantsalesorothercontractwithathirdpartyandatlaw.4.FeesandPayment

(a)FeesnotestablishedbetweentheCompanyandClientatthetimetheorderisplacedoracontractisnegotiatedshallbeattheCompany’sstandardrates(whicharesubjecttochange)andallapplicabletaxesshallbepayablebyClient.(b)Unlessashorterperiodisestablishedintheinvoice,Clientwillpromptlypaynotlaterthan30daysfromtherelevantinvoicedateorwithinsuchotherperiodasmaybeestablishedbytheCompanyintheinvoice(the“DueDate”)allfeesduetotheCompanyfailingwhichinterestwillbecomedueatarateof1.5%permonth(orsuchotherrateasmaybeestablishedintheinvoice)fromtheDueDateuptoandincludingthedatepaymentisactuallyreceived.(c)ClientshallnotbeentitledtoretainordeferpaymentofanysumsduetotheCompanyonaccountofanydispute,counterclaimorsetoffwhichitmayallegeagainsttheCompany.(d)Companymayelecttobringactionforthecollectionofunpaidfeesinanycourthavingcompetentjurisdiction.(e)ClientshallpayalloftheCompany'scollectioncosts,includingattorney'sfeesandrelatedcosts.(f)IntheeventanyunforeseenproblemsorexpensesariseinthecourseofcarryingouttheservicestheCompanyshallendeavourtoinformClientandshallbeentitledtochargeadditionalfeestocoverextratimeandcostnecessarilyincurredtocompletetheservices.(g)IftheCompanyisunabletoperformallorpartoftheservicesforanycausewhatsoeveroutsidetheCompany’scontrolincludingfailurebyClienttocomplywithanyofitsobligationsprovidedforinclause3abovetheCompanyshallneverthelessbeentitledtopaymentof:theamountofallnon-refundableexpensesincurredbytheCompany;andaproportionoftheagreedfeeequaltotheproportionoftheservicesactuallycarriedout.5.SuspensionorTerminationofServices

TheCompanyshallbeentitledtoimmediatelyandwithoutliabilityeithersuspendorterminateprovisionoftheservicesintheeventof:(a)failurebytheClienttocomplywithanyofitsobligationshereunderandsuchfailureisnotremediedwithin10daysthatnoticeofsuchfailurehasbeennotifiedtoClient;or(b)anysuspensionofpayment,arrangementwithcreditors,bankruptcy,insolvency,receivershiporcessationofbusinessbyClient.6.LiabilityandIndemnification

(a)LimitationofLiability:TheCompanyisneitheraninsurernoraguarantoranddisclaimsallliabilityinsuchcapacity.

Clientsseekingaguaranteeagainstlossordamageshouldobtainappropriateinsurance.ReportsofFindingsareissuedonthebasisofinformation,documentsand/orsamplesprovidedby,oronbehalfof,ClientandsolelyforthebenefitofClientwhoisresponsibleforactingasitseesfitonthebasisofsuchReportsofFindings.NeithertheCompanynoranyofitsofficers,employees,agentsorsubcontractorsshallbeliabletoClientnoranythirdpartyforanyactionstakenornottakenonthebasisofsuchReportsofFindingsnorforanyincorrectresultsarisingfromunclear,erroneous,incomplete,misleadingorfalseinformationprovidedtotheCompany.TheCompanyshallnotbeliableforanydelayed,partialortotalnon-performanceoftheservicesarisingdirectlyorindirectlyfromanyeventoutsidetheCompany’scontrolincludingfailurebyClienttocomplywithanyofitsobligationshereunder.TheliabilityoftheCompanyinrespectofanyclaimforloss,damageorexpenseofanynatureandhowsoeverarisingshallinnocircumstancesexceedatotalaggregatesumequalto10timestheamountofthefeepaidinrespectofthespecificservicewhichgivesrisetosuchclaimorUS$20,000(oritsequivalentinlocalcurrency),whicheveristhelesser.TheCompanyshallhavenoliabilityforanyindirectorconsequentiallossincludingwithoutlimitationlossofprofits,lossofbusiness,lossofopportunity,lossofgoodwillandcostofproductrecall.Itshallfurtherhavenoliabilityforanyloss,damageorexpensesarisingfromtheclaimsofanythirdparty(including,withoutlimitation,productliabilityclaims)thatmaybeincurredbytheClient.Intheeventofanyclaim,ClientmustgivewrittennoticetotheCompanywithin30daysofdiscoveryofthefactsallegedtojustifysuchclaimand,inanycase,theCompanyshallbedischargedfromallliabilityforallclaimsforloss,damageorexpenseunlesssuitisbroughtwithinoneyearfrom:(ⅰ)thedateofperfor
