ProductDetails产品细节: NameofCommodity:RussianHeavyFuelOil/MAZUTM100(GOST10585-75) 产品名称:俄罗斯产重燃料油/M100(GOST10585-75)Specification:AsAnnex“A”.规格见附件A。 Quantity数量:Totalquantityforcontract:50,000.00MT±5%合同总数额为5万公吨(±5%) PriceBasis价格基准: ThepriceinUSDollarsshallbe:价格以美元计算。PRICE:US$/MT.-CIFonesafeportandberthShekouChina,orotherdesignatedonesafeportandberthofChinabyBuyer.价格:交货价每吨美元-CIF中国,蛇口港，或其它买方指定的一种安全的中国港口。TotalValue: 50,000.00MTxUS$=US$CountryofOrigin:Russia(Seller’sChoice) 原产国：俄罗斯(卖方的选择) Packingandmark:Bulk 包装和标记:散装 DeliveryandTermsofDelivery:交货和交货条件 Theshipmentshallbeginwithin45CalendardaysfromtheissueoftheOperativeBG,deliveryinChinaPortdesignatedby交货时间：这次交货將在买方开出執行的BG后45日內開始，在中国港口交货。 PortofLoading:Ceyhan 装船港：卖方指定的Ceyhan港口，黑海港口，或卖方指定的其它港口。 6.3 DESTINATIONPORT目的地港口:i) OnesafeportandberthShekou,Shenzhen,CHINA.ii) OtherSafeChina6.4 TheSELLERshallbookspaceintheshippingcompanieswhichenjoygoodreputation. Thecarryingvesselshallhavegoodrecordoftransportation.Itsservicetimeshallnotbeover15yearsanditsflyingflagand/oritsnationalityshallbeacceptablebyBuyer. 卖方应向有信誉的船务公司预定租船，运货的船只应有良好的运输统计。其服务时间 应不超出，所悬挂的旗帜或国籍都应是买方所能接受的。6.5 Insurance保险:Sellershall,makingBuyerasbeneficiary,submittoBuyertheoceantransportationinsurancepolicyasstipulatedinclauseofthiscontract.Theamounttobeinsuredisonehundredandtenpercent(110%)ofCIFvalueofthedeliveredM100attheloadingport.Ifanyaccidentoccursafterdeliveryofeachshipmentattheportofloading,SellershallrenderassistancetoBuyerforthesettlementofinsuranceclaims whenrequestedbyBuyer.卖方以买方为保险的受益人提供买方海上运输保险,投保总金额为所运燃料油CIF价格的百分之一百一十(110%)如果油轮离开出货港后发生意外，如买方需要时卖方必须提供协助来解决保险的理赔. Shippingadvice:Notlaterthanthefive(5)daysbeforethereadinessofthe shipment,SELLERshallnotifyBUYERbyfaxofthefollowingcontents: 卖方应在准备装船前5天内用传真方式告知买方下列内容： CONTRACTNumber合约号: DateOfReadiness装船日期: TotalVolume总容量: TotalWeight总重量: PackageInBulk包装: LoadingPort6.7 Transshipmentisnotallowedandpartialshipmentnotallowed. 不允许转运,不允许分批装运。6.8 Withinthree(3)workingdaysaftercompletionofloadingoftheshipment,SELLERshallinformBUYERbyemailorfaxofCONTRACTnumber,thedateandthenumberofBillofLading,nameofthecarryingvesselaswellasname,totalprice,totalweightandtotalvolumeoftheM100FuelOil.TheSGSinspectionCertificatenumberanddate&theinsuranceCompanyandpolicynumberalsoneedtobenotifiedbySELLER.Sellershallforwardtheoriginalsoffinalloadingdocumentsbyexpresscourierservicetothebuyer.在装船完毕后的3个工作日内，卖方须以电子邮件或传真方式告知买方：合同号、提单日期及号码、承运船只名称、提单号、高级燃料油品名、总价、总重量、总容量、SGS检查证书编号和日期、保险公司名称和保单号。装运单据的正本通过快递服务发送给买方。Thevessel’smastershallinformbuyerofthevessel’sETAonehundredandtwenty(120)hoursbeforearrival.Givinghername,tonnage,flag,draught,andonboardquantities.AndagainprovideherETAseventytwo(72),fortyeight(48),thirtysix(36),twentyfour(24),andtwelve(12)hoursbeforearrival.船东应在达成前一百二十(120)小时将船只的预计达成时间告知买方，并阐明船只的名称、吨位、船旗、吃水深度、装船数量，并在达成卸货港前的七十二(72)、四十八(48)、三十六(36)、二十四(24)及十二(12)小时，再次将预计达成时间告知买方。 PaymentTerms付款条件: Beforethepaymentinstrumentistransferredtoselleraccountthetextofthe paymentinstrumentmustbereviewedandapprovedbyarepresentativeofseller. 付款文献在正式开至卖方账户前,此付款文献之内容须先经卖方代表承认. Thepaymentdocumentshallbenegotiableandpayableattheseller’sbank. 须能以付款文献向卖方银行承兑付款. Buyer’sBankcanacceptthethirdpartydocument,exceptinvoice(s)anddraft(s). 买方银行可接受第三者文献,发票和汇票除外。

7.4PAYMENTS支付方式:TheBankGuarantee(BG)paymentoftheshipmentvalueshallbemadebytheBuyertotheSellerasGuaranteeforthecompletionoftheContract.TheBankGuaranteeandallotherpaymentswillbeincurrencyofU.S.dollars.TheBGtobeissuedfromoneoftheWorld’sTop100Banks(acceptabletotheSeller’sBank)andconfirmedbyBuyer’sBank(ifrequiredbySeller’sBank).运输总金额的锁定函付款将由买方付给卖方作为合同完毕的确保。全部付款将使用美元货币。锁定函将由世界100顶级银行致意签发(为卖方银行所接受)也需要被买方合作银行确认(如卖方银行规定)。TheBankGuarantee(BG),valuefor50,000.00MT((US$)istobeusedfortheguaranteeofthetotalshipmentandwithinSeven(7)daysuponpresentationofdocumentsforpayment,BuyerwillsendacashTT(TelegraphicTransfer)fortheshipmentvalue.TheBGistobeusedonlyasguaranteeandwillnotbedrawnagainstunlessBuyerfailstosendT/TwithinSeven(7)daysuponpresentationofdocumentsforpayment.ThisBGwillautomaticallyexpireuponreceiptofT/TpaymenttoSeller’sBankoriftheSellerfailstodeliveranddelaystheshipmentmorethan60daysaccordingtotheagreedscheduleasstatedintheContract.BG的数量为50,000.00MT.金额为(US$)，用于在提出付款的检附文献7天内要T/T货款给卖方银行。BG只是用于确保，不会被启用，除非买方无法在提出付款的检附文献后7天内T/T货款如合同所写。卖方收到买方T/T到卖方银行的货款后或如卖方无法在交货日程表的60天以内交货,此BG PerformanceBond履约确保金:8.1 SellershallissueinfavorofthebuyerTwopercent(2%)PerformanceBondonthevalueoftotalshipment.IfSellercouldnotdeliverHeavyFuelOil/MazutM100(exceptforcemajeure)toBuyer’sdestinationPortaspercontract,Buyerhas卖方银行开立运输总金额的2%的履约确保金给买方。如果卖方不能按合同规定交货，不管什么因素(除了不可抗力)，买方有权在5个银行工作日之内索取履约保函项下金额。ThecompensationfromSelleris2%PerformanceBondofthetotalshipmentprovided.AfterBuyer’sbankreceivesthecompensationfromSeller’sBank,BuyerorSellerhastheRighttocancelthiscontract.卖方的赔偿是运输总金额的2%的履约确保金，当买方的银行从卖方银行得到赔偿后，买方或者卖方有权取消该合同。8.3 IfSellercannotmakedelivery,thePerformanceBondshallbepaidbySeller’sBankintoBuyer’saccountascompensation.如果卖方未能按照本合同中交货，卖方银行将该担保金汇入买方指定账户,作为对 买方的赔偿。OPERATIONSPROCEDURES經營程序:9.1 BuyerissueICPOtoseller,ICPOshouldonBuyer’sletterheadandfullbankingdetails. 买方簽發附买方公司頭銜之不可撤銷購买單,及买方銀行資料.SellerissueFullCorporateOffer(FCO)anduponBuyersigningandreturning,aDraftContractsenttoBuyerbyemail. 卖方运用電子郵件發出FCO﹐買方簽署后﹐寄回﹐賣方將把买卖合約草約發給買方.TextApprovals:同意的字句Withinthree(3)bankingdaysafterBuyersignsandreturnstheDraftContracttoSeller;在买方订立完，草约合同在3个银行工作日内要签回给卖方。TheBuyerwillissuetheTEXTcopyoftheBG(BGformatverbiage)totheSeller.买方要发出给卖方BG付款的字句(BG文献)。BuyerandSellertoconfirmapprovalsofBG+T/TandPBdocumentstobeissued. 买卖双方先承认同意BG+T/T和PB文献，并准备开出。BuyerandSellersignFINALCONTRACTandsendbyscannedemail. 买卖双方簽訂最后双方同意的合約,由email掃描發出。BuyerBankissueBankGuaranteeLettertoSellerBankbyMT799SWIFT. 买方銀行以MT799SWIFT的方式发出银行确保信给卖方銀行.ExecutionActionbyBuyer&Seller:买卖双方的执行动作： TheSellershall,nolaterthanSeven(7)internationalbankingdaysafterexecutionofContractanduponreceiptofMT799fromBuyer’sBank,issueaNon-Operative2%PBviaBanktoBank.TheBuyershallwithinSeven(7)internationalbankingdaysafterreceiptSeller’sNon-Operative2%PB,willissueviaswiftMT760theOperativeBankGuarantee(BG)totheSeller’sbank,fortotalvalueoftheshipmentwithvaliditydateof60daysaccordingtocontract’samountfromtop100primebank,(acceptedbytheseller’sbank)(clause7.4). 订立正式合同后和从买方银行收到MT799后，卖方需要在7个国际银行工作日內發出暂不执行的2%PB和通过银行to银行给买方银行。收到卖方的暂不执行的2%PB后，买方不能超出7个国际银行工作日通过swiftMT760开出执行的BG银行确保给卖方银行,为运输的总金额，使用期为60天，此金额根据合同数量由世界100頂級银行开出(賣方銀行能接受)(如条款7.4)。WITHINfive(5)INTERNATIONALBANKINGDAYSAFTERSELLER’SBANKRECEIVESBUYER’SBG,THESELLER’SBANKORLEGALATTORNEYSHOULDPROVIDETOBUYER/BUYER’SBANKTHEPROOFOFPRODUCT(POP)OFABILITYTODELIVERINCLUDINGACONFIRMATIONSTATEMENTTHATSELLERHASTHEFOLLOWING.賣方銀行在收到買方銀行開出生效BG後的5個國際银行工作日內，買方银行会收到卖方银行或律师提供的POP。POP文献涉及卖方银行或律师的承认阐明卖方有：licensetoexport执照可出口theapprovalstoexport同意可出口productavailabletoexport产品可出口Theseller’sbankwillprovideahardpopwithin21days(orless)aftertheallocationsandship‘scharterhavebeenconfirmed. 船行分派和确认后，卖方银行在21天内提供HARDpop。THECopyofthecharterpartyagreement(s)totransporttheproducttodischarge 船運公司運輸到達目的港的租船合約副本寄给买方要在完毕租船合約订立后的5天之 内。Sellernominatesvessels,loadsandgivesETAtoBuyer. 卖方指定船隻，装货，告知买方达成日.

DocumentsPresentedForPayment付款时须检附文献:Afullsetclean,shippedonboard,oceanbilloflading,blankendorsed,blankOrder,marked“FreightPrepaid”includingBGNo.inthree(3)originalsandthree(3)copies.全套清洁已装运海运提单，做成空白订立，空白昂首，标明“运费已付”，注明BG号码3份正本和3份副本。Three(3)originalsandthree(3)dulymadecopiesofSeller’ssignedCommercialInvoice.已订立的商业发票3份正本和3份副本.Certificate(s)ofQualityissuedbySGSinone(1)originalandthree(3)copiesatloadingport.由发货港口SGS出具的质量证书1份正本和3份副本。Certificate(s)ofQuantityissuedbySGSinone(1)originalandthree(3)copiesatloadingport.由发货港口SGS出具的数量证书1份正本和3份副本.One(1)originalandthree(3)dulymadecopiesofMarineInsurancePolicyfor110%ofthetotalCIFValuecoveringoceanmarinetransportationalltherisks,warrisks,strikerisks,andabulkoilshortageexceeding0.5%fromthetotalquantityshippedshowinganyclaimrelatedtothisinsurancepayableinthecurrencyofinvoiceandintheplaceofChina.海上保险单正本1份及副本3份，涉及海上运输全险(海运险、战争险、罢工险及短装超出0.5%的短装险)，投保金额为所运燃料油CIF价格的百分之一百一十，注明保险赔付地为中国，赔付货币与商业发票货币相似。CertificateofOriginissuedbytheChamberofCommerceinone(1)originalandthree(3)copies.由商會簽出的貨物原產地證明，正本1份及副本3份。InspectionandClaim检查及索赔:SellerandBuyermutuallyagreethatSGSandCIQshallbeappointedatdesignatedloadinganddischargeportsrespectivelytoassessthequalityandquantityofthecargoaccordingtotheprovisionshereinstated.TheSellerwillpaytheinspectionfee,asperthesurveyor’sinvoiceatportofloadingandtheBuyerwillpaytheinspectionfee,asperthesurveyor’sinvoiceatportofdischarge.买卖双方同意指定SGS在指定装货港和CIQ在指定卸货港进行质量与数量的检查。卖方根据检查机构在装货港开立的发票支付检查费用，买方根据检查机构在卸货港开立的发票支付检查费用。IntheeventthattheSurveyor(SGS)reportsfromtheloadingportdifferswiththesurveyor(CIQ)reportsfromthedischargeport,theBuyerandSellertoappointanindependentSurveyortore-inspecttheshipmentattheexpenseoftheBuyer.ThereportsbytheindependentSurveyorshallbefinalandbindingonbothparties.如果装港检查机构(SGS)出具的检查报告与卸货港检查机构(CIQ)出具的报告不一致，买卖双方则可指派独立的检查机构复验。费用由买方负担。双方将会使用在卸货港口独立的检查机构协调的报告作为最后判决,对双方都有约束力.Quantityandqualityassessments,conductedbytheappointedSurveyorcompany,shallbeinaccordancewithmethodsandproceduresusuallyusedintheoilindustrypracticeandtheyalsoshall,atalltimes,strictlycomplywithrevisedASTM/IPInternationalstandardsandproceduresinforceonthedateofcompliance.指定的检查机构对数量和质量的评定,须根据普通油品工业的惯用办法和程序,并且应当完全严格根据修订的ASTM/IP国际原则和程序。 Anyclaimsthateitherpartymayhave,duetoanoccurrence,hastobesubmittedtotheotherpartywithinaperiodofTwo(2)monthsfromthedateoftheoccurrencecausingtheclaim.IfwithinFifteen(15)calendardaysfromthedateofinspections,theBuyerfailstoinformtheSellerconfirmingthenon-compliance,thecommoditywillbedeemedtohavebeenacceptedbytheBuyerandtheSellerwillacceptnoclaim.任一方若须向对方提出索赔时,须在索赔问题发生之日起2个月内提出.如果检查起15天之内,买方没有对卖方货品提出异议,则此商品将被视为已被买方接受，且卖方将视为不必索赔.Allclaimswillbeexecutedinwritingandbothpartiesagreetoacknowledgesuchclaimsbywrittenacceptancethereof.全部索赔将以文字形式诉诸且须双方同意。ForceMajeure不可抗力:TheSeller/theBuyershallnotberesponsibleforbeingunabletocarryoutthiscontractduetoForceMajeuresuchaswar,seriousfire,terroristattack,flood,typhoon,andearthquakesorothereventsagreeduponbybothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloading.TheSeller/theBuyershalladvicetheBuyer/theSellerimmediatelyoftheoccurrencementionedabovewithinfourteen(14)daysthereafter,theSeller/theBuyershallsendbyairmailtotheBuyer/theSellerfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.Undersuchcircumstances,theSeller/theBuyer,however,isstillunderobligationtotakeallnecessarymeasurestoexpedite/takethedeliveryoftheHeavyFuelOil/MazutM100.Incasetheaccidentlastsformorethanfour(4)weeks,theBuyerortheSellershallhavetherighttocancelthecontractandBuyercannottakeovertheSeller’sPerformanceBondastheircompensation.Buyerhastheexclusiverightoftheinsurancecompensation.买卖双方将不承当因不可抗力因素而不能履约所造成的责任（如战争、恐怖事件、火灾、洪涝、飓风、地震或其它双方无法预知的事故），如发生以上事件，买方/卖方将在事件发生后14天内获得出事地点的授权政府机构开具的证明，通过国际快递告知对方。在此状况下，买卖双方仍有责任采用一切必要的方法来推行合同的交易。意外事故延续超出4个星期，买方或卖方都有权解除本合同,买方不可将卖方的履约担保金作为赔偿。买方拥有保单项下的全部保险赔偿金。APPLICABLELAW应用的法律ThisAgreementshallbeinterpretedinaccordancewiththelawsoftheSingapore.本合同应用的法律为新加坡法律。BREACHES违约Subjecttoclause13herein,intheeventoffailurebythesellerorBuyertocomplywithanyoftheobligationassumedunderthiscontract,shallentitletheotherparty,withoutprejudicetoanyotherorrecoursesavailabletoit,toconsidersuchfailureasbreachofthiscontractandtoterminatethesame,ortounilaterallysuspenditsperformanceuntilsuchfailureiscorrected。NeitherpartymaybeheldliableforindirectlossesresultingfromnonperformanceoftheobligationshereunderunlessotherwisestatedintheContract.第十三条款除外，如果任何一方未能推行合同义务，即视为违约。另一方有权终止合同或暂停执行合同，直至违约方改正了违约。任何一方不得提出规定赔偿因合同未推行而产生的间接损失除非本合同里有特别提及。Arbitration仲裁:15.1AlldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledFriendlythroughnegotiations,Incasenosettlementcanbereached,thecasemaybesubmittedforarbitrationinSingaporeinaccordancewiththeArbitrationprocedures.ThearbitrationshalltakeplaceinSingaporeandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties.全部与合同或合同执行过程有关的质疑和争议，均应通过和谐协商来解决。若无法达成一致的意见，本案将根据仲裁程序移交新加坡仲裁机构申请仲裁,并且新加坡仲裁机构的裁定将是最后的裁定，对买卖双方都含有约束力。EachPartyshallappointoneArbitratorwhointurnwillappointathirdArbitrator.NothingintheagreementshallbeconstruedtopreventanyCourthavingjurisdictionfromissuinginjunctions,attachmentordersorordersforothersimilarreliefinaidofanyarbitrationcommencedbytheArbitrator(s)mayenteredinanyCourthavingjurisdictionhereof.双方能够指定一名仲裁员,由他们轮流指定第三仲裁员。仲裁员的仲裁不受合同任何条款的约束。Neitherpartyshallfailtocomplyinatimelywaywiththeobligationsofthisparttobeperformedinpursuanttothiscontracteventhoughadisputemayhavebeenarisenandproceededintoarbitration.即使由于争议已提请仲裁，任何一方也不允许不推行合同义务。FindingasassessedbythedesignatedthirdArbitrator,withoutanypossibilityofrecourse,willbefinalandbindingonbothparties.由第三仲裁员做出的仲裁成果应视为终裁，不允许追索，对双方都有约束力。
