EmploymentContract劳动合同补充合同PartyA:甲方:PartyB:IDNumber:乙方:身份证号:AccordingtothelaborlawsandregulationsofPeople’sRepublicofChina,basedwiththeprinciplesofequalityandvoluntariness,thepartiessignthiscontractasasupplementaryannextothecontract.Thepartiesmustcomplywiththem.依据中华人民共和国相关劳动法律法规,甲、乙双方在平等自愿协商一致基础上订立本补充协议作为双方劳动协议附件,共同遵照执行。Article1-JobPositionandDuties第一条工作岗位和工作内容1.PartyBagreestotakethepositionas_,accordingtoPartyA’sneeds.PartyBshallfulfillhis/herresponsibilitiesandreachthetargetssetforthbyPartyAandacceptPartyA’sassessment.1.乙方同意依照甲方工作需要担任____(职务)。乙方应该认真推行自己工作职责,按甲方要求完成任务,接收甲方考评。2.PartyBmustabidebyPartyA’srules,regulationsanddisciplinaryrules,whicharemadeaccordingtothelaw,followPartyA’sinstructionmanagementandworkassignment;andfulfillresponsibilities.2.乙方严格恪守甲方依法制订各项规章制度,服从分配和管理,并推行本岗位职责。3.ThisContractworkingplaceis.3.本协议推行地点为甲方本部。4.Duringtheprobationperiod,PartyBmayberegardedasnothavingsatisfiedtheemploymentconditionsifPartyBdoesnotperformhis/herdutiesordoesnotmeettherequirementofhis/herdutiesordoesnotmeettheassessmentstandards.Ifduringthecontractterm,PartyBisregardedasincompetentforthepositionPartyAhastherighttoadjustPartyB’spositionortotrainPartyB.4.乙方未推行工作职责或推行职责不符合要求或经考评后乙方未达成考评标准,在试用期内视为乙方不符合录用条件,甲方可直接解除劳动协议。在试用期之外协议期内,视为乙方不胜任本协议所约定岗位工作,甲方可调整乙方工作岗位或对乙方进行培训。5.PartyAshallgivePartyBwrittennoticeifPartyAwantstoadjustPartyB’sposition.PartyBshallbegintoworkinthenewpositionaccordingtothetermssetforthinthewrittennotice.Otherwise,PartyBshallberegardedasinasituationofabsenteeism.PartyB’ssalaryshallbealsoadjustedaccordingtothenewposition.5.甲方调整乙方工作岗位应以书面形式通知乙方。乙方在接到甲方岗位调整书面通知后,应该按通知书所要求日期到新岗位工作,不然视为旷工。乙方工资待遇按照被调整后工作岗位执行。Article2-Term第二条协议期限1.TheContracttermis__years,startingfrom__till____,thefirst__monthsofwhichshallbetheprobationperiod.1.本协议期限为___年,自____月___日起生效,至_年_月___日终止,其中前__个月为试用期。2.Duringtheprobationperiod,eitherPartyshallhavetherighttoterminatethisContractpriorwrittennotice;however,PartyAonlyhastherighttoterminatethisContractafterPartyBhasfailedtosatisfyrecruitmentrequirements.PartyA’srequirementsforrecruitmentshallbestipulatedinPartyA’sCompanyRulesandotherrelevantregulationsandotherdocuments.2.在试用期内,双方都有权以书面形式通知对方解除本协议。不过,甲方只有在乙方不能达成其要求或录用条件时才能要求解除协议。甲方要求和录用条件由甲方在其相关规章制度或其余文件中给予要求。Article3–WorkingHours,RestDaysandHolidays第三条工作时间和休息休假1.Aftervoluntaryagreement,PartyBagreestoacceptcondition__fromthefollowing:A.Standardworkinghours’system:everyweekworkdays,everydayworkhours.B.Specialworkinghours’system:PartyAarrangePartyBtoworkinposition,whichbelongstounfixedworkingtimework,bothsidesshouldexecutetheregulationofunfixedworkingtimeaccordingtothelaborlaw.C.Comprehensiveworkinghours’system:PartyAarrangePartyBtoworkin________position,whichbelongstoComprehensiveworkinghours,bothsidesshouldexecutetheregulationofComprehensiveworkinghoursaccordingtothelaborlaw1.甲乙经协商确认执行_____条款,标准工时制:每七天工作日,天天工作小时。不定时工时制:甲方安排乙方____________工作岗位,属于不定时工作制,双方依法执行不定时工作制要求。综合工时制:甲方安排乙方__________工作岗位,属于综协议计算工作时制,双方依法执行综共计算工时工作制要求。2.IfPartyAextendPartyB’sworkinghours,PartyAshouldarrangePartyBtohavearestwithequaltimeorpayovertimewagesaccordingtothelaw.2.甲方延长乙方工作时间,应安排乙方同等时间倒休或依法支付加班加点工资。3.Instandardworkinghours’systemandtimeforlunchandtimeforrestshallnotberegardedasworkingtime.PartyAmayenforcespecialworkinghour’ssystemworkinghours’systemorflexibleworkinghours’systemondifferentpositionsinthecompanyinlinewiththestipulationoflawsandregulations.3.假如甲方执行标准工时制话,工作时间不包含用餐时间和休息时间。甲方有权依摄影关法律法规对不一样工作岗位申请综合工时制或者不定时工时制。4.PartyBshallbeentitledtopaidholidaysandleavesasstipulatedbyState.4.乙方享受国家要求法定节假日及各类有薪假期。Article4–Salary第四条劳动酬劳1.PartyB’sgrosssalary(beforedeductionofindividualincometax)shallbeasfollows:RMBmonthlysalary.AndprobationsalaryisRMBeverymonth.1.乙方总劳动酬劳以下(包含个人所得税):每个月人民币元,试用期:元/月2.Inthelaborcontractperiod,PartyB’ssalarycanbeadjustedfollowingthePartyA’srulesofinternalwageadjustment.2.劳动协议期限内,乙方工资调整将按照甲方内部工资调整方法调整。3.PartyAarrangePartyBtoworkovertime,PartyAshouldpaywagesinaccordancewiththe44thprivisionundertheLaborLaw.3.甲方安排乙方加班加点,按《劳动法》第44条支付工资酬劳。4.PartyAisentitledtoadjustPartyB’ssalaryinaccordancewithanychangeinPartyB’sjobposition.However,PartyB’ssalarytobepaidbyPartyAshallnotbelowerthantheminimumwagestandardssetforthbythelocalauthoritiesfromtimetotime.4.如乙方工作岗位调整,工资按调整后岗位工资核发。在乙方正常工作情况下,甲方支付乙方工资收入不得低于地方政府最低工资标准。5.DuetoPartyA’sproductiontasks,asaresultofPartyBtobecomealaid-offworker,PartyAguaranteethatthecostoflivingwillnotlowerthanRMB.5.因为甲方生产任务不足,使乙方下岗待工,甲方确保乙方生活费不低于元。6.PartyAshallpaytoPartyBincashonamonthlybasis.Paymentofmonthlysalaryshallbepaideachmonthbeforethe10thdayforthelastmonthlyperiod.PartyAshallserveasthewithholdingagentofPartyB’sindividualincometaxinaccordancewiththerelevanttaxationlawsandregulations.6.甲方以货币形式按月支付乙方劳动酬劳,甲方发薪日为每个月10日前,支付上个月劳动酬劳。如遇公众假期,发薪日期能够提前或推后。乙方个人收入所得税将由甲方按关于要求代为扣缴。7.PartyB’ssalaryincludestheproportionofsocialinsuranceandhousingaccumulationfundthatshallbeborneonPartyBandPartyB’sindividualincometax.PartyAshallpaythesalarytoPartyBafterwithholdingsocialinsurance,housingaccumulationfundandpersonalincometaxwhichshallbebornebyPartyB.7.乙方工资中包含了社会保险和住房公积金中乙方应该负担部分和个人所得税。甲方代扣代缴乙方应缴纳社会保险和住房公积金、个人所得税后,将工资发放给乙方。Article5–LaborProtectionandWorkingConditions第五条劳动保护和劳动条件1.PartyAshallprovideoccupationalsafety,healthyworkingconditionsandsafetyprotectiveequipmentandclothingtoPartyB,conformingtotherelevantprovisionsoftheState.1.甲方为乙方提供符合国家要求劳动安全、卫生条件和必要劳动防护用具。2.Duringtheperformanceofhis/herwork,PartyBshallfollownationalsafetyrulesandregulationsandthosesetforthbyPartyBfromtimetotime.2.乙方在工作过程中应该严格恪守国家和企业制订全部安全操作规章制度。Article6–SocialInsuranceandWelfare第六条社会保险和福利待遇1.PartyAshallpayPartyB’ssocialinsuranceandhousingfundaccordingtotherelevantlawsandregulations.1.甲方依照国家法律法规和企业规章制度要求为乙方办理社会保险和住房公积金。2.IfPartyBsuffersfromanoccupationaldiseaseorwork-relatedinjury,orbeingafemalesheisinheranyofthethreeperiodtreatments(pregnancy,maternityandinfantfe-edingperiod),PartyBisentitledtoenjoythelegalrightsandbenefitsasstipulatedintheStatelawsandgovernmentregulations.2.乙方患职业病或因工负伤及女职员三期工资和医疗保险待遇按国家要求执行。3.IfPartyBsuffersfromnon-workingrelateddiseaseornon-workingrelatedinjury,medicaltreatmentandsickleavepayshallfollowStatelawsandgovernmentregulations.3.乙方患病或非因工负伤,其病假工资和医疗待遇按照国家法律法规和企业规章制度要求执行。4.Accordingtothecompanypolicy,PartyBcangetdoublesalaryattheendoftheyearafterhe/sheworkinthecompanyforoneyear.4.乙方入职满一年,依照企业规章制度,年底可享受双薪。5.Accordingtothecompanypolicy,PartyBcanenjoytheannualleaveafterhe/sheworkinthecompanyforoneyear.5.乙方入职满一年后,依照企业规章制度,将享受带薪年假。Article7–WorkDiscipline第七条劳动纪律1.PartyBshallobservePartyA’sregulationsandworkdisciplinerulesenactedinaccordancewiththeLaw.1.乙方必须严格恪守甲方依法制订各项规章制度。2.WhenPartyBbreaksPartyA’srules,regulationsandworkingdiscipline,PartyAshalltakedisciplinaryactionsaccordingly.Punishmentshalldependonthegravityoftheinfringement,andincaseofseriousviolationPartyAshallterminatetheEmploymentContractwithimmediateeffect.2.甲方将依法和企业规章制度对乙方违章违纪行为进行惩处。惩处方法将视乙方违章违纪行为严重程度而定,对违章违纪严重者,甲方将立刻与其解除劳动协议。Article8–ExclusiveServiceandConfidentiality第八条专有服务和保密1.PartyBshallnotengageinparttimeorfulltimeworkeitheronhis/herownaccountoronthirdparties’accountwithinthetermofthisContract,ifnotPartyBshallbearliabilitiesaccordingtolaw.1.与甲方订立协议后,乙方在协议期限内不得为自己或任何第三人从事其余工作。未经许可,乙方不得兼职甲方以外任何职务。不然,应依法负担赔偿责任。2.DuringtheEmploymentContractwithPartyA,PartyBwillreceiveand/orhaveaccesstotechnicalandbusinessinformationrelatedtoPartyAforthepurposeofcompletionofthisContract.ItisagreedandunderstoodthatduringthecompletionofthisContractandafteritsterminationPartyBshallnotdivulgeordiscloseanyandallinformationhehasaccessedorreceivedrelatedtoPartyAanditsactivities.IncasePartyBviolatesthisconfidentialityagreement,PartyAisentitledtopursuebyanylawfulmeanslegalactionagainstPartyBandPartyBshallbeheldaccountableforanyandalldamages,expensesandcostswhatsoever,includinglawyerfees,andshallbeliabletopaycompensationinaccordancewithCompanyrulesandrelevantlawsandregulations.2.在与甲方雇佣期内,乙方因工作目标将收到及/或能够有路径获取甲方技术资料。双方同意在雇佣期及协议结束后,乙方均不得将甲方任何保密信息及信息获取路径泄露或公布给甲方以外任何其余人,不然甲方有权依据企业规章制度及相关法律法规对乙方进行惩处并追究其由此带来全部经济损失,各项费用,包含律师费,赔偿费。3.UponterminationorrevocationofthisContract,PartyBmust,inatimelymanner,returntoPartyAallthedocuments,files,drawing,tapes,disks,stampsandsoon,concerningPartyA’sbusinessmanagementandoperation.PartyBisnotallowedtodetain,transferordestroyPartyA’sbelongings.3.本协议终止或解除时,乙方应将包括甲方经营,管理文件,公章,资料图纸,磁带,磁盘,笔记等及时偿还给甲方,不得扣留,转让他人或销毁,带出。Article9–TheModification,Renewal,TerminationandRevocationofThisContract第九条协议变更、续订、终止和解除1.Modification(一)变更(1)Enterintothiscontractbasedonlaws,adminis-trativeregulations,rulesandregulationschange,thecontractshouldbechangedrelatedtothecontent.(1)订立本协议所依据法律、行政法规、规章制度发生改变,本协议应变更相关内容。(2)Enterintothiscontractbasedontheobjectivesituationchangedsignificantly,resultinginimpossibilityofperformance.Withbothpartiesagreement,thecontractshouldbechangedwithrelatedcontent.(2)订立本协议所依据客观情况发生重大改变,致使本协议无法推行,经甲乙双方协商同意,能够变更本同相关内容。2.WhereanyPartywishestorenewthisContract,awrittennoticeshallbegiventotheotherParty30daysbeforetheterminationdate.ThisContractshallberenewedaftermutualconsultationprovidedthatbothPartiesreachanagreement.(二)任何一方如需续订本协议,应在本协议期限届满前30日提出。在双方同意情况下,本协议将续订。3.Termination:(三)终止Inthecaseofanyofthefollowingcircumst-ance,theContractshallbeterminated:有以下情形之一,本协议终止:(1)ThetermoftheContracthasexpired:(1)本协议期满;(2)PartyBhasbeguntoenjoytheendowmentinsurance;(2)乙方开始依法享受基本养老保险;(3)PartyBpassaway,orisdeclareddeadormissingbyaPeople’sCourt;(3)乙方死亡,或者被人民法院宣告死亡或者宣告失踪;(4)PartyAisdeclaredbankruptaccordingtothelaw;(4)甲方被依法宣告破产;(5)PartyA’sbusinesslicenseisrevoked,orPartyAisorderedtoclosedownitsbusinessorPartyAisorderedtodissolveitsbusinessentity,orPartyAdeterminestogotoliquidationbeforeschedule.(5)甲方被吊销营业执照、责令关闭、撤消,或者甲方决定提前解散。4.Rescission(四)解除4.1.PartyAmayterminatetheContractwithoutnoticeinadvanceandwithoutpaymentofanyeconomiccompensationinanyofthefollowingsituations:4.1.乙方有以下情况之一,甲方无需提前通知乙方,即可解除本协议,无需支付任何经济赔偿:(1)PartyBprovestobeunqualifiedforemploymentduringtheprobationperiod;(1)在试用期被证实不符合录用条件;(2)PartyBseriouslyviolatesthelabordisciplineandworkingrulessetbyPartyA;(2)严重违反甲方劳动纪律或规章制度;(3)PartyBsuffersgreatlossbecauseofPartyB’sbreachofduty(economicdamagesaboveRMB5000shallbeconsideredasgreatloss)(3)严重渎职,营私舞弊,对甲方造成重大损害(经济损失5000元以上视为重大损害情形之一);(4)PartyBhasadditionallyestablishedanemploymentrelationshipwithanotheremployerwhichaffectstheperformanceofhis/hertaskswithPartyA,orhe/sherefusestorectifythematteraftertheissueisbroughtabouttohis/herattentionbyPartyA;(4)乙方同时与其余用人单位建立劳动关系,对完成甲方工作任务造成严重影响,或者经甲方提出,拒不改过;(5)PartyBusessuchmeansasdeceptionorcoercion,ortakesadvantageofPartyA’sdifficulties,toforcePartyAtoconcludeanewlaborContract,ortomakeamendmentswhicharecontrarytoPartyA’struewill;(5)乙方以欺诈、胁迫伎俩或者乘人之危,使甲方在违反真实意思情况下订立或者变更劳动协议;(6)PartyBisheldresponsibleforcriminalliabilitiesaccordingtolaw.(6)被依法追究刑事责任或劳动教养。4.2PartyAmayterminatetheContractthrough30dayspriorwrittennoticeintheeventanyofthefollowingcircumstancesoccursandPartyAshallpayeconomiccompensation:4.2.乙方有以下情形之一,甲方应该提前30天书面通知乙方后,能够解除本协议。这类情形解除,甲方需支付经济赔偿金(1)PartyBcanneithercarryouthis/heroriginaldutiesnoranyotherkindofnewdutiesassignedtohim/herbyPartyAafterthecompletionofmedicaltreatmentperiodduetoillnessesorinjuries;(1)患病或非因工负伤,医疗期满后,不能从事原工作,也不能从事另行安排工作;(2)PartyBisnotfitforhis/herposition,evenaftertrainingandtaskadjustments.(2)不能胜任工作,培训或调整工作岗位,仍不能胜任工作;(3)TheoriginalcircumstancestheContractwasbaseduponchangegreatlypreventingtheContractfrombeingimplementedandnoagreementonalterationoftheoriginalContractcanbereachedthroughconsultationbetweenandbybothParties;(3)本协议订立时所依据客观情况发生重大改变,致使本协议无法推行,经双方协商不能就变更协议达成协议;4.3PartyAhasamajordifficultyinthevergeofbankruptcyforthestatutoryperiodofreorganizationorlineoperation,PartyAmusttalkwiththeTradeUnionoralltheworkersandhaveareporttoLaborAdministrationDepartment.Thiscontractcanberemoved.4.3.甲方濒临破产进行法定整理期间或者生产经营发生严重困难,经向工会或者全体职员说明情况,听取工会或者职员意见,并向劳动行政部门汇报后,能够解除本协议。4.4PartyAisnotallowedtoterminatetheContractaccordingtoaboveitem4.2ofthisarticlewhenanyoneofthefollowingcasesoccurs:4.4.乙方有以下情形之一,甲方不得按照上述本条第4.2要求解除本协议:(1)PartyB,whohasbeenconductingoperationsexposinghimtooccupationaldiseasehazards,hasnotgonethroughanoccupationalhealthcheckbeforeleavinghis/herposition,orhe/sheissuspectedofhavinganoccupationaldiseaseandhe/sheisunderdiagnosesormedicalobservation;(1)乙方工作是接触职业病危害作业,且未进行离岗前职业健康检验,或者乙方被作为疑似职业病病人,且在诊疗或者医学观察期间;(2)PartyBhasoccupationaldiseaseorhaslostorpartiallylosthis/hercapacitytoworkduetoaninjuryrelatedtohis/herjobduringworkingtimeinPartyA;(2)乙方在甲方工作期间患职业病,或者因工负伤,并经劳动能力判定委员会确认,丧失或部分丧失劳动能力;(3)PartyBissufferingfromnon-workingrelatedillnessorinjury,andtheperiodofmedicaltreatmentasprescribedhasnotexpired;(3)乙方患病或非因工负伤,在要求医疗期内;(4)PartyB,beingafemaleemployee,isinherpregnancy,maternityornursingperiod;(4)乙方是女职员,且在孕期、产期、哺乳期内;(5)PartyBhasbeenworkingforPartyAcontinuouslyforover15yearsandhe/sheislessthan5yearsawayfromhis/herlegalretirementage.(5)在甲方连续工作满十五年,且距离法定退休年纪不足五年。4.5IfPartyBintendstorevoketheContractduringtheprobationperiod,he/sheshallsendawrittennotice3daysinadvancetoPartyA.IfPartyBintendstorevoketheContractaftertheprobationperiod,heshallsendawrittennotice30daysinadvancetoPartyA.4.5.试用期内乙方解除本协议,应提前3日(一周)书面通知甲方。试用期过后,乙方要求提前解除本协议,应该提前30日书面通知甲方。5.Transfer:(五)移交UponterminationorrevocationoftheContract,allthedocuments,filesandotherPartyA’sbelongings,whichPartyBhasbeenusingtoperformhis/herworkorareatthePartyBdisposal,shallbereturnedbacktoPartyA.解除和终止劳动协议时,乙方需交还工作期间经手或保留企业全部财务,档案及其它文字资料。Article10–Tradesecretsandnon-competition第十条商业秘密与竞业限制1.PartyBshallkeepthecompany'stradesecretswhicharegottenbecauseoftheiridentity,position,professionalortechnicalrelationshipstrictly,ensurethattheywillnotbedisclosedorused,includingaccidentsornegligence.EventhoughsuchinformationmightevenbewhollyconceivedoracquiredasaresultofworkbyPartyB.1.乙方对其因身份、职务、职业或技术关系而知悉企业商业秘密应严格保守,确保不被披露或使用,包含意外或过失。即使这些信息甚至可能是全部地由乙方本人因工作而构思或取得。2.PartyBcannotdisclosethecompany'stradesecretsdirectlyorindirectlytointernal,externalindependentpersonandalsothosethirdpartieswhotakenoobligationofconfidentiality.PartyBshallnotallow(loan,grant,lease,transferandsoonpunishmentoftradesecretsactiononPartyAallbelongto"allow"),orhelpanythirdpartywhoassumesnoobligationofconfidentialitytousePartyA'sbusinesssecrets;cannotcopyordisclosethefilesorcopieswhichincludethecompanytradesecrets;shallproperlytreatthosefileswhicharekeptorcontactedbyworkrelatedtoourcompanyorcorporateclient,shallnotusethefilesexceedthescopeofworkwithoutpermission.2.在服务关系存续期间,乙方未经授权,不得以竞争为目标、或出于私利、或为第三人谋利、或为有意加害于企业,私自披露、使用商业秘密、制造再现商业秘密器材、取走与商业秘密关于物件;不得刺探与本职员作或本身业务无关商业秘密;不得直接或间接地向企业内部、外部无关人员泄露;不得向不负担保密义务任何第三人披露甲方商业秘密;不得允许(出借、赠与、出租、转让等处罚甲方商业秘密行为皆属于“允许”)或帮助不负担保密义务任何第三人使用甲方商业秘密;不得复制或公开包含企业商业秘密文件或文件副本;对因工作所保管、接触关于本企业或企业客户文件应妥善对待,未经许可不得超出工作范围使用。3.IfPartyBfindthatthetreadsecretsleakedordisclosetheirtradesecretsfortheirnegligence,Theyshouldtakeeffectivemeasuretopreventfurtherleakage,andtheyshallalsopromptlyreporttoPartyA.3.乙方假如发觉商业秘密被泄露或者自己过失泄露商业秘密,应该采取有效方法预防泄密深入扩大,并及时向甲方汇报。4.WhentheServicerelationshipends,PartyBshallgivethetechnicaldata,testequipment,testmaterials,customerlistsandsuchthingsrelatedtotheworkbacktothecompany.4.服务关系结束后,乙方应将与工作关于技术资料、试验设备、试验材料、客户名单等交还企业。5.PartyBshallnotprovidesupportforself-runorpeercompanycompetitorssincetheyleavethecompanyforvariousreasonswithinoneyear.Theyshallnotengageinproduction,research,development,operation,salesuchworksthattheydointhecompany(includingemployedbyothersorself-employedpersonengaged),andkeepthetradesecretswhichtheygottedfromthecompanystrictly,thereisnoanyreasonorexcusetoleakthetradesecrets.PartyAshallpaythecompensationtoPartyBaccordingtotheregulationsin<JiangsuProvincialLaborContractRegulations>.5.乙方因各种原因离开企业,自离开企业之日起一年内不得自营或为企业同行竞争者提供服务,不得从事与其在企业生产、研究、开发、经营、销售关于相关工作(包含受雇他人或自行从事),并对其所获取商业秘密严加保守,不得以任何理由或借口给予泄露。Article11–LiabilitiesforCompensation第十条经济赔偿与赔偿1.WhenthePartyAbreachandterminatethelaborcontractwithoneofthefollowingsituations,PartyAshouldpaytheeconomiccompensationtoPartyBwiththefollowingstandard.1.以下情形之一,甲方违反和解除乙方劳动协议,应按以下标准支付乙方经济赔偿金。(1)IfPartyAdeductorunjustifieddelayPartyB’swage,andrefusetopaytheovertimewage,PartyAmustpaythefullwageswithinthestipulatedtime.PartyAalsoneedtoissue25%economiccompensationtoPartyB.(1)甲方克扣或者无故拖欠乙方工资,以及拒不支付乙方延长工作时间工资酬劳,除在要求时间内全额支付乙方工资酬劳外,还需加发相当于工资酬劳25%经济赔偿金;(2)PartyApaythewagesbelowthecity’sminimumwagestandards,tocomplementthebelow,inadditiontopay25%economiccompensationtoPartyB.(2)甲方支付乙方工资酬劳低于本市最低工资标准,要在补足低于标准部分同时,另外支付相当于低于部分25%经济赔偿金。2.PartyAshouldbebasedonthePartyB’sworkingtimetopayPartyB1monthofeconomiccompensationperyearwhenPartyBhasoneoftheArticle9of4.2,butnomorethan12months.2.乙方有第九条4.2情形之一,甲方应依照乙方在甲方工作年限,每满1年发给相当于乙方解除本协议前12个月平均工资1个月经济赔偿金,最多不超出12个月。3.Aftertheterminationofthiscontract,ifPartyAdidn’tpaytheeconomiccompensationtoPartyB,inadditiontothefullamountofeconomiccompensation,PartyAalsoneedtopay50%economiccompensationtoPartyB.3.甲方解除本协议后,未能按要求给予乙方经济赔偿,除全额发给经济赔偿金外,还须按该经济赔偿金数额50%支付额外经济赔偿金。4.IntheeventthateitherPartybreachesanyprovisionoftheContractorlawthatresultsintheotherpartysufferingfromeconomiclosses,thebreachingPartyshallbeliabletocompensatetheotherPartyforthecorrespondingeconomiclosses.4.协议期间,双方任何一方违反本协议或法律要求,且给对方造成经济损失,应依照其后果和责任大小,给予赔偿。5.WherePartyBrescindstheContractinviolationofContractrulesrequirementsresultinginPartyAsufferingfromeconomiclosses,PartyBshallbearliabilitiesandpaycompensationincluding(butnotlimitedto)thefollowingitems:5.乙方违反要求或劳动协议约定解除协议,对甲方造成经济损失,乙方应赔偿甲方损失,包含:(1)ThetotalemploymentfeespaidbyPartyAtoPartyB甲方招收录用乙方所支付费用(2)TotalamountoftrainingcostsandexpensespaidbyPartyA.Wheretherewasaseparateagreementsettingspecialprovisionsinrespecttotheaforementionedfees,suchprovisionsshallbefollowed.甲方为乙方支付培训费用,双方另有约定按约定办理(3)ThedirectlossesinPartyA’sbusinessproduction,operationandmanagement对生产,经营和工作造成直接损失(4)OthercompensationfeesasagreeduponinthisContract.劳动协议约定其余赔偿费用。3.WherePartyBbreachesanyprovisionofthisContractinrespecttoconfidentialityduties,whichresultsinPartyA’ssufferingeconomiclosses,PartyBshallcompensatePartyAforthecorrespondingeconomiclosses.3.乙方违反本协议约定,保守商业秘密事项,给甲方造成损失,乙方应按照关于法律和甲方规章制度赔偿甲方损失。Article11–ApplicableLaw第十一条法律适用1.Theformation,validity,interpretation,executionandsettlementofthisContractshallbeconstruedinaccordancewithandgovernedbythelawsandstatutoryregulationsinforceinChina.1.本协议订立,生效,解释,执行及争议处理将适用中国法律。2.IfanystipulationinthisContractwasinconflictwithanyapplicableofficiallypromulgatedlawsandregulations,thePartiesshallpromptlyamendthisContractaccordingly.2.如订立本协议时所依据法律,行政法规,规章发生改变时,本协议应变更对应内容。Article12–Disputes第十二条争议处理1.AnydisputearisingfromtheexecutionofthisContractshallbesettledthroughfriendlyconsultationsbetweenbothparties.Intheprocessofsettlingtheaforementioneddisputes,PartyBisnotallowedtotakeanyirrationalbehaviortowardsPartyAsuchasmakingtrouble,disruptingworkclimate,disturbingbusinessandmanagerialorder,stoppingworkandceasingperformingemployees’duty,otherwisePartyAhastherighttoadoptanylawfulmeasureaccordingly.1.甲、乙双方将首先经过友好协商处理因推行本协议而发生任何争议,乙方不得借故破坏正常工作,经营和管理秩序,停顿进行工作,停顿推行职责或者采取其余过激行为,不然,企业有权将其处理。2.Incasethatnosettlementcanbereachedthroughfriendlycon
