经甲乙双方友好协商，本着诚实信用、互惠互利原则，双方就芭蕾舞剧团巡回演出《天鹅湖》（下称：演出）予以协商并达成如下协议，双方遵守执行：Thepartieshereto,throughamicableconsultation,ontheprinciplesofgoodfaithandmutualbenefit,consultupontheperformanceofRussianRoyalBallettotourperformanceofSWANLAKEinChina(hereinafterreferredtoasperformance).NOWTHEREFORETHISCONTRACTWITNESSthatitisherebyagreedbyandbetweenthepartiesheretoasfollows

fortheimplementationhereby:一:演出剧目、地点、期间及演职员人数PLAYOFPERFORMANCE,THEPERIOD,CITIESOFTOURANDNUBBEROFACTORS/ACTRESS1、演出剧目：芭蕾舞剧《天鹅湖》(参见：附件一：剧情介绍；附件二：主要演员及演出方案)Theplay:BalletofSwanLake(ReferencetoAnnex1.IntroductionofPlayandAnnex2.MainPlayersandPerformanceScheme)

2、演出期间：____年___月__日至____年___月__日Theperiodoftour:Fromday_____month______yeartoday_____month______year3、演出地点：上海、天津、合肥、南京和深圳，共五个城市，共安排30个演出场次。TheCitiesoftour:FivecitiesincludingShanghai,Tianjing,Hefei,NankingandShenzhenandwiththetotalof30performancesbeingplannedinthescheme.4、乙方演出的演职员人数：共65人（附件三：乙方来华名单）ThenumberofcrewofpartyBtoChina:Total65persons(ReferencetoAnnex3.TheRollofPartyB’sCrew)二、乙方报酬、费用及税费PartyB’sRemuneration,FeesandTaxes1、乙方每场演出报酬为元人民币或等值美元。TheremunerationofpartyB’seachperformanceshallbeRMB(RMBFiftyThousandonlyinword)ortheequivalentinUSDollar.2、其他费用：OtherFeesorcharges:乙方在中国境外的签证费、国际旅行费和道具运输费等费用由乙方自行承担；自到达首站上海起，在中国境内旅行、道具运输和食宿的相关费用由甲方承担。离境旅行费用（终点站：莫斯科）各承担一半。Thefeesorcharges,beyondtheborderofChina,suchasvisafee,internationaltravelfeeandproptransportationcostshallbetheexpenseofpartyBitself.AllexpenseswhatsoeverinrespectoforinrelationtopartyB’stravel,propstransportandaccommodationinChina,commencinguponthearrivingatthefirststopofShanghai,shallbebornebypartyA.ThedeparturetravelfeeofpartyBshallbeundertakenathalftohalfbybothpartieshereto.TheterminusofpartyB’sdeparturetravelshallbeMoscow.3、税费：甲乙各方按照中华人民共和国税务法律规定，各自承担与收入有关的税费。需缴纳给当地管理部门的与演出有关的其他费用由甲方承担。Taxes:Eachpartyshall,inaccordancewiththeprovisionsofPeople’sRepublicofChinaTaxLaw,paythetaxeswhichrelatingtoitsincomesrespectively.TheotherfeesorchargespaidtolocalauthoritiesshallbebornebypartyA.4、本合同签订后十天内甲方向乙方提交壹万美元的银行保函。乙方收到本合同规定的银行保函后，正式开展组团前往中国巡回演出的前期筹备工作。PartyAshall,withinten(10)daysuponthesignatureofthiscontract,submitabankguaranteeofUSDollar10,000(SayTenThousandonlyUSDollar)topartyBandpartyBshall,uponreceiptofthebankguaranteestipulatedherein,commencethepreliminarypreparationofgroupingfortourperformanceinChina..三、甲方的责任和权益TheResponsibilityAndRightsOfPartyA1、甲方协助乙方办理签证和出入境手续，负责办理当地演出活动的批准手续，并在演出日期的10个工作日前，向乙方提交全部演出筹备工作手续的文件副本供参阅备存。PartyAshallusehisbestendeavorstoassistpartyBtoeffecttheproceduresofvisaandentry/exit,isliabletotakethepermissionofperformancebylocaladministrativeauthorityandshall,prior10workingdaysoftheperformance,makeavailablepartyBwithalldocumentsrelatingtothepreparatoryproceduresofperformanceforreferenceandfiling.2、甲方负责接待乙方全体演职人员的中国境内演出期间的旅行、食宿和当地交通并承担相应费用。PartyAshalltakeresponsibilityforreceptionandpreparationofthetravel,accommodationandlocaltrafficofpartyB’sallcastandcrewandbearthecosttherewith.3、甲方可在演出城市举行演出前新闻发布会一次，应预先向乙方以书面提供新闻发布会的策划内容。乙方安排2-3名主要演员出席新闻发布会。PartyAmay,priortotheperformanceatlocalcity,haveapressconference,providedthatiftheplanningcontentsofpressconferenceshouldbeprovidedinwritingpriortopartyB.TwoorthreeleadingactorofpartyBshallattendthepressconference.4、，演出剧场租金由甲方承担。ThetheatrerentshallbebornebypartyA.5、每场结束后次日甲方按照上述第二条第1款向乙方支付前一场次的演出报酬。PartyAshall,atthemorrowdayaftereachperformanceofpartyB,paytheremunerationofpreviousperformancetopartyBpursuanttoclause(1)2asaforesaid.6、每场演出收入除按照上述第二条第1款支付乙方费用外，其余归甲方所有。Theremainsumfromeachperformanceincomeshall,exceptingthepaymentpaidtopartyBpursuanttoclause(1)2asaforesaid,belongtopartyA.7、由甲方负责演出的门票和节目单印制。海报宣传广告、门票广告、场地的广告收入由甲方所有。甲方印制的宣传物品的内容在提交乙方确认后制作。企业商业赞助的税后收益由双方平分。TheprintingofticketandprogramofperformanceshallbeliableforpartyA.Therevenuearisingoutoftheadvertisementsofposter,ticketandtheaterbelongtopartyA.ThecontentsprintedonthepropagandaofperformanceshallbesubjecttopartyB’srecognizedpriortoprinting.Theamountofincomearisingoutoftheenterprisecommercialsponsorshallbe,afterpaymentoftaxunderlaw,dividedequallybythepartieshereto.8、在演出期间，除经双方书面核准的机构或人士外，甲方不得允许其它任何人摄录相关的影音资料。如若需要为拍摄演出内容的影像宣传资料，应当经过双方商定拍摄内容。NoneofanyotherpersonswouldbeallowedbypartyA,intheperiodofperformancetomakevideoormusicrecordofperformance,excepttosuchinstitutionorpersonasbeingpermittedbymutualwrittenapprovalofthepartieshereto,ifandtotheextentthatthepurposeofsuchshootorrecordisthenecessaryforpropaganda,shouldbesubjecttoconsultationofpartieshereto.9、在演出前的彩排和正式演出的现场，提供保安人员维护演职人员的安全，并维持良好的治安管理环境。现场应有医疗急救人员一名。PartyAshould,atthesceneofdressrehearsalanddueperformance,dispatchguardsforthemaintenancetheon-sitesecurityofstaffandmanageagoodorderofsite,inadditiontoonedoctorforemergencymedicalservicethereat.10、甲方必须保证演出期间剧场电源正常，如果发生停电并导致演出中断或者无法演出，甲方依然应按照上述第二条第1款规定支付乙方的报酬。如果因停电或者剧场原因无法演出，在不影响下一个演出场次时间安排的前提下，双方可以协商另行安排演出时间。PartyAmustensuretheelectricalpowersupply,intheperiodofperformance,isnormal.Ifandwhenever,thepowercutoccurandgiverisetotheinterruptofperformanceorunabletoperformance,partyAshouldstillpaytheremuneration,inaccordancewiththestipulationofParagraph1Article2hereofabove.Intheeventofthefailureofperformanceduetopowercutorthereasonoftheater,partiesheretomay,subjecttothepremiseofnoinfluencetonextperformance,maketheconsultationoftheanotherarrangementofperformancetime..四、乙方的责任和权益TheResponsibilityAndRightsOfPartyB1、乙方全体演职人员必须于____年___月__日之前到达演出的首站上海。AllactorsandstaffofpartyBmust,onorbefore13th

October2012,arriveatShanghai,thefirstcityofperformancetour.2、乙方应当按双方议定的节目单内容高质量地完成演出，保证按照剧情介绍和演出方案演出全部内容；演出内容、演出规模、舞美设计等内容如若需要修改，乙方应在演出的20天之前，以提供书面材料与甲方商讨研究。未经甲方同意不得改变附件规定的演出方案。PartyBshallbeundertheobligationtoaccomplish,withhighquality,theperformanceinaccordancewiththeprogramagreeduponbypartiesheretoandmakeshowofallthecontentoftheplaybywhichtocomplywiththeplayintroductionandshowscheme.Intheeventofanymodificationofcontent,scaleandchoreographyinrelationtotheperformance,partyBshould,prior20daysofperformance,providewrittendocumentstopartyAforconsultationandif,withoutpriorcontentofpartyA,nomodificationofshowschemeshallbetakenbypartyB.3、保证以下主要演职人员必须参加每场演出：PartyBshallguaranteethefollowingprincipalcastmustattendeachshow:艺术总监：杰迪米纳斯塔冉达ARTDIRECTOR:GEDIMINASTARANDA女主角演员：安纳丝塔西亚米克谢季娜HEROINEACTRESS:ANASTASIYAMIKHEIKINA女主角演员：戴安娜维斯涅瓦HEROINEACTRESS:DIANAVISHNEVA男主角演员：卡伊尔詹尼别克HEROACTOR:KAIYERZHANIBEK男主角演员:弗拉基米尔马拉科夫HEROACTOR:VLADIMIRMALAKHOO4、确保演职人员遵照本合同的规定。所有演职人员在演出开始前按照预定时间到达演出现场并认真完成演出前的各项准备。PartyBshouldensureitsperformersandstaffcomplywiththerequirementsofthiscontract.Allperformersandstaffshall,asthescheduledtimepriorcommencingperformance,arrivedthetheaterandmakepreparationsofperformanceinearnest..5、乙方自行负责的现场专业灯光音响设备的控制和高级专业技术人员的配备，甲方可以提供辅助技术人员和工人协助工作，但不承担相关责任。PartyBshall,byitself,beresponsibleforthecontrolandmanagementoftheequipmentson-sitesuchasprofessionallightingandaudioandsoon,andpartyAcouldprovidepartyBwithauxiliarytechnicalassistorsandlabors,providedthatbearanyliabilitytherefore.6、除本合同约定的新闻发布会外，乙方有权拒绝参加不在本合同约定内的应酬或商业活动，如有需要,则另行议定相关商业活动的合作文件。ExceptinsofarasNewsConferenceprovidedinthiscontract,partyBisentitletorefusetotakepartinsocialorcommercialactivitiesandothersbeyondtheagreementsstipulatedinthiscontract,forwhichifnecessary,thecooperativedocumentsonrelatingcommercialactivitiescouldbeagreedbetweenthepartieshereto.7、乙方自行保管带入中国的全部演出器材设备和自用的其它高价值物品，甲方协助办理进出境海关手续。AllandanyequipmentsandmaterialsfortheperformanceandotherhighvalueitemsforownusebeingbroughtintoChinabypartyBshouldbekeptbypartyBitself,andforwhichpartyAcouldprovideassistancetoclearCustomsforenteringandexiting.8、在演出期间，应注意防止发生意外事故，注意爱护剧场财物和清洁卫生。如果乙方演职人员损坏剧场的设备或物品，应照价赔偿。PartyBshould,withintheperiodofperformance,becarefulforpreventionofaccidentsandtakegoodcareoftheatrepropertiesandmaintaincleanthereat.WherethedamageofequipmentorothermaterialoftheatreduetothereasonofmistakeorfaultonthepartofpartyB,bywhichshouldmakecompensation,accordingtotheoriginalprice,thematerialdamaged.五、甲方向乙方演出人员提供的旅行和食宿接待标准Thereceptionstandardoftravelandboard/lodgingprovidetopartyBbypartyA1、甲方负责向乙方演出人员提供中国境内由出发地点往返演出地点的飞机、长途大巴或火车旅费,如飞机，提供商务舱10张，其它人员经济舱，往返时间由甲方确定后提前通知乙方准备。往返演出城市的道具运输费用由甲方承担。在演出城市当地提供两辆40座左右的带空调豪华大巴和一辆行李车，一辆道具车。PartyAisliabletoprovidepartyBwiththeround-travelexpensesof,withintheboundariesofChina,airplane,long-distancebusand/ortrain.Ifairplane,10ticketsforcommercialcabinandothersforeconomiccabin,thetimeofround-travelshallbenoticedtopartyB,uponpartyA’sdeterminationofthesame,formakingthecorrespondingpreparation.Theexpensesofcarriageofthepropertiesforperformance,theround-travelofthecitiesinwhichtheshowbeingon,shallbeundertakenbypartyA.PartyAshall,inthecityofperformance,providepartyBwithtwoluxurybusseswith40seatsandair-condition,onetruckforluggage,onetruckforpropertiesofperformance.2、甲方负责提供乙方演职人员标准不低于三星级的酒店下榻。商务套间十间，其余为标准双人间，其中包括房间的服务费用（不含国际长话费）。为乙方提供中西式早餐、中餐和晚餐，每人每天餐饮标准不低于150元人民币。ThestandardofhotelprovidedtopartyBstayatshallnotlessthanthesameofthree-star,withtencommercialdepartments,othersasthestandardroomfortowpersons.Theservicefeeisincludedamongexpensesoflodgingprovidedthatwithoutlong-distancetelephone.Theprovisionofbreakfast,lunchanddinnertopartyB,withstylesofbothChineseandwestern,themealstandardforeachpersonperdayshallnotbelessthansuchasby150YuanRBM.3、在演出现场,甲方为乙方演出人员准备点心餐，其中包括水果、咖啡、矿泉水、热水、汉堡、三明治和面包等。PartyAshall,attheperformingtheatre,preparethedessertmealforperformersofpartyB,includingfruit,coffee,mineralwater,hotwater,Hamburg,sandwichandbreadandsoon.四、演出剧场条件及要求Theconditionsandrequirementsofperformingtheater1、演出场地租赁及使用安排由甲方负责，场地规格、设施和安全条件必须符合双方的约定。TheleaseandusingarrangementofperformingtheatershallbeliableforpartyA,ofwhichthestandard,facilitiesandsafetyconditionshouldcomplywiththeagreementbypartieshereto.2、甲方安排工人十名协助乙方在演出场地布置灯光音响和背景，舞台搭建等事项。工人由甲方代为雇用，由乙方按照当地标准支付工人劳务报酬。PartyAshalldispatchtenworkerstoassistpartyBwiththelayoutoflightingbackgroundandsettingupofstageatthetheaterandsoon,towhichpartyAshallemployandpartyBshall,inaccordancewiththestandardoflocalworker’spayment,payremuneration.3、场地条件Theconditionsofperformancetheater舞台安排不少于6根景杆，其中天排后3根，至少有3根边幕（黑或深绿色），可升降电动吊杆。Onthestagenolesssix(6)rootpolesthereare,ofwhichthree(3)polesatthebackcurtain,andatlestthree(3)polesatsidecurtain,whichblackordarkgreenandtheelectricliftingsteeve.舞台两侧各3排侧光，一排顶光、面光及工作灯。所有灯光应加换色或可加色纸，色号为：深蓝、浅蓝、橘黄和红黄。后台不少于4间化妆间及2间主演员化妆间，均带空调设施，3组挂衣竿。Three(3)sidelightsalongbothsidecurtains,arowoftoplights,surfacelightandworkinglights,allofwhichshallbeaddedorchangethechromopapers,ofwhichthecolorsymbolsaredarkblue,lightblue,orangeandredyellow.Morethanfour(4)dressingroomsforactress/actorsinadditiontotwo(2)mainactress/actorroomsonthebackstage,withair_conditioningandthree(3)groupsofclothesrods.4、自演员下午到达剧场排练时起，剧场应提供空调。Air-conditioninginthetheatershould,uponthearrivingandrehearsalofactors,beingprovided.5、演出过程中，有6名中方工作人员及相关专业技术人员协助更换背景和其它辅助工作，由乙方按照当地标准支付劳务报酬。Six(6)Chineseprofessionalortechnicalpersonnelshall,intheperiodofperformance,bedispatchedtoassistthereplacingofbackgroundandotherancillaryworks,towhichpartyBshall,inaccordancewiththelocalservicestandard,paytheremuneration.6、演出当天由甲方负责安排2名英语或俄语翻译到场协助交流。

PartyAshall,onthedayofperformance,dispatchtwointerpretersofEnglishorRussianfortheassistanceofcommunicationatthescene.五、保险Insurance甲方协助乙方向中国人民保险公司购买来华人员的临时保险，投保的标准为；意外伤亡保险：美金20万元，临时医疗保险美金5万元，由乙方承担保险费用。保险有效期从演职人员进入中国境内至离开中国国境。PartyAshallassistpartyBtoeffecttheinsuranceofallpersonscomingtoChinaagainstaccidentalcasualtywiththeinsurancecompensationofUSD200，000(USDtwohundredthousandonlyinword）andtemporaryhealthinsurancewiththeinsurancecompensationofUSD50，000(USDfiftythousandonlyinword）fromChinaPeople’sInsuranceCompany,thevalidtermofinsuranceshallbefromentryuntilexitofChina,towhichpartyBmakethepaymentofpremium.六、违约责任Theliabilitiesofbreach1、若甲方发生违反合同规定导致无法演出时，乙方将按照上述第一条第2款的规定的金额的65%收取报酬。ShouldtheperformanceisunabletobecarriedoutbyreasonofpartyA’sbreachordefault,partyBshallbepaidtheremunerationattherateof65%oftheamountpursuanttothestipulationofClause1(2)hereof.2、如若甲方未按照上述第一条第2款的规定向乙方支付报酬，每延迟一天须向乙方支付违约金壹万元（10，000元整）人民币或等值美元。PartyAshould,wherefailtopaytheremunerationtopartyBpursuanttotheclause1(2)asabove,paythepenaltyofbreachtopartyBattherateofRMB10,000(RMBTenthousandonlyinword)perdayorequalvalueofUSdollar.3、如若乙方未能在上述第四条第1款规定的日期到达上海，每延迟一天须向甲方支付违约金元人民币或等值美元。PartyBshould,intheeventoffailureofarrivinginShanghai,paythepenaltyofbreachtopartyAattherateofRMBperdayorequalvalueofUSdollar.4、如若乙方严重违反本合同规定并导致不能按时演出，或者主要演员拒绝参加演出，甲方有权拒绝支付乙方任何费用，包括食宿费用、交通费用等，并要求乙方支付场租全款并按已销售票房额的100%向甲方支付损失赔偿。PartyAshall,providedthatifpartyB’sseriousfailureleadtotheperformancecannotbeingcarriedoutontime,ormainactorrefusetoparticipateinperformance,beentitletotakearefusaltopaypartyBanypayment,includingthesameofaccommodation,travelandsoon,andshallrequirepartyBpayallrentoftheaterinadditiontopartyA’sdamagesat100%ofsoldticketamount.5、乙方不得借故拖延出场时间和缩短演出时间和减少演出内容。如果违反本条规定，甲方有权视情况适当扣减部分乙方的该场演出报酬。PartyBshallnot,foranyreason,delaytheperformancetime,shortenplayingtimeandreducethecontentofperformance,ifbreachofwhich,partyAis，asthecasemaybe,entitletodeductappropriatepartoftheremunerationrelatingthesaidperformance.七、不可抗力ForceMajeure如果合同一方由于不可抗力因素而不能履行合同，比如地震、台风、洪水、火灾、战争及其他无法预见的事件，其发生和后果也无法阻止、无法避免的，该方应立刻以电报通知对方，并在其后十五天内提交公证机关出具的详细的事件描述及有效文件，用以解释其无法履行合同全部或部分条款的原因。双方应通过协商，根据事件对履行合同的影响程度，确定是终止合同或是免除履行合同的责任，或延长合同的履行。Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fireandwarandotherunforeseeneventsandtheirhappeningandconsequencesareunpreventableandunavoidable,thepreventedpartyshall,bycable,notifytheotherpartywithoutanydelay,andshall,within15daysthereafter,providethedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationforexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontract.Thepartiestothecontractshall,throughconsultations,inaccordancewiththeeffectsoftheeventsontheperformanceofthecontract,decidewhethertoterminatethecontractortoexemptthepartofobligationsforimplementationofthecontractorwhethertodelaytheexecutionofthecontract.八、保密Confidentiality合同有效期内，双方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经一方的书面同意，另一方不得泄露给任何第三方。WithinthevalidityperiodofContract,bothpartiesshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Anypartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofotherparty.九、争议解决SettlementofDispute凡因执行本合同所发
