(购买或租赁)。-topreparecommercialcontractsforthesupplyofProducts,准备产品供应的商业合同。Party2undertakestoprovidetheJointProject:乙方承诺提供联合项目：-FeasibilitystudyoftheProject,项目可行性报告。-NecessaryresearchanddevelopmentworkoftheProjectduringitsrealization,在实施阶段，必要的调研和开发工作。-technologyandKnowHowforthedesignandconstructionofproductions,生产设计和建设的技术和专业知识。-controlovertheimplementationofitstechnologicalsolutionsandKnowHowbythird-partycontractors,通过第三方承包商控制技术解决方案和专业技术的实施。-controloverthecommissioningwork,调试工作的控制。-financingofongoingresearchwithintheframeworkoftheJointProjectunderthisAgreementintheamountof50%(fiftypercent)ofallcostsincurredinaccordancewithclause3.5oftheAgreement.在本协议框架下正在调研的工作，筹措本协议第3.5条所有产生的费用的50%资金。Party1additionallyundertakes:甲方补充承诺：-torenderallpossiblesupporttotheconstructionandcommissioningofthepilotproductionoftheProducts,对产品试生产的调试和建设提供所有支持。-todevelopmanufactureandlaunchanexperimentalindustrialmodulefortheproductionofProducts.开发产品，并启动实验性的工业模块。ThepartiesagreedtojointlyimplementlegalprotectionofintellectualpropertycreatedwithintheframeworkoftheJointProjectandthetechnologyofproduction,includinginthecaseofthirdpartiesclaims.双方承诺共同遵守知识产权保护法，在联合项目的协议框架下所产生知识产权，诸如产品技术，也包括第三方索赔情况下。EXCLUSIVECONDITIONS特别条款Thepartiesvoluntarilyassumetheobligationsduringtheperiodofthepreparatorywork(uptolegalregistrationofthejointbusinessoftheParties),butnotmorethanwithin24monthsfromthedateofthisAgreement:双方自愿承担筹备工作期间的义务(直到双方的联合经营法定注册)，但是自协议签订起，不超过24个月。-donotenterintonegotiationsindependently,donotenterintotransactions,donotenterintocontractsandagreementswiththirdpartiesonasimilarproject,不得单独谈判、交易、与第三方签订类似的合同和协议。-讦athirdpartywithdrawswithproposalssimilartotheobjectivesoftheJointProject,thePartiesundertakeeithertoparticipateinnegotiationsandsub-projectsdocumentstogether,ortorefusetonegotiateandconcludeagreements,如果第三方撤回和联合项目类似的提案，双方都要承诺参与和子项目文件一起的谈判，或者拒绝谈判和达成协议。-donotdisclosetothirdpartiestheinformationontheformsofthepossibleparticipationofstakeholdersandpartnersandcounterpartiesinajointprojectwithoutthewrittenconsentoftheotherPartyorincasesofrequirementsoftheKazakhstanlegislation.在未经另一方书面同意或哈萨克斯坦法律规定情况下，不得向第三方披露利益相关者、合伙人和缔约方可能参与形式信息。APPLICABLELAW适用法律TherelationsbetweenthePartiesandtheprovisionsofthisAgreementaregovernedbythelawsoftheRepublicofKazakhstan.双方关系和本协议条款受哈萨克斯坦法律保护。CONFIDENTIALITY保密条款AnyinformationrelatedtothecommercialactivitiesofthePartiesortheresultsofresearchandexpertiseontheJointProject,inwrittenorinanyotherform,includinginformationobtainedthroughInternetcommunication,andallprovisionsofthisAgreement,shallbeconfidentialandshallnotbedisclosedwithoutthewrittenconsentofthePartiesinwithinthreeyearsfromthedateofthisAgreement,regardlessofthedateofterminationofthisAgreement.双方任何相关商业活动的信息或联合项目研究结果和专业知识，书面形式或其他形式，包括网络联系取得的信息，以及本协议所有条款，应该保密。从协议签订起三年内不管终止的日期，未经双方同意，不得披露。FORCEMAJEURE不可抗力ThePartiesshallnotbeliableforanydefaultunderthisAgreementifitwascausedbyforcemajeurecircumstances.ApartythatisunabletofulfillitsobligationsasaresultofforcemajeureisrequiredtowarntheotherPartyaboutthisfactwithintwoworkingdaysaftertheonsetofforcemajeure.如果因不可抗力原因而导致的违约，双方不负任何责任。因不可抗力不能履行义务的一方，在不可抗力发生后的两个工作日内，通知另一方该事实。VALIDITYOFTHEAGR
