反商业赂协议AGREEMENTOFANTIBRIBERY为体现公平合理对等互利的合作宗旨确保甲乙双方各级从业人员遵守职业道德，廉洁守法、秉公办事，不利用职权之便谋取私,致使合作双方蒙受损失特制定本协议。Toembodythecooperationtenetoffairness,justice,equityandmutualbenefit,andtoensurethatpersonnelatalllevelsofPartyAandPartyBhereofwillabidebyprofessionalethicsandlawsandregulations,keepwhitehandaffairsimpartially,andneverpowerforpersonalbenefitsandthuscausedlosstothetwoparties,PartyandPartyBhereofcometoagreement:1、甲方从业人员应秉承如下原则：PersonnelPartyAshalladherethefollowingprinciples:1.1在供应商考评时应秉持诚信与公正的原则选择其产品在品质价格交期和服务等方面最具优势的厂家；Whenperformingassessmentonsupplier,theyarefollowaprincipleofcreditandfairness,andchoosefactorieswiththemostadvantagesinproductquality,price,delivery,service,etc.1.2、不得向乙方收取、索取回扣或其他不正当利益；TheyshallnotacceptaskforbackhanderorotherillegalbenefitsPartyB;1.3不得接收乙方赠送的礼品金或现金等价物等财（人民币壹佰圆以内的价值微小的笔记本历等除外乙方报销任何应由其个人承担的费用；Theyshallneitheracceptgift,cashorcashequivalents(excludingmininotebook,deskcalendarorotherthingspricedlessthanRMB100),norhavePartyBtoreimburseanyexpensesthatshouldbornebythemselves.1.4不得要求或者接受乙方为其住房装婚丧嫁娶家属和子女的工作安排以

及出国、外出旅游等提供方便；TheyshallnotaskoracceptPartyB’shelpinhousedecoration,weddingorfuneral,jobarrangementforfamilymembers,goingortraveling.1.5得向乙方推荐家属友等从事材料备供应以及工程分包等经济活动；TheyshallnotrecommendfamilymembersrelativestoPartyBformaterialandequipmentsupply,projectsubcontractotherbusinessactivities.1.6得参加可能对公正开展业务有影响的宴请和娱乐活动甲方工作人员确因实际情况须参加宴请、进行娱乐活动的，须事先报上一级批准；Theyshallnotattendbanquetsentertainmentwillpossiblyaffectthefairnessofbusinessoperation.IfpersonnelofPartyAhavetoattendorentertainmentduetopracticalneeds,apriorreporttoseniorauthorityforapprovalisrequired.1.7、不得以任何形式持有乙方公司的股份（乙方为上市公司的除外TheyshallnotholdanyshareofPartyB(unlessPartyBisalistedcompany).1.8、在合作期间，不得向乙方借钱或其他财物；TheyshallnotborrowmoneyoranyotherpropertyfromPartyduringtheprocesscooperation.1.9、不得在合作过程中有意刁难乙方，利用职权谋取私利；TheyshallnotmakethingsdifficultforPartyBonpurposeforprivatebenefitsduringtheprocessofcooperation.1.10、不得泄露乙方的商业机密。shallnotdisclosebusinesssecretesofParty

B.2、乙方从业人员应秉承如下原则：PersonnelPartyBshalladherethefollowingprinciples:2.1、不得给甲方人员回扣或其他不正当利益；TheyshallnotprovidebackhanderotherillegalbenefitspersonnelParty2.2不得向甲方人员赠送礼品金或现金等价物等财（人民币壹佰圆以内的价值微小的笔记本台历等除外得为甲方人员报销任何应由其个人承担的费用；Theyshallneitherprovidegift,cashorcashequivalents(excludingmininotebook,deskcalendarorotherthingspricedlessthanRMB100),norreimburseanyexpensespersonnelPartyAthatshallbeundertakenbythemselves.2.3不得为甲方人员的住房装修婚丧娶家属和子女的工作安排以及出国、外出旅游等提供方便；TheyshallnotprovidehelptopersonnelPartyinhousedecoration,weddingorfuneral,jobarrangementforfamilymembers,goingortraveling.2.4不得引荐甲方人员推荐的家属友等从事材料设备供应以及工程分包等经济活动；TheyshallnotrecommendfamilymembersrelativesofPartyformaterialandequipmentsupply,projectsubcontractotherbusinessactivities.2.5、不得邀请甲方人员参加可能对公正开展业务有影响的宴请和娱乐活动；

TheyshallnotinvitepersonnelofPartyAtobanquetorentertainmentthatwillpossiblyaffectthefairnessofbusinessoperation.2.6、不得允许甲方人员以任何形式持有乙方的股份（乙方为上市公司除外TheyshallnotallowpersonnelofPartytoholdshareofPartyB(unlessPartyBisalistedcompany).2.7、在合作期间，不得借钱或其他财物给甲方人员。TheyshallnotlendoranyotherpropertypersonnelPartyduringtheprocesscooperation.2.8、不得在合作过程中有意刁难甲方，利用职权谋取私利；TheyshallnotmakethingsdifficultforPartyAonpurposeforprivatebenefitsduringtheprocessofcooperation.2.9、不得泄露甲方的商业机密。TheyshallnotdisclosebusinesssecretesofParty3、品质廉洁保证金

Qualityandwhitehandsdeposit3.1“品质＆廉洁保证金的定义质＆廉洁保证金是指乙方产品可能存在质量问题并给甲方造成经济损失或可能未经甲方许可而擅自更改生产工艺品质标准或者产品品牌等而给甲方产品品质带来隐患或可能乙方违《廉洁保证协议的规定使用非正当手段或可能有其他给甲方造成不良影响或损失事件的违约风险押金。Definition“qualityandwhitedeposit”:“QualityandwhitehandsdepositmeansthedepositPartyBpaystoPartyfortheriskofcausingharmfulinfluenceorlossestoPartyA,includingbutnotlimitedto:economiclossduetopotentialqualityproblemsinproductsfromPartyB;hiddenqualitydangerofproductsPartyAduetounauthorizedchangeproductiontechnology,qualitystandardproductwithoutconsentfromPartyA;harmandlossesincurredillegalmeasurestakenby

PartyagainstWhiteHandsGuaranteeAgreement.3.2双方合作后，乙方同意交___币（种___（金额大写）作为乙方“品质＆廉洁保证金纳方式可以通过电汇、从货款中扣除等方式执行。甲方收取“品质＆廉洁保证金”后，开具《品质＆廉洁保证金收款收据》作为收款凭证。Atsigningtheagreement,PartyBagreesPay__(Currency)___(amountinword)as“qualityandwhitehandsdepositbywayofwiringordeductionfromproductpayment.Afterreceivingthe“QualityandwhitehandsdepositPartyshallissueaReceiptQualityandWhiteHandsDepositasaproof.3.3双方业务完结后乙方申请退还保证金时，乙方需出具经过甲方相关部门签审的《业务完结证明》和《品质＆廉洁保证金收款收据》原件。甲方财务收到乙方递交的上述请款资料后3个月内连本带息返还乙方的品质＆廉洁保证金息从甲方开品质＆廉洁保证金收款收据日起行同期活期存款利率计算。Atterminationofbusinessbetweenthetwoparties,whenPartyBappliesforrefundingthedeposit,PartyBisrequiredtoshoworiginalBusinessTerminationCertificateandReceiptofQualityandWhiteHandsDepositsignedbyrelateddepartmentsofPartyA.FinancialpersonnelofPartyAshallrefundthequalityandwhitehandsdepositofPartyBwithinterestswithin3monthsafterreceivingthepaymentrequestdocumentsfromPartyTheinterestshallbecalculatedcountingfromdateofissuingReceiptofQualityandWhiteHandsDepositbyPartyAandbasedonbankingdemanddepositinterestrateofthesameperiod.4、违规处理Treatmentbreakrules4.1乙方若检举甲方人员在双方合作过程中违背上述原则反甲洁守则》的，甲方将按甲方《廉洁守则》的相关规定给予乙方检举人员1-50万元的高额奖励，同时对甲方违规人员按《廉洁守则》相关规定执行处罚。IfPartyBimpeachesthatpersonnelPartyhavebrokenabovementionedrulesandRulesofWhiteHandsofPartyAduringthecooperation,PartyAshallputapremiumofRMB10,000-500,000theimpeachingpersonnelofpartyBundertheprovisionsofRulesofWhiteHandsPartyMoreover,thepersonnelofPartywhobreaksrulesshallbepunishedaccordingRulesofWhiteHands.

4.2经查实乙方从业人员在合作过程中违背上述原则，采取了非正当手段的，甲方有权利取消订单、收回差价、退还品质廉洁保证金、不予支付乙方的所有未付货款，同时取消乙方供应商资格。ProvidedisverifiedthatpersonnelPartyhasviolatedtheabovementionedrulesandtakenillegalmeasuresduringtheprocesscooperation,PartyAhastherightcancelpurchaseorder,takebackpricedifference,refundqualityandwhitehandsdeposit,refusetopayalltheunpaidbalance,andcancelqualificationofPartyasasupplier.4.3甲乙双方承诺如在双方合作过程中发现某方有不正当行为，对方有向该方法人投诉、直至诉之法律的权利。PartyandPartyBhereofpromisethatifillegalactionisfoundtakenonepartyduringthecooperation,thecounterpartyhastherighttocomplainlegalpersonofthepartyevenresorttothecourt.4.4若乙方采取走私、开假票等违法行为与甲方进行业务来往，一经查实，甲方有权不予退还乙方的品质＆廉洁保证金不予支付乙方的未付货款乙方还应承担由此给甲方造成的一切经济损失。ProvidedisverifiedthatPartyBhasirregularactionsuchassmugglingissuingfalsevoucherduringtransactionwithPartyA,PartyAhastherighttorefusetorefundthequalityandwhitehandsdepositofPartyB,makenopaymenttheunpaidbalance,andPartyshallalsobeheldresponsiblealltheeconomiclossescausedPartyA.5、一般条款GeneralProvisions5.1本协议若有版本升级，则新版本协议双方签订后旧版本
