委托设计开发服务协议中英文

/托付设计研发协议甲方****集团(以下简称“EEG”)和乙方*****nc.(以下简称“SF”)就在此合同第一段所述的业务达成托付协议，该业务具体包括“AAA和BBB”品牌的服装的生产、加工和销售，以及该品牌服装装饰和任何相关的配饰。“AAA和BBB”是由EEG在中国市场经营。依据本协议，当事人双方同意通过增进双方的知名度和商业信誉在中国市场上推广AAA和BBB品牌，从而达到共赢的目的。托付雇佣范围为了能够使EEG顺当运作，EEG应当将以下的业务托付给SF，SF同意接受此托付并忠诚地履行相关义务；服装设计按如下设计产品（于第一季度生产成品）70种样式的上衣和裤子（35种为AAA，35种为BBB）针对新消费者（35-50岁）为AAA和BBB设计品牌标记任何和以上业务相关的业务2．业务移交为了上述条款中的业务的顺当完成，SF应当依据以下内容行事。原则上每季度应带AAA和BBB设计组到往中国三次第一次会见：针对概念和季度的颜色其次次会见：针对设计第三次会见：针对样品核查第一次会见：原则上，设计指导Ms.Matsumura将和<SF设计组>参加会见。其次、第三次会见：<SF设计组>将参加会见。3．款项，付款日期和付款方式1）EEG应当就托付业务支付以下的托付费用。①年度托付费：45，000，000YEN（AAA和BBB）以上数值是扣除EEG在中国汇款给SF所应缴纳的预提所得税（假如有）后的净数值。若要缴纳预提所得税，则年度托付费将自动增加从而使扣除所缴税后的净数值等同于以上数值。②支付方式：年度托付费将被分为12次支付，EEG应当在每月最终的银行工作日将款项支付给SF。EEG将担当每次付款所涉及的其他费用。首次支付将于2000年1月21日起。原则上，EEG应当负责SF全部的开销和支配，例如和本托付协议相关的差旅费。若SF提前支付了此费用，EEG应在SF理算后要求时偿还实际的费用。并且，EEG在支配航班和住宿时，将依据相应的级别支配；当事人双方明确动身地或者是日本东京或者是意大利米兰，这取决于参加在此其次段所述会见的成员的所在地。为Ms.Matsumura供应的航班：商务仓酒店：四星或以上质量为<SF设计组>设计师供应的航班：经济仓，可调换时间。酒店：四星或以上质量4.协议有效期本协议有效期为两（2）年，自2000年1月21日起至2001年12月30日止。有效期将自动持续两（2）年，除非一方当事人在本协议有效期满前至少三（3）个月通知对方当事人不再持续协议。本条件同样适用于之后的期限。本协议的有效期将持续以上时间，若协议的履行应为国家政策规定、动乱、斗争、自然灾难、罢工、火灾以及其他当事人不行抗力的缘由而中止。5.保密义务1）EEG和SF作为执行者将谨慎处理任何全部另一方供应或披露的信息（包括由获得方所得到的信息产生的次级信息）（以下简称“机密信息”），并且，未经披露方书面同意，获得方不得将机密信息披露或泄露给第三方，也不得基于以下目的适用机密信息2）EEG应当保证不将受托付的设计组为以下品牌供应设计的事实公开。3)在没有对方当事人同意的状况下，EEG和SF都不得利用任何由本协议而建立的私人关系，除非是为了履行本协议。6.协商若双方当事人因本协议中未涉及的事项发生争议，或因对本协议的条款的说明发生争议，双方应通过协商解决争议。7.适用的法律、语言和争议管辖权本协议将受日本法律管辖。日语是本协议的原本和官方语言，出现任何有关语言问题的争议，以日语为标准。双方当事人同意东京地方法院将对任何相关的第一审诉讼以及其他和合同相关的诉讼有专属管辖权。双方当事人就此签订协议的原件复印件达成协议，协议原件EEG和SF双方各保留一份。BusinessEntrustmentAgreement*****Group.（hereinaftercalled“EEG”）an****Inc.(hereinaftercalled“SF”)enterintotheagreementforentrustmentofthebusinessdescribedinthisParagraph1ofthisagreementregardingmanufacturing,development,andthesalesofclothes,aclothingornament,ornamentsofdress,andanyfurnishedaccessoriesofthe“AAA和BBB”brandwithwhichEEGconductsinaCHINAmarket.Underthisagreement,bothpartiesagreetopromoteAAA和BBBbusinessinaCHINAmarketthroughmaintaining,improvingbothparties’prestigiouspositionandbusinesscreditsoastodevelopthemutualprosperity.1.ScopeofCommissionInordertocontributetosmoothenterprisemanagementofEEG,EEGshallentrusttoSFthebusinessdescribedbelow,andSFagreestoacceptsuchentrustmentandtoaccomplishitsobligationsinsincerity;WearDesign(i)Designsofproductsasfollow(Productizedin1season)TopsandPants70patterns(35patternsforAAAand35patternsforBBB)(ii)propositionofbrandimageofAAA和BBBtowardsnewcustomers（Age35～50’s）Anybusinessthatrelatestotheabove.2.PerformanceofConsignmentSFshallconductfortheaccomplishmentofthebusinessintheprecedingclauseasfollows.TovisitCHINAthreetimesaseasoninprincipleforthemeetingwithAAA和BBBdesignteamFirstMeeting：Forconcept,SeasonColorSecondMeeting：FordesignThirdMeeting：Forsamplecheck***FirstMeeting：CreativeDirector,Ms.Matsumurashallattendthemeetingwith＜SFDesignTeam＞inprinciple.***Second,ThirdMeeting:＜SFDesignTeam>shallattendthemeeting.3.FeeAmount,DueDateandMethodofPayment1)Inconsideration,EEGshallpaySFthefollowingconsignmentfeeofthecommissionedbusiness.AnnualCommissionFee：45,000,000YEN(AAA和BBB)Theaboveamountisthenetamountafterdeductingthewithholdingtax(ifany)imposedinCHINAwhenremittingtoSFfromEEG.Whenthewithholdingtaxisimposed,theannualcommissionfeeisautomaticallyincreasedsothatthenetamountafterthedeductionofthewithholdingtaxbecomesequaltotheamountoftheabove.PaymentMethod：annualcommissionfeesshallbedividedbytwelveandEEGshallpaytoSFuntiltheendofthebankbusinessdayofeverymonth.EEGshallbeartheservicechargeateverypayment.ThefirstpaymentstartsfromJan21th,2000.2)Inprinciple,EEGshallberesponsibleforanyexpensesandarrangementsincurredbySFsuchasSF’stravelexpenseswhicharerelatedtothisentrustmentagreement.Also,ifSFpaysinadvance,EEGshallreimbursetoSFtheamountofactualexpensesbasedontheclaimofSFatthelateradjustment.Also,whenEEGarrangestheairplaneticketsandlodging,therankwillbeasfollowed;BothpartiesunderstandthedeparturecitiesareeitherTokyoinJapanorMilaninItalydependinguponthelocationofmembersattendingthemeetingdescribedinParagraph2hereof.ForMs.MatsumuraAirplaneticket:businessclassHotel:4starandhigherqualityFordesignersof＜SFDesignTeam＞Airplanetickets：economicclassflexibledateswhichallowstochangedate.Hotel:4starandhigherquality4.PeriodofagreementThetermofthisagreementshallbefortwo(2)yearscommencingonJan21th,2000andendingonDec30th,2001.2）Thetermshallbeautomaticallyrenewedforanothertwo(2)years,unlesseitherpartynotifiestheotherpartyinwritingatleastthree(3)monthspriortotheexpirationofthisagreementofitsintentionnottorenewthisagreement.Thesameshallapplyforsubsequentperiods.3）ThetermofthisagreementshallbeextendedforsuchamountoftimeastheeventthattheperformanceoftheAgreementisdisruptedbygovernmentordinance,riot,war,naturaldisaster,strike,fireorothercausesbeyondthereasonablecontroloftheparties.5.ConfidentialityObligation1)EEGandSFshallmanagecautiouslyanyandallinformation(includingsecondaryinformationderivedfrominformationreceivedandprocessedbythereceivingparty)whichisprovidedordisclosedbytheotherparty(hereinafterthe“ConfidentialInformation”)asagoodadministrator,andshallnotdiscloseordivulgetheConfidentialInformationtoanythirdpartywithoutwrittenconsentofthedisclosingparty,noruseforanypurposesotherthanforthepurposescontemplatedhereunder2）EEGshallpromisenottomakeitpublicthefactthatthedesignteamswhoareentrustedthedesignconsignmenthaveprovidedowndesignstothefollowingbrands.３）Withoutanyconsentsoftheotherparty,neitherEEGnorSFshalluseanypersonalrelationshipsestablishedthroughthisagreementexceptforperformingitsobligationsunderthisagreement.6.ConsultationIfanydisputearisebetweenthepartiesheretowithrespecttomattersnotprovidedforinthisagreementorwithrespectstointerpretationoftheprovisions
