SAMPLEMANUFACTUREAGREEMENTConsignor:XXXCompanyLtd(hereinafterreferredtoas“Consignor”).Address:Contacts:Tel:Fax:Supplier:Address:Contacts:Tel:Fax:ThisSampleManufactureAgreement(hereinafterreferredtoas“thisAgreement”)isenteredintoasof(hereinafterreferredtoas“EffectiveDate")，byandbetweenXXXCompanyLtd(hereinafterreferredtoas“Consignor”)and(hereinafterreferredtoas“Supplier”).ConsignorandSuppliershallbehereinafterrespectivelyreferredtoasthe“Party”orcollectivelyreferredtoasthe“Parties”.TERMThisAgreementshallbeeffectiveasoftheEffectiveDateandshallbeeffectiveforaperiodofone(1)year.Aftertheexpirationoftheinitialterm,thisAgreementshallbeautomaticallyrenewedforsuccessiveperiodsofone(1)yearunlessonePartynotifiestheotherPartyinwritingnotlessthanninety(90)dayspriortotheendoftheinitialoranyrenewalterm,thatthisAgreementshallterminateattheendofthethencurrentterm,orunlessearlierterminatedinaccordancewiththetermsandconditionsofthisAgreement.SCOPEOFAGREEMENTThisAgreementshallbeapplicabletoanyandallmanufacturebusinessofsamplesbetweenConsignorandSupplier.ThePartiesacknowledgethatthisAgreementwillnotconstituteacommitmentforConsignortoorderanyparticularquantityofsamplefromSupplier.PURCHASEORDERSamplestobepurchasedbyConsignorfromSuppliershallbesubjecttoseparatepurchaseorders(hereinafterreferredtoas“PurchaseOrder”),whichwillspecifyparticulars,includingbutnotlimitedtoprice,quantity,deliverydateanddescriptionofthesamples.ConsignorhastherighttoplacePurchaseOrderswithSupplier.SuppliershallnotifyConsignorinwritingwhetherornotSupplieracceptsPurchaseOrderswithintwo(2)workingdaysfromthedateofreceiptofthePurchaseOrder.Provided,howeverthat,aslongasthePurchaseOrdercomplieswiththetermsandconditionsofthisAgreement,SuppliershallmakeitsreasonableandbesteffortsingoodfaithtoacceptthePurchaseOrder.IfConsignordoesnotreceiveSupplier’sreplyregardingtheacceptanceorrefusalofaPurchaseOrderwithinthesaidperiod,thePurchaseOrdershallbedeemedtohavebeenacceptedbySupplier.ThePurchaseOrdershallbecomeeffectiveuponacceptance(actualordeemed)bySupplier.ConsignorshallreservetherighttovaryaPurchaseOrderatanytimebeforetheSupplier’sconfirmationofthePurchaseOrderwithoutincurringanyliabilitytoSupplier.IncasethereareanyconflictsbetweenthisAgreementandthePurchaseOrders,theprovisionsofthisAgreementshallprevail.ConsignorhastherighttomodifythecontentofPurchaseOrdersatanytime,includingbutnotlimitedtoquantity,deliverydateanddesignrequirements.ConsignorshallnotifySupplierinwritingwithinareasonableperiod.SuppliershallpromptlymanufacturesamplesinaccordancewiththemodifiedPurchaseOrdersplacedbyConsignor.IntheeventthatConsignorcancelsanyPurchaseOrder,theSuppliershallceasemanufacturingsuchsamplesimmediatelyuponreceiptofConsignor’scancellationnotice.OntheconditionthatConsignormodifiesorcancelsthePurchaseOrders,Suppliersshallmakebesteffortstoreducelosseswithproperarrangementoftools,materials,packages,staff,transportation,etc.AnyreasonableandnecessaryadditionalcostsactuallyincurredbySupplierresultingfromConsignor’smodificationorcancelationofaPurchaseOrdershallbebornebyConsignorunderthepremisethatSupplierhassubmittedevidencetoprovethatsuchadditionalcostsisattributabletoConsignorandConsignorhasconfirmedinwriting.Suppliershallbearthelossesincurredandexpandedduetotheirowncause.PRICEANDPAYMENTThepriceforthesamplesshallbemutuallyconfirmedbythePartiesandspecifiedinthePurchaseOrder.Allsamplesunitpricesshallinclude[thetotalsamplespackage,individualandmastercartons,cartoninserts,andsamplesliterature].FuturepriceagreementsforongoingsamplesandotheradjustmentstothesamplesshallbeasmutuallyagreedbythePartiesinwriting.SuppliershallbeentitledtoissuequalifiedinvoicetoConsignorfortheadvancepayment,thatis,thirtypercent(30%)ofthetotalpriceofthePurchaseOrder(hereinafterreferredtoas“AdvancePayment”),atanytimeafteracceptanceofthePurchaseOrder.Consignorshallmakepaymentwithinthirty(30)workingdaysfromitsreceiptofthequalifiedinvoice.SuppliershallbeentitledtoissuequalifiedinvoicetoConsignorforthesecondpayment,thatis,seventypercent(70%)ofthetotalpriceofthePurchaseOrder(hereinafterreferredtoas“SecondPayment”)atanytimeafterConsignor’sacceptanceoftheSimples.Consignorshallmakepaymentwithinthirty(30)workingdaysfromitsreceiptofthequalifiedinvoice.EachinvoiceshallquotethedateandthenumberofthePurchaseOrder:MATERIALSAllmaterialshallbefurnishedbySupplier.ThematerialsshallcomplywiththequalitystandardsofConsignorandallotherapplicablequalitystandards.uppliershallcarryoutstrictexaminationonthematerialsatthetimeitreceivesthematerials.SuppliershallkeeporiginalrecordsoftheaforesaidinspectionandprovidetoConsignoruponConsignor’srequest.QUALITYConsignorwillsendDesignDocumenttoSupplierviaemailorbyotherwayasConsignorchooses,andSuppliershallacknowledgethereceiptoftheDesignDocumentinwritingwithcompanysealaffixedtheretotoConsignorwithintwo(2)workingdaysafterthedateofreceiptoftheDesignDocument.SuppliershallmanufacturethesampleincompliancewiththeaforesaidDesignDocument.WhereSupplierfailstoprovidethesampleontime,ConsignorshallhavetherighttochargeSupplierapenaltyamountingto[]andrequireSuppliertocontinuetoprovidethesamplewithinthegraceperiodgrantedbyConsignor.Wherethesampleisnotprovidedwithintheaforesaidgraceperiod,ConsignorshallhavetherighttoterminatethecooperativerelationshipunderthisAgreementbetweentheParties.WherethesampleisrejectedbyConsignorinwritingtoSupplier,ConsignorshallhavetherighttorequireSuppliertomakeamendmentstothesamplewithinthetimelimitspecifiedbyConsignor,andtheamendmentsshallmeettherequirementsofConsignor.WhereSupplierfailstomaketheaforementionedamendmentsontime,ConsignorshallhavetherighttochargeSupplierapenaltyamountingto[]and/orterminatethecooperativerelationshipunderthisAgreementbetweentheParties.IntheeventofenquiriesontheDesignDocumentsandtherequirementsofConsignoronthesamplesduringthemanufacturingprocessthereof,SuppliershallconsultwithConsignorintime.PACKINGANDTRANSPORTATIONSupplierwarrantsthatatthetimeConsignorreceivesthesamplespackingandtransportationofthesampleswillcomplywithrequirementsofConsignorsintermsofmannerandstandard.DELIVERYANDINSPECTION“Delivery”meansthesupplyanddeliveryofthesamplesbySuppliertoConsignorinaccordancewiththePurchaseOrder,anddeliverthesampletogetherwithspecification,photoandserialnumberidentificationtoConsignorviamailorbyotherwayasdesignatedbyConsignorwithinthetimelimitassetforthinthePurchaseOrder.SupplieracknowledgesthattimeisoftheessenceandthatanydelayinDeliveryofthesamplesmaycausematerialdamageandlossestoConsignor.Therefore,SuppliershalldeliverthesamplesinstrictcompliancewithitsobligationsunderthisAgreementandthePurchaseOrder.IfadelayinDeliveryofthesamplesisanticipatedbySupplier,SuppliershallnotifyConsignorpromptlyafterSupplierbecomesawareofsuchpotentialdelay,advisingthereasonandtheestimateddurationofthedelay.Insuchevent,inadditiontoanyremedyunderanyapplicablelawsandregulations,Consignorshallhavetherightto:requireSupplier,atSupplier’sexpense,touseanyavailablemeansofexpeditedtransportationforDeliverywithinthetimelimitspecifiedbyConsignor;orchargeSupplieronepercent(1%)orRMB500(whicheverishigher)perdayofthetotalpriceoftheaffectedPurchaseOrderaspenaltyifadelayinDeliveryofthesamplesoccurred;orrejectthesamplesandberefundedtheAdvancePaymentofthePurchaseOrder,andchargeSupplierthirtypercent(30%)orRMB50000(whicheverishigher)ofthetotalpriceoftheaffectedPurchaseOrderasapenaltyifDeliveryofthesamplesisdelayedformorethan10days.ConsignorshallhavetherighttoclaimagainstSupplieranyandalllosses,damages,costsandexpenses(includinglegalexpenses)incurredorpaidbyConsignor.IfSupplierdeliversthesamplesinexcessoftheamountsetoutinthePurchaseOrder,orinmorethanthree(3)workingdaysadvanceofthedateofDelivery,Consignorshallhavetherightto:returnsuchtotalamountof,orsuchpartinexcessof,thesamplestoSupplieronfreightcollectbasis;oracceptsuchsamplesinaccordancewiththetermsandconditionsofthisAgreementandthePurchaseOrder.OwnershipandriskofthelossordamagetotheSimplesshallpassfromSuppliertoConsignoratthetimeofConsignor’sAcceptanceofthesamples.Supplierwarrantsthatthesamplesshallbefreefromandclearofanylienoranyothertypeofsecurityinterestorclaimfromanyperson.Suppliershallindemnify,defend,andholdharmlessConsignorfromanylienandanyclaimuponthesamplesand/orthematerialarisingfromorinconnectionwiththisAgreement,including,butnotlimitedto,workers’wages,thematerial,ortheservicestobefurnishedbySupplier.Consignorshallhavesixty(60)workingdaysfromthedateofreceiptofsamplestoinspectandtestforconformitywithDesignDocumentandotherrequirementsofConsignor.IfanysamplessuppliedbySuppliertoConsignorarenotpackedinaccordancewithpackingrequirementsofConsignor,Consignor,withoutprejudicetootherrightsprovidedherein,shallhavetherighttorejectsuchsamplesandreturntoSupplieratSupplier’sexpensethewholeoranypartofsuchsamples.Ifanon-conformityisconfirmedbyConsignorduringtheinspectionafterConsignor’sreceiptofthesamples,inadditiontoanyremedyunderanyapplicablelawsandregulations,Consignorshallhavetherightto:acceptthewholeoranypartofthesamplesatadiscountedprice,whereConsignor,initsowndiscretion,deemsthatthereasonfornon-conformityisminor.ThediscountedpriceforsuchsamplesshallbeagreeduponbytheParties;orrejectthesamplesandberefundedtheAdvancePayment,andchargeSupplierthirtypercent(30%)ofthetotalpriceoftheaffectedPurchaseOrderasapenalty.Furthermore,ConsignorshallhavetherighttoclaimagainstSupplieranyandallliability,losses,damages,costsandexpenses(includinglegalexpenses)awardedagainstorincurredorpaidbyBuyertherefrom;orrejectthesamplesandrequireSupplier,withinatimelimitspecifiedbyConsignor,toremedyfullythenon-conformityorreplacetheaffectedsamplesandresubmitthesamplesforre-inspection.Insuchevent:ConsignorshallhavetherighttowithholdtheSecondPaymentofthePurchaseOrder,untiltheresubmittedsamplesareacceptedbyConsignor;Consignorshallhavetherighttoinspecttheresubmittedsamples;WhereSupplierfailstoresubmitthesamplesontime,adelayinDeliveryshallbedeemedandConsignorshallhavetherightssetforthinthisAgreement;andSuppliershallbearallcostsincidentaltosuchrepairand/orreplacement,includingtheremoval,replacement,re-installation,and/orre-assemblyofthesamples,includingbutnotlimitedto,thecostsandexpensesarisingoutofthere-inspectionbyConsignoroftheremediedorreplacedsamples.INTELLECTUALPROPERTYRIGHTSSupplieracknowledgesthattherightsrelatedtotheimages,trademarks,patentsandotherintellectualpropertiesprovidedbyConsignortoSupplierduringtheperiodperformingthisAgreementbelongstoConsignor.ThisAgreementshallnotbeconstruedasgivingtherights,ownershiporinterestofanyintellectualpropertypertainingtothesampletoSupplier.SupplierfurtheracknowledgesthatthegoodwillorreputationproducedintheprocessofusingtheintellectualpropertyofConsignorshallcompletelyandexclusivelybelongtoConsignor.SuppliershallnotfurnishConsignor’sintellectualpropertyrightsorconfidentialinformation(includingtechniquedata,drawing,etc.)toanythirdparty.WithoutConsignor’sconsent,Suppliershallnotsell,lendorprovidethesampleshereunderbyitselforviaothers.Suppliershallnotsellthecopiesorchange,reverseengineering,decomposeorimproveproductsormanufacturethederivativesofproductsduringthevalidtermofthisAgreementorafteritstermination.Anychange,derivativeorimprovementwithoutauthorizationshallbelongtoConsignorandtheownershipbelongstoConsignorabinitio.Suppliershallprocureitsshareholdersandemployeesnottoviolatetheobligationshereunder,failingwhichSuppliershallbedeemedasindefault.Supplier’sviolationofthisArticleshallbedeemedasmaterialbreachoftheAgreementandSuppliershallpayConsignorRMB200,000asliquidateddamages.IftheliquidateddamagesisinsufficienttocompensateforConsignor’slosses,SuppliershallalsocompensatethemarginbetweentheliquidateddamagesandallthelossessufferedbyConsignor(includinglegalcost,attorneyfee,etc.).WhereSuppliercommitsabreachhereunder,Consignorshallhavetheright,inadditiontoanyotherrelieforremedies,andwithoutprejudicetoanyrightsrenderedherein,toterminatethisAgreementand/oralloranypartofanyPurchaseOrderuponwrittennotice.CONFIDENTIALITYSupplierknowsthatitwillreceiveorknowtheconfidentialinformationdependingonthisAgreementorotherwiseduringtheperiodperformingthisAgreement.Suchconfidentialinformationincludesbutnotlimitedtoanydocuments,materials,knowhowandotherinformationinwhateverform,whethertechnicalorcommercial,receivedorobtainedbyitoritsAffiliatesrelatingtothenegotiationorexecutionofthisAgreementoranydocumentsexecutedinaccordanceherewith.Unlessotherwiseagreedherein,theconfidentialinformationandconfidentialityobligationsshallbesubjecttotheConfidentialityAgreementsignedbybothpartiesseparately.Supplierpromisestokeeptheconfidentialoftheconfidentialinformationatanytimeandprotecttheconfidentialinformationfromtheft,damages,lossorunauthorizedacquisition.WithoutthepriorwrittenconsentofConsignor,ifbothpartieshavecooperatedbeforesigningtheAgreementinvolvingtheprovisionofconfidentialinformation,Suppliershallnotdirectlyorindirectlyorauthorizeorpermitotherstouse,disclose,develop,copyormodifyanyconfidentialinformation,andnottoauthorizeorpermitathirdpartytouse,disclose,develop,copyormodifyanyconfidentialinformationforthepurposesbeyondtherightsandobligationshereunderintheeffectiveperiodandthereafter.Supplierundertakesitwillonlydisclosetheconfidentialinformationtoitsmanagers,employees,agentsorcontractorsforthepurposeofthisAgreement,andprocuresuchmanagers,employees,agentsorcontractorstoknowandobservethisarticleandtheconfidentialityobligationsagreedbybothparties.IfSupplierisawareofanynon-authorizeddisclosure,improperuse,embezzlementorotherdamages(whetheronpurposeornot),SuppliershallnotifyConsignorimmediately.Suppliershall,atConsignor’srequest,returnalloriginals,copies,reproductionsandsummariesofConfidentialInformationandallothertangiblematerialsanddevicesprovidedtoSupplierasConfidentialInformation,oratConsignor’soption,certifydestructionofthesame.Suppliermaydisclosetheinformationaccordingtothelaws,regulationsorthecommandofrelevantdepartments.Whentheconditionallows,SuppliershallnotifyConsignoroftheintendeddisclosureinadvancetogivereasonablechancestoConsignorfordefense.Suppliershallensureitsshareholdersandemployeeswillnotbreachtheobligationshereunder,otherwiseSuppliershallbedeemedasindefault.Supplier’sbreachofthisArticleortheconfidentialityagreementbetweentheParties,nomatterdirectlyorindirectly,shallbedeemedasmaterialbreachofAgreementandSuppliershallpayConsignorRMB200,000asliquidateddamages.IftheliquidateddamagesareinsufficienttocompensateforConsignor’slosses,SuppliershallassumethemarginbetweentheliquidateddamagesandallthelossessufferedbyConsignor(includinglegalcost,attorneyfee,etc.)ThetermsandobligationshereundershallsurviveaftertheterminationorexpirationofthisAgreement.WhereSuppliercommitsabreachhereunder,Consignorshallhavetheright,inadditiontoanyotherrelieforremedies,andwithoutprejudicetoanyrightsrenderedherein,toterminatethisAgreementand/oralloranypartofanyPurchaseOrderuponwrittennotice.WARRANTIESANDLIABILITYTERMINATIONSupplierwarrantsthatSupplierwill,solelyforConsignor,manufacture,supplyanddeliversamplesinaccordancewiththedesigndocumentsprovidedbyConsignor(hereinafterreferredtoas“DesignDocument”),andotherrequirementsofConsignor,andwillnotquoteprices,manufacture,supplyordelivertheaforesaidsamplesorsamplesofthesameorsimilarappearancetoanythirdparty.SupplierwarrantsthatthepriceandotherconditionsinregardtothesaleofthesamplesofferedhereunderorunderotheragreementsbetweenthePartiesinthefutureshallbenolessfavorablethanthepricesandotherconditionsofsalethatSupplierofferstoanyothercustomersforthesameorsimilarsamples.Consignormaybenchmarkpricesbyspotbuys,quotes,orotherindependentdata.IfSupplieroffersmorefavorablepricesorotherconditionsofsaletoanyotherperson,SuppliershalloffertothesametoConsignoronbotharetroactiveandprospectivebasis.Supplierfurtherwarrantsatalltimesthat:itwillcomplywithallgovernmentrequirementsthatmaybeapplicablefromtimetotime;andithasobtainedallnecessarygovernmentalorothernecessarypermitsandapprovalsforthepurposeofthisAgreement;andithassufficientexperienceandabilitytofulfillitsobligation;anditisfinanciallysolvent.SuppliershallindemnifyConsignorinfullagainstallliability,loss,damages,costsandexpenses(includinglegalexpenses)awardedagainstorincurredorpaidbyConsignorasaresultoforinconnectionwith:anybreachbySupplierofanywarranty,covenantorotherprovisionssetoutinthisAgreement;andanyclaimthatthesamplesortheirpackaginginfringesupon,ortheirimportation,useorresale,infringesupon,thepatent,copyright,designright,trademarkorotherintellectualpropertyrightsofanyotherperson,exceptthesamplesmanufacturedstrictlyinaccordancewiththeDesignDocuments;andanyliabilityorsampleliabilityundertheapplicablelawunderwhichliabilityinrespectofthesamplesisawardedagainstorincurredorpaidbyConsignororitsagents,employees,employers,associates,affiliatesoranybusinesspartnerstowhomConsignorfinallyhastopayorhaspaid;andanyactoromissionofSupplieroritsemployeesoragentsinsupplying,deliveringandinstallingthesamples.WhereSuppliercommitsabreachhereunder,Consignorshallhavetheright,inadditiontoanyotherrelieforremedies,andwithoutprejudicetoanyrightsrenderedherein,toterminatethisAgreementand/oralloranypartofanyPurchaseOrderuponwrittennotice.FORCEMAJEURENeitherConsignornorSuppliershallbeliabletotheotherorbedeemedtobeinbreachofthisAgreementbyreasonofanydelayintheperforming,oranyfailureofitsobligationsinrelationtothesamples,ifthedeliveryorfailureisbeyondthatParty’sreasonablecontrolsothattheeffectcouldnothavebeenreasonablyexpectedatthetimeoftheconclusionofthisAgreementorhavebeenavoidedorovercomebysuchparty.However,theaffectedPartyshallgivewrittennotificationofsuchdelay,includingtheanticipateddurationofthedelayorfailure,totheotherPartywithinfive(5)workingdaysaftertheeventoroccurrence.TERMINATIONTheConsignorshallbeentitledtoterminatethisagreementwithoutliabilitytoSupplierbygivingnoticetoSupplieratanytimeif:supplierfilesacertificateofdissolutionorotherwisedissolves,terminates,orliquidates,orismergedwithorisconsolidatedintoanyothercorporation,limitedliabilitycompany,partnership,orotherentity,withouttheConsignor’swrittenconsent;orunderthePRCLawSupplier:(a)isadjudicatedasbankruptorinsolvent;(b)failstopayitsdebtsastheymature;orSupplierceases,orthreatenstocease,tocarryonbusiness;orSupplierexplicitlyexpressesorindicatesbyactitsintentionnottoperformitsobligationsunderthisAgreement;orConsignorreasonablyapprehendsthatanyoftheeventsmentionedaboveisabouttooccurinrelationtoSupplierandnotifiesinwritingSupplieraccordingly.ThisAgreementcanbeterminatedifthepartiesagreetodosouponnegotiation.Furthermore,ConsignorisentitledtoterminatethisAgreementbygivingawrittennoticetoSuppliernotlessthanonemonthinadvance.Suchterminationdoesnotconstitutebreachofcontract.IntheeventofanyterminationofthisAgreement,theSuppliershall,upontheConsignor’srequest,immediatelyreturntotheConsignorortheagentthereof,includingwithoutlimitation,confidentialinformation,specification,samples,allcorrespondence,reports,drawingsandanyotheritemsofwhatevernaturesuppliedtotheSupplierbytheConsignorortheagentorownedbytheConsignorortheagentpursuanttothisAgreement.Sucharticleshereinasthoseinregardtoobligationsofintellectualpropertyprotection,non-disclosureofconfidentialinformation,theSupplier’swarrantiesandliability,andthoseinregardtothegoverninglawanddisputeresolutionshallsurviveterminationofthisAgreement.MISCELLANEOUSASSIGNMENTSuppliershallnotassignanyrightsorassignanyobligationhereunder,voluntarilyorbyoperationoflaw,toanyotherperson,firm,orcorporationincludinganysubsidiaryoraffiliateofSupplier,withoutthepriorwrittenconsentofConsignor,andanyassignmentortransferwithoutsuchconsentshallbenullandvoidandSuppliershallremainjointlyandseverallyliabletoperformitsobligationsunderthisAgreement,notwithstandingitsattemptedassignmentortransfer.GOVERNINGLAWThisAgreementandallactsandtransactionspursuantheretoandtherightsandobligationsofthePartiesheretoshallbegoverned,construedandinterpretedinaccordancewiththelawofthePeople’sRepublicofChina(“PRC”),forthepurposeofthisAgreementexcludingHongKong,theMa
