-30-MortgageandSecurityAgreement抵押担保协议核心提示:PreparedByReturnTo:_________(sb),_________(address)THISMORTGAGEANDSECURITYAGREEMENT(hereinafterreferredtoastheMortgage)executed_________,_________,_________(M/D/Y)byAAA,INC.,a_________(state)corporation,whoseaddressfornotiPreparedByReturnTo:_________(sb),_________(address)THISMORTGAGEANDSECURITYAGREEMENT(hereinafterreferredtoastheMortgage)executed_________,_________,_________(M/D/Y)byAAA,INC.,a_________(state)corporation,whoseaddressfornoticeunderthisMortgageis_________(address)(hereinafterreferredtoastheBorrower)toandinfavorofBBB,anationalbankingassociationorganizedandexistingunderthelawsoftheUnitedStatesofAmerica,whoseaddressis_________(address)(hereinafterreferredtoastheLender).WITNESSETH:Thatfordiversgoodandvaluableconsiderationsandtosecurethepaymentofanindebtednessintheaggregatesumof_________DOLLARS($_________),orsomuchthereofasmaybeadvanced,tobepaidinaccordancewithanoteofevendateherewith(hereinafterreferredtoastheNote)(whichnotehasamaturitydateof_________,_________,_________(M/D/Y))togetherwithinterestthereonandanyandallsumsdueorwhichmaybecomeduefromtheBorrowertotheLender,theBorrowerdoesgrant,bargain,sell,alien,remise,release,conveyandconfirmuntotheLender,itssuccessorsandassigns,infeesimple,allofthatcertaintractoflandofwhichtheBorrowerisnowseizedandpossessedandinactualpossession,situateintheCountyof_________,Stateof_________(state),whichismorefullydescribedinExhibitAattachedheretoandmadeaparthereof,togetherwiththebuildingsandimprovementsthereonerectedortobeerected(hereinafterreferredtoasthePremises);TOGETHERwith:(a)allleaseholdestate,andallright,titleandinterestofBorrowerinandtoallleasesorsubleasescoveringthePremisesoranyportionthereofnoworhereafterexistingorenteredinto,andallright,titleandinterestofBorrowerthereunder,including,withoutlimitation,allcashorsecuritydeposits,advancerentals,anddepositsorpaymentsofsimilarnature;(b)allright,titleandinterestofBorrowerinandtoalloptionstopurchaseorleasethePremisesoranyportionthereoforinteresttherein,andanygreaterestateinthePremisesownedorhereafteracquired;(c)alleasements,streets,ways,alleys,rights-of-wayandrightsusedinconnectiontherewithorasameansofaccessthereto,andalltenements,hereditamentsandappurtenancesthereofandthereto,andallwaterrights;(d)anyandallbuildings,structuresandimprovementsnoworhereaftererectedthereon,including,butnotlimitedtothefixtures,attachments,appliances,equipment,machinery,andotherarticlesattachedtosaidbuildings,structuresandimprovements(sometimeshereinafterreferredtoastheImprovements);(e)allfixtures,appliances,machinery,equipment,furniture,furnishingsandarticlesofpersonalpropertynoworhereafteraffixedto,placeduponorusedinconnectionwiththeoperationofanyofsaidPremises;allgas,steam,electric,waterandotherheating,cooking,refrigerating,lighting,plumbing,ventilating,irrigatingandpowersystems,machines,appliances,fixtures,andappurtenanceswhicharenowormayhereafterpertainorbeusedwith,inoronsaidPremises,eventhoughtheymaybedetachedordetachableandallbuildingimprovementandconstructionmaterials,suppliesandequipmenthereafterdeliveredtosaidlandcontemplatinginstallationoruseintheconstructionthereonandallrightsandinterestsofBorrowerinbuildingpermitsandarchitecturalplansandspecificationsrelatingtocontemplatedconstructionsorImprovementsonsaidPremisesandallrightsandinterestsofBorrowerinpresentorfuturemortgageloancommitmentspertainingtoanyofsaidPremisesorImprovementsthereon(sometimeshereinafterreferredtoasthePersonalProperty);(f)allawardsandproceedsofcondemnationforthePremisesoranypartthereoftowhichBorrowerisentitledforanytakingofalloranypartofthePremisesbycondemnationorexerciseoftherightofeminentdomain.AllsuchawardsandcondemnationproceedsareherebyassignedtoLenderandtheLenderisherebyauthorized,subjecttotheprovisionscontainedinthisMortgage,toapplysuchawardsandcondemnationproceedsoranypartthereof,afterdeductingtherefromanyexpensesincurredbytheLenderinthecollectionorhandlingthereof,towardthepayment,infullorinpart,oftheNote,notwithstandingthefactthattheamountowingthereonmaynotthenbedueandpayable;(g)allright,titleandinterestinandtoandpaymentsunderanyperformanceorpaymentbondsissuedwithrespecttothePremisesorfortheconstructionofimprovementsthereon,towhichBorrowerisentitled;(h)allrents,issuesandprofitsofthePremisesandalltheestate,right,titleandinterestofeverynaturewhatsoeveroftheBorrowerinandtothesame;(i)allaccounts(includingcontractrights)andgeneralintangiblespertainingtoorarisingfromorinconnectionwithalloranypartoftheMortgagedProperty,ashereinafterdefined,includingwithoutlimitationallproceedsandchosesinactionarisingunderanyinsurancepoliciesmaintainedwithrespecttoalloranypartoftheMortgagedProperty;and,(j)allproceeds,products,replacements,additions,substitutions,renewalsandaccessionsofanyoftheforegoingitems.Alloftheforegoingrealandpersonalproperty,andallrights,privilegesandfranchisesarecollectivelyreferredtoastheMortgagedProperty.TOHAVEANDTOHOLDallandsingulartheMortgagedPropertyherebyconveyed,andthetenements,hereditamentsandappurtenancesthereuntobelongingorinanywiseappertaining,andthereversionandreversions,remainderandremainders,rents,issuesandprofitsthereofandalsoalltheestate,right,titleinterestproperty,possession,claimanddemandwhatsoeveraswellinlawasinequityofthesaidBorrowerinandtothesameandeverypartandparcelthereofuntothesaidLenderinfeesimple.PROVIDEDALWAYSthatiftheBorrowershallpaytotheLenderanyandallindebtednessduebyBorrowertoLender(includingtheindebtednessevidencedbytheNoteandanyandallrenewalsofthesame)andshallperform,complywithandabidebyeachandeverystipulation,agreement,condition,andcovenantoftheNoteandofthisMortgage;thenthisMortgageandtheestateherebycreatedshallceaseandbenullandvoid.Provided,itisfurthercovenantedandagreedbythepartiesheretothatthisMortgagealsosecuresthepaymentofandincludesallfutureorfurtheradvancesashereinaftersetforth,tothesameextentasifsuchmadeonthedateoftheexecutionofthisMortgage,andanydisbursementsmadeforthepaymentoftax,leviesorinsuranceontheMortgagedProperty,withinterestonsuchdisbursementsattheDefaultRateashereinafterdefined.ToprotectthesecurityofthisMortgage,theBorrowerfurthercovenants,warrantsandagreeswiththeLenderasfollows:ARTICLEICOVENANTSANDAGREEMENTSOFBORROWER1.01PaymentofSecuredObligations.Borrowershallpaywhenduetheprincipalof,andtheintereston,theindebtednessevidencedbytheNote,andthecharges,feesandtheprincipalof,andintereston,anyfutureadvancessecuredbythisMortgageandshallotherwisecomplywithallthetermsoftheNoteandthisMortgage.1.02WarrantiesandRepresentations.BorrowerherebycovenantswithLenderthatBorrowerisindefeasiblyseizedoftheMortgagedPropertyinfeesimple;thattheBorrowerhasfullpowerandlawfulrighttoconveythesameinfeesimpleasaforesaid;thatitshallbelawfulforBorroweratalltimespeaceablyandquietlytoenterupon,hold,occupyandenjoysaidMortgagedPropertyandeverypartthereof;thatBorrowerwillmakesuchfurtherassurancestoperfectthelieninterestinsaidpremisesinLender,asmayreasonablyberequired;andthatBorrowerdoesherebyfullywarrantthetitletotheMortgagedPropertyandeverypartthereofandwilldefendthesameagainstthelawfulclaimsofallpersonswhomsoever.BorrowerfurtherrepresentsandwarrantstoLenderthatallinformation,reports,paperanddatagiventoLenderwithrespecttoBorrower,andtotheloanevidencedbytheNoteandMortgageareaccurateandcorrectinallmaterialrespectsandcompleteinsofarasmaybenecessarytogiveLenderatrueandaccurateknowledgeofthesubjectmatter.1.03GroundLeases,Leases,SubleasesandEasements.Borrower,atBorrower’ssolecostandexpense,shallmaintainandcausetobeperformedallofthecovenants,agreements,terms,conditionsandprovisionsonitsparttobekept,observedandperformedunderanygroundlease,lease,subleaseoreasementswhichmayconstituteaportionoforaninterestinthePremises,shallrequireitstenantsorsubtenantstokeep,observeandperformallthecovenants,agreements,terms,conditionsandprovisionsontheirparttobekept,observedorperformedunderanyandallgroundleases,leases,subleasesoreasements;andshallnotsufferorpermitanybreachordefaulttooccurwithrespecttotheforegoing;andindefaultthereoftheLendershallhavetherighttoperformortorequireperformanceofanysuchcovenants,agreements,terms,conditionsandprovisionsofanysuchgroundlease,lease,subleaseoreasementsandtoaddanyexpenseincurredinconnectiontherewithtothedebtsecuredhereby,whichsuchexpenseshallbearinterestfromthedateofpaymenttothedateofrecoverybytheLenderattheDefaultRateashereinafterdefined.AnysuchpaymentbytheLenderwithinterestthereonshallbeimmediatelydueandpayable.TheBorrowershallnot,withouttheconsentoftheLender,consenttothemodification,amendment,cancellation,terminationorsurrenderofanysuchgroundlease,lease,sublease,oreasement.NoreleaseorforbearanceofanyofBorrower’sobligationunderanysuchgroundlease,lease,orsubleaseshallreleaseBorrowerfromanyofitsobligationsunderthisMortgage.1.04RequiredInsurance.Borrowerwill,atBorrower’ssolecostandexpense,maintainorcausetobemaintainedwithrespecttotheMortgagedProperty,andeachpartthereof,thefollowinginsurance:(a)InsuranceagainstlossordamagetotheImprovementbyfireandanyoftheriskscoveredbyinsuranceofthetypenowknownasfireandextendedcoverageinanamountnotlessthantheoriginalamountoftheNoteorthefullreplacementcostoftheImprovementswhicheverisless;and(b)Suchotherinsurance,andinsuchamounts,asmayfromtimetotimeberequiredbyLenderagainstthesameorotherhazards.AllpoliciesofinsurancerequiredbythetermsofthisMortgageshallcontainanendorsementoragreementbytheinsurerthatanylossshallbepayableinaccordancewiththetermsofsuchpolicynotwithstandinganyactornegligenceofBorrowerwhichmightotherwiseresultinforfeitureofsaidinsuranceandthefurtheragreementoftheinsurerwaivingallrightsofsetoff,counterclaimordeductionsagainstBorrower.BorrowermayeffectforitsownaccountanyinsurancenotrequiredunderthisSection1.04,butanysuchinsuranceeffectedbyBorroweronthePremises,whetherornotsorequired,shallbeforthemutualbenefitofBorrowerandLenderandshallbesubjecttotheotherprovisionsofthisMortgage.1.05DeliveryofPolicies,PaymentofPremiums.AllpoliciesofinsuranceshallbeissuedbycompaniesandinamountsineachcompanysatisfactorytoLender.Allpoliciesofinsuranceshallhaveattachedtheretoalender’slosspaymentendorsementforthebenefitofLenderinformsatisfactorytoLender.BorrowershallfurnishLenderwithanoriginalpolicyofallpoliciesofrequiredinsurance.IfLenderconsentstoBorrowerprovidinganyoftherequiredinsurancethroughblanketpoliciescarriedbyBorrowerandcoveringmorethanonelocation,thenBorrowershallfurnishLenderwithacertificateofinsuranceforeachsuchpolicysettingforththecoverage,thelimitsofliability,thenameofthecarrier,thepolicynumber,andtheexpirationdate.Atleastthirty(30)dayspriortotheexpirationofeachsuchpolicy,BorrowershallfurnishLenderwithevidencesatisfactorytoLenderofthePaymentofpremiumandthereissuanceofapolicycontinuinginsuranceinforceasrequiredbythisMortgage.Allsuchpoliciesshallcontainaprovisionthatsuchpolicieswillnotbecanceledormateriallyamended,whichtermshallincludeanyreductioninthescopeorlimitsofcoverage,withoutatleastthirty(30)dayspriorwrittennoticetoLender.IntheeventBorrowerfailstoprovide,maintain,keepinforceordeliverandfurnishtoLenderthepoliciesofinsurancerequiredbythisSection,LendermayprocuresuchinsuranceorsingleinterestinsuranceforsuchriskscoveringLender’sinterest,andBorrowerwillpayallpremiumsthereonpromptlyupondemandbyLender,anduntilsuchpaymentismadebyBorrowertheamountofallsuchpremiumstogetherwithinterestthereonattherateofinterestaftermaturityordefaultprovidedintheNoteorthemaximumratepermittedby_________(state)law,whicheverisless(theDefaultRate),andshallbedeemedtobeapartoftheindebtednesssecuredbythisMortgage.1.06InsuranceProceeds.AfterthehappeningofanycasualtytotheMortgagedPropertyoranypartthereof,BorrowershallgivepromptwrittennoticethereoftoLender.(a)IntheeventofanydamagetoordestructionoftheMortgagedProperty,Lendershallhavetheoptioninitssolediscretionofapplyingorpayingallorpartoftheinsuranceproceeds(I)toanyindebtednesssecuredherebyandinsuchorderasLendermaydetermine,or(ii)totherestorationoftheImprovements,or(iii)toBorrower.(b)Intheeventofsuchlossordamage,allproceedsofinsuranceshallbepayabletoLender,andBorrowerherebyauthorizesanddirectsanyaffectedinsurancecompanytomakepaymentofsuchproceedsdirectlytoLender.LenderisherebyauthorizedandempoweredbyBorrowertosettle,adjustorcompromiseanyclaimsforloss,damageordestructionunderanypolicyorpoliciesofinsurance.(c)ExcepttotheextentthatinsuranceproceedsarereceivedbyLenderandappliedtotheindebtednesssecuredhereby,nothinghereincontainedshallbedeemedtoexcuseBorrowerfromrepairingormaintainingtheMortgagedPropertyasprovidedinthisMortgageorrestoringalldamageordestructiontotheMortgagedProperty,regardlessofwhetherornotthereareinsuranceproceedsavailableorwhetheranysuchproceedsaresufficientinamount,andtheapplicationorreleasebyLenderofanyinsuranceproceedsshallnotcureorwaiveanydefaultornoticeofdefaultunderthisMortgageorinvalidateanyactdonepursuanttosuchnotice.1.07AssignmentofPoliciesUponForeclosure.IntheeventofforeclosureofthisMortgageorothertransferoftitleorassignmentoftheMortgagedPropertyinextinguishment,inwholeorinpart,ofthedebtsecuredhereby,allright,titleandinterestoftheBorrowerinandtoallpoliciesofinsurancerequiredbythisSectionshallinuretothebenefitofandpassthesuccessorininteresttoBorrowerorthepurchaserorgranteeoftheMortgagedProperty.BorrowerherebyappointsLenderitsattorney-in-facttoendorseanychecks,draftsorotherinstrumentsrepresentinganyproceedsofsuchinsurance,whetherpayablebyreasonoflossthereunderorotherwise.1.08Taxes,UtilitiesandImpositions.Borrowerwillpay,orcausetobepaidanddischarged,onorbeforethelastdayonwhichtheymaybepaidwithoutpenaltyorinterest,allsuchduties,taxes,sewerrents,chargesforwater,orforsettingorrepairingofmeters,andallotherutilitiesontheMortgagedPropertyoranypartthereof,andanyassessmentsandpayments,usualorunusual,extraordinaryorordinary,whichshallbeimposeduponorbecomedueandpayableorbecomealienuponthePremisesoranypartthereofandthesidewalksorstreetsinfrontthereofandanyvaultsthereinbyvirtueofanypresentorfuturelawoftheUnitedStatesoroftheState,County,orCitywhereinthePremisesarelocated(alloftheforegoingbeinghereincollectivelycalledImpositions).Indefaultofanysuchpaymentofanyimposition,LendermaypaythesameandtheamountsopaidbyLendershall,attheLender’soption,becomeimmediatelydueandpayablewithinterestattheDefaultRateandshallbedeemedpartoftheindebtednesssecuredbythisMortgage.Ifatanytimethereshallbeassessedorimposed(i)ataxorassessmentonthePremisesinlieuoforinadditiontotheImpositionspayablebyBorrowerpursuanttothisSectionor(ii)alicensefee,taxorassessmentimposedonLenderandmeasuredbyorbasedinwholeorinpartupontheamountoftheoutstandingobligationssecuredhereby,thenallsuchtaxes,assessmentsorfeesshallbedeemedtobeincludedwithinthetermImpositionsasdefinedinthisSection,andBorrowershallpayanddischargethesameashereinprovidedwithrespecttothepaymentofImpositionsorattheoptionofLender,allobligationssecuredhereby,togetherwithallaccruedinterestthereon,shallimmediatelybecomedueandpayable.Anythingtothecontraryhereinnotwithstanding,Lendershallhavenoobligationtopayanyfranchise,estate,inheritance,income,excessprofitsorsimilartaxleviedonBorrowerorontheobligationssecuredhereby.BorrowerwillpayallmortgagerecordingtaxesandfeespayablewithrespecttothisMortgageorothermortgageortransfertaxesdueonaccountofthisMortgageortheNotesecuredhereby.BorrowerwillexhibittoLendertheoriginalreceiptsorotherreasonablysatisfactoryproofofthepaymentofallImpositionswhichmayaffecttheMortgagedPropertyoranypartthereoforthelienoftheMortgagepromptlyfollowingthelastdateonwhicheachImpositionispayablehereunder.Notwithstandingtheforegoing,Borrowershallhavetheright,afterpriorwrittennoticetoLender,tocontestatitsownexpensetheamountandvalidityofanyImpositionaffectingtheMortgagedPropertybyappropriateproceedingsconductedingoodfaithandwithduediligenceandtopostponeordeferpaymentthereof,ifandsolongas:(a)SuchproceedingsshalloperatetosuspendthecollectionofsuchImpositionfromBorrowerortheMortgagedProperty;or(b)NeithertheMortgagedPropertynoranypartthereofwouldbeinimmediatedangerofbeingforfeitedorlostbyreasonofsuchproceedings,postponementordeferment;and(c)InthecaseofanyImpositionaffectingtheMortgagedPropertywhichmightbeorbecomealien,encumbranceorchargeuponorresultinanyforfeitureorlossoftheMortgagedPropertyoranypartthereof,orwhichmightresultinlossordamagetoBorrowerorLender,Borrower,priortothedatesuchImpositionwouldbecomedelinquent,shallhavefurnishedLenderwithsecuritysatisfactorytoLender,and,intheeventthatsuchsecurityisfurnished,Lendershallnothavetherightduringtheperiodofthecontesttopay,removeordischargetheImposition.1.09Maintenance,Repairs,Alterations.BorrowershallkeeptheMortgagedProperty,orcausethesametobekept,ingoodconditionandrepairandfullyprotectedfromtheelementstothesatisfactionofLender;BorrowershallnotcommitnorpermittobecommittedwastethereonandshallnotdonorpermittobedoneanyactbywhichtheMortgagedPropertyshallbecomelessvaluable;Borrowerwillnotremove,demolishorstructurallyalteranyoftheImprovements(exceptsuchalterationsasmayberequiredbylaws,ordinancesorregulations)withoutthepriorwrittenpermissionoftheLender;BorrowershallcompletepromptlyandingoodandworkmanlikemanneranybuildingorotherimprovementwhichmaybeconstructedonthePremisesandpromptlyrestoreinlikemanneranyImprovementswhichmaybedamagedordestroyedthereonandwillpaywhendueallclaimsforlaborperformedandmaterialsfurnishedtherefor;Borrowershalluseandoperate,andshallrequireitslesseesorlicenseestouseoroperate,theMortgagedPropertyincompliancewithallapplicablelaws,ordinance,regulations,covenants,conditionsandrestrictions,andwithallapplicablerequirementsofanygroundlease,leaseorsubleasenoworhereafteraffectingthePremisesoranypartthereof.UnlessrequiredbylaworunlessLenderhasotherwiseagreedinwriting,BorrowershallnotallowchangesinthestateduseofMortgagedPropertyfromthatwhichwasdisclosedtoLenderatthetimeofexecutionhereof.BorrowershallnotinitiateoracquiescetoazoningchangeoftheMortgagedPropertywithoutthepriornoticetoandconsentofLender.LenderanditsrepresentativesshallhaveaccesstothePremisesatallreasonabletimestodeterminewhetherBorroweriscomplyingwithitsobligationsunderthisMortgage,including,butnotlimitedto,thosesetoutinthisSection.1.10EscrowsforTaxes,Insurance,Assessments.InordertomorefullyprotectthesecurityofthisMortgage,theLender,atitsoption,intheeventBorroweratanytimefailstomakepaymentwhendueofalltaxes,assessments,publicchargesandinsurancepremiumsashereinelsewhererequired,mayrequiretheBorrowertodepositwiththeLender,togetherwithandinadditiontoeachmonthlypaymentdueonaccountoftheindebtednessevidencedbytheNote,anamountequaltoone-twelfth(1/12)oftheannualtotalofsuchtaxes,assessments,chargesandpremiums(allasestimatedbytheLenderinitssolediscretion)soastoplacesufficientfundsinthehandsofLenderforthepaymentofsuchtaxes,assessments,chargesandpremiumsasthesameshallbecomedue,andtheLendermayholdthesumssodepositedwithoutinterestandcommingledwithitsgeneralfundsandapplythesametothepaymentofsaidtaxes,assessments,chargesorpremiumsastheybecomedueandpayable.IfatanytimethefundssoheldbyLenderareinsufficienttopaysuchtaxes,assessments,chargesorpremiumsastheybecomedueandpayable,theBorrowershallimmediately,uponnoticeanddemandbyLender,depositwithLendertheamountofsuchdeficiency,andthefailureonthepartoftheBorrowertodososhallentitletheLender,atitsoption,toitselfmakesuchpaymentsinaccordancewithitsrightandpursuanttotheconditionselsewhereinthisMortgageprovided.WheneveranydefaultexistsunderthisMortgage,Lendermay,atitsoption,andwithoutobligationsotodo,applyanyfundssoheldbyituponsuchoftheindebtednesssecuredhereby,andinsuchorderandmannerofapplicationasLendermayelect.1.11EminentDomain.ShouldtheMortgagedProperty,oranypartthereoforinteresttherein,betakenordamagedbyreasonofanypublicuseorimprovementorcondemnationproceeding,orinanyothermanner(Condemnation),orshouldBorrowerreceiveanynoticeorotherinformationregardingsuchCondemnation,BorrowershallgivepromptwrittennoticethereoftoLender.(a)Lendershallbeentitledtoallcompensation,awardsandotherpaymentsorreliefgrantedinconnectionwithsuchCondemnation,andshallbeentitled,atitsoption,tocommence,appearinandprosecuteinitsownnameanyactionorproceedingsrelatingthereto.Lendershallalsobeentitledtomakeanycompromiseorsettlementinconnectionwithsuchtakingordamage.Allsuchcompensation,awards,damages,rightsofactionandproceedsawardedtoBorrower(theProceeds)areherebyassignedtoLenderandBorroweragreestoexecutesuchfurtherassignmentsoftheProceedsasLendermayrequire.(b)IntheeventanyportionoftheMortgagedPropertyissotakenordamaged,Lendershallhavetheoptioninitssoleandabsolutediscretion,toapplyallsuchProceeds,afterdeductingtherefromallcostsandexpenses(regardlessoftheparticularnaturethereofandwhetherincurredwithorwithoutsuit),includingattorneys’fees,incurredbyitinconnectionwithsuchProceeds,uponanyindebtednesssecuredhereby,ortoapplyallsuchProceeds,aftersuchdeductions,totherestorationoftheMortgagedPropertyuponsuchconditionsasLendermaydetermine.Suchapplicationorreleaseshallnotcureorwaiveanydefaultornoticeofdefaulthereunderorinvalidateanyactdonepursuanttosuchnotice.(c)AnyamountsreceivedbyLenderhereunder(afterpaymentofanycostsinconnectionwithobtainingsame),shall,ifretainedbyLender,beappliedinpaymentofanyaccruedinterestandtheninreductionofthethenoutstandingprincipalsumoftheNote,notwithstandingthatthesamemaynotthenbedueandpayable.AnyamountsoappliedtoprincipalshallbeappliedtothepaymentofinstallmentsofprincipalontheNoteininverseorderoftheirduedates.1.12ActionsbyLendertoPreservetheSecurityofThisMortgage.IftheBorrowerfailstomakeanypaymentortodoanyactasandinthemannerprovidedforinthisMortgageortheNote,theLender,initsowndiscretion,withoutobligationsotodoandwithoutnoticetoordemanduponBorrowerandwithoutreleasingBorrowerfromanyobligation,maymakeordothesameinsuchmannerandtosuchextentastheLendermaydeemnecessarytoprotectthesecurityhereof.BorrowerwillpayupondemandallexpensesincurredorpaidbyLender(including,butnotlimitedto,attorneysfeesandcourtcostsincludingthoseofappellateandbankruptcyproceedings)onaccountoftheexerciseofanyoftheaforesaidrightsorprivilegesoronaccountofanylitigationwhichmayariseinconnectionwiththisMortgageortheNoteoronaccountofanyattempt,withoutlitigation,toenforcethetermsofthisMortgageorsaidNote.IncasetheMortgagedPropertyoranypartthereofshallbeadvertisedforforeclosuresaleandnotsold,Borrowershallpayallcostsinconnectiontherewith.IntheeventthattheLenderiscalledupontopayanysumsofmoneytoprotectthisMortgageandtheNoteasaforesaid,allmoniesadvancedorduehereundershallbecomeimmediatelydueandpayable,togetherwithinterestattheDefaultRate,computedfromthedateofsuchadvancetothedateoftheactualreceiptofpaymentthereofby
