公司可根据其业务需要以及员工的专业技能和工作表现等调整员工的工作岗位。WORKINGHOURS,HOLIDAYS,ANDLEAVE工作时间、节日、和假期BasedonthenatureoftheEmployee’sposition,theEmployee’sworkinghoursarestipulatedaccordingtoitem__below:基于员工工作岗位的性质,员工的工作时间如下文第项所述:Standardworkinghours:TheEmployeeshallwork8hoursadayand40hoursperweek;or标准工作时间:员工应每日工作八小时,每周工作四十小时;或(ii) Flexible workinghours:TheEmployeeshall performhis/herdutiesattheCompanyflexiblyandinatimelymanner,pursuanttothebusinessneedsoftheCompanyandbasedontherequirementsoftheEmployee ’sposition. AstheEmployeehasflexible workinghours,务工中英文合同theEmployeeherebyexplicitlyacknowledgesthathe/sheshallnotbeentitledtoovertimepaymentasotheremployeeswhohavestandardworkinghoursmaybefortheirworkafternormalworkinghoursattheCompanyorduringholidays.不定时工作时间:根据公司的业务需要和员工工作岗位的要求,员工应灵活和及时地履行其在公司的职责。因为员工的不定时工作时间,员工特此确认:与其他实行标准工作时间的员工不同,该员工不因为在标准工作时间之外的时间和节假日工作而享受加班费的待遇。3.2TheEmployeeshallbeentitledto____workingdaysofannualpaidleaveduringthefirstcalendaryearofservice.Foreachsubsequentcalendaryear,thedaysoftheannualpaidleaveoftheEmployeeshallincreasebyone(1)day,providedthat,themaximumdaysofannualpaidleaveisfifteen(15)workingdays.ForanycalendaryearthattheEmployeedoesnotworkfortheCompanyforafullyear,thedaysofannualpaidleavefortheEmployeeshallbecalculatedpro-rataonthebasisoftheactualmonthsthattheEmployeehasworkedfortheCompanyinthatyear.员工在第一个日历年的服务期间享受个工作日的带薪年假。在随后的日历年度里,员工的带薪年假天数将每年增加一(1)天,但最多不超过十五(15)个工作日。在任何日历年度中,如果员工在公司没有工作满一整年,则员工的带薪年假天数将按员工该年度在公司实际工作的月数按比例计算。TheEmployeeshalltakeannualpaidleavebasedonthebusinessneedsoftheCompanyandshallfollowrelevantcorporateapprovalproceduresfortakingannualpaidleavesoastoensurethat thebusinessoftheCompanywill务工中英文合同notbeadverselyaffectedowingtotheabsenceoftheEmployee.员工应根据公司的业务需要并应依照公司的有关批准程序安排带薪年假,以保证公司的业务不会因员工休假而受到不利影响。3.3 TheEmployeeshallenjoytheChinesepublicholidays,statutory leaveapplicable totheconcernedEmployee,andall otherholidays that aregrantedinaccordancewiththerulesandregulationsoftheCompany.员工应享受xx的公共节假日、适用于该员工的法定假期、以及按照公司的规章制度确定的其他全部假期。LABOURPROTECTIONANDWORKINGCONDITIONS劳动保护和劳动条件TheCompanyshallprovidetheEmployeewiththenecessaryworkingconditionsandfacilities/equipment.TheCompanyshallalsoestablishandmaintainalaborsecurityandsanitarysystemthatcomplywithapplicablelawsandregulationsonworkplacehealthandsafety.公司应为员工提供必要的劳动条件和设施/设备。公司亦应建立和保持一个符合工作场所健康和安全法规规定的劳动安全和卫生体系。务工中英文合同REMUNERATION劳动报酬5.1 TheCompanyshallprovidethefollowingremunerationtotheEmployee:公司应向员工提供下列待遇:(i) Abasesalary ofRMB_______________Yuanpermonth;Notwithstandingtheforgoing,duringtheprobationary periodassetforth inSection1.3above,thebasesalaryshallbeattheamountofRMBYuanpermonth;Themonthlysalary shall bepaidon10ineachmonth.月基本工资为人民币元(尽管有上述规定,在上文第1.3条规定的试用期内,月基本工资为人民币_____________元);月薪应于每月 10日支付。Ayearendbonus,basedontheEmployee'sperformance,attheCompany'sdiscretion(notwithstandingtheforgoing, forthefirst calendaryearattheCompany,theyearendbonusoftheEmployeewillbepaidpro-rataonthebasisofactualmonthsthattheEmployeehasworkedfortheCompanyinthat calendaryear);年终奖应由公司根据员工的表现自行决定(尽管有上述规定,对于员工在公司工作的第一个日历年度,员工的年终奖将按员工该年度在公司实际工作的月数按比例支付);(iii) Standardemployeebenefits TheCompanyshallmakeamandatorysocialinsurancecontribution(includingtheportionthattheEmployeeisobligatedtocontribute)totherelevantsocialinsuranceagenciesfortheEmployeeattheCompany'sowncost.公司应向相关的社保机构自费为员工缴纳法定的社会保险(包括员工个人应承担的部分)。5.3 TheCompanyshalldeductandwithholdfromtheEmployee'smonthlysalarythecorrespondingamountofindividualincometaxthattheEmployeeisobligatedtopayaccordingtolaw.公司应从员工的月工资中依法代为扣缴员工应缴纳的相应个人所得税。5.4 IftheEmployeefollowsthesystemof"standardworkinghours"asstipulated initem(i) ofSection3.1above,theCompanyshallmakeovertimepaymentstotheEmployeeforhis/herovertimeworkfortheCompanyinaccordancewith务工中英文合同Chineselaw.Notwithstandingtheforegoing,anyovertimeworkmustbeapprovedinadvancebytherelevantmanagementoftheCompanyaccordingtotherelevantrulesandregulationsoftheCompany.如果员工按照上文第3.1条第(ⅰ)项规定的“标准工作时间”工作,公司应根据xx法律的规定就员工的加班工作向员工支付加班费。尽管有上述规定,任何加班需经公司相关管理层按照公司的有关规章制度事先批准。LABORDISCIPLINE,RULES,ANDREGULATIONSOFTHECOMPANY劳动纪律和公司的规章制度6.1 TheCompanyshall beentitled, inits solediscretion, toformulateandreviseitslabordisciplineanditscorporaterulesandregulationsfromtimetotime,providedtheCompanynotifiestheEmployeeofanyneworrevisedlabordiscipline,orcorporaterulesorregulationsbeforetheytakeeffect.公司有权自行酌处,不时地制订和修订其劳动纪律和公司规章制度;但是,在任何新制订或修订的劳动纪律或公司规章制度生效前,公司应通知员工。6.2 TheEmployeeshallcarefullyreadandfullyunderstandalllabordiscipline,rules,andregulationsoftheCompany;and,theEmployeeshallstrictlycomplywithandabidebythesame.员工应仔细阅读、充分理解、并严格执行公司的全部劳动纪律和规章制度。务工中英文合同Anyviolationofthelabordiscipline,rules,orregulationsoftheCompanyshallbedeemedaseriousviolationoftheAgreement.任何对公司的劳动纪律或规章制度的违反均应被视为本合同项下的重大违约。6.3 Asaconditionofemployment,EmployeeshallsignandagreetoabidebytheConfidentiality,Non-CompetitionandIntellectualPropertyRightsAgreement,whichisattachedasExhibitAhereto.作为本合同的条件,员工应签署并同意遵守《保密,竞业禁止及知识产权保护协议》(见本合同附件A)。AMENDMENT,NULLIFICATION,ANDTERMINATIONOFTHISAGREEMENT合同的变更、解除和终止7.1 Exceptasotherwisespecifiedherein,anyamendmenttothisAgreementshallbemadejointlybythePartiesinwriting.除本合同另有约定之外,本合同的任何修订均应由双方共同书面做出。7.2 ThisAgreementmaybenullifiedandthendeemednullandvoidifmutuallyagreedtoinwritingbybothParties.经双方书面协商一致,可解除本合同。7.3 TerminationoftheAgreement务工中英文合同合同终止 ThisAgreementshall beterminated inanyofthefollowingcircumstances:有下列情形之一的,本合同终止:theAgreementexpiresandisnotrenewedaccordingtoSection1.2above;合同期满并且未依照上文第 1.2条续延;theEmployeehaslosttherelevantprofessionalqualificationrequiredforperformanceofhis/herworkingdutiesasagreedherein(e.g.,driver'slicense,accountant'squalification);员工不再具有为履行其在本合同项下的工作职责所要求的相关专业资质,例如,驾驶执照,会计师资格;theEmployeeretiresinaccordancewithapplicableChineselaw,dies,orisdeclareddeadordisappearedbyacourt;员工根据xx法律退休,死亡,或被法院宣告死亡或失踪;theCompanygoesintobankruptcy,dissolution,orrevocation;公司破产、解散、或者被撤销;theEmployeehasbeenconfirmedbyaqualifiedexaminationagencyashavingpartiallylostthecapacitytoworkowingtoanoccupationaldiseaseoranon-dutyinjury;and,theCompanyhaspaidrelevantdisabilitysubsidyaccordingtolaw;务工中英文合同员工患职业病或因工负伤,已被合格的鉴定机构确认为部分丧失劳动能力,并且公司已依法支付伤残就业补助金;theEmployeehasbeenconfirmedbyaqualifiedexaminationagencyashavingcompletelyormateriallylostthecapacitytoworkowingtoanoccupationaldiseaseoranon-dutyinjury;theCompanyhaspaidrelevantdisabilitysubsidyaccordingtolaw;and,theCompanyandtheEmployeehaveconsultedandreachedagreementtoterminatethisAgreement;or员工患职业病或因工负伤,已被合格的鉴定机构确认为完全或大部分丧失劳动能力,公司已依法支付伤残就业补助金;并且,公司和员工协商一致终止本合同;或anyothercircumstancesasprovidedforinlaworanyotherterminationeventsthattheCompanyandtheEmployeehaveagreedherein.法律规定的任何其他情形、或公司和员工在本合同中约定的任何其他终止情形。 务工中英文合同不论上文第条有何不同规定,有下列情形之一的,本合同应顺延至下列情形消失时方可根据上文第条被终止:theEmployeeisundergoingaprescribedperiodofmedicaltreatmentforanillnessorforanoff-dutyinjury;员工患病或者非因工负伤,在规定的医疗期内;theEmployee(iftheEmployeeisafemale)ispregnant,inconfinementornursing;or员工(若是女员工)在孕期、产期、哺乳期内;或othercircumstancesunderwhichtheapplicablelawprohibitstheterminationofthisAgreement.适用法律禁止本合同终止的其他情形。7.4 TheCompanymayunilaterally andimmediately nullify thisAgreementinanyofthefollowingcircumstanceswhere:有下列情形之一的,公司可以单方面随时解除本合同:theEmployeehasfailedtosatisfythespecifiedrecruitmentrequirementsoftheCompanyduringtheprobationaryperiodassetforthinSection1.3above;员工在上文第1.3条规定的试用期内被证明不符合公司的有关录用条件;theEmployeehasseriouslyviolatedthelabordisciplineortherulesorregulationsoftheCompany;务工中英文合同员工严重违反劳动纪律或者公司的规章制度;theEmployeehasbreachedmaterialagreementsenteredbetweentheCompanyandtheEmployee,includingbutnotlimitedto,theConfidentiality,Non-CompetitionandIntellectualPropertyRightsAgreement(SeeExhibitA);员工违反和公司另行签订的重大协议,包括但不限于,保密,竞业禁止及知识产权保护协议(见附件A);theEmployeehascommittedanactionofseriousderelictionofdutyorcorruption,andtherebycausedsubstantialharmtotheinterestsoftheCompany,forexample,causingseriousinjuryordeathofanotherperson;员工严重失职或营私舞弊,并因此造成对公司利益的重大损害,例如,致使他人重大伤亡;theEmployeeprovidedfalseinformationinhis/herapplicationfortheposition(e.g.,informationpertainingtohis/heridentity,educationbackground,andemploymenthistory);(vi)(vii)

员工在应聘时提供虚假信息,例如,身份、教育背景、和工作经历;theEmployeeissubjecttocriminalpenalty;or员工被依法追究刑事责任的;或Othercircumstancesasprovidedbyapplicablelaw.适用法律规定的其他情形。务工中英文合同7.5 UnilateralNullificationbytheCompany公司单方解除合同 TheCompanymayunilaterally nullify this Agreementwiththirty(30)daysadvancewrittennoticeinanyofthefollowingcircumstanceswhere:有下列情形之一的,公司可以单方解除本合同,但是应当提前三十(30)日书面形式通知员工:(i) theEmployeehasfallenillorhassustainedoff-dutyinjuryandcannotengageintheoriginalworkoranyotherworkassignedbytheCompanytohim/herupontheconclusionofhis/hermedicaltreatment;员工患病或者非因工负伤,医疗期满后不能从事原工作,亦不能从事公司安排的其他工作;(ii) theEmployeehasbeenincapableofdoinghis/herandremainsincapableofdoingsoafterreceivingtrainingorbeingtransferredtoanotherpost;or

job员工不胜任工作,经过培训或者调整工作岗位仍不能胜任工作;或therehasoccurredamajorchangetotheobjectivecircumstancesunderwhichthisAgreementwasconsummated,whichhasrenderedthisAgreementincapableofbeingperformed,andthePartieshavefailedtoreachanagreementontheamendmenttothisAgreementafterconsultation.本合同订立时所依据的客观情况发生重大变化,致使本合同无法履行,经双方协商仍不能就变更合同达成一致。务工中英文合同 但是有下列情形之一的,公司不得依据上文第条的规定解除本合同:theEmployeehassufferedfromanoccupationaldiseaseorhassustainedanon-dutyinjury,andithasbeenconfirmedthattheEmployeehascompletelyorpartiallylostthecapacitytowork;员工患职业病或因工负伤,并被确认完全或者部分丧失劳动能力;theEmployeeisundergoingaprescribedperiodofmedicaltreatmentforanillnessorforanoff-dutyinjury;员工患病或者非因工负伤,在规定的医疗期内;theEmployee(iftheEmployeeisafemale)ispregnant,inconfinementornursing;or员工(若是女员工)在孕期、产期、哺乳期内;或othercircumstancesunderwhichtheapplicablelawprohibitstheCompanyfromnullifyingthisAgreement.适用法律禁止公司解除本合同的其他情形。7.6 UnilateralNullificationbytheEmployee员工单方解除合同务工中英文合同 Generally,theEmployeemayunilaterallynullifythisAgreementbyservingninety(90)daysadvancewrittennoticetotheCompany.通常情况下,员工经提前九十(90)天书面通知公司,方可单方解除本合同。 immediatelynullifythisAgreementunderanyofthefollowingcircumstances:尽管有上文第条的规定,有下列情形之一的,员工可随时通知公司并单方解除本合同:duringtheprobationaryperiodassetforthinSection1.3above;在上文第1.3条规定的试用期内;theCompanyisunabletopaythesalaryinaccordancewiththisAgreement;or公司未能按照本合同支付劳动报酬;或theCompanyforcestheEmployeetoworkbymeansofviolence,threat,andillegalrestrictionoftheEmployee’spersonalfreedoms.公司以暴力、威胁、或者非法限制人身自由的手段强迫劳动。7.7 TheCompanymaynullify this AgreementbymeansoflayingofftheEmployeeinaccordancewiththerelevantstatutoryproceduresiftheCompanyexperiencesserioushardshipin务工中英文合同itsbusinessoperationanditisnecessarytolayoffitsemployees.若公司遭遇严重的经营困难必须裁员时,公司可以依据相关的法定程序通过裁员的方式解除本合同。7.8 Ifapplicable,intheeventthateitherPartynullifiesshallindemnifythelossesoftheotherParty.在适用的情况下,若一方未按照上文第条或第条的规定以事先书面通知的形式解除本合同,该一方应赔偿另一方的损失。7.9 Incasethis Agreementisnullified orterminated pursuanttothetermsandconditionsofthisAgreementandasstipulatedabove,theCompanyshallissueawrittencertificatetotheEmployeetoevidencethattheemploymentrelationshipbetweentheCompanyandtheEmployeehasended.若本合同根据本合同的条款和上述规定被解除或终止,公司应向员工出具书面证明,以证明公司和员工的劳动关系结束。ECONOMICCOMPENSATIONANDINDEMNITY经济补偿和赔偿8.1 Ifapplicable,theCompanyshallmakeseverancepaymenttotheEmployeeinaccordancewithapplicableChineselawwherethisAgreementisnullifiedorterminated.务工中英文合同如适用,在本合同被解除或终止时,公司应依照xx有关法律的规定给予员工经济补偿。8.2 WheretheCompanyrecruitstheEmployeebymeansofheadhunting,providestheEmployeewithtrainingattheCompany'sexpense,orprovidesanyspecialpreferentialtreatmenttotheEmployee,iftheEmployeenullifiesthisAgreementinviolationoftherelevantagreement(s)betweentheCompanyandtheEmployee,thentheEmployeeshallreimbursetheCompanytheexpensesinaccordancewiththespecificagreement(s).在公司通过猎头聘用员工、出资培训员工、或给予员工特殊待遇的情况下,若员工违反公司和员工间的有关协议解除本合同,则员工应依据相应协议补偿公司的相应费用。8.3 IfthisAgreementisnullifiedduetotheEmployeebreachofthisAgreementortheNon-CompetitionandIntellectualPropertyRightsAgreementbetweentheCompanyandtheEmployee,andtheEmployeehascausedlossestotheCompany,theEmployeeshallcompensatethelossesoftheCompany.

’s若因员工违反本合同或公司和员工间的保密,竞业禁止及知识产权保护协议导致本合同被解除,并且员工给公司造成损失的,则员工应该补偿公司的损失。LABORDISPUTES劳动争议9.1 TheformationofthisAgreement,itsvalidity,interpretation,executionandsettlementofdisputes务工中英文合同shallbegovernedbytherelevantlawsandregulationsofChina.本合同的成立、效力、解释、签订和争议的解决应受相关法律法规的管辖。9.2 Whereanydisputearisesfrom,outof,orinconnectionwiththisAgreement,eitherPartymayfilealawsuitwiththerelevantPeople'sCourtofChinawithinsixty(60)daysaftertheoccurrenceofthedispute.若因本合同引起或产生与本合同有关的任何争议,任何一方均可在争议发生后的六十(60)天内,向有关的人民法院提起诉讼。MISCELLANEOUS附则10.1 ThisAgreementshall takeeffect asofthesignature datehereof.本合同自签署 xx生效。10.2 ThisAgreementshallbewritteninbothChineseandEnglish,intwo(2)originalcopies.Thetwolanguageversionsshallbeequallyauthenticandareconsistentinallsubstantialrespects.本合同以中英文同时书写,一式两2份。本合同的中英文文本应具有同等效力,并在所有实质方面保持一致。10.3 If anyoftheprovisions ofthis Agreementareinconflictwithanyprovisionsofapplicablelaw,saidprovisionof务工中英文合同thisAgreementshallbesupersededbytherelevantprovisionsoftheapplicablelaw.若本合同的任何条款与适用法律的任何规定xx,则本合同的该规定应被相关法律的有关规定所取代。[SignaturePageFollows]INWITNESSTHEREOF,thePartieshaveherebydulyexecutedthisAgreementon_____________.此,本合同双方特此于__________年____月____日正式签署本合同。PartyA(甲方):

_______________________务工中英文合同(CorporateSeal公章)SignatureofAuthorizedRepresentative: SignatureoftheEmployee:授权代表签名:员工签名:_______________________ ______________________Title:CEO职位:总经理CONFIDENTIALITY,Non-CompetitionandintellectualpropertyrighthsAGREEMENT保密,竞业禁止及知识产权保护协议ThisConfidentiality,Non-CompetitionandIntellectualPropertyRightsAgreement("Agreement")ismadebyandbetweenthefollowingtwopartiesinBeijing,thePeople'sRepublicofChina("China"):务工中英文合同本保密,竞业禁止及知识产权保护协议(“协议”)由下述双方于xx(“xx”)xx订立:PartyA:公司英文名称("Company"),alimitedliabilitycompanydulyincorporatedandexistingunderthelawsoftheCaymanIsland,withitsregisteredaddressat公司英文地址;and甲方:公司中文名称(“公司”),一家根据xx法律正式成立并存续的有限责任公司,注册地址为公司中文地址;以及PartyB:Mr./Ms.("Employee") ,acitizenof________________andwithanIdentityCardNo./PassportNo.________________________________________________,andresidingat________________________________________________________.乙方:(先生/女士)(“员工”),公民 ________________,居民身份证号码/护照号码为:____________________________________________________________,居住住址为:。ForthepurposeofthisAgreement,theCompanyandtheEmployeeshallbecollectivelyreferredtoasthe"Parties"andindividuallyasa"Party".为本协议之目的,公司和员工合称为“双方”,单独称为“一方”。WHEREAS,theEmployeehasenteredintoanemploymentagreementdated[____________]withtheCompany;and鉴于,员工已与公司签订了日期为 ______年_____月_____日的劳动合同(“劳动合同”),并据此与公司建立劳动关系;以及WHEREAS,theCompanypossessesand/oraccessestheConfidentialInformation(asdefinedinSection1.2below),to务工中英文合同whichtheEmployeewillormaybeexposedforthepurposeofperformanceofhis/herdutiesattheCompany;鉴于,公司持有和/或能接触到保密信息(定义见下文第1.2条),员工为履行其在公司的工作职责将要或可能接触到保密信息;NOWTHEREFORE,inaccordancewiththerelevantlawsandregulationsofChina,afterfriendlyconsultationandonthebasisoftheprincipleofequalityandwillingness,thePartieshaveagreedtothefollowingtermsandconditions:兹此,根据xx的相关法律法规,在平等自愿的基础上并经过友好协商,双方就下述条款和条件达成一致:DEFINITIONS定义UnlessotherwiserequiredbythecontextofthisAgreement,thefollowingtermsusedinthisAgreementshallhavethemeaningsassetforthbelow:除非本协议上下文另有规定,本协议中使用的以下术语应具有下文规定的含义:1.1 "Affiliate"meansanypartnership,jointventure,corporationorotherformofenterpriseand/orentity,domesticorforeign,includingbutnotlimitedtosubsidiaries,whichdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwith,theCompany.“xx公司”系指与公司具有下列关系之一的任何国内或国外的合伙、合资企业、公司或其他形式的企业和/或实体,包括但不限于子公司:直接或间接控制公司,直接或间接受公司控制,或与公司直接或间接地共同受控于第三方。务工中英文合同1.2 "ConfidentialInformation"shallmeananyinformationbelonging to, oraccessedbytheCompanyoranyAffiliate,that isdeemedortreated confidential bytheCompany,orwhichtheEmployeeknowsoroughtreasonablytohaveknowntobeconfidential.“保密信息”系指公司或任何xx公司拥有或接触到的任何下述信息:公司视为保密或予以保密的信息,或员工知晓或理应知晓属于保密的信息。ConfidentialInformationshallbedeemedtoincludethefollowing,withoutlimitation:保密信息应被视为包括但不限于下述信息:AnyinformationregardingthebusinessandaffairsoftheCompanyoranyAffiliate,including,butnotlimitedto,businessstrategiesandmethods,marketingorpromotionalpoliciesoractivities,businessdevelopmentplans,clientinformation,financialinformation,researchdataofallkinds,andmanagementmethods;任何与公司或任何xx公司的业务和事务有关的信息,包括但不限于,商业策略和方法、营销或促销的方针或活动、业务拓展计划、客户信息、财务信息、各种类别的研究数据和管理方法;(ii)

Anyinformation whichthecustomersand/orbusinesspartnersoftheCompanyoranyAffiliateconsiderconfidential andinrespect ofwhichtheCompanyoranyAffiliatemaybesubjecttoconfidentialityornon-disclosureobligations,whetherexpressedorimplied;and务工中英文合同公司或任何xx公司的客户和/或商业伙伴认为属于保密的,并且公司或任何xx公司对此承担保密或不披露义务(不论是明示的还是默示的)的任何信息;以及(iii) All otherinformation ofanynaturewhatsoeverwhichmaybedisclosed ormadeknowntotheEmployeeatanytimeduringthecourseoftheemploymentwiththeCompany,whetherornotheorsheisperformingduties foror isundergoing trainingby theCompanyoranyAffiliate.员工在受雇于公司期间的任何时候(不论员工是为公司或任何xx公司工作还是接受其培训)被告知或得知的任何性质的任何其他信息。TheConfidentialInformationdoesnotincludeanyinformationthat:(i)becomesgenerallyavailabletothepublicotherthanasaresultofadisclosurebytheEmployeeinviolationofthisAgreement;(ii)wasavailabletotheEmployeepriortoitsdisclosuretotheEmployeebytheCompanyoritsrepresentatives;or(iii)isotherwisemadeavailabletotheEmployeewithoutawrongfulactonthepartofthepartyprovidingtheinformation.保密信息不包括任何下述信息:(I)为公众所能普遍获取的信息(但因员工违反本协议的约定进行披露导致该等信息成为公众所能普遍获取的信息除外);(ii)在公司或其代表向员工披露之前,员工已获知的信息;或(iii)其他在信息提供方无过错的情况下向员工提供的信息。CONFIDENTIALITY保密务工中英文合同2.1 TheEmployeeherebyrepresents,warrants,and/orcovenantstotheCompanythat:员工兹此向公司声明、保证和承诺如下:(i)theexecutionandperformanceoftheEmployee’sobligationsundertheEmploymentAgreementandthisAgreementbytheEmployeewillnotbreachanycovenantoragreementthattheEmployeehasenteredintowithanyofhis/herformeremployer(s),orbreachanyobligationowedtoanyotherthirdparty,orinfringeanyrightsofanythirdparty;员工对劳动合同和本协议的签署以及对协议项下劳动义务的履行,不违反员工对其任何前雇主作出的任何承诺或员工与其任何前雇主所签订的任何协议、不违反员工对任何第三方的任何义务、亦不侵害任何第三方的任何权利;(ii) theEmployeewillnotdisclosetotheCompany,oruseorinducetheCompanytouse,anyconfidentialorproprietaryinformationormaterialbelongingtoanypreviousemployeroranyotherthirdparty;or,员工不得向公司披露、使用、或促使公司使用,属于其任何前雇主或其他第三方的任何保密信息、专有信息、或资料;或theEmployeeisnotcurrentlyaparty,andwillnotbecomeaparty,toanyotheragreementthatisinconflict,orwillpreventtheEmployeefromcomplying,withthisAgreement.务工中英文合同2.22.3

员工未签署,并保证不签署任何与本协议存在冲突或妨碍员工履行本协议义务的任何其他协议。TheEmployeeshallkeepstrictconfidentialityoftheConfidentialInformationandshallnotdiscloseanyConfidentialInformationorallowsuchinformationtobedisclosedtoanythirdparty(forthepurposeofclarification,suchthirdpartiesshallincludeanyotheremployeesoftheCompany,unlesssuchdisclosureisnecessaryforthepurposeoftheemployment)andthattheEmployeeshalluseanyandallConfidentialInformationsolelyforthepurposeoftheemploymentandshallnotdisclose,duplicate,orotherwiseusetheConfidentialInformationforanyotherpurpose.员工应对保密信息严格保密,不得向任何第三方(为避免疑问,该等第三方应包括公司的其他员工,除非该等披露是出于工作的需要)披露任何保密信息或允许该信息被披露给上述任何第三方。员工应仅为工作目的使用任何及所有保密信息,不得为其他任何目的披露、复制或以其他方式使用任何保密信息。Forthepurposeofclarification,theEmployeeherebyacknowledgesthattheconfidentialityobligationsasstipulatedinSection2.2aboveshallcontinueexistingaftertheEmployeeendshis/heremploymentwiththeCompanyforwhatsoeverreasons(suchasterminationornullificationoftheEmploymentAgreement),untiltherelevantConfidentialInformationbecomesgenerallyavailabletothepublicotherthanasaresultofadisclosure bytheEmployeeinviolation ofthis Agreement.务工中英文合同为避免疑问,员工特此声明:在员工结束其与公司的劳动关系之后,不论原因如何(如劳动合同的终止或解除),上述第2.2条规定的保密义务将保持有效,直至相关保密信息已成为公众所能普遍获取的信息(但因员工违反本协议的约定进行披露而导致该等信息成为公众所能普遍获取的信息除外)。2.4

Upontheterminationornullificationofhis/heremploymentwiththeCompany,theEmployeeshall forthwithreturn totheCompanyortherelevant Affiliate (andwillnotkeepinhis/herpossession,reproduceordelivertoanyoneelse) anyandall computers,discs, CDs,software,documents,papers, books,materials, archives, receipts,vehicles, credit cards, correspondence, manuals,records,and/orotherpropertyanddocumentsthatbelongtotheCompanyoritsAffiliates,aswellasanyandallcopiesthereofwhichareunderhisorherpossessionand/orcontrol.在其与公司的劳动关系终止或解除时,员工应立即向公司或相应的xx公司归还(并不得继续占有、复制或向他人交付)任何及所有属于公司或xx公司的计算机、盘片、CD、软件、文件、纸张、书籍、资料、档案、收据、车辆、信用卡、信件、手册、记录、其他所有的财产和文件、以及员工占有和/或控制的任何和全部上述物件的复制件。2.5 TheEmployeeherebyagreesthat,iftheEmployeehasstoredanyConfidentialInformationinhis/herownpersonalproperty(suchaspersonalcomputer),theEmployeeshallprovidetheCompanywithacopyofsuchConfidentialInformationandthendeletetheConfidentialInformationfromtheEmployee'spersonalpropertyforever.IfthecopyingorthedeletionasdiscussedinthisSection2.5isnotfeasibleforwhatsoeverreasons,uponthe务工中英文合同requestoftheCompany,theEmployeewilltransfertheownershipofsuchpersonalpropertiestotheCompany;and,theCompanyshallcompensatetheEmployeeatanamountequaltotheactualvalueoftheconcernedpersonalproperty.员工兹此同意:若员工在其个人财产(如个人电脑)中存有任何保密信息,员工应向公司提供该等保密信息的复制件,并将该等保密信息从员工的个人财产中永久删除。若本第2.5条提及的复制或删除因任何原因而无法实现,应公司要求,员工应向公司转移该个人财产的所有权,公司应向员工支付金额等于该个人财产实际价值的补偿金。2.6 UpontheterminationornullificationoftheEmployee'semploymentpursuanttotheEmploymentAgreement,theEmployeewillsignanddelivertotheCompanyawrittencertificationofhis/hercompliancewithhis/herobligationsunderthisSection2.4andSection2.5.在员工与公司基于劳动合同的劳动关系终止或解除时,员工应签署并交付给公司一份书面证明,证明其已履行本第2.4条和第2.5条项下的义务。NON-COMPETITION竞业禁止3.1 Duringhis/her employmentwiththeCompanyandwithin two(2)yearsafter his/her employmentwiththeCompanyends,tothefurthestextentpermittedbytheChineselaw,theEmployeeshallnot,directlyorindirectly,establish,carryon,participatein,workfor,providefinancialsupportorsecurityfor,oradvise,anyentitiesor务工中英文合同individuals
