3、erredtoinSub-Clause1.6ContractAgreement,includinganyannexedmemoranda.“EmployersRequirements”meansthedocumententitledemployersrequirements,asincludedintheContract,andanyadditionsandmodificationstosuchdocumentinaccordancewiththeContract.Suchdocumentspecifiesthepurpose,scope,and/ordesignand/orothertech

4、nicalcriteria,fortheWorks.“Tender”meanstheContractorssignedofferfortheWorksandallotherdocumentswhichtheContractorsubmittedtherewith(otherthantheseConditionsandtheEmployersRequirements,ifsosubmitted),asincludedintheContract.“PerformanceGuarantees”and“ScheduleofPayments”meanthedocumentssonamed(ifany),

17、dsimilarcharges,butdoesnotincludeprofit.“FinalStatement”meansthestatementdefinedinSub-Clause14.11ApplicationforFinalPayment.“ForeignCurrency”meansacurrencyinwhichpartof(orall)oftheContractPriceispayable,butnottheLocalCurrency.“LocalCurrency”meansthecurrencyoftheCountry.“ProvisionalSum”meansasum(ifan

19、e14.9PaymentofRetentionMoney.“Statement”meansastatementsubmittedbytheContractoraspartofanapplicatio0nforpaymentunderClause14ContractPriceandPayment.WorksandGoods“ContractorsEquipment”meansallapparatus,machinery,vehiclesandotherthingsrequiredfortheexecutionandcompletionoftheWorksandtheremedyingofanyd

20、efects.However,ContractorsEquipmentexcludesTemporaryWorks,EmployersEquipment(ifany),Plant,MaterialsandanyotherthingsintendedtoformorformingpartofthePermanentWorks.“Goods”meansContractorsEquipment,Materials,PlantandTemporaryWorks,oranyofthemasappropriate.“Materials”meansthingsofallkinds(otherthanPlan

21、t)intendedtoformorformingpartofthePermanentWorks,includingthesupply-onlymaterials(ifany)tobesuppliedbytheContractorundertheContract.“PermanentWorks”meansthepermanentworkstobedesignedandexecutedbytheContractorundertheContract.“Plant”meanstheapparatus,machineryandvehiclesintendedtoformorformingpartoft

22、hePermanentWorks.“Section”meansapartoftheWorksspecifiedintheParticularConditionsasaSection(ifany).“TemporaryWorks”meansalltemporaryworksofeverykind(otherthanContractorsEquipment)requiredonSitefortheexecutionandcompletionofthePermanentWorksandtheremedyingofanydefects.“Works”meanthePermanentWorksandth

23、eTemporaryWorks,oreitherofthemasappropriate.OtherDefinitions“ContractorsDocuments”meansthecalculations,computerprogramsandothersoftware,drawings,manuals,modelsandotherdocumentsofatechnicalnaturesuppliedbytheContractorundertheContract;asdescribedinSub-Clause5.2ContractorsDocuments.“Country”meanstheco

24、untryinwhichtheSite(ormostofit)islocated,wherethePermanentWorksaretobeexecuted.“EmployersEquipment”meanstheapparatus,machineryandvehicles(ifany)madeavailablebytheEmployerfortheuseoftheContractorintheexecutionoftheWorks,asstatedintheEmployersRequirements;butdoesnotincludePlantwhichhasnotbeentakenover

25、bytheEmployer.“ForceMajeure”isdefinedinClause19ForceMajeure.“Laws”meansallnational(orstate)legislation,statutes,ordinancesandotherlaws,andregulationsandby-lawsofanylegallyconstitutedpublicauthority.“PerformanceSecurity”meansthesecurity(orsecurities,ifany)underSub-Clause4.2PerformanceSecurity.“Site”m

26、eanstheplaceswherethePermanentWorksaretobeexecutedandtowhichPlantandMaterialsaretobedelivered,andanyotherplacesasmaybespecifiedintheContractasformingpartoftheSite.“Variation”meansanychangetotheEmployersRequirementsortheWorks,whichisinstructedorapprovedasavariationunderClause13(VariationsandAdjustmen

27、ts).InterpretationIntheContract,Exceptwherethecontextrequiresotherwise:Wordsindicatingonegenderincludeallgenders;Wordsindicatingthesingularalsoincludethepluralandwordsindicatingthepluralalsoincludethesingular;Provisionsincludingtheword“agree”,“agreed”or“agreement”requiretheagreementtoberecordedinwri

28、ting,and“Written”or“inwriting”meanshand-written,type-written,printedorelectronicallymade,andresultinginapermanentrecord.Themarginalwordsandotherheadingsshallnotbetakenintoconsiderationintheinterpretationoftheseconditions.CommunicationsWherevertheseConditionsprovideforgivingorissuingofapprovals,certi

29、ficates,consents,determinations,noticesandrequests,thesecommunicationsshallbe:inwritinganddeliveredbyhand(againstreceipt),sentbymailorcourier,ortransmittedusinganyoftheagreedsystemsofelectronictransmissionasstatedintheParticularConditions;anddelivered,sentortransmittedtotheaddressfortherecipientscom

30、municationsasstatedintheContract.However:iftherecipientgivesnoticeofanotheraddress,communicationsshallthereafterbedeliveredaccordingly;andiftherecipienthasnotstatedotherwisewhenrequestinganapprovalorconsent,itmaybesenttotheaddressfromwhichtherequestwasissued.Approvals,certificates,consentsanddetermi

31、nationsshallnotbeunreasonablywithheldordelayed.LawandLanguageTheContractshallbegovernedbythelawofthecountry(orotherjurisdiction)statedintheParticularConditions.IfthereareversionsofanypartoftheContractwhicharewritteninmorethanonelanguage,theversionwhichisintherulinglanguagestatedintheParticularCondit

32、ionsshallprevail.ThelanguageforcommunicationsshallbethatstatedintheParticularConditions.Ifnolanguageisstatedthere,thelanguageforcommunicationsshallbethelanguageinwhichtheContract(ormostofit)iswritten.PriorityofDocumentsThedocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother.Forth

33、epurposeofinterpretation,thepriorityofthedocumentsshallbeinaccordancewiththefollowingsequence:theContractAgreement,theParticularConditions,theseGeneralConditions,theEmployersRequirements,theTenderandanyotherdocumentsformingpartoftheContract.ContractAgreementTheContractshallcomeintoforceandeffectonth

34、edatestatedintheContractAgreement.Thecostsofstampdutiesandsimilarcharges(ifany)imposedbylawinconnectionwithentryintotheContractAgreementshallbebornebytheEmployer.AssignmentNeitherPartyshallassignthewholeoranypartoftheContractoranybenefitorinterestinorundertheContract.However,eitherParty:mayassignthe

35、wholeoranypartwiththeprioragreementoftheotherParty,atthesolediscretionofsuchotherParty,andmay,assecurityinfavourofabankorfinancialinstitution,assigntherighttoanymoneysdue,ortobecomedue,undertheContract.CareandSupplyofDocumentsEachoftheContractorsDocumentsshallbeinthecustodyandcareoftheContractor,unl

36、essanduntiltakenoverbytheEmployer.UnlessotherwisestatedintheContract,theContractorshallsupplytotheEmployersixcopiesofeachoftheContractorsDocuments.TheContractorshallkeep,ontheSite,acopyoftheContract,publicationsnamedintheEmployersRequirements,theContractorsDocuments,andVariationsandothercommunicatio

37、nsgivenundertheContract.TheEmployersPersonnelshallhavetherightofaccesstoallthesedocumentsatallreasonabletimes.IfaPartybecomesawareofanerrorordefectofatechnicalnatureinadocumentwhichwaspreparedforuseinexecutingtheWorks,thePartyshallpromptlygivenoticetotheotherPartyofsucherrorordefect.ConfidentialityB

38、othPartiesshalltreatthedetailsoftheContractasprivateandconfidential,excepttotheextentnecessarytocarryoutobligationsunderitortocomplywithapplicableLaws.TheContractorshallnotpublish,permittobepublished,ordiscloseanyparticularsoftheWorksinanytradeortechnicalpaperorelsewherewithoutthepreviousagreementof

39、theEmployer.EmployersUseofContractorsDocumentsAsbetweentheParties,theContractorshallretainthecopyrightandotherintellectualpropertyrightsintheContractorsDocumentsandotherdesigndocumentsmadeby(oronbehalfof)theContractor.TheContractorshallbedeemed(bysigningtheContract)togivetotheEmployeranon-terminable

40、transferablenon-exclusiveroyalty-freelicencetocopy,useandcommunicatetheContractorsDocuments,includingmakingandusingmodificationsofthem.Thislicenceshall:applythroughouttheactualorintendedworkinglife(whicheverislonger)oftherelevantpartsoftheWorks,entitleanypersoninproperpossessionoftherelevantpartofth

41、eWorkstocopy,useandcommunicatetheContractorsDocumentsforthepurposeofcompleting,operating,maintaining,altering,adjusting,repairinganddemolishingtheWorks,andinthecaseofContractorsDocumentswhichareintheformofcomputerprogramsandothersoftware,permittheiruseonanycomputerontheSiteandotherplacesasenvisagedb

42、ytheContract,includingreplacementsofanycomputerssuppliedbytheContractor.TheContractorsDocumentsandotherdesigndocumentsmadeby(oronbehalfof)theContractorshallnot,withouttheContractorsconsent,beused,copiedorcommunicatedtoathirdpartyby(oronbehalfof)theEmployerforpurposesotherthanthosepermittedunderthisS

43、ub-Clause.ContractorsUseofEmployersDocumentsAsbetweentheParties,theEmployershallretainthecopyrightandotherintellectualpropertyrightsintheEmployersRequirementsandotherdocumentsmadeby(oronbehalfof)theEmployer.TheContractormay,athiscost,copy,use,andobtaincommunicationofthesedocumentsforthepurposesofthe

44、Contract.Theyshallnot,withouttheEmployersconsent,becopied,usedorcommunicatedtoathirdpartybytheContractor,exceptasnecessaryforthepurposesoftheContract.ConfidentialDetailsTheContractorshallnotberequiredtodisclose,totheEmployer,anyinformationwhichtheContractordescribedintheTenderasbeingconfidential.The

45、ContractorshalldiscloseanyotherinformationwhichtheEmployermayreasonablyrequireinordertoverifytheContractorscompliancewiththeContract.CompliancewithLawsTheContractorshall,inperformingtheContract,complywithapplicableLaws.UnlessotherwisestatedintheParticularConditions:theEmployershallhaveobtained(orsha

46、llobtain)theplanning,zoningorsimilarpermissionforthePermanentWorks,anyotherpermissiondescribedintheEmployersRequirementsashavingbeen(orbeing)obtainedbytheEmployer;andtheEmployershallindemnifyandholdtheContractorharmlessagainstandfromtheconsequencesofanyfailuretodoso;andtheContractorshallgiveallnotic

47、es,payalltaxes,dutiesandfees,andobtainallpermits,licencesandapprovals,asrequiredbytheLawsinrelationtothedesign,executionandcompletionoftheWorksandtheremedyingofanydefects;andtheContractorshallindemnifyandholdtheEmployerharmlessagainstandfromtheconsequencesofanyfailuretodoso.JointandSeveralLiabilityI

48、ftheContractorconstitutes(underapplicableLaws)ajointventure,consortiumorotherunincorporatedgroupingoftwoormorepersons:thesepersonsshallbedeemedtobejointlyandseverallyliabletotheEmployerfortheperformanceoftheContract;thesepersonsshallnotifytheEmployeroftheirleaderwhoshallhaveauthoritytobindtheContrac

49、torandeachofthesepersons;andtheContractorshallnotalteritscompositionorlegalstatuswithoutthepriorconsentoftheEmployer.2TheEmployer2.1RightofAccesstotheSiteTheEmployershallgivetheContractorrightofaccessto,andpossessionof,allpartsoftheSitewithinthetime(ortimes)statedintheParticularConditions.Therightan

50、dpossessionmaynotbeexclusivetotheContractor.If,undertheContract,theEmployerisrequiredtogive(totheContractor)possessionofanyfoundation,structure,plantormeansofaccess,theEmployershalldosointhetimeandmannerstatedintheEmployersRequirements.However,theEmployermaywithholdanysuchrightorpossessionuntilthePe

51、rformanceSecurityhasbeenreceived.IfnosuchtimeisstatedintheParticularConditions,theEmployershallgivetheContractorrightofaccessto,andpossessionof,thesitewitheffectfromtheCommencementDate.IftheContractorsuffersdelayand/orincursCostasaresultafailurebytheEmployertogiveanysuchrightorpossessionwithinsuchti

52、me,theContractorshallgivenoticetotheEmployerandshallbeentitledsubjecttoSub-Clause20.1ContractorsClaimsto:anextensionoftimeforsuchdelay,ifcompletionisorwillbedelayed,underSub-Clause8.4ExtensionofTimeforCompletion,andpaymentofsuchCostplusreasonableprofit,whichshallbeaddedtotheContractPrice.Afterreceiv

53、ingthisnotice,theEmployershallproceedinaccordancewithSub-Clause3.5Determinationstoagreeordeterminethesematters.However,ifandtotheextentthattheEmployersfailurewascausedbyanyerrorordelaybytheContractor,includinganerrorin,ordelayinthesubmissionof,anyoftheContractorsDocuments,theContractorshallnotbeenti

54、tledtosuchextensionoftime,Costorprofit.2.2Permits,LicencesorApprovalsTheEmployershall(whereheisinapositiontodoso)providereasonableassistancetotheContractorattherequestoftheContractor:byobtainingcopiesoftheLawsoftheCountrywhicharerelevanttotheContractbutarenotreadilyavailable,andfortheContractorsappl

55、icationsforanypermits,licencesorapprovalsrequiredbytheLawsoftheCountry:whichtheContractorisrequiredtoobtainunderSub-Clause1.13CompliancewithLaws,forthedeliveryofGoods,includingclearancethroughcustoms,andfortheexportofContractorsEquipmentwhenitisremovedfromtheSite.2.3EmployersPersonnelTheEmployershal

56、lberesponsibleforensuringthattheEmployersPersonnelandtheEmployersothercontractorsontheSite:co-operatewiththeContractorseffortsunderSub-Clause4.6Co-operation,andtakeactionssimilartothosewhichtheContractorisrequiredtotakeundersub-paragraphs(a),(b)and(c)ofSub-Clause4.8SafetyProceduresandunderSub-Clause

57、4.18ProtectionoftheEnvironment.2.4EmployersFinancialArrangementsTheEmployershallsubmit,within28daysafterreceivinganyrequestfromtheContractor,reasonableevidencethatfinancialarrangementshavebeenmadeandarebeingmaintainedwhichwillenabletheEmployertopaytheContractPrice(asestimatedatthattime)inaccordancew

58、ithClause14ContractPriceandPayment.IftheEmployerintendstomakeanymaterialschangetohisfinancialarrangements,theEmployershallgivenoticetotheContractorwithdetailedparticulars.2.5EmployersClaimsIftheEmployerconsidershimselftobeentitledtoanypaymentunderanyClauseoftheseConditionsorotherwiseinconnectionwith

59、theContract,and/ortoanyextensionoftheDefectsNotificationPeriod,heshallgivenoticeandparticularstotheContractor.However,noticeisnotrequiredforpaymentsdueunderSub-Clause4.19Electricity,WaterandGas,underSub-Clause4.20EmployersEquipmentandFree-IssueMaterial,orforotherservicesrequestedbytheContractor.Then

60、oticeshallbegivenassoonaspracticableaftertheEmployerbecameawareoftheeventorcircumstancesgivingrisetotheclaim.AnoticerelatingtoanyextensionoftheDefectsNotificationPeriodshallbegivenbeforetheexpiryofsuchperiod.TheparticularsshallspecifytheClauseorotherbasisoftheclaim,andshallincludesubstantiationofthe
