3、egotiation and good faith.一、 合同期限Con tract Term1. 甲方与乙方签订固定期限劳动合同。本劳动合同期限为年,自年 月 日起,至年 月 日止,其中试用期为个月,自 年 月 日起,至 年 月 日止。Party A and Party B sig ns a fixed-term labor con tract. 5、ient manner and abideby all the compa ny rules.5. 甲方可以根据实际工作需要,根据乙方的工作能力和表现,调整乙方工作岗位或安排乙方临时从事其他工作岗位,乙方应予以认可配合。Party A may adjust Party B ' s job or appoint Party B to do another job temporarily by virtueof its bus in ess requireme nts as well as Party B' s compete nee and performa nee. Party

6、 B shallagree and cooperate with Party A.三、工作时间和休息时间Worki ng Hours & Rest Hours6. 甲、乙双方同意按以下方式确定乙方的工作时间(正常工作时间:09 : 00 18 : 00 ;其中12 :30 13 : 30为午餐时间。)标准工时制,即每日工作 小时,每周周一至周五工作。Both parties agree Party B ' s working hours are specified as follows (normal working hours:09:00- 18: 00; lunch tim

Work from Mon day to Friday.四、劳动报酬Labor Remun eratio n7. 甲方每月5日前以货币的形式足额支付乙方工资,结算周期为上月月初到上月月末,实行先工作后发薪的制度。Party A shall pay off salary to Party B in curre ncy on the 5th of every mon th. The pay periodis from the begi nning to the

8、end of last mon th. Party B works before paid.8. 在试用期,乙方的税前工资为每月 人民币;在试用期后,乙方薪金模式为工作基本月薪元人民币,加年度奖金模式。其中年度奖金根据公司经营状况和乙方工作表现另行确定。Party B ' s probation period salary is RMB. After the probation period, Party B' sno rmal basic salary is, plus ann ual bonus, which can be adjusted as per the compa

9、 nys operation and Party B ' s performanee.9. 在甲方取得中国企业营业执照之前,甲方不承担乙方社会保险费用和医疗保险费用;在甲方取得 其企业营业执照后,甲方须承担乙方相关社会、医疗保险费用,并按照国家有关规定对乙方所应承担 的社会保险费用及个人所得税进行代缴。Before Party A obta ins its Busin ess Lice nse officially, Party A is n ot resp on sible for pay ing offParty B ' s social and medical in su

11、根据乙方能力及其相关职位,双方协商一致后调整乙方劳动报酬。Party B' s labor remun erati onwill be adjusted as per Party B' s compete nee and jobrequirements on the basis of consensus in ease Party A adjust Party B' s job.11. 甲方将每年对乙方的工作成绩、表现,以及劳动报酬进行评估Party A will review Party Bs work performa nee and salary on an an

12、nual basis.五、社会保险和福利待遇 Social Welfare & Ben efits12. 甲方根据国家有关规定为乙方缴纳北京市城镇社会保险(养老、医疗、失业、工伤),个人缴纳部分由甲方从乙方工资中代扣代缴。甲乙双方解除、终止劳动合同时,甲方按有关规定为乙方办理社会保险相关手续。Accord ing to the State ' s related rules, Party A will pay Beiji ng social in sura nee in urba n area(i.e. pensionin sura nee,un employme ntin s

13、ura nee,Occupatio nalInjury and medicalin sura nee) for Party B. And Party A will deduct Party B' s part from his or her salary. When thelabor con tract is term in ated by both parties, Party A will han dle the related procedures forParty B ' s social in sura nee accord ing to the related re

14、gulati ons.13. 乙方非因工疾病或负伤,在医疗期内工资及其医疗待遇按照本合同16条执行。乙方患职业病或因工负伤后的工资和医疗补助执行按照国家和地方的有关法律法规执行。In case of illnesses or injuries unrelated to work, the salary during the remedial period aswell as medical treatment shall be paid in accordanee with Clause 16. The salary andMedicare ben efits of Party B in ca

15、se of occupati onal diseases or work-related injuries shallbe paid in accorda nce with the releva nt n ati onal and local laws and regulati ons.14. 因公出差按公司规定实行差旅费报销与补贴。In case Party B travels on bus in ess, Party A will reimbursetravelli ngexpe nses and givesubsidy to Party B in accorda nce with the

16、 compa ny rules.六、假期安排Annual Leave and Sick Leave15. 带薪年假 -雇佣期满一年后,甲方每年为乙方提供十天带薪年假。乙方需根据甲方经营和工作 等实际情况,安排年假,尽量将甲方损失最小化。乙方休年假时,必须提前一个月通知甲方,并取得 甲方批准,方可休假。Annual Leave Party B shall be entitled to take paid annual leave of ten (10) working daysper annum after the first year the employme nt. Leave may be

17、 take n as it is accrued but mayonly be taken at times agreed to by the company in order that disruption will be minimal.Request for leave must be submitted one (1) month in adva nce and approved by Party A.16. 病假-如乙方不涉及住院治疗,甲方将每年批准乙方共计15天带薪病假;其中全薪病假五天,三分之二薪金病假五天,以及三分之一薪金病假五天。如乙方病假日期总数超过甲方允许的病假日期总数,

18、超出部分将在乙方带薪年假日期数中扣除;如果乙方病假日期总数超出了甲方允许的病假和带薪年假日期总和,甲方将不会支付乙方超出日期的任何薪金。院病假证明,视为乙方旷工处理,甲方有权不支付乙方旷工期间任何薪金。Party B is entitled to five (5) days sick leave per full calendar year at full pay, next five (5) dayssick leave at two-third pay and next five (5) days sick leave at one-thirdpay, if nohospitalizati

19、o n is in curred. Medical Certificates must be submitted to our Acco un ts/Adm indepartment upon returning to the office; if not, Party A has right not to pay for Party B' sabsenee.Party B is required to inform its supervisor and the directors if Party B requires sick leave. Allabsence beyond Pa

20、rty B ' s allocated sick leave is deducted from its vacation time. lf both the sick leave and vacation leaves are used up, Party B will not be entitledto be paid for itstime that Party B is absent from work.七、劳动纪律Labor Discipli nes17. 合同期间,乙方应严格遵守国家的各项法律法规及甲方依法制定的各项规章制度及要求,严格遵守劳动安全卫生、操作规程及工作规范;应

21、爱护甲方财产,遵守职业道德,积极维护公司荣誉和利益。Within the con tract term, Party B shall abide by the State' s laws and regulati ons as well asthe rules formulated by Party A according to the laws; follow labor security and hygiene systems, product ion processes, operati ng in struct ions and job specificati ons; tak

22、e good care of Party A ' s property; and safeguard the ben efits and reputati on of the compa ny.18. 乙方违反劳动纪律,甲方可依据本公司的规章制度给予纪律处分,直至解除本劳动合同。另外, 任,数目重大者甲方有权追究其法律责任。In case Party B violates any of the labor disciplines. Party A may punish Party B or even release the con tract accord ing to the rul

23、es and regulati ons of the compa ny. Moreover, PartyB will be held liable for Party A ' s economic losses on a case-by-case basis, in the event thatParty B ' s behavior damages Party A's interests. In case of the considerable amount of losses,Party A will retain the right to pursue legal

24、 actions against Party B.19. 在本合同履行过程中,甲方根据国家有关规定可以制定新的规章制度,也可以对公司制定的规章 制度进行修改,发布的各种规章制度、操作规定、通知、公告等均对乙方有约束力。During the con tract performa nee. 25、o tices and proclamati ons are binding on Party B.八、劳动合同的履行和变更Labor Con tract Performa nee & Alternation20. 甲方应按照约定为乙方提供适当的工作场所、劳动条件和工作岗位,并按时向乙方支付劳动报酬。乙方应当认真履行自己的劳动职责,并亲自完成本合同约定的工作任务。Party A shall furnish Party B with proper work ing place, labor con diti ons and positi on, andshall also pay the

26、 remuneration to Party B on time,conformingto the provisionsherein.Party B shall fulfill his resp on sibilities here in in due dilige nee.21. 甲、乙双方协商一致,可以变更本合同内容,并以书面的形式确定。The con tractmay be revised in writte nform, after both parties ' agreeme nt through n egotiati on.九、劳动合同的解除、终止和续订LaborCon t

27、ractCan cellati on,Termin ati on&Ren ewal22. 经甲、乙双方当事人协商一致,本合同可以解除。双方应提前三十日(试用期为提前三日)以书面形式通知对方或以支付一个月工资代替通知,方可解除本协议。The con tract may be can celed based on both parties' mutual n egotiati on. Either partyintending to cancel the con tract shall inform the other party in writte n form 30 days

28、inadva nee (Probatio n period: five (3) days in adva nee) or one (1) month salary in lieu of thenotice.23. 乙方有下列情形之一的,甲方可以随时解除本合同:严重违反劳动纪律和规章制度的;严重失职,营私舞弊,给甲方造成重大损失的;乙方没有经过甲方同意,同时与其他用人单位建立劳动关系,对完成甲方的工作任务造成严重影响,或者经甲方提出,拒不改正的;因劳动合同期满致使本合同无效的;依法被追究刑事责任或劳动教养的;乙方利用职务之便收受贿赂的或泄漏公司机密造成公司损失的。Party A may canc

29、el the contract in case any of the following occurs:Party B severely violates the labor disciplines and regulations;Party B ' s gross negligence or jobbery causes great losses for Party A;Party B holds another job without the permit of Party A, which seriously affectsthe completion of Party A

30、9;s work task, or Party B refuses to correct the error afterParty A ' s warning;The contract turns invalid due to expiration;Party B is held criminally responsible or reeducated through labor; orParty B accepts bribes by taking advantage of duty or causes the loss of the company by virtue of div

31、ulging the commercial secrets.24. 有下列情形之一的,乙方可以随时通知甲方解除本合同。在试用期内的; 甲方以暴力、威胁或者非法限制人身自由的手段强迫劳动的; 甲方未按照劳动合同约定支付劳动报酬或者提供劳动条件的。Party B may notify Party A of terminating the contract at any time, in case any of thefollowing occurs:Within the probation;Party A forces Party B to work by violence, threat or

32、illegal limitations ofParty B ' s freedom.Party A fails to pay Party B 's salary or provide work conditions as stipulatedherein.25. 符合下列情形之一的,甲方提前三十日(试用期为提前三日)以书面形式通知乙方或以支付一个 月工资代替通知,解除本合同:患病或非因工负伤,在规定医疗期满后,不能从事原工作,也不能从事甲方另行安排的工 作的;乙方不能胜任工作,经过调整工作岗位,仍不能胜任工作的; 本合同订立时所依据的客观情况发生重大变化, 致使本合同无法履行,

33、 经甲、乙双方协商, 未能变更本合同内容达成协议的;按照相关法规及程序甲方依法裁员的。Party A may cancel the contract upon thirty (30) days ' prior written notice to Party B (Probation: three (3) days in advance) or one (1) month salary in lieu of the notice, in case any of the following occurs:Party B, due to sickness or injury inflicte

34、d off the job, cannot resume his orher work or do the other job reassigned by Party A after specified period ofmedical treatment;Party B is unqualified, even after a training or job adjustment;The objective conditions on which the contract is based have materially changed to the extent that it is im

35、possible to perform the contract while both parties cannot reach an agreement to amend the contract to reflectthe changed conditions; orParty A downsizes according to related laws and procedures.26. 乙方有下列情形之一的,甲方不得按本合同第二十五条的约定与乙方解除劳动和同:在甲方工作期间患职业病或者因工负伤并被确认丧失或者部分丧失劳动能力的;患病或因工负伤,在规定的医疗期间的;女职工在孕期、产期、哺

36、乳期的;法律、行政法规规定的其他情形。Party A is not allowed to cancel the labor contract as perClause 25 in case any ofthe following occurs:Party B is confirmed partly or totally incapacitated due to an industrial injury or anoccupational disease when working for Party A;Party B is in a period of medical treatment fo

37、r sickness or work injury;The female employee is in pregnancy, maternity or lactation; orOther situations stipulated in laws and administrative provisions.27. 符合下列情形之一的,本劳动合同即可终止:劳动合同期满;乙方死亡、或者被法院宣告死亡或者宣告失踪的; 甲方依法被宣告破产的;法律、行政法规规定的其他情形。The con tract will term in ate in case any of the follow ing occu

38、rs:The labor con tract expires;Party B is dead, pronounced dead or pronounced miss ing by the people'scourt;Party A is declared ban kruptcy legally;Party A ' s bus in ess lice nse is revoked; Party A is compelled to close dow n ordissolve; or Party A decides to dissolve in adva nee; orOther

39、situati ons stipulated in laws and adm ini strative provisi ons.十、赔偿责任、违约责任Compensation for the Breach or Cancellationof theCon tract28. 乙方造成直接损失的赔偿金:赔偿金按乙方实际造成的损失计算,赔偿金的范围包括:乙方损坏甲方财物而导致的直接经济损失;乙方疏忽导致的甲方直接经济损失;乙方拒绝合理的工作安排而导致甲方经济损失。In case Party B' s behavior causes the losses of Party A, the com

40、pensationamount is calculated based on the actual losses caused by Party B. Thecompensation includes:The direct economic losses caused by Party B's damages of Party A 's property;The direct economic losses resulting from Party B' s negligence; andThe economic losses due to Party B' s

41、 rejection of the reasonable work assignedby Party A.29. 甲乙双方任何一方违反本合同, 给另一方造成经济损失的, 根据违约责任大小, 需承担违约责任。 In case that either party breaches the contract or causes the economic losses of the other party, the default party will be held liable for breach of contract on a case-by-case basis.30. 乙方不得在任何情况

42、下将甲方的保密资料、数据、运营模式、工具等直接或者间接泄露给任何第 三方,如经甲方发现按甲方损失大小赔偿。In any case, Party B shall not directly or indirectly divulge the commercial secrets (including but not limited information, data, management models and tools) of Party A to any the third party.
