9、消毒的且适合长途海运坚固的新木箱包装、集装箱运输，防湿、防潮、防震、防锈，耐粗暴搬运。卖方负责因货物包装不良以及由于卖方在包装方面采取不当的或不良的保护措施而造成的货物锈损等任何损坏，并负担由此而产生的一切费用。包装箱内需附每台设备一整套操作/维护手册以及其它所有技术资料。包装箱尺寸和重量应充分考虑运送和装卸的可能。如包装为木质包装，包装外应有明显的已做薰蒸的标志。The goods shall be packed in strong new wooden cases with fumigation certificate suitable for long distance transpor

10、tation and well protected against dampness, shock, moisture, rust and rough handling and shall be transported in container. The SELLER shall be liable for any damages to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken

11、by the SELLER and in such case, any and all losses and/or expenses incurred in consequence thereof shall be borne by the SELLER. Under the condition of wooden packaged, IPPC mark should be stamped clearly on the surface of the package. And also, an operation and maintenance manual and other technica

31、输代理。卖方所指定的船只或承运人应符合下列条件：The Sellers shall, immediately upon the completion of the loading of the goods by sea, advise the Buyers by telex or fax of the contract number, commodity, quantity, invoiced value, gross weight, name of vessel, port of shipment, port of destination and date of sailing etc. I

32、n case the Buyer fails to arrange insurance in time due to the Seller not having advised in time, all losses shall be borne by the Sellers. If any package is above 9 metric tons in weight or over 3400mm in width or over 2350mm in height, the Seller shall advise the Buyer of the weight and measuremen

33、ts of such package. In case of dangerous goods, the Seller shall notify the Buyer and his shipping agent at the port of destination of their nature and the method of handling them by telex or fax.The vessel or carrier designated by the SELLER shall be in conformity with the following terms: (1) 卖方所指

35、the SELLER shall, if notified of such accident, inform the BUYER at the earliest time reasonable possible. The extended warranty period of 12 months for the goods from the date of delivery of the vessel shall pass to the benefit of the Ship owner. If Seller has performed guarante

39、e work during the guarantee period, Seller shall guarantee the repaired parts of the goods for a period of one year from the date of completion of the guarantee work, or the remaining part of the guarantee periodc） 在上述质量保证期内，卖方收到买方的索赔要求后，应及时采取措施免费维修或更换损坏的货物或部件，否则，买方可自行委托修理或更换，费用由卖方负担。如果因为买方违章操作、不按规定

40、进行正常的维护保养等因素造成的损坏和故障，需要卖方来维修及更换零部件所发生的费用由买方负责。同时，卖方应对不符合规格部分进行重新设计，制作，及修改，因此产生的费用由卖方负责。Upon receipt of such notice, the Seller shall, with all reasonable speed, repair or replace the defective Goods or parts thereof at final destination or worksite, without costs to the Buyer. 41、been notified, fails to remedy the defect(s) within a reasonable period, the Buyer may proceed to take such remedial action as may be necessary, at the Sellers risk and without prejudice to any other rights which the buyer may have against the Seller under the Contract. 42、r all costs associated with the repair or replacement of defective work.16商品检验：INSPECTION:货物装运之前，买方及买方授权的代表有权对货物的质量、规格及数量进行检验，卖方应对检验提供设备及必要的帮助，应买方的要求，卖方应向买方出具相关的检验报告，材质证书，及详细的计算书。货物在目的港卸下后，应买方的请求，中国商检机构可对货物的规格和数量再次进行检验。再次的商检费用由买方承担。Before the Sellers shipment of the goods, Buyer or his authorized re

43、presentative shall have the right to make whatever inspections and verifications they consider necessary in order to verify that the goods are manufactured in accordance with the conditions of the Purchase Contract. Such inspections and verifications may be made at Sellers facilities, and/or at any

44、of his subcontractors facilities. Seller shall give necessary assistance in carrying out these inspections and verifications. Seller, if required by Buyer, supply to Buyer test reports, material certificates, calculations etc. After discharge of the goods at the destination and at the Buyers request

45、, the China Commodity Inspection Bureau will repeat the inspection of the specifications and quantity of the goods. Any costs incurred shall be by the Buyer. 17、关联服务 incidental services:（一）卖方应保证制造厂根据买方需要，到达买方指定的地点提供下述服务： The Seller shall ensure the Maker to supply the following services on demands.

46、(a) 设备到货清点验收，卖方在收到通知后3天内到达船厂验收地点，验收所提出的问题将有卖方全部负责澄清并予以解决，若卖方不参与现场开箱清点验收工作，那么视为默认船厂自行安排验收得出的结论。 (b) 卖方在进厂调试前必须提供调试前准备工作清单由船厂确认，否则引起的责任由卖方负责。Before commissioning,the seller must provide the preparation working list for the shipyard to confirmation, otherwise, the caused duty is responsible for seller.

47、(c) 到厂调试人员必须满足设备的调试需要，否则，船厂有权要求更换调试人员，调试时间顺延。Debugging personnel must satisfy the equipment debugging need, otherwise, the shipyard shall have the right to requestto change debugging personnel, postpone commissioning time.(d) 调试服务工程师到场后必须先行做出调试计划表，含检查、自行调试、报厂检、报船检等日程安排。调试工作开始后就以此计划表为准，与船厂项目经理日日核对，若发

48、生影响该计划进度事宜，必须第一时间通知调试组及物资部。在最短时间内确认造成问题的原因，同时记录在案，若需要，将作为调试周期变更的依据。(e) 在合同规定的调试次数中，调试工程师的旅途时间不计入合同规定的调试周期内。(f) 因设备本身质量或卖方设计缺陷问题造成的服务时间不计入合同规定的调试周期内(g) 在调试服务期内，调试工程师的日常工作时间包含但不限于8小时工作制，调试周期内，必须根据船厂调试需要进行超出8小时工作服务配合，此时间仅计入当日服务时间，按一天计数(h) 调试人员在离厂时必须经过船厂及船东签字认可，否则，调试服务时间无效，需重新计算调试时间。The debugging person

In case of claim, all the relevant expenses (such as inspection charge, freight and returning the goods and for sending the replacement, insurance premium, storage and unloading charges, etc) shall be borne by the Sellers.19延期交货违约金： Late delivery and penalty:除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意

55、迟延交货，卖方应同意对信用证有关条款进行修改和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的10，差率按每一星期按迟交货物总值的1%的迟交罚款，不足一星期的迟交日数作为一星期计算。如延迟交货超过原定期限十星期时，买方有权终止本合同，但卖方仍应向买方缴付以上规定之罚款，不得推诿或延迟。In case the Seller fail to make delivery on time as stipulated in the contract, exception of Force Majeure cases, the buyers shall agree go postpo
