Urban and rural行政管理制度 供应商准入与评估管理规定（试行）长沙赛格有限公司供应商准入与评估管理规定（试行）（经2011年9月15日总经理办公会通过）第一条 为建立健全供应商管理机制，发展和培育新的供应商，优化采购行为，制定本规定。第二条 本规定（试行）所称的供应商是指依法成立，具有法人资格，纳税和资信良好，并经

12、深圳赛格股份有限公司（以下简称公司）认定，为公司提供物品或服务的国内、外供应商。供应商包括物品的直接制造商、具有代理权的代理商（以下简称代理商）和中介服务商。第三条 公司在开展采购工作时，应成立供应商评估小组（“供评组”）对供应商进行评估筛选；供评组成员组成可包括但不限于：办公室人员、审计部人员、采购需求部门人员、财务部门人员及法律人员等。第四条 公司采购需求部门根据自身业务需要提供供应商名单与信息，并进行初步审核，供评组进行复核，并按供应商准入与评估流程（附件二）审批。各采购需求部门负责建立自身业务的供应商名单与信息表、收集供应商基本信息资料。办公室负责汇总供应商名单与信息表，并管理供应商基

13、本信息资料。第五条 供应商准入原则1. 具有独立法人资格，能独立行使民事权利并承担民事责任，能提供公司所需产品、服务及相关售后服务；2. 有固定的生产或经营场所，具备必须的生产经营设施及相应的业绩， 具有产品或服务所需的资格证书或相关证书，质量保证体系健全；3. 生产企业具备良好的组织协调能力，并对产品生产制造的合法性、使用过程的安全性、操作的技术可靠性及售后服务等负全部责任。第六条 供应商准入申请材料1. 供应商准入申请表（见附件一）：供应商完整填写申请表中“概况”、“主要产品及业绩”和“体系认证”等内容，加盖单位公章。同时提交申请表的电子版； 2工商营业执照：工商营业执照，或在工

14、商行政机关的注册证书（复印件，加盖供应商单位公章）。经营特殊、特种产品的单位应同时提交资质证书；3如有必要，另需提交上年财务年报（复印件，加盖供应商单位公章）。财务年报包括:(1)会计事务所年度审计报告结论部分；(2)年度资产负债表；(3)年度利润表；4管理体系资料：如果取得质量、职业健康安全、环境等方面体系认证的，提交认证证书（复印件，加盖供应商单位公章）；5制造商应提交产品质量手册和检验管理制度；6制造商应提交影像资料。影像资料主要包括企业概况、经营生产业绩，客户评价，产品从原料检验进库、生产加工到完工验收入库全过程，包括车间、场地、仓库的实际情况。影像资料用光盘形式提供；7代理商应提交与

15、制造商的代理协议书。代理协议书包括：代理的产品、代理的有效年限、服务条款（如对产品服务等）和代理费的结算方式。 第七条 供应商准入审定管理程序遵循市场经济竞争机制，优胜劣汰的法则，供应商准入分供应商审定和招标两种。（一）供应商审定准入管理程序1.由需求部门提供供应商推荐申请表及相关资料，报供评组；2.供评组根据提供信息及资料进行审核，必要时可由办公室组织相关部门实地调查验证和审定；4.供应商审定情况经整理形成书面意见，按内部请示流程审批。（二）供应商参与招标准入管理程序1.需求部门拟定招标说明书，对参与招标供应商提出具体准入要求，并可推荐供应商及其相关资料；2.公司招标工作小组根据提供资料及各

16、方面推荐的供应商资料，进行分析确定参与招标的供应商；3.对参与招标供应商进行资质审查、必要时招标工作小组派人进行实地考察，形成书面意见，按公司内部流程审批；4.招标实施按照深圳赛格股份有限公司招标管理办法执行；第八条 供应商评估公司应当建立供应商评估制度。定期对实物类供应商从采购价格、采购质量、采购成本、交货及时性、合同签约与履行情况等方面进行专项评估和综合分析；对服务类供应商从服务质量、支付成本、服务配合、提供服务及时性、服务态度、合同签约与履行情况等方面进行专项评估和综合分析。1.已经与公司合作过的供应商，应在每次（或每年）合作后，由采购需求部门、办公室及财务部对其进行评估，评估结果按程序

17、审批。2.对供应商评估结果分为合格、不合格两类，评估完毕应在供应商名录中更改供应商级别，不合格供应商应在供应商名录中标注，取消其续签合同或继续参加投标的资格。 3. 初审以审查书面材料和实地考察（或通过查看影象资料）相结合。实地考察人员由采购需求部门组织有关人员进行，必要时邀请商业调查公司进行咨询评估。4. 供应商提供的资料是否真实齐全将影响供应商的准入申请。供应商有意提供不真实资料，或采取行贿等不正当手段的，两年内不得参与准入申请。第九条 建立供应商信息名录建立科学的供应商评估和准入制度，对供应商资质信誉情况的真实性和合法性进行审查，确定合格的供应商清单，健全公司统一的供应商信息。1. 供应
